1. Anmeldung beim Handelsregister
Es besteht die Möglichkeit nach §§ 13 ff Handelsgesetzbuch (HGB), dass die XXX XXX XXX, mit Sitz in Großbritannien, eine Zweigniederlassung in ein deutsches Handelsregister eintragen lässt.
Folgende Voraussetzungen müssen gegeben sein:
1) Erforderliche Unterlagen
- Registerauszug der Limited in Großbritannien in beglaubigter Ausführung und mit einer Apostille (Überbeglaubigung) versehen
- Gesellschaftsvertrag der Limited in Großbritannien in beglaubigter Ausführung und mit einer Apostille (Überbeglaubigung) versehen

2) Notartermin in Deutschland
Bei einem deutschen Notar muss der Antrag auf Eintragung der Zweigniederlassung gestellt werden. Die unter 1) aufgeführten Unterlagen sind dem Notar bereits vorzulegen.

2. Anmeldung beim Gewerbeamt
Zweigniederlassungen sind gewerberechtlich am Sitz der Zweigniederlassung anzumelden.
3. Stellung der Betriebsstätte, hier Zweigniederlassung, innerhalb des Gesamtunternehmens
Materiellrechtlich ist die Zweigniederlassung ein selbständiger, äußerlich getrennter Teil eines Unternehmens, von dem selbständig Geschäfte abgeschlossen werden. Die Zweigniederlassung ist kein von der Hauptniederlassung verschiedenes Rechtssubjekt, d.h. privatrechtlich unselbständig. Sie bildet mit der Hauptniederlassung einen einheitlichen Geschäftsbetrieb derselben Person im rechtlichen Sinne. Die Zweigniederlassung ist eine räumlich ausgegliederte Geschäftseinrichtung, die jedoch in wirtschaftlicher und geschäftlicher Hinsicht mit einer gewissen tatsächlichen Selbständigkeit ausgestattet ist.
Sie muss eine eigene Organisation und Buchführung haben.
Da eine Betriebsstätte keine eigene Rechtspersönlichkeit hat, ist sie als solche nicht steuerpflichtig. Steuerpflichtig ist allenfalls das Gesamtunternehmen. Deshalb sind Steuerbescheide und andere Verwaltungsakte an das Gesamtunternehmen zu richten. Wegen Steuerschulden kann in das Vermögen des Gesamtunternehmens vollstreckt werden.
4. Betriebsstättenbuchführung
Nach deutschem Handelsrecht besteht eine Buchführungspflicht für ausländische Unternehmen, wenn im Inland eine Zweigniederlassung unterhalten wird. Es ist ein in deutscher Sprache verfasster Jahresabschluss für die Zweigniederlassung aufzustellen.
Die Bücher und Aufzeichnungen müssen 10 Jahre und die sonstigen Buchungsbelege 6 Jahre aufbewahrt werden.
5. Ertragsteuerliche Behandlung
Nach § 2 Nr. 1 Körperschaftsteuergesetz (KStG) i.V.m. § 49 Einkommensteuergesetz (EStG) ist die XXX XXX XXX in Deutschland mit ihren Einkünften aus Gewerbebetrieb für die in Deutschland unterhaltene Betriebsstätte körperschaftsteuerpflichtig. Diese Vorschrift wird auch nicht durch die Anwendung des Doppelbesteuerungsabkommens Großbritannien – Deutschland außer Kraft gesetzt. Das DBA führt dazu aus, dass Deutschland die Gewinne besteuert, jedoch nur insoweit, als der Gewinn der deutschen Betriebsstätte zugeordnet werden kann.

Foundation of a branch in Germany

you have asked us to present to you conceptional and taxation information for the following project.
The XXX XXX XXX. wants to found a branch in Germany. This should not be a legal person (e.g. GmbH).The branch should be entered into the commercial register. The branch must act fully commercially, and be an active trader.
Please find enclosed the results of our evaluation of the laws and literature as follows :
1. Entry at the Commercial Register
Due to §§ 13 ff commercial law (HGB), it is possible that the XXX XXX XXX situated in the United Kingdom, can register a branch into the German Commercial Register.

2. Application at the Industrial Inspection Board
Branches have to be commercial registered at the registered seat of the branch.
3. Positioning of the outfit, in this case the branch, within the whole company
Substantive law, the branch is an independent, external, separated part of a company, which is doing business by his own. The branch is no different legal subject of the main company, this means, under private law, dependent. The branch is forming with the main company one internal business of the same person in a legal form. The branch is a spatial, separated out business institution, which is however in a commercial and business manner fitted out with a certain real independence.
It has to have its own organisation and book-keeping.
As a plant does not have its own legal personality, therefore it is not liable for taxation. Liable for taxation is only the main company. Therefore the taxation information and other administration acts have to be sent to the main company. Due to taxes due, it can be executed into the assets of the main company.
4. Plant book-keeping
Concerning the German Commercial Law foreign companies do have the duty of book-keeping, if they have a branch in Germany. It has to be compiled an annual closing of accounts for the branch in German language.
The books and documents have to be kept for 10 years and other vouchers for 6 years.
5. Treating of profits tax
Concerning § 2 Nr. 1 corporation tax (KSTG) in connection with § 49 law of the income tax (EstG) the German XXX XXX XXX is obliged for corporation proceeds with her proceeds of the manufacture for the branch in Germany. This prescription will not be annulled by using the double taxation arrangement of the United Kingdom – Germany. The double taxation arrangement (DBA) achieves, that the returns will be taxed, but only so far, as the return can only be related to the German branch.
In Germany, a branch registered in the Commercial Register proofs the refutable presumption, that in Germany the XXX XXX XXX is maintaining a branch in the sense of a double taxation arrangement.

Note: The social security, tax withholding, and reporting obligations may depend on whether there is a chargeback arrangement between XXXXXX and the local country subsidiary related to the spread between the offer price and the market value of the XXXXXX share at acquisition.
