Source text - English 1) The Vendor, by its acceptance of the present promise to purchase, will be deemed to declare and warrant, herein and under the deed of sale contemplated hereby, that:
a) The Vendor is the sole owner of the Property thus to be purchased, it has and it is supplying to the Purchaser a good clear and marketable title and shall be sold free and clear of any and all hypothecs or other encumbrances whatsoever;
b) The Vendor signatures have the power and the authority to conclude and execute the promise to purchase and the deed of sale, and where applicable,
c) The Property are not the subject of an agreement to sell, exchange or lease it, or the subject of a right of preference or a right of first refusal in favour of a third party;
d) All of the taxes and assessments affecting the Property, both general and special, municipal and school of whatever nature they may be, have been paid or will be paid by the Vendor herein up to the date of adjustment hereinafter mentioned;
e) Prior to the date hereof, it has rectified any non-conformity or notice thereof from any Federal, Provincial or municipal authority affecting the said Property. Any existing non-conformity or notice thereof from any Federal, Provincial or Municipal authority will be disclosed to the purchaser during the inspection Period and will be rectified by the Vendor at its own cost and expense prior to the closing;
f) The property and the daycare in question conform to the laws and regulations relating to the protection of the environment, and that no hazardous materials, solutions or contaminants are or were stored and that no other measure of decontamination or other is required according to the environment act or legislation;
g) There is no lease or other agreement by which the Vendor, any other person related to the Vendor and any other third party has an ownership, occupancy or usage right in the Property thus to be purchased;
h) There is no adjustment, debt or claim affecting the Properties or the daycare business to be purchased to be recovered between the Vendor and predecessors in titles with any third party;
i) That Daycare and Vendor shall leave sufficient provisions in the account of the Daycare in order to cover for taxes including but not limited to Income Taxes, G.S.T. Q.S.T., D.A.S., C.S.S.T., payroll, indemnity payments, pension fund contributions and utilities for periods prior to the Closing Date, tax assessments, expenses in the ordinary course of business;
j) That Daycare is a holder of one valid Permit for 80 Children issued by the Ministere de la Famille et des Aines and they are in good standing;
k) That while Daycare and Vendor is not in a position to guaranty future enrollments they can unequivocally state that Daycare is presently at full capacity based on the educators to children ratio which is currently 80 children in total.
l) That all Governmental filings and payments are up to date as at the Closing Date (G.S.T. Q.S.T., D.A.S. and Corporate Taxes).
m) That Daycare has no liabilities other than current trade payables and that there are no litigations, pursuits, or any other form of obligation that other than what is identified in the Daycare’s audited financial statements.
n) That Daycare is compliant to the regulations set in place by the ministry.
o) Daycare will not make any capital expenditures and will not engage in any activity that causes depletion to its assets or its business, other than in the ordinary course of business consistent with past practice;
p) Daycare will not enter into any transaction or incur any obligation not in the ordinary course of business consistent with past practice or enter into any transaction with a party or parties with whom Daycare does not deal at arm’s length;
Translation - French 1) En acceptant la présente Promesse d’achat, le VENDEUR déclare et garanti par la présente et par l’acte de vente envisagé par la présente que :
a) Le VENDEUR est le seul propriétaire de la Propriété en question, et qu’il détient le titre valable et négociable de la Propriété, libre de tout droit, sûreté, hypothèque, priorité ou charge quelconque;
b) La/les signature(s) du VENDEUR ont le pouvoir et l’autorité de conclure et de signer l’acte de vente, et où applicable,
c) La Propriété n’est pas l’objet d’un contrat de vente, d’échange ou à le louer, ni est l’objet du droit de préférence ou du droit de premier refus à l’égard d’une tierce partie;
d) Toutes les taxes générales, spéciales, municipales et scolaires touchant la Propriété ont été acquittées ou seront acquittées par le VENDEUR à la date de l’ajustement mentionné ci-dessous;
e) Avant la date du présent, tous les avis reçus et/ou non-conformités selon les autorités fédérales, provinciales ou municipales ont été rectifiés en ce qui concerne ladite Propriété. Toute non-conformité ou avis existants parvenant de n’importe quelle autorité fédérale, provinciale ou municipale seront divulgués à l’ACHETEUR pendant la période d’inspection et seront rectifiés par le VENDEUR à ses propres frais.
f) La Propriété et la garderie en question se conforment aux lois et règlements applicables à la protection de l’environnement et qu’aucune matière, solution ou contaminant dangereux sont ou ont été entreposé et qu’aucune mesure de décontamination ou autre est requis selon la Loi sur l’assainissement de l’environnement ou la législation environnementale;
g) Il n’y a aucun contrat de location ou autre convention par laquelle le VENDEUR ou toute autre personne rattaché au VENDEUR ou toute autre tierce partie a le droit de Propriété, occupation ou usage de la Propriété en question;
h) Aucuns ajustements, dettes, ni réclamations affectent la Propriété ou la garderie qui doivent être achetés ou récupérés entre le VENDEUR et des prédécesseurs en titre ou des tiers;
i) La garderie et le VENDEUR laisseront suffisamment de provisions dans le compte de la garderie pour couvrir les taxes, incluant mais sans limiter, les impôts, la TPS, TVQ, DAS, CSST, salaires, paiement des indemnités, cotisation à la caisse de retraite et les services publics pour les périodes avant la clôture, les avis de cotisation, et les dépenses engagées dans le cours normal des affaires;
j) Ladite garderie est titulaire d’un permis de garderie valide pour 80 enfants émis par le Ministère de la Famille et des Ainés et est en règle;
k) Que tandis que la garderie et le VENDEUR ne sont pas en mesure de garantir les inscriptions futures, ils peuvent déclarer sans équivoque que la garderie est présentement à pleine capacité selon les ratios éducatrices/enfants, c’est-à-dire, elle comprend 80 enfants.
l) Que toutes les déclarations et paiements sont à jour à la date de clôture (TPS, TVQ, DAS, Impôts des sociétés).
m) La garderie n’a aucune dette à part fournisseurs et qu’il n’existe pas de litiges, poursuites ni aucune autre sorte d’obligation qui n’a pas été identifiée dans les états financiers vérifiés de la garderie.
n) Que la garderie est en conformité avec la réglementation instaurée par le ministère.
o) La garderie ne réalisera aucunes dépenses d’investissement ni s’engagera dans aucune activité qui provoquera des pertes sur ces actifs et/ou des pertes de ses bénéfices et accepte de mener ses activités dans le cours normal conformément à ses pratiques antérieurs;
p) La garderie ne contractera ou assumera aucune transaction ou obligation qui ne fait pas partie du cours normal de ces affaires conformément à ses pratiques antérieurs et ne peut faire aucune opération avec une partie ou des parties avec qui elle, la garderie, n’a pas de lien de dépendance;
