THIS MUTUAL NON-DISCLOSURE AGREEMENT (“Agreement”) is made effective as of the1st day of December, 2011 by and between Almar Holdings, whose principal address is 2510 Warren Avenue, Cheyenne, WY 82001 (“AH”), and MC-MED DANISMANLIK SAGLIK PAZARLAMA IC VE DIS TICARET LTD STİ whose principal address is Suleyman sirri cad no; 17/8 Sihhiye, City;Ankara Country; Turkey (“Company”), in order to assure the protection and preservation of the confidential and/or proprietary nature of information to be disclosed or made available to each other.
For purposes of this Agreement, the “Purpose” for which Confidential Information shall be disclosed is the use and evaluation of Confidential Information to be disclosed by AH and the Company in connection with a potential commercial transaction with respect to pharmaceutical/OTC products whereby the Company acts as developer, manufacturer, supplier, etc. In reliance upon and in consideration of the following undertakings, the parties agree as follows:
1. Subject to the limitations set forth in Paragraph 2, all information disclosed by one party to the other party shall be deemed to be "Confidential Information." In particular, Confidential Information shall be deemed to include (i) all written information of the disclosing party which conspicuously bears a “Confidential,” “Proprietary” or similar designation, and (ii) all oral information of the disclosing party which is identified at the time of disclosure as being of a confidential or proprietary nature. Confidential Information shall also include all information which either party has received from others and which it is obligated to treat as confidential, provided such information is disclosed in the manner set forth in the preceding sentence.
2. The term "Confidential Information" shall not be deemed to include information which: (a) is known by the receiving party without any obligation to keep such information confidential at the time of receiving such information as evidenced by its contemporaneous written records; (b) is hereafter furnished to the receiving party by a third party, as a matter of right and without restriction on disclosure; (c) is independently developed by the receiving party without any breach of this Agreement, as evidenced by its contemporaneous written records; (d) is the subject of a prior written permission to disclose provided by the disclosing party; (e) is in response to a valid order of a court or other governmental body of the United States or any political subdivision thereof (provided, however, that the responding party shall first have given notice to the other party hereto and shall have made a reasonable effort to obtain a protective order requiring that the Confidential Information so disclosed be used only for the purposes for which the order was issued) or is otherwise required by law, or (f) is necessary to establish rights or enforce obligations under this Agreement.
3. Each party shall maintain the other party's Confidential Information in trust and confidence and shall not disclose to any third party nor use any Confidential Information except as expressly authorized by this Agreement. Each party may use such Confidential Information only to the extent required to accomplish the Purpose of this Agreement as set forth above. No rights or licenses to trademarks, inventions, copyrights or patents are implied or granted under this Agreement.
4. The receiving party will not copy nor use any Confidential Information of the disclosing party in any manner, except as authorized in writing by the disclosing party, and shall protect any such authorized copies in accordance with this Agreement.
5. Each party under this Agreement shall advise its employees who might have access to Confidential Information of the other party of the confidential nature thereof and agrees that its employees shall be bound by the terms of this Agreement. No Confidential Information shall be disclosed to any employee who does not have a need for such information. For the purposes of this Section 5, the term "employee" shall include, in addition to employees, the directors, officers, consultants and other agents of the receiving party.
6. All Confidential Information (including all copies thereof) shall remain the property of the disclosing party and shall be returned to the disclosing party after the receiving party's need for it has expired, or upon request of the disclosing party, and in any event, upon completion or termination of this Agreement.
7. This Agreement shall continue in full force and effect for a period of one (2) years from the date of this Agreement. The termination of this Agreement shall not relieve either party of the obligations imposed by Paragraphs 3, 4, 5, 6, and 10 of this Agreement with respect to Confidential Information disclosed prior to the effective date of such termination and the provisions of those Paragraphs shall survive the termination of this Agreement.
8. 8. The laws of the State of Wyoming,, excluding its conflicts of laws principles, shall govern this Agreement.
9. This Agreement contains the final, complete and exclusive agreement of the parties relative to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements relating to its subject matter. This Agreement may not be changed, modified, amended or supplemented except by a written instrument signed by both parties.
10. Each party hereby acknowledges and agrees that in the event of any breach of this Agreement by the other party, including, without limitation, the actual or threatened disclosure or unauthorized use of a disclosing party's Confidential Information or breach of Paragraph 4 hereof without the prior express written consent of the disclosing party, the disclosing party will suffer an irreparable injury, such that no remedy at law will afford it adequate protection against, or appropriate compensation for, such injury. Accordingly, each party hereby agrees that the other party may be entitled to specific performance of the receiving party’s obligations under this Agreement, as well as such further relief as may be granted by a court of competent jurisdiction.
11. The parties' rights and obligations under this Agreement will bind and inure to the benefit of their respective successors, heirs, executors and administrators. This Agreement may not be assigned by either party, except to an Affiliate, without the prior written consent of the non-assigning party.
12. If any provision of this Agreement is found by a proper authority to be unenforceable, that provision shall be severed and the remainder of this Agreement will continue in full force and effect. All terms and conditions of this Agreement shall be deemed enforceable to the fullest extent permissible under applicable law, and, when necessary, the court is requested to reform any and all terms or conditions to give them such effect.
13. Any notices required or permitted hereunder shall be given to the appropriate party at the address specified below or at such other address as the party shall specify in writing. Such notice shall be deemed given upon the personal delivery, or sent by certified or registered mail, postage prepaid, three (3) days after the date of mailing.
This Agreement shall be effective as of the date first written above.

Bu sözleşmenin amaçları doğrultusunda, Gizlilik Bilgilerinin açığa vurulmaması ‘maddesi’ Gizlilik Bilgilerinin kullanımı ve değerlendirilmesi gereken durumlarda ticari kurallar çerçevesinde ve sözleşmede adı geçen Şirket ‘in üretici, geliştirici, sağlayıcı, vs olduğu farmakolojik/OTC ürünlerin özellikleri göz önünde bulundurularak AH ve Şirket tarafından tekrar değerlendirebilir. Aralarındaki güven doğrultusunda işbu sözlemede yer alan taraflar taahhüt eder ki;
1- Aşağıda yer alan 2. Paragrafta belirtilen sınırlar dahilinde taraflar arasında paylaşılan her türlü bilgi ‘Gizlilik Bilgileri’ olarak farz edilecektir. Gizlilik Bilgileri olarak farz edilecek şeylerin kapsamına (i) tarafların bariz biçimde birbiriyle paylaşacağı ‘Gizlilik’ , ‘Müseccel’ veya benzer yapıya sahip her türlü yazılı bilgi ve (ii) herhangi bir taraf tarafından açığa vurulan, gizli ve müseccel bilgi içeren her türlü sözlü bilgi girmektedir. Tarafların birbirlerinden edindiği ve sır tutulması istendiği her türlü bilgi aynı zamanda Gizlilik Bilgileri olarak kabul edilecek ve bu bilgilerin açığa vurulması ancak daha önce belirtilen tarzla gerçekleşebilecektir.
2- ‘Gizlilik Bilgisi’ kapsamında değerlendirilmeyecekler şu şekildedir; (a) Bilgiler aynı zamanda yazılı kayıtlar şeklinde sunuluyorsa bilgiyi alan tarafa bilgilerin sır tutulması konusunda herhangi bir yaptırım uygulanmaması(b) bilgilerin sunulması konusunda herhangi bir sınırlılık olmaması ve bilgilerin taraflara yasal haklar doğrultusunda üçüncü partiler tarafından sağlanması (c) bilgilerin taraflarabu anlaşmada yer alan maddeleri ihlal etmeyecek şekilde yazılı kayıtlar eşliğinde sunulması (d) Bilgiyi açığa vuran tarafın daha önceden bilgilerin paylaşımı konusunda yazılı izni olması (e) bilgilerin sunulması konusunda mahkeme veya Amerika Birleşik Devletleri hükümeti veya diğer yasal organları tarafından onaylanmış geçerli bir belgenin varlığının olması ( ancak öncelikle bu yaptırıma cevap verecek tarafın uyarılması ve yasal yollara başvurmayı gerektirecek kadar gizli bilgilerin açığa vurulmaması kuralının ihlalini gösteren açık nedenlerin sunulması gerekmektedir.) ya da kanunların gerektirmesi (f) bu sözleşmede yer alan tarafların haklarını sağlamlaştırılması veya yaptırımların kuvvetlendirilmesi
3- Taraflar birbirleriyle paylaştıkları gizli bilgileri sır olarak tutmalı ve bu bilgileri bu sözleşmede belirtilen özel nedenlerin dışında üçüncü partilerle paylaşmamalıdır. Taraflar bu gizli bilgileri daha önce yukarıda belirtildiği gibi bu sözleşmenin amaçlarını yerine getirmek amacıyla kullanabilirler. Bu sözleşmede herhangi bir hak veya marka ehliyeti, icat, telif hakkı veya patent belirtilmemiş veya ima edilmemiştir.
4- Bilgileri alan taraf bilgileri paylaşan tarafın Gizli Bilgilerini bu tarafın yazılı izni olmadığı sürece hiçbir amaçla kullanmaz veya kopya edemez. Bu sözleşmeye gore her türlü yazılı iznin kopyası saklanmalıdır.
5- Her iki taraf bu sözleşme kapsamında Gizli Bilgi olarak değerlendirelecek bilgilere ulaşma iznini hangi çalışanlarına verebileceğini bildirmeli ve bu çalışanlar bu sözleşmenin maddelerine bağlı kalmalıdır. Gizli Bilgiler bu bilgilere ihtiyacı olmayan herhangi bir çalışanla paylaşılmamalıdır. Bu 5. maddenin gereğince bu ‘çalışanlar’ grubuna yöneticiler, ofis çalışanları, danışmanlar ve bilgileri alan şirketin bağlı olduğu diğer acentalar girmektedir.
6- Her türlü Gizli Bilgi (kopyaları dahil) bu bilgileri paylaşan tarafın malı olarak kabul edilmeli ve bilgileri alan taraf bu bilgileri kullandıktan sonra karşı tarafın talebi veya bu sözleşmenin iptali veya bitmesi üzerine bilgiyi paylaşan tarafa iade etmelidir.
7- Bu sözleşme imzalanma tarihinden itibaren iki (2) yıl süresince geçerlidir. Bu sözleşmenin bitmesinden sonra taraflar 3., 4., 5., 6., ve 10. Maddelerde yer alan ifadeleri göz önünde bulundurarak paylaşılan gizli bilgileri üçüncü şahıslarla paylaşmamalı ve bu maddelerdeki ifadeler aynen sözleşme bittikten sonra da uygulanmalıdır.
8- Wyoming Eyaleti kanunları, çatışma ve kanun prensipleri haricinde bu sözleşmeyi yönetmektedir.
9- Bu sözleşme ilgili konuyla alakalı taraflar arasındaki tam ve sadece taraflara özel anlaşmayı kapsar ve konuyla alakalı tarafların ileride karşılaşılabilecekleri her türlü ifadeleri ve anlaşmaların yerine geçer. Bu sözleşme her iki tarafın da imzaladığı yazılı bir belge olmadıkça değiştirilemez, ekleme-çıkarma yapılamaz ve düzeltilemez.
10- Her iki taraf herhangi bir limit olmadan, 4. maddede belirtildiği gibi Gizli Bilgilerin bilgileri paylaşan tarafın yazılı izni olmadan kullanılması halinde bu tarafın zarar göreceğini ve bu zararı telafi edecek kanunun veya uygun tazminatın olmaması gibi bu sözleşmenin kurallarını ihlali eden maddelerini onaylar ve kabul eder. Buna gore; her iki taraf yetkili mahkeme kararı dahil birbirlerinin yaptırımlarını bu sözleşme çerçevesinde kabul eder.
11- Bu sözleşme dahilinde iki tarafında yöneticilerin ve vekillerinin hakları ve yaptırımları karşılıklı olarak bağlanır ve yürürlüğe girer. Bu anlaşmanın maddeleri diğer tarafın rızasıyla imzalanmış yazılı bir belge olmadıkça sadece tek bir taraf tarafından kararlaştırılamaz.
12- Eğer bu sözleşmen,n herhangi bir hükmü yetkili bir mevki tarafından yeterli bulunmazsa sözleşmenin diğer hükümleri aynen kalması koşuluyla sadece o hüküm tekrar değerlendirilebilir. Bu sözleşmede yer alan bütün ifade ve maddelerin kanunlar çerçevesinde yaptırım gücü olduğu olduğu kabul edilir ve eğer mahkeme kararları gerektirirse bütün ifade ve maddeler tekrardan değiştirilebilir.
13- Talep edilen veya izin verilen her türlü duyuru aşağıda belirtilen veya tarafın yazılı olarak sunacağı başka bir adrese gönderilecektir. Bu duyurular kişisel teslim, sertifikalı veya normal mektup ya da ödemeli posta şeklinde postalandığı tarihten sonraki üç (3) gün içinde tarafa ulaştırılır.
Bu sözleşme yukarıda belirtilen tarihten itibaren geçerlidir.
