WIND ENERGY LEASE AGREEMENT
This WIND ENERGY LEASE AGREEMENT (“Lease”) is made by and between
[Landowner] (“Lessor”) and [Project Company] (“Lessee”).
LEASING
Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor, that real property
located in [______], and more particularly described in Exhibit A attached hereto (the “Leased Property”).
The Leased Property is graphically depicted in the drawings attached hereto as Exhibit B. Lessee shall have the right to use the Leased Property for the operation of a wind-powered electrical generating facility for the conversion of wind energy into electrical energy. In connection with such use, Lessee shall have the right to construct and place on the Leased Property, and to operate, one or more wind turbine generators (each, a “Turbine”), the associated electrical transmission lines and related surface and subsurface equipment, collection and transmission grid, power conditioning equipment, transformers, telecommunications equipment, and other related facilities, equipment and improvements (collectively, the “Wind Power Facilities”).
Lessee shall at all times retain title to the Wind Power Facilities. Lessee shall have the right of ingress to and egress from the Wind Power Facilities over and across the Leased Property and, if necessary, over and across any adjacent property owned by Lessor, by means of existing roads or by routes which Lessee or Lessor may construct, whether located on the Leased Property or elsewhere.
Lessor, at Lessor’s risk as to loss of crops and compaction by reason of Lessee’s use, may use the Leased Property for purposes of cultivation and other agricultural uses that do not interfere, in Lessee’s sole determination, with Lessee’s use of the Leased Property.
2. CONSTRUCTION AND WIND EASEMENT.
This section appends any necessary easements for construction, operation, transmission, and access. The wind power facility needs to be accessible both by road and via electrical cabling.
Easements are frequently used for this purpose.
The section also defines what is allowed to be built upwind of the project. Developers have an interest in protecting the project site from any future upwind development that could adversely impact the wind resource on the project site.
The extent of this potential problem depends on the topography of the land, the wind characteristics, the size of the upwind development, atmospheric conditions, and the distance between the upwind development and the project.
Wind easements protect the wind resource on the leased property.
Lessor shall sign and deliver to Lessee the Construction, Access, and Transmission
Easement attached hereto as Exhibit C (the “Construction Easement”) and the Wind
Non-Obstruction Easement attached hereto as Exhibit D (the “Wind Easement”), each
of which shall be recorded in the [County] Records.
If more than one Construction Easement and/or Wind Easement is required in order for Lessee to construct and operate the Wind Power Facilities (either because the property of several different owners is involved, or because separate easements are needed for separate portions of the Wind Power Facilities), as determined by Lessee in its sole discretion, then Lessor shall cooperate with Lessee in obtaining all of such easements. These easements shall be appurtenant to this Lease.
Lessee shall pay Lessor a one-time fee of [______] per acre for the Construction Easement and a one-time fee of [_______] per acre for the Wind Easement.
These one-time fees shall be due and payable on the Commencement Date

Este CONTRATO DE ARRENDAMIENTO DE ENERGÍA EÓLICA (“arrendamiento”) se celebra por y entre (el propietario) (“arrendador”) y (la empresa objeto del proyecto) el arrendatario.
ARRENDAMIENTO
El arrendador por la presente arrienda al arrendatario, y el arrendatario por la presente arrienda del arrendador, la propiedad inmobiliaria situada en [______], y más detalladamente descrita en el Anexo A adjunto con este fin (“La Propiedad Arrendada”).
La Propiedad Arrendada está gráficamente descrita en los trazados adjuntos como Anexo B. El arrendatario tendrá el derecho a usar la Propiedad Arrendada para la operación de una instalación generadora de electricidad eólica para la transformación de energía eólica en energía eléctrica. En relación con ese uso, el Arrendatario tendrá el derecho de construir y colocar en la propiedad arrendada, y ejecutar, una o más generadores de turbinas eólicas (“Turbina”), los tendidos eléctricos asociados y la superficie relacionada y equipo subterráneo, red de recogida y de suministro, equipo de acondicionamiento de energía, transformadores, equipo de comunicaciones, y otras instalaciones, equipos y mejoras (colectivamente, las “Instalaciones eólicas”). El arrendatario conservará la titularidad de las Instalaciones de Energía Eólica. El arrendatario tendrá el derecho a entrar y salir de las Instalaciones de Energía Eólica y en toda la Propiedad Arrendada y, si es necesario en cualquier propiedad colindante de la que sea titular el Arrendatario, a través de las carreteras existentes o rutas que el Arrendatario o Arrendador puedan construir, tanto si está situada en la Propiedad Arrendada o en cualquier otro lugar.

2. CONSTRUCCIÓN Y SERVIDUMBRE EÓLICA.
Esta sección acompaña las servidumbres necesarias para la construcción, operación, transmisión y acceso. La instalación de energía eléctrica necesita ser accesible tanto por carretera como por medio del cableado eléctrico.
Las servidumbres se usan frecuentemente para este propósito.
Esta sección también define lo que se permite construir en contra del viento del proyecto. Los promotores tienen un interés en proteger el lugar del proyecto de cualquier desarrollo a contra viento futuro que pudiera afectar negativamente los recursos de viento en el lugar del proyecto.
La extensión de este problema potencial depende de la topografía del terreno, de las características del viento, del tamaño de la creación a contraviento, las condiciones atmosféricas y la distancia entre la creación a contraviento y el proyecto.
Las servidumbres de viento protegen los recursos eólicos en la propiedad arrendada.

En caso de que se requiera más de una Servidumbre de Construcción o Servidumbre de Vuelo para que el arrendatario construya y opere las Instalaciones de Energía Eólica ( ya sea porque la propiedad de diferentes propietarios se ve afectada, o porque se necesitan servidumbres independientes para distintas partes de las Instalaciones de Energía Eólica), como se estableció por el arrendatario a su libre discreción, por lo tanto el Arrendador cooperará con el arrendatario para obtener todas las servidumbres referidas. Estas servidumbres serán anexas a este Arrendamiento.
El Arrendatario pagará al Arrendador en un pago único de [____] por acre por la Servidumbre de Construcción y un pago único de [_______] por acre por la Servidumbre de vuelo.
Estos pagos únicos vencerán y podrán ser pagados en la Fecha de Inicio.
