Istnieją dwa rodzaje podziału spółek - przez rozdzielenie i wydzielenie. Pierwszy ze sposobów polega na tym, że spółka dzielona ulega likwidacji przez utratę osobowości prawnej. Jej majątek zostaje rozdzielony na dwie bądź więcej spółek już istniejących albo takich, które mają zostać zawiązane. Podział przez wydzielenie polega natomiast na rozdzieleniu majątku, natomiast proces podziału nie powoduje zakończenia działalności spółki, a jedynie jej ograniczenie. Ponieważ wydzielenie nie wiąże się z likwidacją spółki, a jedynie ze zmianą części wspólników. Należy pamiętać, iż wydzielenie nie łączy się z przyznaniem akcji bądź udziałów samej spółce dzielonej, bowiem udziały przypadają wspólnikom. W przypadku istniejących już spółek, wspólnicy spółki dzielonej otrzymują udziały/akcje w kapitale podwyższonym spółki przejmującej. W przypadku tworzenia nowej spółki, wspólnicy otrzymują udziały za wniesione składniki majątku. Zgodnie z art. 531 § 1 k.s.h. spółki przejmujące lub spółki nowo zawiązane powstałe w związku z podziałem wstępują z dniem podziału bądź z dniem wydzielenia w prawa i obowiązki spółki dzielonej, określone w planie podziału.
