No Reliance

The Company acknowledges that the Bank is entering into this Agreement, and has acted, solely as an investor, and not as an advisor, to the Company.
The Company represents and warrants that, in entering into the Financing Agreements, it has engaged and relied upon advice given to it by its own legal, financial and other professional advisors and it has not relied on and will not hereafter rely on any advice given to it by the Bank.

Sa interneta: A non reliance clause is a clause that provides that the parties have not relied on any representations other than those set out in the contract. This is an acknowledgement of non-reliance, not an exclusion or limitation of the representations that the parties believe to have been made.
