What's the best way to word this phrase in English. It's from a contract describing when one party may cancel the agreement. Previa notificación por escrito a la otra parte en caso de cesión en pago de acreedores, extinción social o pérdida legal del negocio o del poder de decisión sobre el mismo...

Assignment For Benefit of Creditors

Maybe this is what you are looking for:


"The voluntary transfer of all or most of a debtor's property to another person in trust so that he or she will collect any money that is owed to the debtor, sell the debtor's property, and apply the money received to the payment of the debts, returning any surplus to the debtor.

The debtor is the assignor, the transferor; and the person who takes legal title to the property is the assignee."

Almost anything can be ceded from one party to another. This is called "cession". See Funk + Wagnells
