(Ci-après désignée « LHI »)
ET : GROUPE AXOR INC., personne morale légalement constituée ayant place d’affaires au 1100-1555 rue Peel à Montréal (Québec), H3A3L8, dûment représentée par M. Bertrand Lastère;
(Ci-après désignée « AXOR »)
(Ci-après désignées collectivement les « Parties »)
ATTENDU QUE les Parties ont signé un contrat pour la fourniture par LHI à AXOR, agissant à titre d’entrepreneur général, de biens et services relativement au projet hydroélectrique Ste-Anne 1 (ci-après désigné « Contrat Ste-Anne »);
ATTENDU QUE les Parties ont signé un contrat pour la fourniture par LHI à AXOR, agissant à titre d’entrepreneur général, de biens et services relativement au projet hydroélectrique Jean Guérin (ci-après désigné « Contrat Jean Guérin »);
ATTENDU QUE le 8 juillet 2009, les Parties ont signé un contrat pour la fourniture par LHI à AXOR, agissant à titre d’entrepreneur général, de biens et services relativement au projet hydroélectrique Franquelin (ci-après désigné « Contrat Franquelin »);
ATTENDU QUE le 22 mars 2011, les Parties ont signé un contrat pour la fourniture par LHI à AXOR, agissant à titre d’entrepreneur général, de biens et services relativement au projet hydroélectrique Sheldrake (ci-après désigné « Contrat Sheldrake »);
ATTENDU QUE les Parties en sont venues à une entente relativement aux projets Ste-Anne, Jean Guérin, Franquelin et Sheldrake et ce aux termes et conditions ci-après énumérés.
EN CONSÉQUENCE, LES PARTIES CONVIENNENT DE CE QUI SUIT :

(Hereinafter designated as "LHI")
AND: AXOR GROUP INC., A legally constituted corporation whose business is located at 1100-1555 Peel Street in Montreal (Quebec), H3A3L8, duly represented by Mr. Bertrand Lastère;
(Hereinafter designated as "AXOR")
(Hereinafter collectively designated as the "Parties")
WHEREAS the Parties have signed a contract for the supply of goods and services by LHI to AXOR, acting as general contractor of goods and services relative to the hydroelectric project Ste-Anne 1 (Hereinafter "Ste-Anne Agreement");
WHEREAS the Parties have signed a contract for the supply of goods and services by LHI to AXOR, acting as general contractor, relative to the hydroelectric project Jean Guérin (Hereinafter " Jean Guerin Agreement ");
WHEREAS On July 8, 2009, the Parties signed a contract for the supply of goods and services by LHI to AXOR, acting as general contractor relative to the hydroelectric project Franquelin (Hereinafter " Franquelin Agreement ");
WHEREAS On March 22, 2011, the Parties signed a contract for the supply of goods and services by LHI to AXOR, acting as general contractor relative to the hydroelectric project Sheldrake (Hereinafter "Sheldrake Agreement ");
WHEREAS the Parties have come to an agreement with respect to Ste-Anne, Jean Guerin, Franquelin and Sheldrake projects and that under the terms and conditions listed below.
THEREFORE, THE PARTIES AGREE AS FOLLOWS:
