1. المقدمة:
حيث أن المُتلقي لهذه الاتفاقية يرغب في المشاركة بمناقشة المفصح (.................................................................... ) الذي جعل الطرفين يقومون بتوقيع هذه الاتفاقية , خلال هذه المناقشات يجوز للمُفصح مشاركة بعض المعلومات السرية مع المُتلقي وبالتالي، بالنظر للالتزامات والتعهدات المتبادلة بين الطرفين في هذه الاتفاقية، فقد اتفق واقر المُفصح والمُتلقي وهما بكامل أهليتهما المعتبرة شرعاً على الاتي:
2. المقدمة المذكورة أعلاه تعتبر جزء لا يتجزأ من الاتفاقية تقرأ و تفسر معها .
3. تعريف المعلومات السرية:
(أ) لغرض هذه الاتفاقية "المعلومات السرية" تعني أي بيانات أو معلومات تعود ملكيتها إلى الطرف المفصح وليس معروفة عموما للجمهور، سواء في شكل ملموس أو غير ملموس، والكشف عن المعلومات السرية، بما في ذلك، (ولا يقتصر على): (أ.أ) استراتيجيات التسويق والخطط والمعلومات المالية، تقديرات مالية، العمليات، تقديرات المبيعات، وخطط العمل ونتائج الأداء المتعلقة بالماضي، والأنشطة التجارية الحالية أو المستقبلية لهذا الطرف، وفروعها والشركات التابعة والشركات التابعة لها؛ (أ.ب) خطط للمنتجات أو الخدمات، وقوائم العملاء أو الموردين؛ (أ.ج) اي معلومات علمية أو تقنية، أو اختراع، أو تصميم، أو عملية، والإجراءات، أو معادلة، أو تحسين إجراء أو تقنية أو طريقة؛ (أ.د) المفاهيم والتقارير والبيانات والدراية، ويعمل في والتقدم والتصاميم وأدوات تطوير والمواصفات وبرامج الكمبيوتر، وشفرة المصدر، رمز الكائن والرسوم البيانية، وقواعد البيانات، والاختراعات والمعلومات والأسرار التجارية؛ و (أ.ت) أي معلومات أخرى يجب المعقول أن يعترف بها معلومات سرية من الطرف المفصح. ليس من الضروري أن تكون رواية، فريدة من نوعها، براءة، محمي بحقوق النشر أو تشكل الأسرار التجارية من أجل أن يعين المعلومات السرية معلومات سرية. يقر الطرف المتلقي أن المعلومات السرية تعود ملكيتها للطرف المفصح، وقد تم تطوير المعلومات والحصول عليها من خلال جهود كبيرة من قبل الطرف المفصح وأن هذه المعلومات السرية الخاصة بالطرف المفصح تعامل كأسرار تجارية.
(ب) بالرغم من أي شيء في ما سبق ذكره ، المعلومات السرية يجب أن لا تشمل معلومات:
(ب.أ) معروفة من قبل المتلقي قبل الحصول على معلومات سرية من المفصح.
(ب.ب) يصبح من حق المتلقي معرفة معلومات تم الوصول إليها من طرف ثالث بحيث لا يكون معروف (بعد جهد في التحقيق) من قبل المتلقي لكونها ملزمة للحفاظ على السرية.
(ب.ج) تكون متوفرة علنا من دون اي خطأ أو تقصير من قبل المتلقي لخرق لهذا الاتفاق.
(ب.د) معلومات يجب ان يتم الكشف عنها في الإجراءات القضائية أو الإدارية، أو غير ذلك أو المطلوبة ليتم الكشف عنها من قبل القانون
4. الغرض من هذه الاتفاقية:
الغرض هو حفظ المعلومات و الأفكار التي يعرضها المفصح بكل الطرق على المتلقي و في حال التقصير من قبل المتلقي فانه ملتزم بكل ما ينتج عن تقصيره من حقوق و عقوبات وغرامات مالية .
5. الكشف عن المعلومات السرية:
يجوز للطرف الأول (المفصح) الكشف عن معلومات سرية إلى الطرف الثاني (المتلقي). و عليه سيقوم الطرف الثاني بـ:
(أ) في حال قيام المفصح عن الكشف عن المعلومات السرية وكان المتلقي قد قام بتطويرها بشكل مستقل من قبل الموظفين أو المستشارين أو وكلاء المتلقي فيجب عليه التبليغ عنها قبل توقيع هذا العقد وبمجرد العلم بموضوع السرية وأثناء تلقي المعلومات .
(ب) الاكتفاء بإعطاء أي معلومات سرية إلى مديريه ومسؤوليه وموظفيه أو وكلائه أو ممثليه (النواب) الذين لديهم حاجة لمعرفة تلك المعلومات السرية متصلة مع العلاقة الحالية أو المزمع عملها بين الطرفين ، وفقط لهذا الغرض.
(ت) تعريف النواب أو مالكي المعلومات السرية بالالتزامات المنصوص عليها في هذا الاتفاق و التي تتطلب من الممثلين الحفاظ على سرية المعلومات السرية.
(ث) لا يكشف عن أي معلومات سرية يتلقاها إلى أي طرف ثالث (باستثناء ما ينص على خلاف ذلك في هذه الاتفاقية).
يتعين على كل طرف أن يكون مسؤولا عن أي خرق لهذه الاتفاقية من قبل أي من ممثليه.
6. استخدام المعلومات السرية:
يلتزم المتلقي على استخدام المعلومات السرية فقط فيما يتعلق مع العلاقة الحالية أو المنتظرة بين الطرفين، وليس لأي غرض مخالف لما هو مرخص به في هذا الاتفاق دون موافقة خطية مسبقة من ممثل مخول من المفصح.
تبقى ملكية المعلومات السرية فقط للطرف المفصح. و يجب أن تكون جميع استخدامات المعلومات السرية من قبل الطرف الثاني المتلقي لصالح المفصح وأية تعديلات وتحسينات عليها من قبل المتلقي تكون ملكية حصرية للطرف الثاني (المفصح).
7. افشاء المعلومات السرية الجبري (الاستثناءات):
على الرغم من أي شيء فعلى العكس مما سبق ، يجوز للطرف الثاني الكشف عن معلومات سرية بموجب أي أمر حكومي أو قضائي، أو إداري، عن طريق استدعاء، أو طلب الكشف، أو طلب تنظيمي أو طريقة مماثلة، شريطة إخطار المفصح على وجه السرعة بقدر الإمكان عن طريق كتابة طلب للإفصاح.
8. بعد التوقيع على هذه الاتفاقية فان كل ما ينتج عن هذه الاتفاقية والمعلومات السرية من أعمال و أفكار أو براءة اختراع أو نتائج جديدة ملك للمفصح وهو المتصرف الوحيد بحقوقها الملكية وماينتج عنها من حقوق مالية و قانونية و فكرية .
9. المدة.
يسري تاريخ هذه الاتفاقية لمدة سنتين قابله للتجديد .
10. إعادة المعلومات السرية.
يجب على الطرف المتلقي أن يقوم فورا بإعادة تسليم جميع المواد الملموسة التي تجسد المعلومات السرية المقدمة بموجب هذه الاتفاقية وجميع المذكرات والملخصات والملاحظات والرسومات والكتيبات والسجلات ومقتطفات أو معلومات مشتقة أو مستمدة من جميع الوثائق أو المواد الأخرى ("ملاحظات") (وجميع نسخ أي مما سبق، بما في ذلك "النسخ" التي تم تحويلها إلى وسائل إلكترونية في شكل صورة أو بيانات أو ملفات معالجة النصوص إما يدويا أو عن طريق التقاط الصورة) على أساس أو بما في ذلك أي معلومات سرية، أيا كان شكل تخزين أو استرجاع، على وقت سابق من (أ) انتهاء أو إنهاء التعاملات بين الأطراف المشار إليها أدناه. (ب) إنهاء هذه الاتفاقية. أو (ج) في الوقت الذي يطلبه المفصح.
11. إشعار مخالفة.
الطرف المتلقي يجب أن يخطر الطرف المفصح فور اكتشاف أي استخدام غير مصرح به أو في حال أنه تم الكشف عن المعلومات السرية، أو أي خرق لهذه الاتفاقية، وسوف يتعاون الطرف المتلقي مع الطرف المفصح في الجهود التي يبذلها الطرف المفصح لاستعادة حيازة المعلومات السرية ومنع الاستخدام غير المصرح به.
12. الضمان.
يبرر كل طرف أن لديه الحق في تقديم الإفصاحات بموجب هذا الاتفاق.
لن تقدم ضمانات من قبل أي طرف بموجب هذه الاتفاقية على الإطلاق.
1. 13.أحكام عامة:
1. لا يوجد في هذه الاتفاقية ما يجبر المفصح على الكشف عن المعلومات المتلقي أو الحد من حق أي من الطرفين لإجراء مناقشات مع أطراف ثالثة، شريطة أن لا تنتهك هذه المناقشات أو الإفصاحات شروط هذا الاتفاق.
2. ليس في هذا الاتفاق ما يفرض التزاما على الطرف المفصح لتدبير أي منتج أو خدمات.
3. يجب أن تكون جميع الإعفاءات مكتوبة. حيث لا يؤخذ الفشل، أو التأخير من قبل الطرف المفصح ملزما للتنازل عن تلك حقوقه المتفق عليها.
4. يقر الطرف المتلقي بأن أي خرق أو تهديد بخرق هذا الاتفاق من شأنه لا يمكن إصلاحها للطرف المفصح، يوافق المتلقي بأنه يحق للمفصح اللجوء الفوري للقضاء و طلب التعويض المادي عن كل ما نتج عن الافصاح و لا يكون هذا الاجراء حصري على المفصح ولكن يجب أن يكون بالإضافة إلى جميع الحقوق وسبل الانتصاف المتاحة في القانون أو في حقوق الملكية الأخرى.
5. إذا أصبح أي حكم من أحكام هذا الاتفاق في أي وقت غير قانوني أو غير صالح أو غير قابل للتنفيذ، فإنه لا يؤثر على شرعية أو صحة أو قابلية تنفيذ الأحكام المتبقية من هذا الاتفاق ، ولا يجب أن تتأثر أو تضعف شرعية أو صحة أو نفاذ هذا الحكم بأي شكل من الأشكال بذلك.
6. تشكل هذه الوثيقة، الاتفاقية الكاملة بين الأطراف وتحل محل أي بيان شفوي أو خطي سابق أو معاصر فيما يتعلق بموضوع هذا القانون، إلا أن هذا الاتفاق لا يلغي العقود المنفذة سابقا بين الطرفين والتي تتعلق بخدمات معينة.
7. أي تعديل، أو إلحاق، أو تغيير في هذا الاتفاق يجب أن يكون خطيا وموقعا من قبل الطرفين. كما هو مستخدم هنا، فإن مصطلح "الاتفاقية" تشمل أي تعديلات مستقبلية او ملاحق او المكملات لهذه الرسالة.
وإثباتا لذلك، أتفق الأطراف بتنفيذ هذه الاتفاقية اعتبارا من التاريخ المذكور أعلى هذه الاتفاقية.

1. Preamble:
Whereas the receiving party desires to contribute with the disclosing party in discussing (………………………………) for which reason the parties have entered this agreement, during such discussions the disclosing party communicate some confidential information to the receiving party.
Now therefore, given the mutual obligations and warranties herein, both the disclosing party and the receiving party agree and acknowledge in their full legal capacity as follows:
2. The above mentioned preamble forms integral part of this agreement and shall be read and interpreted along with.
3. Definition of confidential information:
(a) For the purposes of this agreement “confidential information” shall mean any data or information owned by the disclosing party not pertaining to public domain, either of material nature or otherwise, and the disclosure of confidential information including but not limited to: i) marketing strategies, plans, financial information, financial estimates, operations, sales forecasts, business plans, previous performance results and the ongoing and future activities of that party and its branches and affiliates, ii) products and services plans and the lists of customers and suppliers, iii) any scientific or technical information, invention, design or process and its procedures and the development tools, specifications and computer software, the source code, object code and charts, data bases, the innovations, trade secrets and information, iv) any other information defined by the disclosing party as confidential information which may not necessarily be a unique version, patent, copyright or forming the trade secrets in order to be part of the confidential information. The receiving party acknowledges that the confidential information is property of the disclosing party and that information have been developed and acquired through huge efforts by the disclosing party and such confidential information pertaining to the disclosing party shall be treated as trade secrets.
(b) Notwithstanding the aforementioned, the confidential information shall not include the following information:
a. Already known by the receiving party prior to disclosure of such information.
b. Information Acquired from third party not bound by confidentiality obligation after due diligence from the receiving party.
c. Information available to the public without mistake or failure from the receiving party in violating this agreement.
d. Information to be disclosed under judicial or administrative procedures or by force of law.
4. Object of the agreement:
The object is to preserve the information and ideas given by the disclosing party by all means to the receiving party and in case of failure on the part of the receiving party, he shall bear all the consequences resulting from his failure as rights, sanctions and fines.
5. Disclosing confidential information:
The first party (disclosing party) may disclose confidential information to the second party (receiving party) who shall be required to:
(a) In case the disclosing party discloses the confidential information where the receiving party have already developed such information on independent basis through its personnel, advisers or agents, he shall report it prior to signing this contract and as soon as learning about the confidentiality issue and during receiving such information.
(b) Restrict disclosure of such information to his managers, officials, employees, agents or representatives who need to know such confidential information to perform the ongoing or expected relationship between the parties and only for such purpose.
(c) Inform the representatives or owners of confidential information of the obligations provided for in this agreement that bind the representatives to maintain secrecy of confidential information.
(d) Abstain from divulging any received confidential information to any third party (except as provided for otherwise in this agreement).
Each party shall be responsible for any violation of this agreement by his representatives.
6. Use of confidential information:
The receiving party warrants to use the confidential information only in connection with the ongoing or expected relationship between the parties and not for any other purpose contrary to what is allowed by this agreement without a prior written approval from an authorized representative of the disclosing party.
The confidential information shall remain property of the disclosing party and usage of such confidential information by the receiving second party should always be in profit of the disclosing party and any modifications or improvements thereupon introduced by the receiving party shall be exclusive property of the second party (receiving party).
7. Mandatory disclosure of confidential information (Exceptions):
Notwithstanding any of the foregoing, the second party may disclose the confidential information subject to any government, judicial or administrative order by means of summons, regulatory request or similar means, provided the disclosing party shall be informed as soon as practicable by giving a disclosure request.
8. Upon signing this agreement, all ensuing from this agreement as of confidential information, ideas, patents or new results shall be property of the disclosing party who shall be solely entitled to dispose of its property rights and consequent financial, legal and intellectual rights.
9. Duration
The duration of this agreement is of two years renewable.
10. Return of confidential information
The receiving party shall be required to return immediately all material objects representing the confidential information given under this agreement along with all memos, summaries, remarks, drawings, brochures, records, excerpts or information derived or taken from all the documents or other materials (“remarks”) (and all copies thereof including “copies” transformed into electronic means in the form of image, data or processed test files either manually or by taking snap shots) on the basis or including any confidential information no matter the storage or retrieval format prior to (a) expiration or termination of the transactions between the hereunder mentioned parties , (b) termination of this agreement or (c) upon the request of the disclosing party.
11. Violation notice:
The receiving party is required to inform the disclosing party immediately upon discovering any unauthorized use or in case of disclosure of the confidential information or violation of this agreement. The receiving party shall cooperate with the disclosing party in the efforts undertaken by the disclosing party towards recovering possession of the confidential information and obstruction of unauthorized use.
12. Representations
Each party shall justify his right in extending disclosures under this agreement.
No representations shall be submitted by any party under this agreement.
13. General provisions:
1. Nothing in this agreement may oblige the disclosing party to uncover the received information or restrict the right of any party to conduct discussions with third parties provided such discussions or disclosures shall not violate the terms of this agreement.
2. Nothing in this agreement may apply an obligation on the disclosing party to arrange any product or services.
3. All exceptions should be in writing as the failure or delay on the side of the disclosing party shall not be a waiver or his rights agreed upon.
4. The receiving party acknowledges that any violation or threatened violation of this agreement that may not be repaired, the receiving party agrees that the disclosing party shall be entitled to claim compensation in court subsequent to any disclosure which action shall not be exclusive but in addition to all rights and equity available by law or in other intellectual property rights.
5. If any provision in this agreement is declared at any time illegal, invalid or unenforceable, it shall not affect the legality, validity or enforceability of the remaining provisions in this agreement, and the validity or enforceability of such provision shall not be affected in any way whatsoever.
6. This agreement represents the entire agreement between its parties and shall replace any present or previous understanding with regard to its subject matter, nevertheless, this agreement does not cancel the previously contracts entered between the parties in connection with specific services.
7. Any amendment, addition or change in this agreement shall be in writing and signed by both parties. As herein used the term “agreement” shall include any future amendments, addenda or riders to this message.

GULF PRINTING PRODUCTS MANUFACTURERS FACTORY (GEPCOM), a single proprietor factory duly formed and organized under the laws of Kingdom of Saudi Arabia, with Commercial Registration No. 1010165580 and principal address at 2nd Industrial Area, P.O. Box 355297, Riyadh 11383, Kingdom of Saudi Arabia, email: [email protected] hereinafter referred to as the "Service Provider" or "Company".
Both ABANA and the Service Provide or Company will be collectively referred to as the “Parties”.
WITNESSETH, that:
WHEREAS, the ABANA seeks the services of the Company in connection with the Supplying Thermal Rolls (the “Project”). In this regard, the Company makes an offer to undertake the required services for said Project and which offer of the Company was accepted by ABANA.
WHEREAS, this Agreement consists of the following attachments hereto marked accordingly as Appendices and are made integral parts of this Agreement:
(a) Appendix 1: General Terms and Conditions

WHEREAS, the following are the additional Contract Documents which are all also made integral part of this Agreement:

NOW, THEREFORE, the foregoing recitals and Appendices are all made integral part of this Agreement and the Parties do hereby further agree and covenant as follows:
1. Contract Value:
The contract value for the Project mentioned above will be
Base on 1 year reciprocal orders payable by the ABANA in favor of the Company under such payment terms set forth in the corresponding Appendix 3 attached herewith.
2. Agreement Term:
This Agreement will start and be deemed effective on 22th march, 2018 and ends of 31st December, 2018, unless sooner terminated as provided for under this Agreement. As Integral part of the contract, here thereto both parties agreed that minimum of 3 months time probation is applied for process and procedures structural/arrangement as part of familiarization and adaptation. The Contract automatically renews for another year, unless one month before termination if any party need cancellation.
3. Fees, Invoicing and Payment:
3.1 Fees: The Project to be performed and undertaken by the Service Provider/Company under this Agreement will be on a fixed-price basis and the fees chargeable thereon are set forth in the applicable Scope of Work (SOW) hereto attached.
3.2 Invoicing and Payment: Company shall raise the invoice as per the milestone agreed in the Scope of Work (SoW). ABANA will pay the invoices within thirty (30) days from the date of receipt and acceptance thereof by ABANA. Invoices sent to and received by ABANA shall be deemed to have been accepted by ABANA, if ABANA does not furnish the Company with a written objection specifying the nature of the dispute as regards the amount stated in an any given invoice within the aforesaid thirty (30)-day period.
3.3. Taxes: The fees chargeable by the Company are inclusive of all taxes, duties and levies imposed by any government body. The Company shall be liable and will pay for all applicable tax liabilities including but not limited to sales, services, use or value added taxes, if any. If the Service Provider or Company claims exemption from any taxes arising from this Agreement, then Company will promptly provide ABANA with the relevant documentation to avail of such exemption including required certificates, if any, from the relevant taxing authorities.
3.4 Branches Delivery: ABANA will provide their currier account to be used by The Company for Branches Delivery inside the Kingdom.
4. Zakat Certificate:
Pursuant to the Ministerial Resolution No. 1205, issued by the Ministry of Finance and National Economy on 28/5/1418 H by the Kingdom of Saudi Arabia, the Service Provider, if a Saudi domestic company, shall submit a valid certificate issued by the Department of Zakat and Income Tax evidencing its payment of the Department's charges, otherwise ABANA will be left with no option but to withhold ten percent (10%) of the Contract Value pending submission and presentation of such duly issued Certificate by the Company.
5. Language of Contract:
This Agreement is executed in the English language. If and when this Agreement would
be executed both in the Arabic and English languages, the Arabic version will prevail over the English text in case of discrepancies between said provisions.
6. Contract Law:
This Agreement shall be governed by the laws, rules, and regulations of the Kingdom of
Saudi Arabia.

IN WITNESS WHEREOF, the Parties herein have hereunto signed this Agreement and the General Terms and Conditions hereto attached, together with the Appendices therein on the date and at the place indicated below.
APPENDIX 1 - GENERAL TERMS AND CONDITIONS
1. Mutual Obligations
1.1. On the effective date of this Agreement and subsequently thereafter as provided herein, the Company will provide ABANA with the services covered by this Agreement.
1.2 ABANA agrees to permit Company’s authorized personnel, and third parties as may be authorized by Company, access to the Work site at all times subject to the compliance by the Company, its duly authorized personnel or third parties with the security guidelines, procedures, and policies of ABANA.
1.3 The Company shall also adhere to and comply with the security and safety measures established by ABANA and technology partners.
1.4 ABANA and its technology partners agree to make its personnel available to Company so that the latter may consult with such personnel in order to permit Company to perform its obligations hereunder.
1.5 Company will support this contract with fully Qualified and Skilled Resources/Services.
1.6 Company shall ensure that adequate and qualified personnel deployed to carry out the services.
1.7 The Company shall be responsible for maintaining informal/formal day-to-day contact with ABANA’s designated Project Manager and personnel.
1.8 The Company, together with a member of the management of Company, as determined by Company, shall meet with ABANA’s Project Manager for Services Review and Monitoring according to milestones and deliverables. In this, a presentation shall be made by the Company detailing on the progress of the work.
1.9 The Agreement’s duration shall not be extended on account of any such suspension of services provided ABANA has valid and justifiable reasons to cause such suspension. When any suspension of the services occurs, Company shall not be entitled to any payment for services with respect to the period during which such services were suspended, and shall not be entitled to any costs or reasonable damages resulting from such suspension.
1.10 The Company represents that its staff is knowledgeable to adapt about and experienced in performing the services required in the Contract, and warrants that it will use best skills and attention to provide above described services in a professional, timely manner, consistent with industry standards, and in accordance with all applicable laws, rules and regulations as of the date of signing off this agreement.
1.11 The Company further warrants that the commodities and/or services delivered hereunder, shall not infringe any patent, trademark or copyright and that Company shall defend ABANA from any and all such claims, if any, and indemnify ABANA for any reasonable loss, cost or expenses incurred arising therefrom.
1.12 The value of this contract set against the SoW and deliverables listed in Appendix (1).
1.13 The Company shall take proper safety, health materials shall be stored securely, protected from theft, pilferage, loss, or damage.
1.14 At the Company expense, the ABANA or its designee may at reasonable times inspect all records that are related to ABANA, which are maintained by the Company in his/ its premises or branches or system in respect of the business hereunder for purposes of inspection, perusal and revision of work methods, services, management and examining the books, records, system and the like to ensure the extent of his/ its compliance with the terms and conditions of this Agreement. The Company further agrees to permit ABANA's representatives to enter the premises and all branches and system of the Company at any time during the working hours, and undertake to cooperate fully with the ABANA representatives during these visits and allow them to perform inspection, examining, checking and other matters required for these purposes. The right to inspect records will continue until all matters pertaining to the business produced under this Agreement shall have been concluded. However, in the absence of enabling ABANA or any of its representatives to perform the functions described above, the representative shall write a report with details of the case. This report is considered sufficient to prove the breach by the Company to the provisions of this contact.
2. In consideration of the mutual covenants and agreements contained herein, ABANA and Company further agrees as follows:
2.1 Scope of Work
Company agrees to provide certain information technology or outsourcing services (the “Services”) to ABANA that are mutually agreed from time to time between the Parties. The specific Services will be set forth in one or more Statements of Work that the Parties may execute pursuant to this Agreement (“Scope of Work” or “SoW”), substantially in the form attached hereto as Appendix 1. Each SoW shall be incorporated into and become part of this Agreement and be governed by the provisions of this Agreement. In the event of a conflict between the terms and conditions of this Agreement and a SoW, the provisions of the Agreement shall prevail unless the Parties have obtained the express written consent of authorized signatories of each Party to deviate from the terms and conditions of the Agreement for a particular SoW. Company shall not be required to commence work under this Agreement unless a Statement of Work is duly executed. To the extent applicable, “Deliverables” shall mean those items described and itemized in the SoW as final work products to be delivered by Company pursuant to such SoW.
2.2. Project Management
ABANA and Company will each designate an individual in the Statement of Work to act as a primary point of contact between the Parties with respect to the Services (“Project Managers”). Such Project Managers will have the power to make technical and project-level decisions within the scope of this Agreement (including, for example, staffing decisions, Addendums, and Acceptance of Deliverables) that are binding on their respective entities. Amendments to this General Services Agreement, however, must be made in accordance with the clause hereto governing contract amendments.
2.3 Project-Level Communication
ABANA and Company will communicate about the Services in a manner that ensures the timely and accurate exchange of technical, managerial and project-related information between them. Such communications may include periodic teleconferences, written status reports and such other communications as the Parties deemed appropriate for the particular Services and as may be set forth in a SOW.
2.4 Changes to Services
ABANA may request changes to services through (“Addendum”) as Appendix 5 in the event of actual or anticipated change(S) to the agreed scope of Services, Deliverables, project schedule, fee, or any other aspect of the Statement of Work. Company will prepare the addendum reflecting the proposed changes, including but not limited to the impact on the Deliverables, project schedule, and fee. In the Absence of an addendum signed by the Parties, the Company shall not be bound to perform any additional or out-of-scope services beyond what is stated in the SOW. The Parties agree to negotiate all Change service requests expeditiously and in good faith.
The Parties further agree that ABANA may at its discretion undertake and accomplish tasks of a de minimis nature necessary to perform its obligations under any SOW at no additional cost and without requiring the execution of an addendum as long as it does not affect the progress and SOW.
2.5 Acceptance
Following submission of any Deliverable(s) by the Company, testing and review will be performed by ABANA in accordance with previously agreed testing standards and procedures, with such testing to be completed within a time agreed by the Parties in the SOW, or in the absence of a prescribed period within fifteen (15) days from the date of submission. The standard of review of the Deliverable(s) shall be material conformance with the agreed specifications. Before the expiration of such review period, Company will submit a written statement (a “Deliverable Review Statement”) to ABANA Project Manager indicating acceptance of the Deliverable(s) (“Acceptance”) or specifying in detail how the submitted Deliverable(s) fails to materially conform to the agreed specification, in which case Company shall be afforded a commercially reasonable period of time not less than thirty (30) days to correct any nonconformities, whereupon the review cycle will recommence. Deliverables will be deemed to be fully and finally accepted by ABANA in the event Company has submitted a Deliverable Review Statement to ABANA before the expiration of the applicable review period and ABANA, in the absence of valid and justifiable reasons therefore, did not indicate such acceptance of the Deliverable(s) or that it did not specify in detail, during said review period, how the submitted Deliverable(s) fail to materially conform to the agreed specification, or when ABANA uses the Deliverable(s) in its business, whichever occurs first(“Deemed Acceptance”). Unless specifically agreed in an SOW, Company’s invoicing will be on a periodic basis and not linked to Acceptance.
3. PERSONNEL
3.1 Resource Hire. ABANA may consider hiring any specific resources of Company upon mutual agreement of the Parties herein.
4. CONFIDENTIALITY
4.1 The Parties agree that with respect to any business information of the Disclosing Party which (i) is expressly advised by the Disclosing Party to be confidential through some contemporaneous written means; or (ii) which the Receiving Party would reasonably construe to be confidential information under the circumstances (collectively referred to as “Confidential Information”):
(a) to use such Confidential Information only in relation to the Services;
(b) not to disclose any such Confidential Information or any part thereof to a person outside the Party’s business organization for any purposes unless expressly authorized by the owner of such Confidential Information;
(c) to limit dissemination of such Confidential information to persons within the Party’s business organization who are directly involved in the performance of Services under this Agreement and have a need to use such Confidential Information;
(d) to safeguard the Confidential to the same extent that it safeguards its own confidential materials or data.
4.2 Confidential Information shall not include information that: (a) is as of the time of its disclosure part of the public domain;
(b) is subsequently learned from a third Party without a duty of confidentiality;
(c) at the time of disclosure was already in the possession of the Receiving Party;
(d) was developed by employees or agents of the Receiving Party independently of and without reference to any information communicated to the Receiving Party; or
(e) is required to be disclosed pursuant to a court order or government authority, whereupon the Receiving Party shall, at its earliest opportunity, provide written notice to the Disclosing Party prior to such disclosure and where feasible giving the Disclosing
Party a reasonable opportunity to secure a protective order or take other action as appropriate.
4.3 The Parties’ obligations under this Section shall extend to the non-publicizing of any dispute arising out of this Agreement.
4.4 The terms of this clause shall continue in full force and effect for a period of three (2)
years from the date of disclosure of such Confidential Information.
4.5 In the event of termination of this Agreement, upon written request of the Disclosing Party, the Receiving Party shall immediately return the Disclosing Party’s Confidential Information, or at the Disclosing Party’s option destroy any remaining Confidential Information and certify that such destruction has taken place, provided however that ABANA may retain a minimum of one (1) copy of all work product relevant project documentation for archival and audit purposes.
4.6 ABANA reserves the right to require the Company to sign a separate Non-Disclosure Agreement (NDA).
5. OUTCOURCE RULES
5.1 Service Provider or Company will comply with all applicable regulatory and legal requirements under the laws and regulations of the Kingdom of Saudi Arabia.
5.2 Business Continuity Plan ( BCP)
The service provider/ Company assures that their business continuity provision for their own mission critical risks are well taken care and place and they are fully documented, adequately resourced and frequently tested as part of business continuity plan and If so Company have no objection and wise to conduct a comprehensive audit by KSA Regulator if and whenever it is required. The scope of audit will be restricted to the documents which prove the existence of business continuity plan for part of services provided from non ABANA site.
Actual mission critical process will not be under any audit. In situation Company carryout the work and deliverables within ABANA premises the BCP clause will not be applicable
5.3 Bankruptcy
In the event the service provider/ Company enters into proceedings relating to bankruptcy, whether voluntary or involuntary, the Company agrees to furnish, by certified mail or electronic commerce method authorized by the contract, written notification of the bankruptcy to the contracting officer responsible for administering the contract. This notification shall be furnished within five days of the initiation of the proceedings relating to bankruptcy filing. This notification shall include the date on which the bankruptcy petition was filed, the identity of the court in which the bankruptcy petition was file. This obligation remains in effect until final payment under this contract.
6. Penalty
ABANA has the right to impose reasonable cumulative penalties, not to exceed five (5) percent of the total Contract Value in case the Company or Service Provider fails to deliver the work under the milestones set forth in the agreed project plan. If the delay was related, directly or indirectly, to the ABANA’s failure to fulfill the required tasks incumbent upon ABANA to perform (Materials deliverables, ie. Plastic cards, envelopes, booklet and the likes), the Company or Service Provider will not liable for penalty.
7. Termination for convenience without Cause
ABANA is given the right to terminate for convenience and without cause this Agreement or any phase thereof. In case of such termination, ABANA will pay all sums rightfully and lawfully owing for the work under the milestones set forth in the agreed project plan and SOW by ABANA to the Company at the time of such termination.

APPENDIX 4 – SERVICE LEVEL AGREEMENT
This Appendix 3 – Service Level Agreement dated 22th March 2018 is entered into pursuant to the General Services Agreement executed between ABANA (“Customer”) and GULF PRINTING PRODUCTS MANUFACTURERS FACTORY (the “Company”) effective as of 22th March, 2018
SERVICE LEVEL AGREEMENT
Quality of Fulfillments
1. All Services fulfillments delivered under this Service Level Agreement will be compliant in all aspects of Service Quality, Technical Quality and usability as per International Specifications, will be further compliant to ISO Standards (QMS) as per provided by Quality Organization.
2. All finished fulfillment services will undergo a strict Quality Assurance Check whilst in The Company premises. Each fulfillment must be checked for Quality (Against the ABANA Approved Sample with The Company using the provided Materials from ABANA), and as per certification standards.
3. The Company must use the latest Approved design(s) as approved by ABANA with the Sorting that was provided to The Company during the pre-sampling and approvals stages.
4. All Fulfillments must pass the quality check of Sorting specified by ABANA in order to not have misplaced/lost records fulfillments.
5. All Fulfillment if not identified on the main Purchase Contract must be communicate well directly to ABANA’s Project Manager as part of quality assurance to ensure the no misplaced/lost fulfillments before leaving The Company premises.
Quality of Fulfillment Delivery
1. The Company must ensure that suitable strengthen packing material is used to transport The Order Items to ABANA premises or ABANA Branches. Such Packaging must be labeled according to the packaging information provided by ABANA
2. The Company must ensure that the Packaged Size for the transportation of The Fulfillment is agreed by ABANA prior to delivery.
3. The Company must ensure that contracted and committed delivery dates and times are maintained as per terms of delivery agreed by both parties. In no circumstance should the delivery be made to an alternative address unless a pre-agreement has been made by ABANA.
4. The Company will ensure that compliance to delivery timeframes and distribution lists/Sorting and agreed within the contract are maintained to the utmost. Due to quantities, deliveries to Central Office can be staged within multiple deliveries as long as the agreed delivery schedules are maintained. Production Time Frame shall be agreed upon by both parties.
5. The Company must ensure that ABANA’s Contact for the shipped delivery of goods (Branch or Central Office). Partial or full delivery, acknowledges the delivery note accordingly.
7. The Company must also ensure that ABANA’s Contact is informed prior to a delivery and is aware of the shipment contents prior to delivery to ensure acknowledgment of delivery occurs.
8. The Company will provide ABANA with a report in the form of an Excel File showing the progression of partial delivery order status for Branches and Central Office. The Delivery Report will encompass certain criteria specific to ABANA’s Requirements.
9. Gepcom shall maintain a stock level of 5% of the quarterly quantity. In case of any emergency, GEPCOM will use from the 5% safe stock.
Service Availability

or request.
- Partial delivery as per agreed terms by GEPCOM & ABANA
- Other terms to be agreed upon confirmation of order.
- Production will start only after receipt of sample confirmation from ABANA
3. Communication
For the steadiness of the process and procedures, GEPCOM will designate specific personnel to accommodate all the communication inquiry as per request also of ABANA . Please note that under our standards based on our certification, no mobile is allowed inside GEPCOM premises and production.

9. Process and Time Frame
ABANA to provide all order inquiry or confirmation to Gulf Printing Products Manufacturer (GEPCOM). All forwarded design from ABANA to GEPCOM is align with the designing and drafting. Artwork or E-Proof Provision for ABANA approval is within 24 to 36 hours upon receipt of the forwarded design. Design Content Update shall be done quarterly based on upon official requests from ABANA.
Service Disruption and Escalation Procedures
During service disruption the following shall be taken in to consideration: Both GEPCOM and ABANA must inform the problem occurred or any service disruption for immediate resolutions: Each Party must take notice on any fault occurrence and shall be either on any medium most available (Telephone, Facsimile, Email)

A Technical support and reporting will be available during Business working days and Hours. Should there be an arrangement for a sit down discussion with our representative it shall be scheduled accordingly with both parties availability.
Disrupt Resolution
Based on Fault and or dispute referrals made by both parties in either of the allowable medium of submitting such faults. A resolution shall be made and that reports will be made available for the completion of such request with details of the resolution and time of Completion and estimated time taken in the actual resolution (Properly documented)
GEPCOM shall provide ABANA a Report or activities which are in accordance in this Agreement. ABANA shall likewise review the said report and make acknowledgement within 48 hours and make confirmation or amendments on the Reports otherwise the report shall be considered True and in effective status.
Confidentiality
1. For the purpose of this Agreement “Confidential Information” shall mean any and all information in respect of “GEPCOM” and the “GEPCOM” group’s business and financing including, but not limited to, any ideas, business methods, finance, prices, financial marketing development or manpower, plans, market opportunities, product information, design rights, customer information, trade secrets, details, computer systems and software know-how on any medium and software listings of any party and other matters connected with the Cards with Mailing and Packaging Fulfillment provided hereunder
2. That GEPCOM shall not (except in the proper performance of the Services) use or disclose, or allow to be used or disclosed, any Confidential Information of “ABANA and/or the ABANA group which GEPCOM has received (whether before the date of this Agreement and in whatever capacity) without the prior written consent of “ABANA ”.
3. On request of “GEPCOM”, ABANA will destroy or return to “GEPCOM” any Confidential Information that ABANA has in its possession.
WARRANTIES / NO WARRANTIES
Any materials provided to GEPCOM by or on behalf of ABANA are provided on an “as is”, “where is”, basis, “with all faults” known and unknown. To the maximum extent permitted by applicable law, “GEPCOM” explicitly disclaims all warranties, express or implied, regarding any materials furnished to GEPCOM by or on behalf of “ABANA ”, including any implied warranty of merchantability, fitness for a particular purpose and non-infringement.
Any Damaged Materials delivered by GEPCOM to ABANA shall be the responsibility of GEPCOM and a recall and immediate replacement shall be undertaken for the damaged materials.
This Agreement may only be modified by the written agreement of the parties.
1. This Agreement supersedes any previous written or oral agreement between the parties in relation to the matters dealt with in it. It contains the whole agreement between the parties (except for those terms implied by law which cannot be excluded by the agreement of the parties) in relation to the subject matter of this Agreement at the date of this Agreement. The GEPCOM acknowledges that there has been no inducement by “ABANA ” to enter into this Agreement by any representation, warranty or undertaking not expressly incorporated into it. The GEPCOM agrees and acknowledges that the only rights and remedies available to the GEPCOM in relation to any representation, warranty or undertaking made or given in connection with this Agreement (unless such representation, warranty or undertaking was made fraudulently) will be for breach of the terms of this Agreement, to the exclusion of all other rights and remedies (including those in tort or arising under statute).
2. Neither party’s rights or powers under this Agreement will be affected if:
2.1 one party delays in enforcing any provision of this Agreement; or
2.2 one party grants time to the other party
Notices
1. Any notices given under this Agreement shall be in writing and shall be served upon the recipient either personally, by fax or by registered post addressed to the address below or such other address as the respective parties may from time to time designate by notice given in conformity with the above.
Penalties for Failure to Support this Service Level Agreement.
1. Not Withstanding the General Terms and Conditions of ABANA Purchase Contract
and Terms Thereof, ANY failure of the Company for Quality of Fulfillment Services Sections 1 through to 5 within this Service Level Agreement, will result in an immediate cancellation of the order. Under these terms, The Company will return all fulfillment materials delivered as per Purchase Order to The Company at the sole expense of The Company.
The Company also agrees to receive all the Goods ordered as part of the Purchase Order at The Company expense, and also agrees to pay a penalty to ABANA of 10% of value of The Purchase Order.

APPENDIX 5 – ESCALATION PROCESS AND PROBLEM-SOLVING
This Appendix 4 – Escalation Process and Problem-Solving dated is entered into pursuant to the General Services Agreement executed between ABANA (“Customer”) and GULF PRINTING PRODUCTS MANUFACTURERS FACTORY (GEPCOM) (“Company”) effective as of 22th March 2018
Managing Escalation and Problem Solving
Escalation is a normal part of the problem management process, which recognizes that some problems will not be resolved within established time frames. The Technical Support or Helpdesk, with the participation of the appropriate level 2 departments and managers, manages the escalation process. The purpose of the escalation process is to bring additional resources to a problem which is not meeting the resolution objective for any number of reasons, such as lack of resource, problem more difficult to resolve than anticipated, lack of attention on the part of the client etc. The escalation process is the means for bringing additional effort and emphasis to a problem.
Level 2 support is responsible for responding to the escalation and negotiating a solution. Level 2 is responsible for the technical quality of the resolution plan, ensuring that:
• The plan will result in problem resolution
• The problem can be resolved in the projected time frame
• The resolution will be acceptable to the client. If not, an acceptable agreement must be made with the client.
The escalation process is triggered when:
• The target time for problem resolution will be missed
• The identified Level 2 department does not accept responsibility for the resolution
• The client escalates the problem
• There is a critical application or system exposure
Escalation is meant to focus management attention on a specific problem. Escalating a problem should ensure that:
• The problem is resolved or bypassed
• The client is satisfied
• Responsibility is assigned, a plan is put in place, and a target for resolution exists
• The required resources are available
The process works as follows:
• The Helpdesk determines that escalation is needed and identifies the departments to be involved
• An “Escalation” Action Line is added with the relevant details

APPENDIX 6 – NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement is made and executed on this 22thday of March 2018.
By GULF PRINTING PRODUCTS MANUFACTURERS FACOTRY (GEPCOM), a Sole Proprietor, duly formed and organized and existing under the laws of Saudi Arabia, with commercial registration number 1010165580 and principal office address at 2nd Industrial Area, P.O. Box 355297, Riyadh 11383, Kingdom of Saudi Arabia, hereinafter referred to as the "Company".
In favor of ABANA ENTERPRISES GROUP CO., a Saudi owned and operated publicly traded company existing under the laws of the Kingdom of Saudi Arabia, with head office at ______________Box 3879, Riyadh 11481, Kingdom of Saudi Arabia, hereinafter referred to as the “ABANA WHEREAS:
The Company is undertaking a project known as SUPPLY OF THERMAL ATM ROLLS (the “Project”) for ABANA, which will require proprietary data and information about ABANA and ABANA desires to ensure that the confidentiality of all such information shall be preserved and maintained by the Company.
NOW, THEREFORE, the Company has agreed with ABANA as follows:
1. The Company confirms and agrees: (a) to keep confidential and privileged (on a continuing basis during and after the completion or termination of the Project) all information about ABANA, including but not limited to its strategies and plans, operations and activities furnished to, obtained or accessed or by it from ABANA, its directors, officers, staff and professional advisors in connection with the Project it is undertaking for ABANA (the “Confidential Information”); and (b) shall procure that the Company’s directors officers, staff and professional advisors (“Representatives”) shall likewise keep all such information confidential and privileged (on a continuing basis during and after the completion or termination of the Project).
2. The Company shall not disclose any Confidential Information to any third-party without the prior written and express consent of ABANA: provided, however, that the Company may disclose such information to its Representatives strictly on a “need to know” basis and solely in connection with the execution of the Project, but shall procure that all such persons shall preserve and maintain the confidentiality of all such Confidential Information.
3. The Company shall not use, singly or jointly with another person or entity, the name, logo, service mark, trademark, graphics, slogan, photographs, design features, symbols and the associated corporate color bands (collectively referred to as the “Intellectual Property”) of
ABANA in any of the Company’s marketing, sales, promotion or advertising materials without the prior written consent of ABANA. Neither will the Company allow or cause the allowance of any of said ABANA’s Intellectual Property to appear alongside or in combination with the Company’s own name, logo or trademark without the prior written consent of ABANA. The Company further undertakes not to use or cause the usage of ABANA’s Intellectual Property in any manner whatsoever that may disparage, prejudice or impair the title or goodwill of ABANA. The Company shall also be prohibited to disclose to anyone outside of its organization, except on a strictly need-to-know basis and with prior written permission of ABANA, the fact of the Company’s existing contractual arrangement with ABANA.
4. The confidentiality obligations hereunder shall not restrict any disclosure required under applicable laws pursuant to a valid judicial order (provided that the Company shall give prompt and prior notice of such order to ABANA) and shall not apply to information that:
(a) Is or becomes publicly known (other than through unauthorized disclosure); or
(b) Is already known by the Company at the time of disclosure, as evidenced by the Company’s written records, and the Company has no obligation of confidentiality with respect thereto other than pursuant to this Agreement; or
(c) Is or becomes available to the Company on a non-confidential basis from a third-party not in breach of any contract or other legal duty preventing it from disclosing the same.
5. This Agreement shall be valid for a term of one (1) year from the date hereof. Upon completion or termination of the Project, all information accessed or obtained by the Company from ABANA shall be destroyed or returned, as may be appropriate to the nature of such materials. In case of destruction (or any other disposal) of such information, the Company shall certify the fact of such destruction (or disposal) in writing to ABANA.
6. The Company agrees that because of the valuable nature of the Confidential Information, damages may not be an adequate remedy for the breach of any term of this Agreement and the Company therefore agrees that ABANA is entitled to such remedies, including but not limited to injunctive relief, as may be available under the applicable law. The Company agrees to indemnify ABANA for any losses, claims, demands, liabilities and expenses of whatever nature arising out of a breach of the Company’s obligations under or otherwise in connection with this Agreement.
7. This Agreement shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.
IN WITNESS WHEREOF, the Company has executed this Non-Disclosure Agreement in favor of ABANA on the date first above written.

شركة مجموعة أبانا للمشاريع، شركة مملوكة وتعمل في السعودية ومسجلة بسوق الأوراق المالية وتم تأسيسها بموجب قوانين المملكة العربية السعودية وتحمل سجل تجاري رقم .............، ص.ب: 3879، الرياض 11481، المملكة العربية السعودية ويشار إليها فيما يلي بـ"أبانا"

مصنع الخليج لتصنيع منتجات الطباعة (جيبكوم)، مصنع بملكية فردية تم تأسيسه بموجب قوانين المملكة العربية السعودية ويحمل سجل تجاري رقم 1010165580 وعنوانه في المنطقة الصناعية الثانية، ص.ب: 355297، الرياض 11383، المملكة العربية السعودية، بريد الكتروني: [email protected] ويشار إليه فيما يلي بـ"مزود الخدمة" أو "الشركة".
ويشار إلى كل من ابانا ومزود الخدمة أو الشركة مجتمعين بـ"الطرفين".
ديباجة
حيث أن ابان تطلب خدمات الشركة ارتباطاً بتوريد اللفائف الحرارية ("المشروع"). وفي هذا الصدد فإن الشركة تقدم عرضاً للقيام بالخدمات المطلوبة للمشروع المذكور وهو العرض الذي قبلته ابانا.
وحيث أن هذه الاتفاقية تتكون من المرفقات التالية والمرفقة طيه كملاحق وتشكل جزءاً لا يتجزأ من هذه الاتفاقية:
(أ) ملحق 1: الأحكام والشروط العامة
(ب) ملحق 2: نطاق العمل ويشمل أي من البنود الواردة أدناه.
(برجاء وضع علامة أمام الصندوق/ الصناديق الخاصة بالخدمة/ الخدمات التي تشملها هذه الاتفاقية)
• خدمات التوريد
• توريد لفائف الصراف الآلي
(ج) ملحق 3: التسعير والدفعات

حيث أن ما يلي يشكل مستندات العقد الإضافية وجميعها يشكل جزءاً لا يتجزأ من هذه الاتفاقية:

• خطاب الترسية بتاريخ ................
وبناءً عليه فإن الديباجة أعلاه والملاحق تشكل جميعها جزءاً لا يتجزأ من هذه الاتفاقية ويوافق الطرفان بموجب هذا ويتعهدان بما يلي:
1- قيمة العقد:
تستند قيمة العقد عن المشروع المذكور أعلاه إلى الطلبيات المتبادلة لمدة عام واحد تسددها أبانا لصالح الشركة بموجب شروط السداد الواردة في الملحق ذو الصلة رقم 3 المرفق طيه.
2- مدة الاتفاقية:
يبدأ سريان هذه الاتفاقية اعتباراً من 22 مارس 2018 وتنتهي في 31 ديسمبر 2018 ما لم يتم إنهاؤها قبل ذلك كما هو منصوص عليه في هذه الاتفاقية. وكجزء لا يتجزأ من العقد فقد اتفق الطرفان على فترة تجربة لا تقل عن 3 أشهر لضبط العمليات والإجراءات الانشائية على سبيل التعود والتكيف. ويتم تجديد العقد بصورة تلقائية لمدة سنة أخرى ما لم يخطر أحد الطرفين الطرف الآخر قبل شهر من إنهائها برغبته في الإلغاء.
3- الأتعاب والفوترة والسداد
3-1- الأتعاب: سعر المشروع الذي يقوم به مزود الخدمة/ الشركة في هذه الاتفاقية هو سعر ثابت والأتعاب المستحقة مقابل ذلك واردة في نطاق العمل المرفق طيه.
3-2- الفوترة والسداد: تقوم الشركة بإصدار الفواتير طبقاً للمواعيد المتفق عليها في نطاق العمل. وتقوم ابانا بسداد الفواتير في غضون ثلاثين (30) يوماً من تاريخ استلام وقبول هذه الفواتير. وتعتبر الفواتير التي يتم إرسالها إلى واستلامها من جانب أبانا مقبولة إذا لم تعتبر ابانا خطياً لدى الشركة مع تحديد طبيعة النزاع بخصوص المبلغ الوارد في أي من الفواتير وذلك ضمن مدة الثلاثين (30) يوماً المشار إليها أعلاه.
3-3- الضرائب: تشمل الأتعاب المستحقة للشركة كافة الضرائب والرسوم والدمغات المفروضة من جانب أي من الجهات الحكومية. وتتحمل الشركة مسئولية وتقوم بسداد كافة الالتزامات الضريبية السارية بما في ذلك على سبيل المثال لا الحصر ضريبة المبيعات والخدمات وضريبة القيمة المضافة إن وجد. إذا ما طلب مزود الخدمة أو الشركة اعفاؤه من أي من الضرائب الواردة في هذه الاتفاقية فإن الشركة ستقوم على الفور بتزويد ابانا بالمستندات ذات الصلة للاستفادة من مثل هذا الإعفاء بما في ذلك بما في ذلك الشهادات المطلوبة، إن وجد، الصادرة من سلطات الضريبة المعنية.
3-4- التسليم بالفروع: تقوم أبانا بتقديم حسابها بالبريد السريع لاستخدامه بواسطة الشركة لغرض التسليم بالفروع داخل المملكة.
4- شهادة الزكاة:
طبقاً للقرار الوزاري رقم 1205 الصادر عن وزارة المالية والاقتصادي الوطني بالمملكة العربية السعودية بتاريخ 28/5/1418هـ فإنه يتعين على مزود الخدمة إن كان أحد الشركات السعودية الوطنية تقديم شهادة سارية المفعول صادرة من إدارة الزكاة والدخل تثبت سدادها لمستحقات الزكاة، وإلا فلن يكون أمام ابانا سوى حجز عشرة بالمائة (10%) من قيمة العقد حتى تقوم الشركة بتقديم مثل هذه الشهادة الصادرة نظامياً إلى الشركة.
5- لغة العقد
تم تحرير هذه الاتفاقية باللغة الانجليزية. وحينما يتم التوقيع على كل من النسخة العربية والانجليزية فإن النسخة العربية يكون لها الأسبقية على النص الانجليزي في حال وجود تباين في الأحكام الواردة بها.
6- قانون التعاقد
يحكم هذه الاتفاقية قوانين وقواعد وأنظمة المملكة العربية السعودية.
وإشهاداً على ما تقدم فقد قام الطرفان بالتوقيع على هذه الاتفاقية وعلى الأحكام والشروط العام المرفقة بها بالإضافة إلى الملاحق وذلك في التاريخ الموضح أدناه.

ملحق 1: الأحكام والشروط العامة
1- الالتزامات المشتركة
1-1- تقوم الشركة اعتباراً من تاريخ هذه الاتفاقية وبعد هذا التاريخ بتزويد ابانا بالخدمات المشمولة ضمن هذه الاتفاقية.
1-2- توافق ابانا على السماح للعاملين المفوضين لدى الشركة ولدى الطرف الثالث حسبما تصرح لهم الشركة بالدخول إلى موقع العمل في كافة الأوقات بشرط التزام الشركة وعامليها المفوضين أو المصرح لهم من الطرف الثالث بالضوابط الأمنية وإجراءات وسياسات ابانا.
1-3- كما سوف تحترم الشركة وتراعي الإجراءات الأمنية وإجراءات السلامة الموضوعة من ابانا وشركاء التقنية.
1-4- توافق ابانا وشركائها التقنين على إتاحة موظفيهما أمام الشركة كي تتمكن من التشاور معهم حتى تتمكن من اداء التزاماتها بموجب هذه الاتفاقية.
1-5- يتعين على الشركة دعم هذا العقد بكافة الموارد/ الخدمات المؤهلة والماهرة.
1-6- تضمن الشركة الاستعانة بما يكفي من العمالة المؤهلة للقيام بالخدمات.
1-7- تتحمل الشركة المسئولية لضمان التواصل الرسمي / غير الرسمي بصورة يومية مع مدير المشروع المعين والعاملين لدى ابانا.
1-8- يقوم أحد أعضاء الإدارة لدى الشركة حسبما تقرر الشركة بالاجتماع مع مدير مشروع ابانا من أجل مراجعة الخدمات والمتابعة طبقاً للمواعيد ومستندات الطرح. وفي هذا الصدد فإنه سوف يتم إعداد عرض إيضاحي بواسطة الشركة يحتوي على تفاصيل سير العمل.
1-9- لن يتم تمديد مدة الاتفاقية بناءً على أي تعليق للخدمات المقدمة بشرط أن يكون لدى ابانا أسباب معقولة لمثل هذا التعليق. حينما يتم تعليق الخدمات فإن الشركة لن يحق لها الحصول على أي مبلغ للخدمات خلال الفترة التي توقفت فيها الخدمات ولن يكون لها الحق في الحصول على أي تكاليف أو تعويضات معقولة من جراء مثل هذا التوقف.
1-10- تتعهد الشركة بأن العاملين لديها لديهم القدرة على التكيف والخبرة في أداء الخدمات المطلوبة بموجب العقد وتتعهد باستخدام أفضل المهارات والعناية في تقديم الخدمات المشار إليها أعلاه بطريقة احترافية وفي المواعيد المحددة ووفقاً لمعايير الصناعة وطبقاً لكافة القوانين والقواعد والأنظمة السارية اعتباراً من تاريخ التوقيع على هذه الاتفاقية.
1-11- كما تتعهد الشركة بأن السلع و/أو الخدمات المقدمة بموجب هذا لن تكون مخالفة لأي براءة اختراع أو علامة تجارية أو حقوق النسخ وأن الشركة تدفع عن ابانا أي من مثل هذه المطالبات، إن وجد، وتعوض ابانا مقابل أي خسارة معقولة أو تكلفة أو نفقة يتم تكبدها من جراء ذلك.
1-12- قيمة هذا العقد واردة أمام نطاق العقد ومستندات الطرح الواردة في الملحق (1).
1-13- سوف تقوم الشركة باتخاذ تدابير السلامة وتخزين المواد الصحية بشكل آمن وحمايتها من السرقة والاختلاس والضياع أو التلف.
1-14- يجوز لأبانا أو من تفوضه القيام في الأوقات المعقولة وعلى نفقة الشركة بفحص كافة السجلات المتعلقة بأبانا والتي بحوزة الشركة في مكاتبها أو فروعها أو نظامها فيما يخص الأعمال الخاصة بهذه الاتفاقية وذلك لغرض التفتيش والمتابعة ومراجعة طرق العمل والخدمات والإدارة وفحص الدفاتر والسجلات والنظام وما شابه للتأكد من مدى التزامها بأحكام وشروط هذه الاتفاقية. كما توفق الشركة على السماح لمندوبي أبانا بالدخول إلى مكاتبها وكافة فروعها ونظام الشركة في أي وقت أثناء ساعات الدوام وتتعهد بالتعاون بشكل كامل مع مندوبي أبانا خلال زيارتهم والسماح لهم بالقيام بالتفتيش والفحص والتدقيق وغيرها من الأمور المطلوبة في هذا الصدد. ويستمر الحق في التفتيش على السجلات حتى الانتهاء من كافة الأمور المتعلقة بالأعمال المدرجة ضمن هذه الاتفاقية. إلا أنه في حال منع أبانا أو أي من مندوبيها من القيام بوظائفهم الواردة أعلاه، فإنه يتعين على المندوب كتابة تقرير يعرض فيه تفاصيل الواقعة. ويعتبر هذا التقرير كافياً لإثبات مخالفة الشركة لأحكام هذا العقد.
2- وبالنظر إلى العهود والاتفاقات المتبادلة في هذه الاتفاقية فإن أبانا والشركة توافقان على ما يلي:
2-1- نطاق العمل
توافق الشركة على تقديم بعض تقنية المعلومات أو خدمات إسناد معينة ("الخدمات") إلى ابانا حسبما يتم الاتفاق عليه من حين لآخر بين الطرفين. وسيتم تفصيل الخدمات المحددة في بيان عمل واحد أو أكثر قد يقوم الطرفان بالتوقيع عليها طبقاً لهذه الاتفاقية ("نطاق العمل") بصيغة تشبه لحد كبير تلك المرفق طي الملحق 1. ويتم ضم كل نطاق العمل ويصبح جزءاً من هذه الاتفاقية ويخضع لأحكام هذه الاتفاقية. في حالة وجود تعارض بين أحكام وشروط هذه الاتفاقية ونطاق العمل فإن الأسبقية تكون لأحكام الاتفاقية ما لم يحصل الطرفان على موافقة خطية صريحة من المفوضين بالتوقيع من كلا الطرفين بالحياد عن أحكام وشروط الاتفاقية بالنسبة لنطاق عمل محدد. لن تكون الشركة مطالبة ببدء العمل بموجب هذه الاتفاقية ما لم يتم التوقيع نظامياً على بيان العمل. وسوف تعني "مستندات الطرح"، إلى الحد الممكن تطبيقه، تلك الأحكام الوارد وصفها تفصيلياً ضمن نطاق العمل كونها منتجات العمل النهائية التي يتم تسليمها إلى الشركة طبقاً لنطاق العمل المحدد.
2-2- إدارة المشروع
تقوم كل من ابانا والشركة بتحديد شخص في بيان العمل ليصبح نقطة الاتصال الأولية بين الطرفين فيما يخص الخدمات ("مديري المشروع"). وسيكون من صلاحية مديري المشاريع المذكورين اتخاذ القرارات الفنية وعلى مستوى المشروع ضمن نطاق هذه الاتفاقية (بما في ذلك على سبيل المثال قرارات التعيين والملاحق وقبول مستندات الطرح) والتي تكون ملزمة للطرفين. غير أنه يجب إدخال التعديلات على اتفاقية الخدمات العامة الحالية وفقاً للفقرة الحاكمة لتعديلات العقد.
2-3- التواصل على مستوى المشروع
تقوم ابانا والشركة بالتواصل حول الخدمات بطريقة تضمن تبادل المعلومات الفنية والإدارية وعلى مستوى المشروع في المواعيد المحددة وبصورة دقيقة. وقد يشمل هذا التواصل عقد اجتماعات دورية عن بعد والتقارير الخطية وغيرها من وسائل التواصل التي يراها الطرفان مناسبة بخصوص الخدمات المحددة حسبما يرد في نطاق العمل.
2-4- تغيير الخدمات
يجوز لأبانا طلب تغيير الخدمات من خلال ("تكملة") كملحق 5 في حالة وجود تغيير فعلي أو متوقع في نطاق الخدمات المتفق عليها أو مستندات الطرح أو الجدو الزمني للمشروع أو الأتعاب أو أي من النواحي الأخرى في بيان العمل. وتقوم الشركة بإعداد التكملة بما يعكس التغيرات المقترحة بما في ذلك على سبيل المثال لا الحصر تبعات ذلك على مستندات الطرف والجدول الزمني للمشروع والأتعاب. وفي حالة عدم وجود تكملة موقعاً عليها من الطرفين فإن الشركة لن تكون ملزمة بأداء أي من الخدمات الإضافية أو التي خارج النطاق بخلاف ما هو منصوص عليه في نطاق العمل. ويوافق الطرفان التفاوض على كافة طلبات تغيير الخدمة على وجه السرعة وبحسن النية.
كما يوافق الطرفان على أنه يجوز لأبانا وحسبما تراه مناسباً الاضطلاع وانجاز المهام الصغرى الضرورية لاستيفاء التزاماتها بموجب نطاق العمل بدون تكلفة إضافية وبدون الحاجة إلى التوقيع على تكملة طالما أنها لا تؤثر بتقدم نطاق العمل.
2-5- القبول
بعد تقديم أي مستندات طرح من جانب الشركة فإن ابانا تقوم بمراجعتها وفقاً لمعايير الاختبار والإجراءات المتفق عليها سلفاً على أن يتم الانتهاء من مثل هذا الاختبار ضمن المدة المتفق عليها بين الطرفين في نطاق العمل أو في حالة عدم وجود مدة محددة فيكون ذلك خلال خمسة عشر (15) يوماً من تاريخ التقديم. ويقوم معيار مراجعة مستندات الطرح على المطابقة المادية مع المواصفات المتفق عليها. وقبل انتهاء مدة المراجعة المذكورة فإن الشركة ستقوم بتقديم بيان خطي ("بيان مراجعة مستند الطرح") إلى مدير مشروع أبانا تشير فيه إلى قبول مستند الطرح ("القبول") أو الإشارة بالتفصيل إلى النواقص في مستند الطرح وعدم توافقه مادياً على المواصفة المتفق عليها وفي مثل هذه الحالة فسوف يتم منح الشركة مدة زمنية معقولة لا تقل عن ثلاثين (30) يوماً لتصحيح أي عدم مطابقة تبدأ بعدها دورة المراجعة مرة أخرى. وتعتبر مستندات الطرح مقبولة بالكامل ونهائياً من جانب ابانا في حال قامت الشركة بتقديم بيان مراجعة مستند الطرح إلى أبانا قبل انتهاء مدة المراجعة السارية ولم تقم ابانا، في غياب مبرر معقول، بقبول مثل هذا المستند أو أنها لم تتقدم بتفاصيل حول أسباب عدم تطابق المستند للمواصفة المتفق عليها خلال المدة المحددة أو حين قيام ابانا باستخدام مستندات الطرح في أعمالها أيها حل أولاً ("القبول المفترض"). وما لم يتم الاتفاق تحديداً في أي من نطاق العمل فإن الشركة سوف تقد فواتيرها في مواعيد محددة بغض النظر عن القبول.
3- العاملين
3-1- استئجار الموارد: يجوز لأبانا القيام باستئجار أي من الموارد المحددة للشركة بناء على الاتفاق بين الطرفين.
4- السرية
4-1- يوافق الطرفان بخصوص أي من معلومات العمل من الطرف المفصح (1) التي يشير الطرف المفصح صراحة إلى كونها سرية من خلال السريعة الخطية الحديثة أو (2) التي يستشف الطرف المتلقي أنها معلومات سرية بموجب الظروف (ويشار إليها مجتمعة بـ"المعلومات السرية"):
(أ) استخدام مثل هذه المعلومات السرية فقط ارتباطاً بالخدمات.
(ب) عدم الافصاح عن أي من مثل هذه المعلومات السرية أو جزء منها إلى شخص من خارج منظمة عمل الطرف لأي سبب من الأسباب ما لم يتم تخويله صراحة من جانب مالك مثل هذه المعلومات السرية.
(ج) اقتصار توزيع مثل هذه المعلومات السرية على الأشخاص ضمن منظمة عمل الطرف المعني ممن هم معنيين مباشرة بأداء الخدمات بموجب هذه الاتفاقية ولديهم الحاجة لاستخدام مثل هذه المعلومات السرية.
(د) الحفاظ على سرية المعلومات بنفس القدر الذي يحافظ به على سرية المواد والبيانات الخاصة به.
4-2- لن تشمل المعلومات السرية تلك المعلومات:
(أ) التي تمثل ملكية عامة في وقت الافصاح عنها.
(ب) التي يتم الاطلاع عليها لاحقاً من طرف ثالث غير ملتزم بواجب السرية.
(ج) التي كانت في حوزة الطرف المتلقي بالفعل في وقت الافصاح عنها.
(د) التي قام بالتوصل إليها من جابن موظفي ووكلاء الطرف المتلقي بصورة مستقلة ودون الرجوع إلى أي معلومات تم إطلاع الطرف المتلقي عليها.
(ه) التي يجب الافصاح عنها بموجب أمر محكمة أو سلطة حكومية حيث يتعين على الطرف المتلقي في هذه الحالة القيام في اسرع وقت ممكن توجيه إشعار خطي إلى الطرف المفصح بخصوص مثل هذا الافصاح وإن أمكن منح الفرصة إلى الطرف المفصح للحصول على أمر وقائي للقيام بإجراءات أخرى حسبما يكون مناسباً.
4-3- تمتد التزامات الطرفين بموجب هذا القسم لتشمل عدم الإعلان عن اي نزاع ينشأ من هذه الاتفاقية.
4-4- تظل أحكام هذه الفقرة نافذة وسارية المفعول لمدة سنتين (2) اعتباراً من تاريخ الافصاح عن تلك المعلومات السرية.
4-5- في حالة إنهاء هذه الاتفاقية بموجب طلب خطي من الطرف المفصح فإنه يتعين على الطرف المتلقي المسارعة في إعادة المعلومات السرية إلى الطرف المفصح أو حسبما يرى الطرف المفصح القيام بإتلاف أي معلومات سرية متبقية وتقديم ما يؤيد مثل هذا الإتلاف ولكن بشرط أن أبانا يجوز لها الاحتفاظ على الأقل بنسخة واحدة (1) من كافة منتج العمل الخاص بمستندات المشروع لأغراض الحفظ والتدقيق.
4-6- تحتفظ ابانا لنفسها بحق مطالبة الشركة بالتوقيع على اتفاقية عدم افصاح منفصلة.
5- قواعد الاسناد
5-1- يتعين على مزود الخدمة او الشركة مراعاة كافة المتطلبات التنظيمية والقانونية السارية بموجب قوانين وأنظمة المملكة العربية السعودية.
5-2- خطة استمرارية العمل
يضمن مزود الخدمة / الشركة بأنه قد تم اتخاذ الاحتياطات الخاصة باستمرارية الأعمال بالنسبة للمهام الحرجة الخاصة بها وأنها موثقة بالكامل ومسندة بشكل كاف ويتم اختبارها بانتظام كجزء من خطة استمرارية العمل وأنه ليس لدى الشركة مانع من إجراء تدقيقاً شاملاً بواسطة جهة التنظيم في المملكة العربية السعودية إذا ما طلب منها ذلك في أي وقت. وسوف يقتصر نطاق التدقيق على المستندات التث تثبت وجود خطة استمرارية العمل لجزء من الخدمات المقدمة من موقع غير تابع لأبانا.
ولن تخضع عملية المهام الحرجة الفعلية لأي تدقيق. وفي حالة قيام الشركة بأداء العمل ومستندات الطرح من داخل مكاتب ابانا فإن فقرة خطة استمرارية العمل لن تكون سارية.
5-3- الإفلاس
في حال دخول مزود الخدمة / الشركة في إجراءات خاصة بالإفلاس سواءً كان طوعياً أو إجبارياً، فإن الشركة توافق على توجيه إشعار خطي، بواسطة البريد المسجل أو بالوسائل الالكترونية التجارية المصرح بها ضمن العقد، بخصوص الإفلاس إلى موظف التعاقد المسئول عن إدارة العقد. وينبغي تقديم مثل هذا الإشعار في غضون خمسة أيام من التقدم بالإجراءات الخاصة بالإفلاس. وسوف يشتمل هذا الإشعار على تاريخ تقديم التماس الإفلاس وهوية المحكمة التي تم تقديم التماس الافلاس أمامها. ويظل هذا الالتزام نافذاً حتى السداد التام بموجب هذا العقد.
6- الجزاءات
يحق لأبانا فرض جزاءات معقولة بصورة تراكمية بما لا يتجاوز خمسة (5) بالمائة من إجمالي قيمة العقد في حالة إخفاق الشركة أو مزود الخدمة في تسليم العمل في المواعيد المحددة المنصوص عليها ضمن خطة المشروع المتفق عليها. وإذا كان التأخير يرتبط بصورة مباشرة أو غير مباشرة بإخفاق من جانب ابانا في الوفاء بالمهام المطلوبة التي يتعين على أبانا القيام بها (مستندات طرح المواد أي البطاقات البلاستيكية والمغلفات والكتيب وما شابه) فإن الشركة أو مزود الخدمة لن يخضع للجزاءات.
7- الإنهاء الاختيار بدون مبرر
يحق لأبانا إنهاء هذه الاتفاقية أو أي مرحلة من مراحلها طوعياً وبدون مبرر. وفي حالة مثل هذا الإنهاء فإن أبانا تقوم بسداد كافة المبالغ المستحقة قانوناً عن العمل في المواعيد المنصوص عليها في خطة المشروع المتفق عليها ونطاق العمل بواسطة أبانا إلى الشركة في وقت مثل هذه الإلغاء.
ملحق 2: نماذج نطاق العمل
تم إبرام نطاق العمل الحالي المؤرخ في 22 مارس 2018 طبقاً لاتفاقية الخدمات العامة الموقع بين ابانا ("العميل") ومصنع الخليج لتصنيع منتجات الطباعة ("الشركة") اعتباراً من 22 مارس 2018.

ملحق 4: اتفاقية مستوى الخدمة
تم إبرام ملحق 4: اتفاقية مستوى الخدمة بتاريخ 22 مارس 2018 طبقاً لاتفاقية الخدمات العامة الموقع بين ابانا ("العميل") ومصنع الخليج لتصنيع منتجات الطباعة ("الشركة") اعتباراً من 22 مارس 2018.
اتفاقية مستوى الخدمة
جودة المنتجات
1- يجب أن تتوافق كافة منتجات الخدمات التي يتم تسليمها بموجب اتفاقية مستوى الخدمة الحالية من كافة النواحي مع جودة الخدمة والجودة الفنية وسهولة الاستخدام حسب المواصفات الدولية كما أنه سوف يتوافق مع معاير الايزو (نظام إدارة الجودة) حسبما تنص عليه منظمات الجودة.
2- سوف تخضع كافة منتجات الخدمات لفحص ضمان الجودة الصارم في مكاتب الشركة. وينبغي فحص جودة كل منتج (بناءً على عينة ابانا المعتمدة لدى الشركة باستخدام المواد المقدمة من ابانا) وحسب معايير الاعتماد.
3- يتعين على الشركة استخدام احدث التصاميم المعتمدة حسبما تعتمده أبانا طبقاً مع الفرز المقدم إلى الشركة أثناء مراحل العينات الأولية والاعتماد.
4- يجب أن تجتاز كافة المنتجات لفحص الجودة في الفرز المحدد من جانب ابانا من أجل تجنب زحزحة/ ضياع سجلات الانجاز.
5- إذا لم يتم تحديد المنتجات في عقد الشراء الرئيسي فإنه يتعين إيصاله مباشرة إلى مدير مشروع ابانا كجزء من ضمان الجودة من أجل تجنب زحزحة/ ضياع المنتجات قبل مغادرة الشركة.
جودة تسليم المنتجات
1- يتعين على الشركة التأكد من استخدام مواد تغليف قوية في نقل بنود الطلبية إلى مكاتب ابانا أو فروع ابانا. ويجب تعليم مثل هذا التغليف طبقاً لمعلومات التغليف المقدمة من أبانا.
2- يتعين على الشركة التأكد من أن مقاس التغليف المخصص لنقل المنتج معتمد من جانب ابانا قبل القيام بالتسليم.
3- يتعين على الشركة التأكد من مراعاة مواعيد التسليم المتعاقد عليها والملتزم بها حسب شروط التسليم المتفق عليها بين الطرفين. ولا ينبغي بحال من الأحوال أن يتم التسليم إلى عنوان بديل ما لم يتم الاتفاق على ذلك مسبقاً مع ابانا.
4- يتعين على الشركة ضمان مراعاة الاطر الزمنية للتسليم وقوائم التوزيع/ الفرز المتفق عليها في العقد إلى أقصى حد ممكن. ونظراً إلى الكميات فإن التسليم إلى المكتب الرئيسي قد يكون على مراحل طالماً أنه تم مراعاة الجداول الزمنية للتسليم. ويتم الاتفاق بين الطرفين على الاطار الزمني للإنتاج.
5- يجب على الشركة ضمان الاتصال بجهة الاتصال في أبانا بخصوص شحنة تسليم البضائع (الفروع أو المكتب الرئيسي). ويجب التوقيع على اذن التسليم سواء كان التسليم جزئياً أو كاملاً.
6- كما يجب على الشركة أيضاً إفادة جهة الاتصال لدى أبانا قبل التسليم وإعلامه بمحتويات الشحنة قبل القيام بالتسليم لضمان الاقرار بالاستلام.
7- ستقوم الشركة بموافاة ابانا بتقرير في صيغة ملف اكسل يوضح حالة تقدم التسليم الجزئي للطلبية بالنسبة للفروع والمكتب الرئيسي. وسوف يشتمل تقرير التسليم على بعض المعايير الخاصة بمتطلبات ابانا.
8- سوف تحتفظ جيبكوم بمستوى مخزون يصل إلى 5% من الكمية الموسمية. وفي حالة الطوارئ فسوف تستخدم جيبكوم مخزون الأمان البالغ 5%.
توافر الخدمة
1- أمر الشراء
يتم استلام امر الشراء أثناء ساعات الدوام من الساعة 8 صباحاً حتى 5 عصراً على النحو التالي:
1- عبر الفاكس
2- عبر البريد الالكتروني.
بالنسبة لأمر الشراء الذي يتم استلامه بعد ساعات الدوام فسوف يتم معالجته في أيام العمل التالية (من السبت إلى الخميس) والجمعة هو يوم عطلة.
ملحوظة: أمر الشراء المستلم بعد الساعة 12:00 ظهراً يتم معالجته في اليوم التالي.
2- يتم التسليم بناءً على الجداول الزمنية المتفق عليها فقط.
- يبدأ التسليم في غضون 3 إلى 4 اسابيع من تاريخ استلام الموافقة على الأعمال الفنية أو الطلب.
- يتم التسليم الجزئي حسب الشروط المتفق عليها بين جيبكوم وابانا.
- ويتم الاتفاق على الشروط الأخرى عند تأكيد امر الشراء.
- يبدأ الانتاج فقط بعد استلام عينية التأكيد من ابانا.
3- التواصل
من أجل ضمان استمرار العمليات والإجراءات فإن جيبكوم سوف تكلف أفراداً بعينهم لاستقبال كافة استفسارات التواصل وكذلك الأمر بالنسبة لابانا. برجاء ملاحظة أنه لا يسمح بإدخال الجوالات إلى مكاتب وأماكن انتاج جيبكوم طبقاً لمعاييرنا.

9- التشغيل والاطار الزمني
تقوم ابانا بتقديم كافة الطلبيات أو التأكيد عليها إلى مصنع الخليج لتصنيع منتجات الطباعة (جيبكوم). يجب أن تتوافق كافة التصاميم المقدمة من ابانا إلى جيبكوم مع التصاميم والمسودات. يجب تقديم الأعمال الفنية أو المراجعة الالكترونية لاعتمادها من ابانا في غضون 24 إلى 36 ساعة عند استلام التصميم. يتم إدخال التعديلات على محتوى التصميم فصلياً بناءً على الطلبات الرسمية التي يتم استلامها من ابانا.
توقف الخدمة وإجراءات التصعيد
يتم النظر بعين الاعتبار إلى ما يلي أثناء توقف العمل: يتعين على كل من جيبكوم و ابانا الابلاغ عن المشكلة أو أي توقف للخدمة من أجل المسارعة بحلها. ويجب على كل طرف تدوين أي خطأ وذلك عبر أي وسيط متاح (الهاتف أو الفاكس أو البريد الالكتروني)

2- الدعم المتاح
يتوفر الدعم الفني والتقارير أثناء ايام وساعات العمل. إذا تم ترتيب اجتماع للمناقشة مع مندوبنا فسوف يتم جدولته طبقاً لأوقات كلا الطرفين.
اصلاح الأعطال
بناءً على الخطأ و/أو مستندات النزاع المقدمة من الطرفين على أي من الأوساط المسموح بها لمثل هذه الأخطاء فسوف يتم اتخاذ قرار ويتم صياغة التقارير حول استكمال مثل هذا الطلب مع إيضاح تفاصيل الحل ووقت الاستكمال والوقت المتوقع المستنفذ في الحل الفعلي (موثقاً بصورة سليمة).
سوف تقوم جيبكوم بموافاة ابانا بتقرير أو بالأنشطة طبقاً لهذه الاتفاقية. كما ستقوم ابانا بمراجعة التقرير المذكور والاقرار بذلك في غضون 48 ساعة والتأكيد أو إدخال تعديلات على التقارير وإلا فسوف يتم اعتبار التقرير صحيح وساري.
السرية
1- لغرض هذه الاتفاقية فإن "المعلومات السرية" سوف تعني كافة المعلومات الخاصة بالأعمال والنواحي المالية لجيبكوم وابانا ويشمل ذلك على سبيل المثال لا الحصر طرق العمل والمالية والأسعار وتطوير التسويق المالي أو العمالة والمخططات وفرص العمل ومعلومات المنتج وحقوق التصميم ومعلومات العميل وأسرار المهنة ونظام وبرمجيات الكمبيوتر والحنكة على أي وسيط وقوائم البرمجيات لأي طرف وغيرها من الأمور المرتبطة بالبطاقات والإرسال والتغليف المقدم بموجب هذا.
2- سوف تمتنع جيبكوم (باستثناء ما يتم خلال الأداء السليم للخدمات) عن استخدام أو الافصاح عن أو السماع باستخدام والافصاح عن أي معلومات سرية حول ابانا و/أو مجموعة ابانا والتي استلمتها جيبكوم (سواءً قبل تاريخ هذه الاتفاقية وبأي صفة كانت) دون الحصول على موافقة خطية مسبقة من أبانا.
3- بطلب من جيبكوم فإن ابانا ستقوم بإتلاف أو إعادة أي معلومات سرية قد تكون بحوزة ابانا إلى جيبكوم.
الضمانات / عدم الضمانات
أي مواد مقدمة إلى جيبكوم من أو بالنيابة عن ابانا يتم تقديمها "في حالتها" و"في مكانه" "بكافة العيوب" المعروفة وغير المعروفة. وتخلي جيبكوم مسئوليتها إلى الحد الذي يسمح به القانون صراحة عن أي ضمانات أكانت صريحة أو ضمنية بخصوص أي مواد مقدمة إلى جيبكوم بواسطة أو بالنيابة عن ابانا بما في ذلك أي ضمانات تسويق ضمنية أو الملائمة لغرض محدد وعدم المخالفة. أي مواد تالفة يتم تسليمها من جانب جيبكوم إلى ابانا ستكون من مسئولية جيبكوم والتي ستقوم على الفور باستردادها واستبدالها بأخرى سليمة.
لا يجوز تعديل هذه الاتفاقية إلا باتفاق خطي بين الطرفين.
1- تلغي هذه الاتفاقية وتحل محل اي اتفاق خطي او شفوي سابق بين الطرفين بخصوص المواضيع الواردة بها. وهي تضم كامل ما تم الاتفاق عليه بين الطرفين (باستثناء تلك الأحكام التي ينص عليها القانون والتي لا يمكن استبعادها باتفاق الطرفين) بخصوص موضوع هذه الاتفاقية كما في تاريخ هذه الاتفاقية. وتقر جيبكوم بأنه لم يكن هناك أي حافز من جانب ابانا لإبرام هذه الاتفاقية من خلال أي تعهد أو ضمانة أو التزام لم يرد صراحة ضمن هذه الاتفاقية. وتوافق جيبكوم وتقر بأن الحقوق والتعويضات الوحيدة المتاحة إلى جيبكوم ارتباطاً بأي تعهد أو ضمانة أو التزام تم استلامه أو إعطائه ارتباطاً بهذه الاتفاقية (إلا إذا كانت مثل تلك العهود والضمانات أو التعهدات قد تم بصورة ملتوية) ستكون بمثابة مخالفة لأحكام هذه الاتفاقية باستثناء كافة تلك الحقوق والتعويضات الأخرى (بما في ذلك الضرر أو تلك الناشئة عن القانون).
2- لن تتأثر حقوق وسلطات أي من الطرفين بموجب هذه الاتفاقية إذا:
2-1- تأخر أحد الطرفين في إنفاذ أي من أحكام هذه الاتفاقية، أو
2-2- قام أحد الطرفين بمنح مهلة للطرف الآخر.
ملاحظات:
1- يجب أن يتم توجيه أي إشعار بموجب هذه الاتفاقية بصورة خطية على أن يتم تسليمه إلى المرسل إليه إما يدوياً أو عبر الفاكس أو بالبريد المسجل على العنوان الوارد أدناه أو ذاك العنوان الأخر الذي قد يحدده أي من الطرفين من وقت لآخر بموجب إشعار مرسل حسبما سلف.
جزاءات الإخفاق في دعم اتفاقية مستوى الخدمة الحالية
1- بغض النظر عن الأحكام والشروط العامة لعقد شراء ابانا والبنود الخاصة به فإنه يترتب على إخفاق الشركة في جودة منتجات الخدمات الأقسام من 1 إلى 5 في اتفاقية مستوى الخدمة الحالية الإلغاء الفوري للطلبية. وبموجب هذه الأحكام فإن الشركة ستقوم بإعادة كافة مواد الانجاز التي تم تسليمها طبقاً لأمر الشراء إلى الشركة وعلى نفقة الشركة وحدها.
كما توافق الشركة على استلام كافة البضائع المطلوبة كجزء من امر الشراء على نفقة الشركة وتوافق ايضاً على سداد غرامة إلى ابانا بواقع 10% من قيمة أمر الشراء.
تم القبول والموافقة حسب التاريخ أعلاه بواسطة المندوب المفوض أدناه.

ملحق 5: عملية التصعيد وحل المشكلات
تم إبرام ملحق 5 – عملية التصعيد وحل المشكلات الحالي بتاريخ 22 مارس 2018 طبقاً لاتفاقية الخدمات العامة الموقع بين ابانا ("العميل") ومصنع الخليج لتصنيع منتجات الطباعة ("الشركة") اعتباراً من 22 مارس 2018.
إدارة التصعيد وحل المشكلات
التصعيد هو جزء اعتيادي من عملية إدارة المشكلة والذي ينطوي على الاعتراف بأن بعض المشاكل لن يتم حلها ضمن الأطر الزمنية المقررة. ويقوم الدعم الفني أو مكتب المساعدة وبمشاركة من المستوى الثاني من المديرين بإدارة عملية التصعيد. الغرض من عملية التصعيد هو إدخال موارد إضافية إلى المشكلة التي لا تستوفي الهدف المنشود لأي سبب من الأسباب مثل نقص الموارد صعوبة المشكلة أكثر مما كان متوقعاً أو عدم انتباه العميل وخلافه. إن عملية التصعيد هي وسيلة لضخ المزيد من الجهود الإضافية والتأكيد على المشكلة.
يتحمل الدعم من المستوى الثاني مسئولية الاستجابة للتصعيد والتفاوض على الحل. ويتحمل المستوى الثاني المسئولية عن الجودة الفنية لخطة الحل مع التأكيد على أن:
• الخطة ستفضي إلى حل المشكلة.
• يمكن حل المشكلة خلال الإطار الزمني المتوقع.
• أن الحل سيكون مقبولاً لدى العميل. وإلا فإنه يتعين الاتفاق مع العميل.
يتم البدء في عملية التصعيد في الحالات التالية:
• عدم الوفاء بالموعد المحدد لحل المشكلة.
• عدم قبول إدارة المستوى الثاني تحمل المسئولية.
• قيام العميل بتصعيد المشكلة.
• وجود تطبيق حرج أو تعرض النظام للخطر.
الهدف من التصعيد هو تركيز اهتمام الإدارة على المشكلة المحددة. يجب أن يضمن تصعيد مشكلة ما التالي:
• حل المشكلة أو تجاوزها.
• رضا العميل.
• التكليف بالمسئولية ووضع خطة وهدف لإيجاد الحل.
• توافر الموارد المطلوبة.
تجري العملية على النحو التالي:
• يقر مكتب المساعدة بالتصعيد ويحدد الإدارات المعنية.
• يتم إضافة خط تحرك "للتصعيد" مع إدراج التفاصيل ذات الصلة.

ملحق 6: اتفاقية عدم الافصاح
تم إبرام اتفاقية عدم الافصاح الحالية والتوقيع عليها بتاريخ 22 مارس 2018.
بين مصنع الخليج لتصنيع منتجات الطباعة (جيبكوم)، مصنع بملكية فردية تم تأسيسه ويعمل بموجب قوانين المملكة العربية السعودية ويحمل سجل تجاري رقم 1010165580 ويقع مكتبه الرئيسي في المنطقة الصناعية الثانية، ص.ب: 355297، الرياض 11383، المملكة العربية السعودية، ويشار إليه فيما يلي بـ"مزود الخدمة" أو "الشركة".
لصالح شركة مجموعة أبانا للمشاريع، شركة مملوكة وتعمل في السعودية ومسجلة بسوق الأوراق المالية وتم تأسيسها بموجب قوانين المملكة العربية السعودية وتحمل سجل تجاري رقم .............، ويقع مكتبها الرئيسي في ص.ب: 3879، الرياض 11481، المملكة العربية السعودية ويشار إليها فيما يلي بـ"أبانا" حيث أن:
الشركة تقوم بمشروع باسم توريد لفائف الصراف الآلي الحرارية ("المشروع") لمصلحة ابانا والذي سيتطلب بيانات ومعلومات خاصة حول ابانا وترغب ابانا في ضمان سرية كافة تلك المعلومات والحفاظ عليها من جانب الشركة.
وبناءً عليه فقد اتفقت الشركة مع أبانا على النحو التالي:
1- تؤكد الشركة وتوافق على ما يلي: (أ) الحفاظ على التميز والسرية بصفة (بصفة مستمرة خلال وبعد انتهاء أو إنهاء المشروع) بخصوص كافة المعلومات الخاصة بأبانا بما في ذلك على سبيل المثال لا الحصر استراتيجياتها والخطط والعمليات والأنشطة المقدمة إلى أو التي تم الحصول عليها أو التي تم الوصول إليها لدى أبانا ومديريها ومسئوليها وعامليها ومستشاريها المتخصصين ارتباطاً بالمشروع الذي تقوم به ابانا ("المعلومات السرية") و(ب) تتعهد بأن يقوم مديري الشركة ومسئوليها وعامليها ومستشاريها المتخصصين ("المندوبين") بالحفاظ بالمثل على كافة تلك المعلومات سرية ومتميزة (بصفة مستمرة أثناء وبعد انتهاء أو إنهاء المشروع).
2- عدم قيام الشركة بالافصاح عن أي معلومات سرية إلى الطرف الثالث بدون الحصول على الموافقة الصريحة والخطية المسبقة من ابانا: بشرط أن الشركة قد تفصح بالرغم من ذلك عن المعلومات فقط ارتباطاً بتنفيذ المشروع ولكنها تضمن قيام مثل هؤلاء الأشخاص بالحفاظ على سرية كافة تلك المعلومات السرية.
3- عدم قيام الشركة باستخدام، سواءً بمفردها أو بالمشاركة مع شخص أو جهة أخرى، اسم وشعار وعلامة خدمة والعلامة التجارية والرسومات والشعارات والصور والتصاميم والرموز وما يرتبط بها من ألوان الشركة (ويشار إليها مجتمعة بـ"الملكية الفكرية")
الخاصة بأبانا في التسويق للشركة أو مبيعاتها أو الترويج لها أو المواد الإعلانية بدون الحصول على إذن خطي مسبق من ابانا. كما لن تسمح الشركة بظهور أي من الملكية الفكرية الخاصة بأبانا بجانب أو مع اسم الشركة أو شعارها أو علامتها التجارية بدون الحصول على الموافقة الخطية المسبقة من ابانا. كما تتعهد الشركة بعدم استخدام أو السماح باستخدام الملكية الفكرية الخاصة بأبانا بأي طريقة كانت من شأنها التقليل من شأن أو الحاق الضرر أو الانتقاص من اسم وسمعة ابانا. كما يحظر على الشركة أيضاً الافصاح إلى أي شخص خارج منظمتها، باستثناء الضرورة القصوى وبموجب إذن خطي مسبق من ابانا، حقيقة الترتيب التعاقدي القائم مع ابانا.
4- لن تحول التزامات السرية بموجب هذا دون أي افصاح مطلوب بموجب القانون الساري طبقاً لأمر قضائي ساري (بشرط قيام الشركة بتوجيه إشعار على وجه السرعة حول مثل هذا الأمر إلى أبانا) كما لا تسري على المعلومات التي:
(أ) تكون أو تصبح معلومة للعموم (بخلاف الافصاح غير المصرح به) أو
(ب) المعلومة بالفعل لدى الشركة في وقت الافصاح بدليل سجلات الشركة، والشركة غير ملتزمة بالسرية بخلاف ما هو مرتبط بهذه الاتفاقية، أو
(ج) التي تصبح متاحة للشركة بصورة غير سرية من الطرف الثالث بدون مخالفة لأي عقد أو واجب قانوني آخر يحول دون الافصاح عنها.
5- تكون هذه الاتفاقية سارية لمدة عام واحد (1) اعتباراً من تاريخها. وعند انتهاء أو إنهاء المشروع فإنه يتم إتلاف أو إعادة كافة المعلومات التي تم الوصول إليها أو الحصول عليها بواسطة الشركة من أبانا حسبما يكون مناسباً حسب طبيعة تلك المواد. وفي حالة إتلاف تلك المعلومات (أو التصرف بأي شكل آخر) فإن الشركة ستقوم بتوثيق مثل هذا الإتلاف (أو التصرف) خطياً لأبانا.
6- توافق الشركة على أنه نظراً للطبيعة القيمة للمعلومات السرية فإن التعويضات لن تكون كافية لإصلاح أي مخالفة لأي من أحكام هذه الاتفاقية ولذا فإن الشركة توافق على أنه من حق ابانا الحصول على تلك التعويضات بما في ذلك على سبيل المثال لا الحصر التعويض النقدي حسبما يقره القانون الساري. توافق الشركة على تعويض أبانا مقابل أي خسائر أو مطالبات أو طلبات أو مسئوليات أو نفقات مهما كانت طبيعتها ناجمة عن مخالفة الشركة لالتزاماتها بموجب أو ارتباطاً بهذه الاتفاقية.
7- سوف تخضع هذه الاتفاقية ويتم تفسيرها وفقاً لقوانين وأنظمة المملكة العربية السعودية.
وإشهادا على ذلك فقد قامت الشركة بالتوقيع على اتفاقية عدم الافصاح الحالية لصالح ابانا في التاريخ الوارد أعلاه.
