شركة ====، جنسيتها صينية الكائن مقرها الاجتماعي ب: =======
بعد التأكد من أهلية الشركة توكيل شخص للنيابة عنها ويحل محلها، تلتزم بما يلي:
البند الأول "محل العقد": تعيين السيد ====، الحامل للبطاقة الوطنية رقم ====، جنسيته مغربية كوكيل وممثلها في المغرب أمام المحاكم والإدارات المغربية، خاصة فيما يتعلق بالعلامة التجارية والمنازعات الناتجة عنها.
البند الثاني: "موضوع الوكالة": بموجب هذه الوكالة، حددت اختصاصات الوكيل في النيابة عن الموكل لتمثيلها والحلول محلها والتحدث باسمها، لاسيما فيما يلي:
• تعيين محام بهيئة المحامين بالدار البيضاء للدفاع عن مصالح الشركة وعزله في المغرب.
• تمثيل الشركة أمام المحاكم المغربية في جميع المنازعات التي تعتبر الشركة طرفا فيها، سواء كانت مدعية أو مدعى عليها سواء أمام القضاء المدني أو الزجري.
• التفاوض وإبرام الصلح أو الإذن للمحام يقوم مقام الوكيل في التفاوض والصلح.
• اتخاذ ما يلزم من مساطر قانونية في كل نزاع قائم أو محتمل لفائدة الموكلة.
• تمثيل الشركة أمام جميع الإدارات المغربية وأمام الخواص، خاصة إدارة الجمارك وإدارة الضرائب في جميع الملفات دون استثناء.
• إيداع وسحب جميع الملفات والطلبات المتعلقة بالعلامة التجارية للشركة لدى إدارة الجمارك والإدارات المختصة.
• استخلاص الوكيل باسمه الشخصي أي مبلغ مالي أمام أي مؤسسة أو أي شخص فيما يتعلق بحقوق الموكل في المنازعات التي تعتبر الشركة طرفا فيها، لاسيما الودائع بصندوق الودائع لهيئة المحامين بالدار البيضاء.
• تحرر الشيكات الصادرة عن صندوق هيئة المحامين لفائدة الشركة بالاسم الكامل للوكيل، وتتحمل الشركة كامل المسؤولية عن هذه الصلاحية الممنوحة للوكيل وتبرء ذمة الغير عن ذلك.
• التنازل عن الدعاوى وإبرام الصلح والاتفاق بشأن المنازعات المعروضة أو غير المعروضة على القضاء.
البند الثالث: مدة صلاحية الوكالة:
تبقى الوكالة غير محددة المدة، مع حق كل طرف بمجرد إشعار الطرف الأخر أو في الحالات التي يقتضي فيها القانون المغربي بانقضاء الوكالة.

This power of attorney contract is executed on December 21, 2021 by:
The company =====, of Chinese nationality, and whose headquarters are on the address: ======
After the company’s verification of the legal capacity to assign a representative acting on its behalf, the company commits to the following terms:
Term No 1: “Subject of the contract.”
The company appoints Mr. ====, holder of the national ID No === and the Moroccan citizenship, as its agent and representative before Moroccan courts and administrations in Morocco, particularly on matters relating to trademark and its resulting disputes.
Term No 2: “Subject of the power of attorney.”
By virtue of this power of attorney, the agent’s capacities are limited to representing and acting on behalf of the grantor, especially on the following:
Appointing or dismissing a lawyer in the Bar Association of Casablanca to defend the company’s interests in Morocco.
Representing the company in all disputes relating to the company before Moroccan courts, whether it holds the prosecutor or defendant status before civil courts and criminal courts.
Negotiating and reconciling, or assigning the lawyer to act on behalf of the agent in negotiation and reconciliation.
Taking the necessary legal actions in every ongoing dispute or possible dispute in favor of the company.
Representing the company before all the Moroccan administrations and private entities, especially the customs and tax administrations, in all the cases without exemption.
Depositing and withdrawing all the company Trademark’s files and requests from the customs administration and the other competent administrations.
The agent extracts any amount of money related to the agent's rights in disputes wherein the company is involved, from all entities and persons through his personal name, especially deposits of the Bar Association fund in Casablanca.
The agent shall be named as the payee on all cheques issued by the Bar Association fund in favor of the company. The company assumes full responsibility for this authorization and releases any other party from liability.
Waiving lawsuits, reconciling and making agreements concerning disputes submitted to the courts, and non-submitted disputes.
Term No 3: Validity period of the power of attorney
The power of attorney is open-ended. Each party reserves the right to notify the other party to terminate the contract, or it is terminated under Moroccan law's regulations.
