This Sub-contract Agreement is made and entered on this ¬¬¬¬¬¬¬¬¬¬… of…, 20…
Between:
1) “A” Company, (hereinafter referred to as “the Contractor”,
And:
2) “B” Company, (hereinafter referred to as “Sub-Contractor”).
Whereas:
1) XXX Company, (hereinafter referred to as “the Client”), has awarded the Contractor a contract to perform Works for the Client for the construction of two buildings at… (hereinafter referred to as “the Project”),
2) The Contractor now wishes to utilize the services of Sub-Contractor to perform “All Structural, Civil and Architectural Works & External Works, excluding MEP Works at… referred to in Clause 2 hereof as more particularly described and specified in Appendix 1 “Scope of Work” hereof all of which works comprise a portion of the Work,
3) Sub-Contractors performing the Works or part thereof for the benefit of the Client are to be bound by the terms and conditions consistent with the terms and conditions of the Main Contract, and
4) Sub-Contractor, having been afforded the opportunity to read and note the provisions of the Main Contract in respect of the Works, is capable and willing to perform said Works on the terms and conditions set forth herein, in consideration of receiving compensation in the amounts and manner referred to in Clause 5 hereof.
It is hereby agreed as follows:
1. Definitions:
For the purposes of this Agreement the following terms shall have the meaning hereby assigned to them:
1.1 “Agreement” means this Agreement and the Appendices attached hereto as originally executed or as may from time to time be amended by a specific written instrument executed on behalf of both parties being:
Appendix 1- Scope of Works
Appendix 2 - Payment Schedule
Appendix 3 – Performance Security/ Advance Payment Guarantee
Appendix 4- Sub-Contract Documents
Appendix 5- Proof of Authorisation of the Signatories for this Contract Agreement
Appendix 6- Commercial Registration and Tax Card of the Sub-Contractor
1.2 “Main Contract” means the Contract effective between the Client and the Contractor concerning the Work.
1.3 “Works” means the Works to be performed by Sub-Contractor under this Agreement as more described and specified in Appendix 1 and detailed in the Sub-Contract Documents, being a portion of the Work specified in the Main Contract.
1.4 “Work” means all the work to be undertaken under the Main Contract by the Contractor.
1.5 Words importing the singular shall also include the plural and vice versa where the context requires.
1.6 Headings shall not be deemed to form part of the Agreement or be taken into consideration in the interpretation or construe thereof.
2. General:
2.1 Sub-Contractor shall execute and complete the works in accordance with this Agreement and to satisfaction of the Contractor and the Client/ or Client’s Representative.
2.2 Sub-Contractor shall provide all labour, materials and construction equipment and machinery required for the successful execution and completion of the Works as stated in Appendix 1. Insofar as the Sub-Contractor makes use of the Contractor’s resources, it shall be Sub-Contractor’s responsibility to satisfy itself as to the fitness, condition and suitability of such resources. The Contractor offers no explicit or implicit warranty in respect of same.
2.3 The Sub-Contractor shall not assign the whole or any part of this Agreement nor sub-let the whole or any part of the Works without the prior written consent of the Contractor and, where required by the Main Contract, without the written consent of the Client or the Client’s Representative.

أُبرمت هذه الاتفاقية للتعاقد من الباطن في يوم...من شهر...عام 20...
بين كل من:
1) شركة «أ» (المشار إليها فيما بعد في هذه الاتفاقية باسم «المقاول»)
و

2) المقاول يرغب الآن في الاستفادة من خدمات المقاول من الباطن لأداء "كل الأعمال الهيكلية والمدنية والمعمارية والأعمال الخارجية" باستثناء أعمال الميكانيكا والكهرباء والسباكة في ...المشار إليها في البند رقم 2 في هذه الاتفاقية على النحو الموصوف والمحدد بشكل أكبر في الملحق رقم 1 «نطاق العمل» في هذه الاتفاقية وتشكل كل هذه الأعمال جزءًا من العمل.
3) المقاولون من الباطن الذين يؤدون العمل أو جزءًا منه لصالح العميل ملزمين بالشروط والأحكام المتسقة مع شروط وأحكام العقد الرئيسي.
4) المقاول من الباطن –بعد منحه الفرصة-ليقرأ ويفهم أحكام العقد الرئيسي فيما يخص الأعمال قادر وراغب في أداء الأعمال المذكورة وفقًا للشروط والأحكام المبينة في هذه الاتفاقية في مقابل تلقي الأجر بالمبالغ والطريقة المشار إليها في البند رقم 5 من هذه الاتفاقية.
تم الاتفاق على ما يلي:
1. التعريفات:
لأغراض هذه الاتفاقية يكون للمصطلحات التالية المعنى المحدد لها:
1.1 «الاتفاقية» يعني هذه الاتفاقية والملحقات المرفقة بها على النحو المبرم في الأصل أو تعديلها من حين لآخر من خلال مستند كتابي محدد يُحرر بالنيابة عن كلا الطرفين وهي:
الملحق رقم 1- نطاق الأعمال
الملحق رقم 2- جدول السداد
الملحق رقم 3- ضمان حسن الأداء/ ضمان الدفعة المقدمة
الملحق رقم 4- مستندات التعاقد من الباطن
الملحق رقم 5- إثبات تفويض أصحاب حق التوقيع على اتفاقية التعاقد هذه
الملحق رقم 6- السجل التجاري للمقاول من الباطن وبطاقته الضريبية.
1.2 «العقد الرئيسي» يعني العقد الساري بين العميل والمقاول فيما يخص الأعمال.
1.3 «الأعمال» تعني الأعمال المقرر أن يؤديها المقاول من الباطن بموجب هذه الاتفاقية على النحو الموصوف والمحدد بشكل أكبر في الملحق رقم 1 ومفصل في مستندات التعاقد من الباطن باعتبارها جزء من العمل المحدد في العقد الرئيسي.
1.4 «العمل» يعني كل العمل المقرر أن ينفذه المقاول بموجب العقد الرئيسي.
1.5 تتضمن الكلمات التي تشير إلى صيغة المفرد صيغة الجمع والعكس صحيح متى اقتضى السياق.
1.6 لا يعتبر أن العناوين الرئيسية تشكل جزءًا من الاتفاقية أو تؤخذ في الاعتبار في تفسيرها.
2. أحكام عامة:
2.1 ينفذ المقاول من الباطن وينجر الأعمال وفقًا لهذه الاتفاقية وبما يرضي المقاول والعميل أو ممثل العميل.
2.2 يوفر المقاول من الباطن كل العمالة ومواد ومعدات وألات البناء اللازمة لتنفيذ الأعمال وإنجازها بشكل ناجح على النحو الموضح في الملحق رقم 1. وبالقدر الذي يستخدم به المقاول من الباطن موارد المقاول، يتحمل المقاول من الباطن مسئولية أن يرضي نفسه من حيث ملائمة تلك الموارد وحالتها ومناسبتها. لا يقدم المقاول ضمانًا صريحًا أو ضمنيًا فيما يخص ذلك.
2.3 لا يتنازل المقاول من الباطن كامل هذه الاتفاقية أو أي جزء منها أو يسند من الباطن كامل الأعمال أو أي جزء منها دون موافقة المقاول الكتابية-ومتى اقتضى العقد الرئيسي-ودون موافقة العميل أو ممثل العميل المسبقة.

Egypt’s oil and gas sector was on a downward spiral for years due to the impact of the Arab Spring, the unfolding of the Muslim Brotherhood, and the military coup. The country could not even keep its lights on five years ago. In 2013, due to a series of blackouts, factories were forced to shut down, doctors were performing surgeries under flashlights, and populations had to make do with daylight. However, with the restructuring of the economy, removal of subsidies on energy and food, and of course the sheer luck of massive offshore natural gas discoveries, Egypt now has a more than promising future. The country is poised to become Europe’s next big energy hub, and a massive exporter of natural gas. Egypt’s upstream and downstream sectors are thriving as never before.
With the recent offshore Eastern Mediterranean hydrocarbon findings, Egypt is poised to become a strategic energy hub through natural gas exports. The seafloor of the Eastern Mediterranean Basin contains mud volcanoes, which spew gas and occasionally oil into a benthic zone. It contains sediment columns up to 12 km, capped by evaporites. There are major gas and oil deposits trapped in these evaporites. In 2015 within Egypt’s Exclusive Economic Zone, ENI (Italian oil and gas major who paid EUR 92 million for exploration rights) discovered Zohr gas field, which is the largest known gas field in the Mediterranean. This field alone contains approximately 850 billion cubic meters of gas. In addition, other major European oil and gas entities such as Shell and BP also have a stake in the megaproject. As well, experts have estimated that within the Levant Basin, there are approximately 3 500 billion cubic meters of gas resources.

Liquid iron is sloshing around at the Earth’s core, causing the North Pole to move away from Canada and towards Siberia. GPS requires a precise location for the North Pole, and currently it is close to exceeding what geomagnetism experts call a “safe position” – a spot where GPS remains accurate. Experts said the pole is moving by 34miles (55km) a year, and it has been becoming more unpredictable for the past 100 years. While there is no solid explanation as to why it is happening, scientists believe it could be due to a massive section of liquid iron shifting in the planet’s interior. Scientists are beginning to worry about how rapidly magnetic north is beginning to change, because it is affecting global technology. One system reliant on the North Pole is the World Magnetic Model (WMM), which helps your smartphone gain an accurate position. Website Space Weather states: “The World Magnetic Model is a computer program that makes this correction for you. It improves the navigation of devices ranging from nuclear submarines to common smartphones.” Will Brown of the British Geological Survey's Geomagnetism Team, which produces the model in collaboration with the National Oceanic and Atmospheric Administration (NOAA) said: "The WMM is the standard magnetic model used for navigation by organisations such as NATO, the Ministry of Defence, and the US Department of Defense, and also by smartphone operating systems such as Android and iOS.” Scientists will meet to undergo an urgent update of the World Magnetic Model where it will alter where exactly North Pole is. “The next update was not scheduled to happen until 2020, but due to the North Pole’s sudden shift, researchers have to bring it forward.

انتهت اللحظة، وساد الصمت إلا من بعض الدعوات وحمد الله

Translation - English The plane lost its altitude due to a deep turbulence. On time span, it lasted for a second or two, but as a feeling, it lasted for a day or two. How do all these events, memories and ideas flash in a second?
