Der Auftragnehmer verfügt über eine ausgewiesene Expertise im Bereich industrieller Metallbe- und -verarbeitung, dem insbesondere auch die als Presshärten oder Formhärten bekannten Verfahrensvarianten einschließlich der hier zu Anwendung kommenden Fertigungseinrichtungen zuzuordnen sind. Der vorliegende Vertrag regelt die beratende Unterstützung des Auftragnehmers bei der Erreichung der im zuvor genannten Technologiebereich angestrebten Unternehmensziele des Auftraggebers.

The present contract describes the Consultant's role and responsibilities in his function to support the Client in reaching his company goals in the above-referenced field of technology.

The parties agree that the Client will be granted, without limitation and independent of time and location, all rights of use and exploitation of the know-how and technical findings that are developed within the scope of this contract. The Client has the right to transfer these rights or make them available to third parties. Know-how and technical findings may be used by the Consultant only for the purpose of providing the services described in the present agreement. The Client will not be invoiced for any extra charges in connection with such new information and know-how.

Die Parteien sind sich darüber einig, dass sämtliche Nutzungs- und Verwertungsrechte an den durch den Auftragnehmer im Rahmen dieses Vertrags erbrachten Arbeitsergebnissen, insbesondere entwickeltes Know-how und technische Erfindungen, zeitlich und räumlich unbeschränkt dem Auftraggeber zustehen. Dieser ist berechtigt, diese Rechte zu übertragen oder an Dritte zu vergeben. Der Auftragnehmer darf die Ergebnisse nur im Rahmen seiner Tätigkeit für den Auftraggeber verwenden.
