Source text - English The LENDER shall notify the BORROWER of each rate of interest as soon as it is determined under this CREDIT AGREEMENT and in each case within [five (5) days] of the beginning of the relevant INTEREST PERIOD. The certificate of the LENDER as to the rate of interest and the amount of the accrued interest shall, in the absence of manifest error, be conclusive.
If by reason of circumstances disrupting the inter-bank market, no adequate means exist to determine the interest rate with respect to an INTEREST PERIOD, the LENDER shall immediately notify the BORROWER thereof. The parties shall then enter into negotiations in good faith in view of determining a satisfactory substitute rate of interest.
If no substitute rate of interest is agreed by parties within thirty (30) days of the receipt of the LENDER’S notice to the BORROWER, they shall apply to the REFERENCE BANKS to fix a substitute rate of interest. The decision of the REFERENCE BANKS shall be binding on the parties.
Translation - Russian КРЕДИТОР будет уведомлять ЗАЁМЩИКА о каждой ставке процента после её определения в соответствии с настоящим КРЕДИТНЫМ СОГЛАШЕНИЕМ и в каждом случае в пределах [5 (пяти) дней] после начала соответствующего ПРОЦЕНТНОГО ПЕРИОДА. Свидетельство КРЕДИТОРА о ставке процента и сумме начисленных процентов, в отсутствие явной ошибки, является определяющим.
Если в силу обстоятельств, нарушающих функционирование межбанковского рынка, отсутствуют адекватные способы определения процентной ставки для какого-либо ПРОЦЕНТНОГО ПЕРИОДА, КРЕДИТОР незамедлительно уведомит об этом ЗАЁМЩИКА. Стороны затем добросовестно вступят в переговоры с целью определения удовлетворительной заменяющей ставки процента.
Если в течение 30 (тридцати) дней с момента получения ЗАЁМЩИКОМ уведомления от КРЕДИТОРА стороны не согласятся о заменяющей ставке процента, они обратятся к РЕФЕРЕНТНЫМ БАНКАМ для установления заменяющей ставки процента. Решение РЕФЕРЕНТНЫХ БАНКОВ будет обязательным для сторон.

Source text - English 6. CONFIDENTIALITY
6.1. Each party (a "Receiving Party") shall, and shall ensure that its personnel, (i) keep confidential all information and materials of a confidential or proprietary nature provided by the other parties, their affiliates, employees, agents or representatives (a "Sending Party") ("Confidential Information") (ii) not use or disclose Confidential Information for any purpose other than in accordance with this agreement, (iii) not disclose Confidential Information to any person other than its employees who have a need to know such Confidential Information or as expressly authorized by a Sending Party, and (iv) notify a Sending Party immediately if a Receiving Party is requested or required to disclose any Confidential Information to a third party in connection with any civil or criminal investigation or any judicial or administrative proceeding.
6.2. The obligations of confidentiality in Section 6.1 shall not apply to any Confidential Information (i) that comes into the public domain other than through breach of this Agreement by a Receiving Party, or (ii) the disclosure of which is required by law, by any court of competent jurisdiction or by any official regulatory body.
6.3. Within 30 days of the termination of this Agreement for any reason, a Receiving Party shall return to a Sending Party all materials in whatever form containing any Confidential Information. The confidentiality obligations provided herein shall survive termination of this Agreement.
Translation - Latvian 6. KONFIDENCIALITĀTE
6.1. Katra puse („Saņēmējpuse”) apņemas un apņemas nodrošināt, ka tās darbinieki (i) saglabā konfidenciālu visu informāciju un konfidenciāla vai īpašuma rakstura materiālus, ko sniedz citas puses, to meitu uzņēmumi, darbinieki, aģenti vai pārstāvji („Nosūtošā puse”) („Konfidenciālā informācija”), (ii) neizmantos un neizpaudīs Konfidenciālo informāciju nekādos nolūkos, izņemot tos, kas ir saskaņā ar šo Līgumu, (iii) neizpaudīs Konfidenciālo informāciju jebkurai personai, kas nav tās darbinieki, kuriem nepieciešams zināt šādu Konfidenciālo informāciju, vai ko nav nepārprotami pilnvarojusi Nosūtošā puse, un (iv) nekavējoties ziņos Nosūtošajai pusei, ja Saņēmējpusei tika pieprasīts vai tai jāsniedz jebkāda Konfidenciāla informācija trešajām personām sakarā ar jebkādu civiltiesisku vai kriminālu izmeklēšanu vai jebkādu tiesas vai administratīvo procesu.
6.2. Punktā 6.1 izklāstītās konfidencialitātes saistības netiks piemērotas jebkurai Konfidenciālajai informācijai, (i) kas kļūst publiski pieejama, ja vien tas nenotiek Saņēmējpusei pārkāpjot šo Līgumu, vai (ii) kuras izpaušanu pieprasa likums, jebkāda kompetentas jurisdikcijas tiesa vai oficiāla regulējošā iestāde.
6.3. Saņēmējpuse atgriezīs Nosūtošajai pusei visus materiālus, kas satur jebkādu Konfidenciālo informāciju, jebkādā formā 30 dienu laikā pēc šī Līguma izbeigšanas jebkura iemeslā dēļ. Šeit izklāstītās konfidencialitātes saistības paliks spēkā pēc šī Līguma izbeigšanas.

Арендатор имеет право потребовать у Съемщика, самостоятельно или, заказав услуги других предприятий для проведения проверки таких документов, документально обосновать данные, приведенные в Отчете. Установив или другим способом выяснив, что данные об обороте на Объекте аренды, приведенные в Отчете, являются меньшими, чем фактические, Годовая Арендная плата за прошедший период пересчитывается, согласно фактическим данным годового оборота и Съемщик обязан заплатить Арендатору штраф, в размере 1 (одной) месячной Арендной платы, оплатить расходы на проверку данных об обороте и возместить, связанные с этим, убытки Арендатора. Штрафные санкции не применяются к Съемщику, если Съемщик, в течение 5 (пяти) календарных дней со дня предоставления Отчета Арендатору, письменно сообщает об ошибке в Отчете и предоставляет Арендатору Отчет с правильными данными. В тех случаях, когда Съемщик вовремя не предоставляет Арендатору Отчет, Съемщик обязан, по требованию Арендатора, заплатить Арендатору пеню, в размере 3 процентов, от 1 (одной) месячной Арендной платы, за каждый просроченный день, и возместить, связанные с этим, убытки Арендатора. Если Съемщик отказывается предоставить Отчеты, обосновывающие данные, предусмотренные в пункте 5.3. данного Договора, или другим способом мешает Арендатору проверить правильность данных, предусмотренных в пункте 5.3., Съемщик обязан, по требованию Арендатора, заплатить штраф, в размере 1 (одной) месячной Арендной платы, за каждый месяц такого нарушения, и возместить, связанные с этим, убытки Арендатора, но это не освобождает Съемщика от обязанности предоставить Отчет.
Translation - English 10.4. The Lessor is entitled to request the Tenant to provide documental justification of the data stated in the Report either independently or by ordering services from other companies to perform a verification of such documents. Having detected or having otherwise found out that the turnover data at the Lease Object provided in the Report are smaller than the actual ones, the Annual Rent for the expired period shall be recalculated according to the actual data of the annual turnover and the Tenant shall pay the Lessor a penalty worth 1 (one) monthly Rent, compensate expenses for turnover data verification, and compensate the Lessor’s losses related thereto. The penalties shall not apply to the Tenant if the Tenant has informed of a mistake in the Report within 5 (five) calendar days after submitting the Report to the Lessor and provides the Lessor with a Report with correct data. If the Tenant fails to submit the Report to the Lessor on time, the Tenant shall, upon the Lessor’s request, pay the Lessor a forfeit worth 3 per cent of 1 (one) monthly Rent for each day of the delay and shall compensate the Lessor’s losses related thereto. If the Tenant refuses to provide the Reports justifying the data stipulated in clause 5.3. hereof or otherwise hinders the Lessor to verify correctness of the data stipulated in clause 5.3. hereof, the Tenant shall, upon the Lessor’s request, pay the Lessor a penalty worth 1 (one) monthly Rent for each month of such violation and shall compensate the Lessor’s losses related thereto; however, this shall not release the Tenant from the obligation to provide the Report.
