There are different ways to classify mergers and acquisitions:
Acquisition: Company A acquires company B, i.e. company A becomes the controlling shareholder of company B, but both companies continue to exist.
Asset acquisition: Company A purchases the assets of Company B, which is then liquidated.
Consolidation: Companies A and B combine their businesses under a new corporate structure, Company C. This results in the issue of shares in Company C to the former shareholders of Companies A and B.
MBO: the management of Company A acquire a control of Company A.
Merger: The managements and shareholders of Companies A and B approve the merger, which results in the creation of Company C.
Takeover / Tender Offer: Company A offers to purchase the shares in Company B, by making this offer to the shareholders of Company B. This may be a hostile bid by Company A opposed by the management of Company B. Companies A and B continue to exist after a successful Takeover / Tender Bid.
M&A are also classified according to how they are structured, e.g. horizontal, vertical, congeneric, etc.
Basically, mergers are different from consolidation, but they essentially follow the same process. In order to understand the difference between the two, a clear dissection of the two words needs to be made. Each term needs to be given its definition and characteristics. Examples of each would also play a big role in differentiating them.
