Compensation COE means the Compensation Center of Excellence.

The Compensation COE will conduct validation analyses to determine that this Plan is generally operated in accordance with the terms of this Plan and the applicable Administrative Guide.

Promptly following this determination, the Compensation Center of Excellence ("Compensation COE") under the direction of the Operating Committee will allocate the Earned Bonus Pool to each of the Business/Functional Segment
