Special Tax Allocations

Contributed Property. Income, gain, loss and deduction with respect to any property contributed to the Company shall, solely for tax pruposes, be allocated among the Members in any permissible manner so that a contributing Member, to the maximum extend possible, **recognizes** the variation, if any, between the Adjusted Basis and the initial Gross Asset Value of the property contributed by that Member.
