The Current Shareholders (other than the Company with respect to the Secondary Shares) hereby represent and warrant to the (respective other) Pre-Series A-IV Inves-tors regardless of fault or negligence each and individually with re- spect to their respective shareholding as set forth in Annex (D) of this Agreement by way of an independent guarantee pursuant to section 311 German Civil Code that the fol-lowing statements (each a "Title Warranty" and collectively the ("Title Warranties") are true and correct as of the date of this Agreement and will be true and correct as of the day the Capital Increase is registered with the commercial register:
With regard to its respective Shares held as of the date of this Agreement each Current Shareholder has full power and authority to enter into and perform this Agreement and this Agreement constitutes valid and binding obligations of the respective Current Shareholder in accordance with the terms herein.
