Se trata de un acuerdo de confidencialidad entretre la parte "receptora" y la parte "informante". Esta parte informatne también la llaman "captive"

¿Cómo se dice en castellano esa figura financiera/legal? "Empresa/cliente cautivo"? He encontrado que es alguien muy fiel a algo que no quiere cambiar, pero me suena súper raro.
