English to Russian Other Law (general) Shareholders\' Agreement

Unless the Shareholders agree otherwise:
after the 5th anniversary of Completion, the Shareholders shall discuss in good faith about the possibility of an Exit to be initiated after the 6th anniversary of Completion to enable the Shareholders to participate pro rata in such Exit and, if they jointly conclude that the price per share which could be reasonably expected to be achieved through an Exit would be higher than the Call Option Exercise Price, they may propose to the Board to consider engaging a top-tier investment bank, at the Company’s expense and on market terms, to organise and lead an Exit;
a Board meeting shall then consider whether to adopt a resolution to support such plans for an Exit, as a Board Reserved Matter under paragraph (Exit) of Part 1 of and, if such resolution is adopted, the remainder of this Clause  shall apply;
the Company and the relevant investment bank shall promptly provide updates on the bank's recommendations regarding the Exit process to each Shareholder;
the terms and conditions of the Exit shall be in line with then prevailing international standard practice, including, without limitation, in the case of a Listing, the Shareholders being required to retain an appropriate shareholding for an appropriate period after the Listing as recommended by the underwriter of the Listing; and
prior to the completion of an Exit, where less than 100% of the total share capital of the Company has been sold, the Shareholders shall meet and negotiate in good faith with the view of achieving a new agreement mutually satisfactory to all Shareholders to govern the relationships among the Shareholders, provided, however, the Shareholders have no obligation to enter into a new shareholders agreement.
