BUENAS tardes noches desde España. La duda está, para mí en ese PROVIDED al que antecede un punto y coma (;) y le sigue un punto y aparte (.)
El contexto es el siguiente : bajo el epígrafe de Election of Board of Directors, se dice en el inciso (ii)) lo siguiente:
The holders of Common Stock, voting as a separate class, shall be entitled to elect three members of the Board at each meeting or pursuant to each consent of the Company's stockholders for the election of directors, and to remove from office such directors and to fill any vacancy caused by the resignation, death or removal of such directors (each, a "Common Director"); provided.

what comes after punto y aparte? I think is just a mistake and maybe it should have been a comma. Standard to see in bylaws:
