The Parties shall not be obliged to propose or accept remedies which are considered material. In addition, if
the authority imposes material conditions not offered by the notifying party, the notifying
party will decide if such conditions are acceptable to the effects of the fulfillment of the
condition precedent. To this effect, the Parties deem material in particular any remedy or
condition consisting of or having as a consequence thereof a divestiture of a cement plant
or grinding mill.
