English to Dutch Law/Patents Law: Contract(s) business contribution agreement
"Subject to the terms of this Agreement, the Contributory shall contribute to the Beneficiary, free from any encumbrances and effective as of the Closing Date, the Business as a going concern and including the following assets and properties"

Both names occur throughout this contribution agreement.
Would it be correct in this context to use 'vennoot' for contributory? Any help would be appreciated!
