A certificate of standing is a legal document (certified by the state treasurer) attesting to the company's existence and compliance with formalities under state law. The certificate is usually required when a company wishes to transact business in another state, or before the company can enter into certain contracts or relationships, such as loans or credit facilities, mergers or acquisitions, or high-value sales or distribution contracts

Perdón, la nota simple, no tiene valor probatorio frente a terceros (como veo que tiene el short form standing); para ello hace falta el certificado.
