Un patto parasociale, ovvero shareholders' agreement. Ne caso specifico si parla della struttura del consiglio di amministrazione e le regole da seguire.

Qualora una Parte (di seguito la **"Parte Richiedente la Revoca"**) comunichi all'altra Parte di volere revocare un amministratore designato da tale Parte ai sensi dell'articolo xx o yy, a seconda dei casi, l'altra Parte si impegna sin d'ora a votare a favore di tale revoca, fermo restando che la Parte Richiedente la Revoca sarà obbligata a manlevare e tenere indenne la Società da tutti i costi, le spese e i danni eventualmente derivanti da tale revoca.

The point here Oliver is they want to remove a director who was nominated by the other party, not withdraw the nomination

agree Oliver Lawrence : if the person is "designato", does this not mean that they have been nominated but not yet appointed, and so are not in a position to be removed?// Good stuff, I see what you mean

I considered that, but in this case it seems the nomination was followed by the appointment, otherwise no vote would be required nor would there be costs, damages, expenses as there might be in removing a director. The director was that party's candidate.

I think this fits better and can be repeated throughout the text without sounding too cumbersome

Thank you, but in this context the "Party" is not the one to withdraw or request its own withdrawal. They ask for the removal of a Managing Director.

A withdrawing party is, by definition, someone who requests or intends to withdraw from a contract
