Estoy traduciendo un documento constitutivo de una sociedad de responsabilidad limitada en Curazao:

a. the resolution to acquire fully paid up shares in the corporation shall be taken by teh board of manaing directors;

Allí, se acaba el párrafo. No entiendo qué quieren decir

El término "personas" es correcto aquí, porque pueden ser personas naturales o jurídicas.

después de que la sociedad adquiera las acciones, por lo menos una acción con derecho a voto y participación en las utilidades, o una acción con derecho a voto y una con derecho a participación en las utilidades deberá(n) permanecer en poder de personas ajenas a la sociedad.
"Outstanding" no se traduce, porque en este contexto significa precisamente "en poder de personas ajenas a la sociedad".
En el Glosario Internacional para el Traductor de Marina Orellana, la definición de "outstanding stock" es "acciones en circulación o en manos de accionistas o del público".

Así lo interpreto yo, por lo menos. No tiene sentido el párrafo tal como está porque esta frase parece incompleta . Buena suerte.
