sortie/prix de sortie

I have checked the glossaries and I found a reference to 'withdrawal premium' (in fact 'prime de sortie') - although I not sure it is appropriate here and I couldn't find it in the GDT as suggested anyway! My initial translation of 'prix de sortie' in the paragraph below was 'exit price' - but I am wondering whether it should be 'exit value'? I am understanding this to be referring to some sort of 'get-out clause' and am also wondering how to deal with: tout en aménageant les conditions de la sortie de l'un d'entre eux' - 'whilst setting out the conditions for the release of one of the partners?. Would we say 'release' or 'exit'? Sorry if this seems like more than one question - but as you can see they are pretty closely-linked.


Dans sa version adaptée aux filiales communes, la SAS permet de fidéliser les deux associés, ou les deux groupes d'associés, notamment grâce à la clause d'inaliénabilité (C. com., art. L. 227-13  ), tout en aménageant les conditions de la sortie de l'un d'entre eux.

Dans la même optique, les filiales communes peuvent jouir du bénéfice des clauses d'agrément à champ large (C. com., art. L. 227-14  ), des clauses de suspension (C. com., art. L. 227-17  ) et d'exclusion (C. com., art. L. 227-16  ), ainsi que de la possibilité de déterminer conventionnellement le prix de sortie (C. com., art. L. 227-18  ).

I suppose there was an article in the Company's Statutes which provided for voluntary departure or separation of anyone of the partners and for the termination of the appointment of anyone of them on allowance basis
