Source text - English GRANTS AND LICENSE
2.1 The PROPRIETOR hereby exclusively authorises the PUBLISHER to publish, market and sell the Romanian
version of the WORK in the aforementioned TERRITORY. This includes the right to translate and adapt the
content of the WORK created by the PROPRIETOR and to use its distinctive layout and design as created by the
PROPRIETOR under the TRADEMARK. The said authorisation and license are granted subject to the conditions
provided below.
2.2 Each party hereto undertakes and agrees to keep secret any information related to the creation, method or
manufacture of the WORK and/ or the business of the other party. This obligation shall apply after, as well as,
before any termination of the AGREEMENT. This obligation shall not apply to any such information disclosure
that is required by law or that becomes known in the trade, otherwise than by breach by a party of its obligation
hereunder.
2.3 The PUBLISHER is authorised to sell, to publish and to promote the adapted Romanian version of the WORK by
or before October 2011.
The first print run of the Romanian version of the WORK will be one thousand five hundred (1 500) copies per
title, a total first print-run of nine thousand (9 000) copies for six (6) titles.
Even if the PUBLISHER shall be entitled to freely define the retail price of the WORK in the TERRITORY, it is
hereby-for information purposes only- specified that the intended maximum unit retail price will be of 18
Romanian leu approximately 4,00 euros.
The PUBLISHER undertakes to actively maintain the commercialisation and constant distribution of the WORK
for the duration of this AGREEMENT.
2.4 All rights not expressly specified or granted to the PUBLISHER in the present AGREEMENT, remain the
property of the PROPRIETOR.
2.5 The PUBLISHER will have the first option to acquire the license for rights to the other titles of the collection. If,
another party wishes to publish these titles in Romanian, the PROPRIETOR will issue the PUBLISHER with a
written notification. The PUBLISHER will have 30 days from this notification, to confirm their wish to publish
the titles within a twelve (12) month period from the date of notification. If the PUBLISHER does not reply and/or
informs the PROPRIETOR that it does not wish to acquire these titles, the PROPRIETOR reserves the right to
grant the licence to the other interested party.
Translation - Romanian 2. PERMISIUNI ŞI LICENŢE
2.1 Prin prezenta, PROPRIETARUL, îl autorizează în exclusivitate pe EDITOR să publice, să lanseze pe piaţă şi să vândă versiunea în limba română a OPEREI pe TERITORIUL menţionat anterior. Aceasta include dreptul de a traduce şi adapta conţinutul OPEREI create de PROPRIETAR şi de a folosi concepţia şi aspectul său distinctiv conform MĂRCII ÎNREGISTRATE. Autorizaţia şi licenţa mentionate sunt acordate sub rezerva condiţiilor prevăzute mai jos.
2.2 Fiecare parte se angajează la prezentul regulament şi este de acord să păstreze secretul oricăror informaţii referitoare la crearea, metoda sau producția OPEREI şi / sau afacerii celeilalte părţi. Această obligaţie se aplică după, precum şi înainte de orice încetare a CONTRACTULUI. Această obligaţie nu se aplică la orice divulgare de informaţii, care sunt solicitate prin lege sau care devin cunoscute în comerţ, altfel decât prin încălcarea de către o parte a obligaţiei sale de mai jos.
2.3 EDITORUL este autorizat să vândă, să publice şi să promoveze versiunea adaptată în limba română a OPEREI până cel târziu, sau înainte de luna octombrie 2011.
Primul tiraj de tipărire a OPEREI în versiune în limba română este de o mie cinci sute copii (1500) per titlu, un total prim tiraj de nouă mii (9 000) exemplare pentru şase (6) titluri.
Chiar dacă EDITORUL este îndreptăţit să stabilească în mod liber preţul de vânzare cu amănuntul a OPEREI în TERITORIU, se precizează - doar cu scop informativ – ca preţul unitar de vânzare cu amănuntul intenţionat să fie de 18 lei româneşti, aproximativ 4,00 Euro.
EDITORULse angajează să menţină în mod activ comercializarea şi distribuţia constantă a OPEREI pe durata prezentului CONTRACT.
2.4 Toate drepturile care nu sunt specificate în mod expres sau acordate EDITORULUI în prezentul CONTRACT, rămân în posesia PROPRIETARULUI.
2.5 EDITORUL va avea prioritate în a obţine licenţe pentru drepturile celorlalte titluri ale colecţiei. În cazul în care, o altă parte doreşte să publice aceste titluri în limba română, PROPRIETARUL va emite EDITORULUI o notificare scrisă. EDITORUL va avea la dispoziţie 30 de zile de la această notificare pentru a confirma dorinţa de a publica titlurile pentru o perioadă de douăsprezece luni (12) de la data notificării. Dacă EDITORUL nu răspunde şi / sau informează PROPRIETARUL că nu doreşte să achiziţioneze aceste titluri, PROPRIETARUL îşi rezervă dreptul de a acorda licenţa altor părţi interesate.
