Source text - English 2. FINAL PROVISIONS
2.1 The Transferee hereby agrees to its registration in the Commercial Register according to Section 12 of Act No. 304/2013 Coll., on public registers of legal and natural persons as the shareholder of the Company.
2.2 Each Party shall bear all costs and expenses incurred by it in connection with the entering into, and the performance of, this Agreement.
2.3 The Parties hereby disapply Sections 564, 573, 1726 (second sentence), 1727, 1728 (2), 1740 (3) of act No. 89/2012 Coll., the civil code (the "Civil Code") in respect of this Agreement and its amendments. The Parties have agreed to assume the risk of a change of circumstances in accordance with Section 1765 (2) of the Civil Code.
2.4 Each of the Parties declares that it does not consider itself to be a weaker party (in Czech slabší strana) in relation to the other Parties within the meaning of the Civil Code.
2.5 No Party may assign or transfer this Agreement and/or any rights or receivables and/or obligations or debts under this Agreement without the prior written consent of the other Party.
2.6 No Party may effect a set-off against any of the claims the other Party has against it under this Agreement other than by a written agreement with the Party against whom the set-off is directed.
2.7 This Agreement may be amended solely by written amendments executed by the Parties.
2.8 If any provision of this Agreement is or becomes invalid, illusory (in Czech zdánlivý) or unenforceable, that shall not affect the validity and enforceability of any other provision of this Agreement.
2.9 In this Agreement, (i) the headings do not affect its interpretation; (ii) the recitals form an integral part of the Agreement and (iii) any reference to a Clause, unless the context otherwise requires, is a reference to a clause of this Agreement, as applicable.
2.10 Where in this Agreement a Czech term is given in italics and/or in brackets after an English term or vice versa, the relevant provision relates to circumstances governed by Czech law and if there is any inconsistency between the Czech term and the English term, the meaning of the Czech term shall prevail.
2.11 This Agreement is executed in three (3) original copies in English. Each Party and the Company shall retain one (1) original copy of this Agreement.
2.12 This Agreement shall become valid and effective upon the execution hereof by the last Party.
Translation - Czech 1. ZÁVĚREČNÁ USTANOVENÍ
1.1 Nabyvatel tímto souhlasí se svým zapsáním v Obchodním rejstříku podle § 12 Zákona č. 304/2013 Sb., o veřejných rejstřících právnických a fyzických osob, jakožto akcionáře Společnosti.
1.2 Každá Strana ponese veškeré náklady a výdaje, které vzniknou v souvislosti s uzavřením nebo plněním této Smlouvy.
1.3 Strany tímto nevyužijí Paragrafy 564, 573, 1726 (druhou větu), 1727, 1728 (2) 1740 (3) Zákona č. 89/2012 Sb., občanský zákoník (dále jen „Občanský zákoník“) vhledem k této Smlouvě a jejím úpravám. Strany souhlasily, že převezmou riziko, že dojde ke změně okolností podle § 1765 (2) Občanského zákoníku.
1.4 Každá ze Stran prohlašuje, že se nepovažuje za slabší stranu ve vztahu k jiným Stranám ve smyslu Občanského zákoníku.
1.5 Žádná ze stran nesmí postoupit nebo převést tuto Smlouvu a/nebo jakákoliv práva nebo pohledávky a/nebo povinnosti nebo dluhy v rámci této Smlouvy bez předchozího písemného souhlasu druhé Strany.
1.6 Žádná ze stran nesmí provést započtení jakýchkoliv pohledávek, které vůči ní druhá Strana podle této Smlouvy má jinak než písemným souhlasem Strany, vůči které je započtení zaměřeno.
1.7 Tato Smlouva může být upravována pouze písemnými dodatky provedenými oběma Stranami.
1.8 Pokud je jakékoliv ustanovení této Smlouvy neplatné, zdánlivé nebo nevymahatelné nebo se takovým stane, tak to neovlivní platnost a vymahatelnost jakéhokoliv jiného ustanovení této Smlouvy.
1.9 V této Smlouvě platí, že (i) nadpisy nemají vliv na její interpretaci, (ii) úvodní body odůvodnění smlouvy tvoří nedílnou součást Smlouvy a (iii) jakýkoliv odkaz na Klauzuli, pokud to kontext nevyžaduje jinak, je odkazem na klauzuli této Smlouvy, podle použitelnosti.
1.10 Kdekoliv je ve Smlouvě český termín uveden kurzívou a/nebo v závorkách za anglickým termínem nebo naopak, tam se příslušné ustanovení týká okolností řízených českým právem a pokud existuje jakýkoliv nesoulad mezi českým a anglickým termínem, tak význam českého termínu má převahu. (Takto uvedené termíny se objevují jen v anglické verzi Smlouvy, pozn. překladatele)
