Reference is made to the December 9, 2015 Contract Agreement pertinent to the division of costs, I would like to inform you that the Finance Department was unable to obtain accurate and timely readings for the production, disbursement and inventory levels of Ammonia and Urea, despite several requests to the Chairman’s Assistant for Production. Please refer to the attached emails trail in this regard.
The lack of providing such critical and vital information by the concerned team jeopardizes the Management ability to control, measure, optimize and safeguard the Company's resources.
I ask for your urgent intervention to provide the Finance Department with the requested information to enable the Management team to fulfill their duties, and avoid any potential qualifications from the Auditors which could lead to serious queries from the Shareholders and Lenders.

Source text - English Memo no. 25/2014 – pertinent to the Authorized Capital Increase
The Chairman & CEO referred to the text of article no. 86 of the Executive Regulation of the Companies’ Law no. 159 for year 1981 which stipulates on: (The Extraordinary General Assembly may, through a resolution, increase the authorized capital, and the increase is to be made based on the Board’s proposal…………). Therefore, it is deemed to present to the Company’s Board and General Assembly to look into increasing the authorized capital from EGP 2.040 billion to EGP 2.30 billion so that it is possible to increase the issued capital to cover the number of free shares proposed to be distributed. After discussions and viewpoints exchange, the Board made the following decision:

The Board Members agreed to present to the Company’s Extraordinary General Assembly the increase of the Company’s authorized capital from EGP 2.040 billion to EGP 2.30 billion, per the contents of memo no. 25/2014.

أشار السيد المهندس/ رئيس مجلس الإدارة والعضو المنتدب إلى نص المادة (86) من اللآئحة التنفيذية لقانون الشركات رقم 159 لسنة 1981 والتى تنص على أنه (يجوز بقرار من الجمعية العامة غير العادية زيادة رأس المال المرخص به وتتم الزيادة بناء على إقتراح مجلس الإدارة ........) وبناءً عليه فقد رؤى العرض على مجلس الإدارة والجمعية العامة للشركة للنظر فى زيادة رأس المال المرخص به من 2,040 مليار جنيه مصرى إلى 2,3 مليار جنيه مصرى وذلك حتى يكون بالإمكان زيادة رأس المال المصدر بما يغطى عدد الأسهم المجانية المقترح توزيعها . وبعد المناقشات وأستعراض وجهات النظر أصدر المجلس القرار التالى:-
