bezugnehmend auf Ihre am 29.11.2015 an mich gerichtete Aufforderung zur Stellungnahme möchte ich Sie davon in Kenntnis setzen, dass ich mich im Ausland nicht länger als geplant laut meinem Visumantrag aufhalten kann, da ich neben meinem 2-jährigen Kind, das mitfliegen soll, noch einen Zwilling hier in Ägypten habe. Die beiden Zwillingskinder sind knapp 10 Monate alt. Mein erstes Zwillingskind heißt: Tomas Rafat Zakaria Riad Atwan und mein zweites heißt: Nover Rafat Zakaria Riad Atwan. Aufgrund ihres jungen Alters werden sie sich während meiner Reise nach Österreich hier in Ägypten aufhalten. Für meine beiden Zwillingskinder bin ich der einzige Versorger. Während meines kurzen Aufenthaltes in Österreich befinden sie sich vorläufig in der Obhut ihrer Großmutter, bis ich nach Ägypten zurückfliege.
Diesem Schreiben füge ich die beiden beglaubigten Geburtsurkunden meines Zwillings und deren ent-sprechende Übersetzungen bei!

Source text - German 1.1. Politische Morde.
Das Thema der politischen Morde, die nach der Auffassung vieler Orientalisten Mohammed in Medina als Reaktion auf die Schmähgedichte und Angriffe der Andersdenkenden seiner Zeit zuzuschreiben sind,, ist einer der heiklen Aspekte, die dazu beigetragen haben, das Bild Mohammeds negativ darzustellen. Paret hat Mohammed in seinem hier zu erforschenden Buch sogar als den geistigen Urheber der Mordtaten bezeichnet .
Die Tötung einiger "arabischen" Juden seitens der Muslime mit dem Argument, dass sie Schmähgedichte gegen den Propheten und die Muslime erdichtet hätten, ist für Paret ein zentrales Thema hinsichtlich der Entwicklung der Persönlichkeit Mohammeds. Als berühmtes Beispiel solcher politischen Mordtaten konzentriert sich Paret vor allem auf die Geschichte der Ermordung von Kaʿb ibn Al-ʾAšraf:
"Ein gewisser Kaʿb ibn al-ašraf hatte nach der Schlacht bei Badr in Liedern offen für die Mekkaner und gegen Mohammed Partei ergriffen. Einige von Mohammeds Getreuen übernahmen die Aufgabe, ihn umzubringen, und erhielten die ausdrückliche Erlaubnis, zu sagen, was sie für passend fänden, d.h. ihm etwas vorzulügen. Sie erschlichen sich daraufhin sein Vertrauen, lockten ihn bei der Nacht aus dem Haus und ermordeten ihn" .
Parets Darstellung dieser Geschichte konzentriert sich – wie oben dargestellt – auf die Reaktion der Muslime, ergo auf die Mordtat, wobei er darauf verzichtet hat, viele Details dieser Geschichte zu erwähnen, die verdeutlichen, warum Mohammed sich so verhalten hat. Diese von Paret nicht erwähnten Elemente der Geschichte verdeutlichen und erklären, warum Mohammed so reagierte.
Weitere Ausführungen kann man in anderen Mohammed Biographien finden. So schrieb Hans Jansen in seiner 2008 erschienenen Mohammed Biographie:
"Kaab hatte auch anstößige Gedichte über muslimische Frauen verfasst, die sich auf die Bewegung gewisser Körperteile „zwischen Ellenbogen und Fußgelenk“ bezogen und aus denen man möglicherweise Anspielungen auf die islamische Gebetshaltung herauslesen konnte" .
Aus dieser Textpassage erfährt man, dass Kaʿb ibn Al-ʾašraf nicht nur Lieder für die Mekkaner erdichtete, sondern auch begann, die Frauen der Muslime anzupöbeln, was in den islamisch-arabischen Ländern damals und heute grundsätzlich abgelehnt wird . Es wird im arabischen Diskurs als Verletzung der Ehre begriffen. In diesem Sinne kann man folglich Ka´b ibn Al-asrafs o.g. Verhalten als im damaligen Arabien hinreichenden Grund zu seiner Ermordung rekonstruieren.
Es genügt, dass wir diesen beiden Beispielen noch den Tod von Kaʿb Ibn Al- ʾašraf hinzufügen. Er war es, der sagte, als er von der Tötung der Herren Mekkas erfuhr: "Sie waren die Edelleute der Araber und die Könige der Menschen. Bei Allah, wenn Mohammed diese Leute getötet hat , so ist das Innere der Erde besser als ihre Oberfläche." Als er Gewissheit über die Nachricht hatte, war er es auch, der nach Mekka ging , um gegen Mohammed aufzuwiegeln, Gedichte vorzutragen und die Toten zu beweinen. Und er war es, der danach nach Medina zurückkehrte und begann, die Frauen der Muslime anzupöbeln.
Paret erklärt aber, dass Mohammed diese Hetzreden ausnutzte, um seine politischen Morde zu begründen:
"Um sich zu rechtfertigen brauchte Mohammed nur das entsprechende Verbrechen – Hetzreden und Schmählieder gegen die Muslime – namhaft zu machen" .
Dieser Auffassung Parets ist meines Erachtens mit der Tatsache zu begegnen, dass diese Mordtaten zu Mohammeds Zeit in diesem Gebiet normal waren, weil die Schmähdichtung im damaligen Arabien – und noch zum Teil bis heute -, zur Kriegserklärung gehörte. Entsprechendes bestätigt Paret selbst an anderer Stelle .
Die genannte Auffassung Parets widerspricht zudem seiner in einem anderen Kapitel desselben Buches dargelegten Position. An dieser anderen Stelle konstatiert Paret, dass Satiren im damaligen Arabien eine gefürchtete Waffe waren. Sie galten als hinterhältiges Kampfmittel und man schrieb ihnen eine magische Wirkung zu .
Es wurde von daher allgemein anerkannt, dass Kaʿb Mohammed ausdrücklich anfeindete und zum Kriegsführer gegen die Muslime wurde, obwohl er zu deren Verbündeten hätte gehören sollen, was nach den moralischen Maßstäben dieser Zeit ein ausreichender Grund war, bekämpft und getötet zu werden .
Bedenkt man also, dass die Dichtung damals als eine wichtige und gefährliche Waffe galt, so wird erkennbar, dass Kaʿb Ibn Al-ʾašraf den Muslimen den Krieg erklärte, was möglicherweise mit seiner Ermordung beantwortet wurde.
Translation - Arabic 1.1. الاغتيالات السياسية
تعد مسألة الاغتيالات السياسية، التي ينسبها العديد من المستشرقين إلى محمد كرد بصدد قصائد الهجاء والاعتداءات التي مارسها معارضيه ضده هو والمسلمين في المدينة المنورة في ذلك الوقت، أحد العوامل الحساسة التي ساهمت في تشويه صورة محمد كرد. ويصف باريت (Paret) في كتابه، الذي هو موضع بحثنا هنا، محمدًا بأنه هو المنظم الفكري لكل تلك جرائم القتل .
ويرى باريت أن مسألة مقتل بعض اليهود "العرب" على أيدي المسلمين بحجة أنهم ألفوا قصائد هجاء تمس النبي والمسلمين، هي مسألة جوهرية فيما يتعلق بتطور شخصية محمد. ويصب باريت جام اهتمامه في المقام الأول على قصة مقتل كعب بن الأشرف كمثال مشهور لتلك الاغتيالات السياسية:
"كان كعب بن الأشرف بعد غزوة بدر يمدح المكيين ويهجو محمدًا وأصحابه، فأراد بعض أتباع محمد أن يقتلوه، فأذن لهم محمد أن يقولوا ما يروه مناسبًا – أي يكذبوا - حتى يستدرجوا كعبًا للقيام بهذه المهمة، فذهبوا إليه خلسة وتحدثوا معه ليلًا حتى حظوا بثقته فيهم واستدرجوه للخروج من المنزل وقتلوه" .
كما أوضحت آنفًا - يركز باريت في عرضه لهذه القصة فقط على رد الفعل المسلمين وعملية القتل، بينما يتجاهل ذكر تفاصيل كثيرة تبرر مثل هذا السلوك من محمد، حيث توضح هذه التفاصيل – التي لم يذكرها باريت - بشكل جلي دوافع محمد للرد بهذه الطريقة.
للمزيد من التفاصيل حول هذه المسألة يمكن الاطلاع على مؤلفات أخرى بشأن السيرة الذاتية لمحمد. يقول هانز يانسن (Hans Jansen) في كتابه المنشور عام 2008م عن السيرة الذاتية لمحمد:
"وكان كعب قد كتب أيضا شعرًا مسيئًا لنساء المسلمين واصفًا فيه حركة بعض أجزاء الجسم "بين الكوع والكاحل"، كما يمكن أن نجد فيه أيضًا نوعًا من السخرية والتهكم على وقوف المسلمين في الصلاة."
يبدو جليًا من هذه العبارات أن كعب بن الأشرف لم يكن فقط يمدح المكيين، بل وصل الأمر إلى حد التشبيب بنساء المسلمين، وهو أمر مرفوض تمامًا في البلدان العربية الإسلامية منذ قديم الزمان وحتى الآن، حيث يُعد انتهاكًا للشرف في الخطاب العربي، وهو ما يدفعنا للقول بأن هذا السلوك من كعب بن الأشرف في بلاد العرب حين ذاك سبب كافي لقتله.
أرى أنه يكفي أن أضيف لتصرف كعب سالف الذكر هذين المثالين التاليين كأسباب لمقتله:
الأول: أنه هو من قال عند ما سمع بمقتل سادة مكة: "إنهم أشراف العرب وملوك الناس، والله إن كان محمد أصاب هؤلاء القوم لبطن الأرض خير من ظهرها."
الثاني: عندما تأكد من الخبر، كان هو من ذهب أيضًا إلى مكة ليحرض المكيين على محمد وينشد الأناشيد ويندب الموتى، كما أنه هو من عاد إلى المدينة بعد ذلك وبدأ يشبب بنساء المسلمين حتى أذاهنّ.
و مع ذلك، يرى باريت أن محمدًا استغل هذه الاعتداءات اللاذعة لتبرير اغتيالاته السياسية:
"ولكي يبرئ نفسه لم يكن محمد يحتاج إلا إلى ذكر الجريمة الملائمة لذلك – الكراهية العلنية وقصائد الهجاء ضد المسلمين."
وأرى أن رأي باريت في هذه النقطة تحديدًا يتفق مع الإقرار بأن جرائم القتل تلك كانت مألوفة في عصر محمد في هذه المنطقة، حيث كان الهجاء – ولا يزال حتى يومنا هذا نوعًا ما - من أسباب قيام الحروب في بلاد العرب، وهذا ما يؤكده باريت نفسه في موضعٍ آخر.
بينما يتعارض رأي باريت سالف الذكر – عن استغلال محمد لهذه الأناشيد - مع رأيٍ آخر له في فصل آخر في الكتاب نفسه، حيث يؤكد في ذلك الموضع الآخر أن الهجاء كان سلاحًا مُهابًا في البلدان العربية حينذاك، حتى أنه كان يُعد كوسيلة فتاكة في الحروب لما له من تأثير سحري على العدو.
ومن هنا تم الاتفاق عمومًا على أن كعبًا كان يكن عداءً صريحًا لمحمد ويتزعم الحروب ضد المسلمين، بالرغم من أنه كان أحد حلفائهم، وهو ما كان سببًا كافيًا لقتاله وقتله وفقًا للمعايير الأخلاقية في ذلك الوقت.
وإذا وضعنا في اعتبارنا أن الشعر كان سلاحًا مهمًا وخطيرًا في ذلك الوقت، فيمكننا القول بأن كعب بن الأشرف هو من أعلن الحرب على المسلمين وليس العكس، وهو ما قوبل بقتله.

I am writing this email in regards to the complaint I filed on two of your sales assistants at Mothercare's City Stars branch.
On August 30th 2014, my husband and I walked into Mothercare's Lebanon street store to purchase nursery furniture and were met by a sales assistant under the name of Karim. He helped us with our purchase and informed us that the store will contact us once our nursery furniture (a cot, a crib and a changing table)was available for pick up from the store. On the day of the pick up, my husband went to the store and since he could not fit all of the items in his car, Karim, the sales assistant, offered to send them with a taxi to our house that is located parallel to Lebanon street. Karim, delivered the items to our house and was paid 30 pounds for the taxi fees and my husband gave him an extra 50 pounds as his tip.
On Monday November 20th I called the Lebanon store to send someone to assemble the nursery, but the land-line that is provided on Yellowpages never picked up, so I called the sales assistant himself to request someone to come over and assemble them. He called me back later that day and notified me that the store will send me someone on Wednesday, the 22nd of October. I asked him if there would be fees to be paid and he said yes. He said that assembling the changing unit costs 140 and assembling the cot costs 120. I answered by saying that as far as I know, Mothercare delivers and assembles furniture with no extra cost, especially given that we had already paid a great sum of money for the furniture. He answered by saying that he had already notified my husband about these costs when he delivered the items.
On the set date, November 22, Karim and another sales person came to my house (they were not wearing a uniform), I was surprised that I was not sent specialised workers to assemble the furniture, especially given that they did not have an equipment, only a small messenger bag that the other sales assistant carried. After they were done, they asked for their money and even said that they assembled the crib for me for free- I paid them 300 pounds.
I was again surprised when they did not provide me with a receipt from Mothercare and this is why I went to the City Stars store and asked whether delivery and assembly are for free. I met with Mr. Sherif, the assistant brand manager and he was extremely helpful. He knew Karim straight away and even when I described the other person vaguely, he was able to know him.
This whole issue is extremely disappointing to my husband and I, even though we are partially blamed for not double checking with the store. We have been extremely loyal customers to the stores in Cairo, London and Dubai and have bought thousands and thousands worth of products(the nursery furniture, the complete Stokke Xplory travel system, baby clothes,maternity necessities,etc) but this issue made me extremely concerned about our safety as both men know where we live. Hence, I would really appreciate it, and as I have notified Mr.Sherif and Mrs. Suzy, if the two men are not informed of who filed this complaint. I trust that you will take this matter seriously and take the required action(s). I would also really appreciate it if you could send me the specialised personal to make sure that the furniture was assembled correctly and safely as I will not trust my baby sleeping on any of it now.

المقدمة
لما كان العالم مثل القرية الصغيرة اصبحت التعاملات التجارية سرعة جدا وتطورها سريع جدا وأصبح التجار سواء افراد او شركات يسارعون في التطور التجاري.
نشأت فكرة عقود الفرانشايز وهي عقود نشأت حديثة واخذت تتطور بسرعة حيث ان الفكرة نشأت في الولايات المتحدة الامريكية من قبل بعض التجار الاذكياء في حقيقة الفكرة هي انتشار للمنتج والماركة التجارية والسلعة ذاتها مع تمدد الجغرافي وكذلك خدم التاجر المانح يسمى باللغة الانجليزية franchisor.
للشخص الممنوح لة يسمى باللغة الانجليزيةfranchisee
.
وهنا تكون الصعوبة في السيطرة والمراقبة على جودة الاداء لذلك تدخل القانون لاضفاء الحياد ، الشرعية ، السيطرة و المراقبة على طبيعة الاعمال التي تكون بين اطراف المتعاقدة .
" تعريف عقد الفرانشايز “franchising
لا يوجد تعريف واحد معتمد لحق الامتياز ( الفرنشايز) حيث يختلف تعريف حق الامتياز (الفرنشايز) من بلد لآخر وذلك باختلاف الهيئة أو الجهة التي وضعت هذا التعريف
لكن ما اصطلح عليه هو ان الفرنشايز او الامتياز التجاري عقد يقوم أحد طرفيه (المانح للامتياز ) بالموافقة للطرف الآخر (الممنوح له الامتياز ) على استخدام حق أو أكثر من حقوق الملكية الفكرية والصناعية أو المعرفة الفنية لإنتاج السلعة أو توزيع منتجاته أو خدماته تحت العلامة التجارية للمانح ووفقاً لتعليماته وتحت إشرافه، حصرياً في منطقة جغرافية معينة ولفترة محددة مع التزامه غالباً بتقديم المساعدة الفنية، وذلك نظير مقابل مادي.
ولعلنا من هذا التعريف نصل الى هدفان من التعريف الاول، يكمن في تحقيق وتوفير شكل موحد وثابت لشبكة الترخيص Outlets (مجموعة المرخص لهم Franchisees) بهدف تعزيز السمعة التجارية للمشروع المرخص. اما الهدف الثاني، فيكمن في ضمان جودة المنتجات أو الخدمات المقدمة للجمهور to insure the quality of products and services provided to the public، تلك الجودة التي يحرص المرخص عليها اشد الحرص. والسبب في ذلك يعود إلى ان هذه الجودة مرتبطة بالعلامة التجارية أو بالسمعة التجارية للمشروع المرخص لة.
ومن عقد الامتياز كغيره من العقود على الإرادة (أي تراضي المتعاقدين) والإرادة يجب أن تتجه إلى غاية مشروعة، وعليه يمكننا القول بأن لعقد الامتياز ركنان أساسيان هما:
- الركن الأول: التراضي:
التراضي هو تطابق إرادتين أي أن تتطابق إرادة الطرف الأول (مانح الامتياز) مع إرادة الطرف الثاني (الممنوح حق الامتياز) بالالتزام بعلاقة تعاقدية بينهما ضمن شروط وضوابط معينة
- الركن الثاني: السبب:
يمكن تعريف السبب بأنه الغرض المباشر الذي يقصد الملتزم الوصول إليه من وراء التزامه، وفي عقد الامتياز يكون الغرض من التزام الطرف الأول (مانح الامتياز) عادة هو الحصول على مقابل مادي (نقدي) أو الحصول على مزايا أو مصالح اقتصادية. أما الغرض من التزام الطرف الثاني (الممنوح حق الامتياز) فيكون عادة الحصول على حق استخدام حقوق الملكية الفكرية والصناعية أو المعرفة الفنية التي يمتلكها الطرف الأول.

يعتبر عقد الامتياز من عقود نقل التكنولوجيا الذي تعد المعرفة محلاً له، والمعرفة عبارة عن معلومات تكنيكية سرية، تعطي صاحبها ميزة على منافسيه الذين لا يعرفونها، قد تكون لإنتاج سلعة معينة عن طريق استغلال براءة اختراع أو رسوم أو نماذج صناعية، كما قد تكون لتوزيع منتجات معينة تحمل علامة تجارية شهيرة أو لتقديم خدمات مميزة وذلك وفقاً لنظام عمل محدد.
- شرط القصر (تحديد التعامل):
تعريفه: هو التزام أحد طرفي العقد بالتعامل فقط مع الطرف الآخر. ومن الناحية العملية يكون نطاق شرط القصر من ناحيتين:
أ. نطاق تبادلي: يفرض شرط القصر قيداً على حرية كلٍ من مانح الامتياز والممنوح فلا يستطيع المانح توريد منتجاته أو خدماته في المنطقة التي يحددها العقد إلا للممنوح الذي بدوره يتوجب عليه عدم التزود بهذه المنتجات إلا من مانح الامتياز.
ب. نطاق جغرافي: يجب اتفاق طرفي العقد على منح حق الامتياز (الفرنشايز) ضمن نطاق محدد بمدينة أو شارع محدد لوحدة معينة، ويجب أن يحرص طرفا العقد على تجنب أي غموض في تحديد النطاق الجغرافي للامتياز وتوضيح الحدود الفاصلة بين مناطق النشاط الأخرى.
حقوق الملكية الفكرية:
وتتمثل تلك الحقوق في أشكال متعددة منها ( العلامة التجارية، براءة الاختراع، حقوق المؤلف) وأكثرها شهرةً العلامة التجارية التي تتمثل في شكل مميز سواء كانت أسماء أو كلمات أو رسوم تصبح بها العلامة رمزاً لمعنى معين يوحي بصفات معينة للسلعة التي يحملها، وتميزها عن السلع المنافسة، وهي من العناصر الأساسية لعقد الامتياز، ويجب أن يتوافر للعلامة التجارية المعايير التالية:
أ. أن تكون علامة مسجلة قانونياً باسم مانح الامتياز في بلده.
ب. أن تكون قابلة للتسجيل في بلد الممنوح حق الامتياز (الفرنشايز).
ج. أن لا تكون مخالفة للنظام العام والآداب.
د. أن تكون مميزة وغير مضللة للجمهور.
المساعدات الفنية:
امتداداً لنقل المعرفة الفنية، يلتزم مانح حق الامتياز بتقديم المساعدات الفنية والتجارية وأحياناً القانونية للممنوح وتعتبر المساعدات الفنية من العناصر الأساسية لعقد الامتياز.
ويستمر التزام مانح الامتياز بتقديم هذه المساعدات خلال الفترات المختلفة لتنفيذ عقد الامتياز، فهناك مساعدات قبل افتتاح المحل ومساعدات بعد الافتتاح من تسويق وحملات دعاية وإعلان وتطوير المنتجات وغيرها من المساعدات.
المقابل المادي:
يعتبر تحديد المقابل المادي من أهم العناصر الأساسية لحق الامتياز (الفرنشايز) لكل من طرفي التعاقد للأسباب التالية:
أ. تجنب النزاعات المستقبلية الناتجة عن أسس المحاسبة لبنود تنفيذ التعاقد.
ب. الأساس القوي لاحتساب جدوى إقامة المشروع ولذا فإن أي تعديل على شروط التعاقد المادية يؤثر على النتائج المقدرة للمشروع.
ج. الدافع لاستمرار المانح في تقديم المعونات والمعرفة اللازمة لتنفيذ بنود التعاقد مما يساعد على استمرارية المشروع ونجاحه.
وقد اشار القانون التجاري الكويتي وهي المادة الوحيدة في القانون التجاري الكويتي حول حول فلسفة عقود الفرانشايز في جزئية عدم جواز التصرف باالمشروع مستقلا عن العلامة التجارية فلزمهم معا في الاستخدام .
نص المادة 82 من قانون التجارة الكويتي واضح من قراءته للوهلة الاولى وهو عدم جواز التصرف في العلامة التجارية مستقلة عن المشروع.
فالمادة المذكورة تنص على أنه: "لا يجوز نقل ملكية العلامة أو رهنها أو الحجز عليها الا مع المتجر أو المستغل الذي تستخدم العلامة في تمييز منتجاته”.
محمكة التمييز الكويتية توسعت بشأن الموضوع وتركت لقاضي حرية واسعة وتؤكد محكمة التمييز الكويتية على ان تقدير وجود تشابه بين علامتين من شانه ان يخدع جمهور المستهلكين من عدمه هو من مسائل الواقع التي يستقل بها قاضي الموضوع بغير معقب متى اقام قضاءه على اسباب تبرر النتيجة التي انتهى إليها.
وهذا مانص علية المشرع الكويتي وكذلك ماسلكة القضاء الكويتي من ناحية عقود الفرانشايز .
وقد سلك التجار وبالاخص غرفة التجارة والصناعه الكويتية وكذل صندوق الدعم للمشروعات الصغيرة الى توسع اكثر بحيث في اللجوء الى التحكيم في حال وجود اي اخلال فالعقد بين المتعاقدين .

Translation - English Franchising
Introduction
The world is becoming a small village and business transactions have been developed to occur very rapidly. Traders -whether individuals or companies- have hastened to cope with the latest business developments. The concept of franchising was developed in the United States of America by some smart traders. In essence, franchising involves a goal of distributing the same products, goods and trademarks via geographical expansion. The granting party is called the franchisor and the receiving party is called the franchisee and is accomplished through modern contracts that were an innovation in their beginnings.
For the franchisor it is difficult to control and ensure performance quality. Therefore, new laws came to support and defend both the franchisor and the franchisee. These laws concern neutrality, legitimacy, control and supervision of the nature of businesses between the contracting parties.
The Definition of Franchising
There is no single definition of franchising as it varies from one country to another according to the authority or governing body tasked with implementing the legal definitions and regulations.
It is widely understood that a franchisee holds a contract where one party (the franchisor) approves the right of another party (the franchisee) to use one or more of the intellectual and industrial property rights or the technical knowledge for goods production or the distribution of products or services under the trademark of the franchisor. By their nature, these involve exclusive areas in a specified geography and for a defined period, according to the franchisor's instructions and supervision. The franchisor is often committed to providing technical assistant in return for financial compensation.
This definition suggests two goals: first, franchises provide for a unified and fixed form for the franchise network product(s) (franchisors’ outlets) that aims at promoting the commercial reputation of the franchising project. The second goal is to ensure the quality of products and services provided to the public, as the franchisor is very keen to always, everywhere achieve such quality. This links quality to the trademark or the commercial reputation of the franchising project.
Franchises, like any other type of contract, are based on will (i.e. mutual consent) and must be directed to a lawful purpose. Therefore, we can conclude that a franchise has two basic elements:
- The first element: Acceptance
Acceptance is the conformity of two wills, i.e. the will of the first party (the franchisor) is conformed to by the will of the second party (the franchisee) to abide by a contractual relation between them under certain terms and controls and vice versa.
- The second element: Purpose
The purpose can be defined as the direct end which is intended by the committing parties through their commitments. In franchises, the purpose of the first party (franchisor) is usually gaining financial compensation (cash) or economic advantages or interests. The purpose of the second party (franchisee) is usually that of gaining the right to use the franchisor’s intellectual and industrial property rights and the know-how which the first party possesses.
The Basic Elements of Franchising
The technical knowledge
Franchising involves types of contracts concerned with transmitting technology, where knowledge is a subject thereof. Knowledge is the confidential technical information that gives the party owning it an advantage over its competitors who do not possess such information. It may be for the production of a certain commodity through the use of a patents, designs or industrial models. Or it may be for distributing certain products under a renowned trademark or for the provision of special services, according to specific work system.
Exclusivity condition (the limitation of business)
This condition is defined as the commitment of one party to conduct its business exclusively with other party within a specified geography. In practical terms, the scope of the exclusivity condition has two aspects:
a. Commutative scope: where the exclusivity condition limits the freedom of both the franchisor and the franchisee such that the franchisor can provide its products or services in the area defined by the franchise only to the franchisee, who is in turn obliged to not procure such products except from the franchisor.
b. Geographical scope: the two parties of a franchise should agree to grant a franchise within a certain scope; in a specific city or street for a given unit. The two parties must avoid any ambiguity concerning the determination of the geographical scope of the franchise and the limits clarifying other activity areas.
Intellectual Property Rights:
These rights have multiple forms, including (trademark, patent and copyright). The most famous one is the trademark. It is a unique form whether names, words, or designs, by which the trademark becomes a symbol with a certain meaning that conveys specific features of the product bearing it. These distinguish such products from other competing products. It is one of the basic elements of franchises.
All trademarks must fulfill the following criteria:
a. Be legally registered by the franchisor in his country.
b. Be eligible for registration in the country of the franchisee.
c. Not be contrary to morals and the public order.
d. Be distinguishable and not misleading to the public.
Technical Assistance:
As an extension to transferring the technical know-how, the franchisor is committed to provide the franchisee with technical, commercial and sometimes legal assistance. Technical assistance is one of the basic elements of the franchise.
The commitment of the franchisor to provide such assistance should continue during the different periods of the franchise implementation as there are types of assistance prior to the opening of the store, and other types after the opening, such as marketing, advertising campaigns and product development, etc.
Financial Compensation:
The determination of the financial compensation is the most fundamental element of the franchise for both parties for the following reasons:
a. Avoiding future disputes arising from the accounting bases for the implementation of the contract items.
b. Being a solid basis for calculating the feasibility of the project and, therefore, any amendment to the financial contractual terms affect the estimated results of the project.
c. Being a motivation for the franchisor's constant provision of the necessary assistance and knowledge to implement the contractual items, thereby helping in the continuity and success of the project.
The Commercial Code in Kuwait has demonstrated, in a single article therein, the philosophy of franchises in the part related to the inadmissibility of any disposition regarding the project independently of the trademark, thus, the law ties them together in usage.
Article (82) of the Kuwaiti Commercial Code clearly indicates the inadmissibility of any disposition regarding the trademark independently of the project.
The said article provides that: "Any assignment, mortgage or confiscation of a trademark shall only be made with the store or exploiter using it for distinguishing its products."
The Kuwaiti Court of Cassation has a loose view on the subject and allowed for considerable attitude for judges. It has affirmed that determining whether the existence of two similar marks may deceive customers is a matter of fact where the trial judge shall decide on his own discretion without any judicial comment thereto as long as his final judgment is based on reasonable justifications.
This is what is stipulated by the Kuwaiti legislature as well as what was pursued by the Kuwaiti courts regarding franchising.
Traders, especially the Chamber of Commerce and Industry of Kuwait and the Kuwait Small Projects Development Company, have gone further as they have resorted to arbitration in cases of breach of the franchise by any party.
