REGLAMENTO DE CONDOMINIO Y ADMINISTRACIÓN
En cumplimiento de los artículos treinta y tres y treinta y cuatro de LA LEY, se constituye el Reglamento de Condominio y Administración del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”, el cual regulará las relaciones de los condóminos propietarios:
CAPITULO PRIMERO: DEFINICIONES. Para todos los efectos de este Reglamento, las palabras destacadas se entenderán bajo las siguientes definiciones: ADMINISTRADOR: La persona física o jurídica nombrada para ejercer la administración del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”, conforme el procedimiento descrito en este Reglamento, y con las facultades que le confiere este Reglamento. APARTAMENTO RESIDENCIAL: Las Fincas Filiales Primarias o Secundarias dedicadas a la habitación de las personas. AREAS O ELEMENTOS COMUNES: Como áreas comunes deberán entenderse todas aquellas zonas destinadas para el uso y disfrute común, dentro de las cuales pueden mencionarse las siguientes, sin pretender ser una lista taxativa: áreas verdes, espacio destinado para la circulación peatonal o pasillos aceras, calles, accesos, puestos de vigilancia, subestaciones eléctricas, tanques de captación, sistemas de agua potable, sistemas de incendio, plantas de tratamiento, casetas de bombeo, casetas de control, además de aquellas que se señalen como tales en la Ley, los planos constructivos y la escritura de constitución del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”. Todas las áreas comunes deberán respetar además las regulaciones adicionales que les sean aplicables, por ejemplo las relativas a distancias por pasillos entre fincas filiales, establecidas por el Instituto Nacional de Seguros, que a la fecha de promulgación de este Reglamento, es de un metro con veinte centímetros. AREA COMUN DE USO RESTRINGIDO: Serán aquéllas áreas comunes que la Asamblea de Condóminos determine por votación de las dos terceras partes del valor total del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”, que deben ser utilizadas únicamente por uno o varios condóminos específicos, debido a sus necesidades de operación comercial dentro del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”, por la ubicación del área común o por cualquier circunstancia que a juicio de la Asamblea de Condóminos justifique que se restrinja el uso y disfrute de un área común a uno o varios condóminos específicos, ya sea por su solicitud expresa a la Asamblea o porque la Asamblea así lo determine. AREA PRIVATIVA: Cada una de las Fincas Filiales Primarias del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”. CONDOMINIO PRIMARIO: El “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”. CONDOMINIO SECUNDARIO: Aquél que será conformado mediante la afectación al Régimen de Propiedad en Condominio de cada Finca Filial Primaria Individualizada del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON
FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”. CONDOMINOS O PROPIETARIOS: Son las personas físicas o jurídicas, establecidas o no en el “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”, que tienen título de propiedad sobre las fincas filiales de dicho Condominio, y que en consecuencia son los titulares de los derechos y obligaciones que para los Condóminos establecen la Ley y este Reglamento. CUOTA DE MANTENIMIENTO ORDINARIA O EXTRAORDINARIA: Parte proporcional de los gastos comunes que los condóminos están obligados a cancelar, y que serán fijadas de conformidad con el valor porcentual de su propiedad privativa o finca filial con respecto al valor total del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”. La cuota ordinaria se refiere a los gastos comunes ordinarios según la Ley, el Reglamento del Condominio y el presupuesto aprobado por la Asamblea de Condóminos, y la cuota de mantenimiento extraordinaria se refiere a los gastos comunes extraordinarios aprobados por la Asamblea de Condóminos. DOLARES: Moneda de curso legal de los Estados Unidos de América. ESCRITURA CONSTITUTIVA: La Escritura Pública de Constitución del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”, que conste inscrita en el Registro Público. ESTACIONAMIENTOS: Son las Fincas Filiales Primarias que se dediquen exclusivamente a este destino o aquéllas áreas ubicadas dentro del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU” que sean designadas como tales para el aparcamiento de vehículos livianos, de carga liviana o carga pesada, y vehículos de transporte colectivo. Los estacionamientos podrán ser utilizados libremente por los condóminos y todas las personas autorizadas por los mismos, tales como sus arrendatarios, visitantes, trabajadores y personal administrativo. No obstante, el uso de estacionamientos estará regulado en forma específica en el Reglamento de cada Condominio Secundario, y en particular, el uso de los estacionamientos para los ocupantes de oficinas, estará restringido los días sábados, domingos y feriados, para favorecer las actividades comerciales y turísticas en el “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”. Podrán generar o no el pago de cuotas de mantenimiento o una proporción de las mismas, según lo defina el Reglamento o la Asamblea de Condóminos. ESTACIONAMIENTOS PRIVADOS: Fincas Filiales destinadas al estacionamiento privado y exclusivo de una persona o empresa o en particular, dedicadas al aparcamiento de vehículos livianos, o zonas específicas asignadas y que serán regulados por cada Reglamento de Condominio Secundario, los cuales podrán generar o no el pago de cuotas de mantenimiento o una proporción de las mismas, según lo defina el Reglamento o la Asamblea de Condóminos. Estas fincas filiales podrán ser destinadas al entretenimiento y espectáculos públicos temporales, previa aprobación de la Administración. FINCA FILIAL PRIMARIA: Cada una de las Fincas Filiales que conforman el “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU” como resultado de su constitución, debidamente identificadas por un folio real independiente e inscrito en el Registro Público, todas las cuales constituyen las áreas privativas del Condominio. Estas Fincas Filiales podrán ser destinadas al entretenimiento y espectáculos públicos temporales, previa aprobación de la Administración y
mientras no tengan constituido un Condominio Secundario en ellas. FINCA FILIAL SECUNDARIA: Cada una de las Fincas Filiales que conforman a los Condominios Secundarios, debidamente identificadas por un folio real independiente e inscrito en el Registro Público, todas las cuales constituyen las áreas privativas del Condominio Secundario específico. Las Fincas Filiales Secundarias tendrán las siguientes categorías de uso: Local Comercial, Local de Comidas y Bebidas, Local de Cine, Local de Oficinas, Apartamento residencial, Hotel, Estacionamiento Privado, todos definidos en este Reglamento. Lo anterior de conformidad con la escritura de constitución del Condominio Secundario, por lo que las Fincas Filiales Secundarias no podrán ser destinadas para otro fin distinto del que motivó su creación. GASTOS COMUNES: Se entenderán por gastos comunes aquellos que se refieren a la administración y mantenimiento del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”, establecidos en la Ley, este Reglamento y aquellos que señale la Asamblea de Condóminos por resolución unánime del cien por ciento de los mismos, particularmente y sin limitarse a: i) Los gastos comunes, gastos de mantenimiento de los bienes comunes, modificación y reparación de los bienes comunes del Condominio.; ii) El pago de primas de los seguros que cubran las obras civiles del Condominio sean seguro de incendio, rayos, riesgos profesionales y responsabilidad civil. La póliza de responsabilidad civil, para el caso específico de daños a los vehículos, solamente cubrirá los daños al vehículo y no el robo, hurto o daño a los bienes que se encontraren dentro del vehículo. Las construcciones comunes deberán estar permanentemente aseguradas contra incendio y terremoto por la suma que establezca la Asamblea de Condóminos, siendo de competencia del Administrador suscribir las pólizas y velar por su vigencia. El Administrador podrá de manera discrecional además contratar otros seguros que sean necesarios para la adecuada cobertura y protección de los bienes y personal que labore para el Condominio; iii) El pago de los impuestos, tasas nacionales o contribuciones fiscales o municipales que graven las áreas comunes del Condominio, así como cualquier otra carga obligatoria, las áreas y cosas comunes del mismo; iv) Los gastos de administración, mantenimiento, limpieza y los gastos por concepto de seguridad y control de accesos vehiculares y de personas al Condominio, así como los gastos que hiciese el Administrador en el ejercicio de sus funciones; v) Los honorarios fijados para el Administrador; vi) Los gastos por concepto de servicios profesionales que se contraten para el Condominio Secundario, sean éstos legales, de contabilidad, auditoria, topografía, y cualquier otro servicio profesional que sea necesario contratar para cubrir necesidades comunes a todos los condóminos del Condominio; vii) El pago de servicio de recolección de basura; viii) Los que ocasione el mantenimiento de servicios especiales en las áreas comunes del Condominio Secundario, tales como alumbrado eléctrico, consumo de agua y electricidad para áreas comunes; ix) El costo de las innovaciones, reparaciones y/o mejoras que se hiciesen en el Condominio o en sus cosas comunes, debidamente autorizados por la Asamblea de Condóminos y la Administración, cuando éstas sean necesarias, así como las que hubiera que efectuar por orden de las autoridades públicas competentes. Además de aquellos que señale la Asamblea de Condóminos por recomendación de la Administración del Condominio en cumplimiento de sus obligaciones. x) Los costos para la apropiada atención y cumplimientos de compromisos ambientales que deba respetar el Condominio Secundario; xi) Los gastos destinados por la Administración para el mantenimiento de las áreas de parqueos
comunes, y xii) El pago de la publicidad institucional y eventos públicos del Condominio. En consecuencia, los gastos que se requieran para la actividad específica de las Fincas Filiales Primarias o Secundarias no serán considerados gastos comunes y deberán ser cancelados en su totalidad por el condómino interesado. HORARIOS MINIMOS DE OPERACIÓN: El “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU” operará bajo horarios mínimos definidos por tipo actividad en cada una de sus Fincas Filiales Primarias, de conformidad con el Reglamento que se defina para cada Condominio Secundario. En todo caso, la definición de horario mínimo implica que el propietario o arrendatario de la finca filial en particular, puede abrir su negocio comercial más temprano que el horario especificado, y cerrar más tarde con previa aprobación de la Administración de cada Condominio. HORARIO DE ABASTECIMIENTO: Es el horario de carga y descarga de mercadería, para los locales que no tengan abastecimiento propio. En aquellos locales que, aunque tenga abastecimiento propio, es necesario que el mismo se dé mediante la utilización de furgones o grandes camiones que además necesiten parte del parqueo público para maniobrar, será responsabilidad del propietario del local que dicho vehículo y sus maniobras no entorpezcan la normal operación del Condominio. Los horarios de abastecimiento serán definidos en el Reglamento del Condominio Secundario y en todo caso por la Administración. HOTEL: Las Fincas Filiales Primarias o Secundarias dedicadas al servicio turístico de hotelería con todos sus servicios relacionados o accesorios. LEY Y SU REGLAMENTO: Ley Reguladora de la Propiedad en Condominio, Ley Numero siete mil novecientos treinta y tres, del veinticinco de noviembre de mil novecientos noventa y nueve, y sus reformas, y el Reglamento a la Ley Reguladora de la Propiedad en Condominio, Decreto Número Treinta y Dos Mil Trescientos Dos – H, publicado el diecinueve de abril del año dos mil cinco; y sus reformas, o la ley y reglamentos futuros legalmente sustitutivos de los anteriores. LOCAL COMERCIAL: Las Fincas Filiales Secundarias destinadas a establecimientos comerciales en general, diferentes del cine y de las comidas y bebidas, y que incluye las oficinas de todo tipo de actividades. Estas fincas filiales también pueden ser destinadas al entretenimiento y espectáculos públicos temporales, previa aprobación de la Administración. LOCAL DE COMIDAS Y BEBIDAS: Las Fincas Filiales Secundarias destinadas a establecimientos de expendio de comidas y bebidas al público, tales como pero no limitados a restaurantes de todo tipo, bares, cafeterías, heladerías, ventas de golosinas, entremeses o tentempiés, y comidas rápidas para llevar. LOCAL DE CINE: Las Fincas Filiales Secundarias destinadas a la proyección cinematográfica, con salas de butacas para el público. LOCAL DE OFICINAS: Las Fincas Filiales Secundarias destinadas a la prestación de servicios en general o de servicios profesionales al público, las cuales se incluyen en los locales comerciales como actividad. PROVEEDOR DE SERVICIOS: La persona física o jurídica que el Administrador del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”estará facultado a contratar para que provea los servicios de disfrute común que los condóminos pagan a través de su cuota de mantenimiento, tales como pero no limitados a servicios de reparación, mantenimiento, construcción, seguridad y limpieza. PUBLICIDAD INSTITUCIONAL: La publicidad común del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”, que se cubre a través de la cuota de mantenimiento y que se refiere a las actividades del Condominio en general, y no las de una Finca
Filial particular. REGLAMENTO PRIMARIO o REGLAMENTO: El Reglamento de Condominio y Administración del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU” que se encuentre vigente en el momento de consulta. La vigencia se establecerá mediante la inscripción más reciente que se haya realizado en el Registro Público de dicho Reglamento más todas sus reformas inscritas. REGLAMENTO SECUNDARIO: El Reglamento de Condominio y Administración del Condominio Secundario en particular que se encuentre vigente en el momento de consulta. La vigencia se establecerá mediante la inscripción más reciente que se haya realizado en el Registro Público de dicho Reglamento más todas sus reformas inscritas. El Reglamento del Condominio Secundario estará sujeto al respeto de las estipulaciones del Reglamento del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU” o condominio primario, las cuales se conceptúan como reglas generales principales a replicar en el Reglamento del Condominio Secundario, pero podrá elaborar, armonizar y contener reglas específicas aplicables a la finalidad y a los usos del Condominio Secundario, siempre y cuando no contradiga, anule o convierta en ineficaces las estipulaciones del Reglamento del Condominio Primario. TRABAJADORES: Personas físicas en general que prestan sus servicios personales a las empresas o negocios comerciales instalados en el “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”. VALOR PORCENTUAL DE PROPIEDAD PRIVATIVA: Es el porcentaje de valor establecido en la constitución del Condominio para cada Finca Filial con relación al valor total del Condominio y que determinan: (i) El valor proporcional de cada Finca Filial con relación al valor total del Condominio; (ii) El valor del voto que le corresponde a cada condómino en las Asambleas de Condóminos; (iii) La proporción en la que debe contribuir cada Finca Filial a los gastos comunes y al fondo de reserva. Todo de conformidad con el presente Reglamento; VISITANTES: Son las personas que visitan el “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU” por cualquier concepto, ya sean invitadas por la Administración o por los condóminos, arrendatarios, ocupantes o poseedores por cualquier título, o aquellas personas que son clientes de los negocios comerciales instalados en el “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”. CAPITULO SEGUNDO - ALCANCES Y VIGENCIA: ARTICULO PRIMERO.- Obligatoriedad: Este Reglamento de Condominio y Administración es de acatamiento obligatorio para todos los condóminos, arrendatarios, ocupantes o poseedores a cualquier título derivado de la propiedad en condominio, así como para los visitantes en lo que les resultare aplicable, del. De igual manera será de acatamiento obligatorio para los sucesores de esos derechos o derechohabientes a cualquier titulo, arrendatarios o subarrendatarios, así como para toda persona, sea física o jurídica, que por contrato privado o resolución judicial, adquiera la propiedad, la posesión, el uso y goce sobre cualquiera de las Fincas Filiales Secundarias. Todo propietario que alquile, preste o conceda el uso y usufructo del cualquier Finca Filial Secundaria, estará en la obligación de hacer constar en cada contrato de alquiler, uso o usufructo, la obligatoriedad del co-contratante respectivo de respetar y acatar todas las disposiciones del Reglamento Secundario y de la Asamblea de Condóminos del “CONDOMINIO HORIZONTAL COMERCIAL RESIDENCIAL
TURISTICO CON FINCAS FILIALES PRIMARIAS INDIVIDUALIZADAS AVENIDA ESCAZU”. ARTICULO SEGUNDO.- Inderogabilidad: Cualquier pacto de reserva celebrado entre las personas mencionadas en el artículo anterior, que en alguna forma altere, modifique o derogue el régimen jurídico establecido por la Ley y el Reglamento es nulo, y por consiguiente no tendrá efecto alguno entre los condóminos o respecto a terceros. Contra las disposiciones del presente Reglamento no podrá alegarse ignorancia, desuso, práctica o costumbre en contrario. ARTICULO TERCERO.- Vigencia: Este Reglamento entrará en vigencia al quedar inscrito en el Registro inmobiliario. Cualquier reforma de este Reglamento, así como la emisión de un nuevo texto, corresponderá únicamente, y en forma exclusiva, a la Asamblea de Condóminos, mediante decisión unánime del cien por ciento del Condominio, de conformidad con lo que establece el articulo veintisiete, inciso cinco, de la Ley. Según lo anterior, cualquier reforma o la redacción de un nuevo Reglamento, deberá constar en escritura pública, e inscribirse en el Registro Público para poder establecer que se encuentran vigentes y aplicables. CAPITULO TERCERO - BIENES PRIVATIVOS Y BIENES COMUNES: ARTICULO CUARTO. a) Bienes Privativos. Este Condominio consta de DOCE Fincas Filiales Primarias individualizadas destinadas a actividades comerciales, residenciales, turísticas (hoteleras) y de oficinas, y que constituyen los bienes privativos. Se exceptúan expresamente los usos no conformes establecidos en el Plan Regulador del Cantón de Escazú, y demás normativa aplicable. Cada una de las filiales se ha identificado por medio de un número correspondiente a la Finca Filial que consta inscrito en el Registro Público. Los condóminos podrán usar, gravar y enajenar su propiedad individual, con las limitaciones y prohibiciones que la Ley y el Reglamento les impongan. Cada propietario tiene el dominio exclusivo de todo lo que constituya y forme parte integrante de su Finca Filial y que no tenga carácter de cosa común, tales como: (i) Las partes y divisiones interiores, las ventanas, el cielo raso, los acabados y la superficie interior de las paredes externas o medianeras. Los estacionamientos privados incluyen dentro de su área privativa la pared o las paredes que sirvan de delimitación al parqueo mismo, en su superficie interna, sean éstas paredes medianeras o estructurales. (ii) Las puertas de acceso y las partes interiores de los locales. (iii) Los accesorios de plomería, las lámparas, las instalaciones eléctricas, de aire acondicionado, ventilación, telefónicas y los servicios sanitarios. Cada propietario es responsable de los gastos de conservación, mantenimiento, reparación y modificación de la Finca Filial de su propiedad y de los gastos de conservación del aire acondicionado, pisos, puertas, ventanas, fachadas, cielos rasos, pintura de puertas, paredes y cielos rasos, y demás accesorios que sean de su uso exclusivo. Asimismo, pagará también por su propia cuenta los impuestos, tasas o contribuciones fiscales, municipales o de cualquier otra naturaleza, que afecten su actividad comercial en particular o que sean aplicables a su Finca Filial, así como contar con las patentes municipales y permisos de funcionamiento al día, con cumplimiento de todas las estipulaciones de la Ley General de Salud Pública y sus Reglamentos que fueren aplicables. En caso de que el condómino no pagara los impuestos, tasas o contribuciones fiscales, municipales o de cualquier otra naturaleza y ésta situación imposibilitare que la autoridad Municipal o quien corresponda otorgue algún permiso, visado o autorización al Condominio, la Administración podrá hacer pago a nombre y por cuenta del condómino moroso y cobrarle el interés que señala este Reglamento, con derecho de repetir contra éste el monto pagado y sus intereses. Si el condómino renuente se negare a satisfacer la suma pagada, el monto se incluirá en la factura de la siguiente cuota de
mantenimiento, formando un monto único e indivisible, de tal forma que sí el condómino se negare a pagar total o parcialmente dicha suma, el Administrador podrá compelerlo al pago siguiendo el mismo procedimiento establecido en la Ley para la falta de pago de cuotas de mantenimiento. Además, todo condómino está obligado a efectuar la reparación de los daños o desperfectos de su Finca Filial que puedan afectar a otros condóminos o las cosas y áreas comunes, al ser requerido por el Administrador. De requerirse alguna inversión especial en áreas comunes para el giro del negocio de un condómino, éste será responsable de hacer la misma a su costo, la cual pasará a ser cosa común del Condominio, siempre obedeciendo las disposiciones del presente Reglamento. De no hacerlo así, el Administrador, dispondrá lo conveniente para que la reparación se lleve a cabo, a costa del propietario, con derecho de repetir contra éste el valor de la reparación efectuada. Si el propietario renuente se negare a satisfacer el valor de la reparación efectuada, el monto se incluirá en la factura de la siguiente cuota de mantenimiento, formando un monto único e indivisible, de tal forma que si el propietario se negare a pagar total o parcialmente dicha suma, el Administrador podrá compelerlo al pago siguiendo el mismo procedimiento establecido en la Ley para la falta de pago de las cuotas de mantenimiento. b) Traspaso de la Finca Filial: Todo propietario podrá transferir a cualquier título el local que le pertenezca exclusivamente o constituir sobre él derechos reales o personales, sin necesidad del consentimiento de los demás propietarios. Previo a traspasar el dominio, el interesado deberá comunicarlo por escrito al Administrador, quien dentro de los cinco días naturales siguientes deberá certificar si se encuentra o no al día en el pago de las cuotas de mantenimiento, las deudas existentes, multas e intereses aplicables. En caso de enajenación o traspaso de una Finca Filial o parte de ella, el transmitente y el adquirente deberán seguir las siguientes acciones: (i) Comunicarlo por escrito al Administrador y aportar la copia de la Escritura Pública de Traspaso ya inscrita en el Registro Público, para acreditar el nuevo condómino, pues para todos los efectos prácticos, legales y reglamentarios del Condominio, se tendrá como propietario de la Finca Filial a quien estuviese registrado en el Libro de Registro de Condóminos, que para tales efectos tendrá el Administrador. (ii) En la Escritura Pública de traspaso, el adquirente deberá manifestar expresamente que conoce y acepta este Reglamento en todos sus extremos. Asimismo, en caso de mediar un contrato de arrendamiento, el arrendatario o subarrendatario, deberá manifestar expresamente que conoce y acepta este Reglamento en todos sus extremos. (iii) El transmitente deberá presentar la certificación emitida por el Administrador acerca de estar al día en el pago de cuotas de mantenimiento del Condominio. En caso de que ésta no se haya emitido para el otorgamiento del traspaso, el transmitente deberá cancelar todo lo pendiente ante el Condominio, o llegar a un convenio con el adquirente sobre el particular, el cual en todo caso será responsable solidario de las deudas existentes. c) Modificaciones internas de las Fincas Filiales: Todo propietario tiene derecho a modificar, por su propia cuenta, el interior de su Finca Filial, previa autorización de la Administración. El propietario deberá presentar a la Administración los planos debidamente firmados por un ingeniero, la Administración procederá a revisar y aprobar dichos planos en un plazo no mayor a los quince días hábiles. La Administración no denegará sin razones de peso dichos planos. En caso de rechazar los planos la Administración lo hará por escrito y se dará un plazo para la corrección de los mismos por parte del Propietario. Todos los trabajos se ejecutarán bajo la responsabilidad del propietario respectivo. El propietario interesado además,
responderá por los daños y perjuicios que ocasione con motivo de los trabajos de modificación y para asegurar su responsabilidad deberá contratar un seguro contra daños a terceros, antes de comenzar dichos trabajos, por el monto que determine el Administrador. Cada condómino, arrendatario o ocupante de la Finca Filial será responsable de tramitar sus propios permisos constructivos y legales para cualquier acondicionamiento, remodelación y mantenimiento de su Finca Filial, así como será responsable de contar con las pólizas de seguros aplicables y vigentes. Cuando se realicen modificaciones internas a las Fincas Filiales de cualquier naturaleza, no podrán almacenarse materiales en las áreas comunes y será prohibido el tránsito de obreros, trabajadores o proveedores, por las áreas comunes del Condominio durante el proceso constructivo, de remodelación o mantenimiento respectivo, a menos que la Administración así lo autorice en forma previa y por escrito al interesado. ARTICULO QUINTO. (a) Bienes Comunes. Se entenderán como bienes comunes el terreno donde se asienta el Condominio por ser de naturaleza vertical –horizontal y todas las cosas que se destinan al uso o servicio de todo los propietarios o arrendatarios, ocupantes del edificio y demás señalados en el artículo diecinueve de la LEY, así como en específico las obras civiles de infraestructura, tales como sin que sea limitante a: Accesos vehiculares y peatonales, calles internas, zonas verdes libres, jardines, aceras, zona de protección, estacionamientos o parqueos no privativos, casetas de seguridad y sistemas de seguridad del Condominio, depósitos de basura, tanques de captación, sistemas de alcantarillado, plantas de tratamiento, instalaciones mecánicas, instalaciones eléctricas y de alumbrado, instalaciones telefónicas, instalaciones de gas, ascensores y escaleras de cualquier tipo ubicadas en áreas comunes, los cimientos, las paredes maestras, los techos, las galerías, los vestíbulos y las vías de acceso, salida y desplazamiento interno, los espacios comprendidos entre el techo y el cielo raso o losa y cielo raso de todas las Fincas Filiales, y en general las áreas identificadas como tales en los planos de diseño de sitio y en la escritura de constitución del Condominio, los bienes que adquiera el Condominio o la Administración para uso o aprovechamientos de todos los condóminos, además de las obras de urbanización requeridas por el ordenamiento jurídico de conformidad con el tipo de desarrollo comercial del que se trata el presente Condominio, y los establecidos en el artículo diez de la Ley. Son también cosas comunes entre los respectivos propietarios de Fincas Filiales, las paredes divisorias o medianeras de los locales contiguos y la obra gruesa de los pisos y de los cielos de los locales superpuestos. Asimismo y de conformidad con el artículo veintisiete de la Ley, serán bienes comunes aquellos que como tales califique la Asamblea de Condóminos, aunque no lo sean por su naturaleza, o bien, aquellos que correspondan a principios de necesidad, seguridad, salubridad, acceso, ornato y conservación para el Condominio, cuyo funcionamiento queda autorizado con la aprobación del presente Reglamento. Para realizar todo tipo de trabajos en las áreas comunes la Administración contratará empresas que cumplan estrictamente este Reglamento y las disposiciones del Condominio, así como que cumplan con el aseguramiento respectivo de sus servicios cuando éstos sean prestados al Condominio y de conformidad con los riesgos que involucren los trabajos a realizar. Las pólizas deberán ser pre-aprobadas por la Administración y solicitadas como un requisito para la contratación de cualquier contratista para labores comunes del Condominio. Las áreas comunes libres podrán ser utilizadas para el entretenimiento y los espectáculos públicos, previa aprobación de la Administración. b) Derecho de Paso a instituciones: Expresamente el Condominio otorga derecho de paso y servidumbres
requeridas por las áreas comunes a favor del Administrador, así como a favor de todas las entidades gubernamentales y locales, rectoras y reguladoras de los servicios públicos básicos tales como Instituto Costarricense de Electricidad (ICE), Instituto Costarricense de Acueductos y Alcantarillados (A y A), Radiográfica Costarricense S. A. (RACSA), y cualquier otra empresa de info-comunicaciones o servicios generales del Condominio que hayan sido previamente aprobadas y contratadas por la Administración o por la Asamblea de Condóminos, para que realicen las obras de instalación, modificación, ampliación, reparación sobre las obras que sean necesarias para la explotación y mantenimiento de los servicios e instalaciones, así como realizar excavaciones y zanjas necesarias para efectuar el mantenimiento, y cualquier otra trabajo similar que fuera necesario realizar para mantener el correcto funcionamiento de las instalaciones subterráneas. ARTICULO SEXTO. Relación entre bienes privativos y bienes comunes. (i) Los condóminos adquieren junto con la Finca Filial el derecho de utilizar los elementos comunes según se han definido en la Ley y en este Reglamento, además de aquellos derechos y obligaciones que reconoce e impone el presente Reglamento, de tal manera que cada uno de los condóminos ostentan y derivan del derecho que tienen sobre la Finca Filial Secundaria entendida como el área privativa, el derecho de disfrute de todo lo que sea definido de uso común del Condominio Secundario y necesario para su existencia y conservación, con las limitaciones y restricciones que establezca este Reglamento. (ii) Ningún condómino podrá ser limitado al uso y goce racionales de las cosas comunes, ni podrá alegar que tiene derecho mayor al disfrute de esas cosas, en virtud de que su coeficiente de propiedad en el área privativa supere el de otros condóminos, de conformidad con lo que establece la Ley. (iii) Los Condóminos podrán servirse de los bienes comunes y gozar de los servicios e instalaciones en forma racional. (iv) Los derechos de cada condómino en las cosas comunes no podrán enajenarse, gravarse, embargarse ni transmitirse separadamente del dominio, por ser inherentes a la propiedad de la Finca Filial, y en consecuencia, inseparables de la misma. (v) La responsabilidad pecuniaria del condómino sobre los bienes comunes se determinará con respecto al coeficiente de propiedad privativa que represente su Finca Filial con relación al área total del Condominio, y la renuncia al uso y goce de las cosas comunes, ya sea expresa o tácita, no releva al condómino de sus obligaciones en cuanto a la conservación y reconstrucción de dichos bienes, o bien, al pago de las cuotas de mantenimiento, así como de ninguna obligación derivada del Régimen de Propiedad en Condominio, sea que las responsabilidades de los condóminos en cuanto a los bienes comunes son irrenunciables. (vi) Los bienes comunes de uso y disfrute, podrán ser objeto de arrendamiento, previo acuerdo de la Asamblea de Condóminos en votación que represente al menos dos terceras partes del valor total del Condominio. ARTICULO SETIMO. Uso de los bienes comunes. Los propietarios están obligados a velar por el uso debido de las cosas comunes del Condominio, así como de notificar al Administrador del Condominio de cualquier situación, hecho o acto que ponga en peligro la seguridad y conservación de estos bienes. Todo condómino, arrendatario, ocupante o poseedor, o aquella persona física o jurídica que ocupe una finca filial, independientemente de su título, será responsable de los daños causados a las cosas comunes por su culpa o negligencia, o bien, responderá solidariamente por los daños y perjuicios ocasionados por sus sus inquilinos, empleados, dependientes, o visitantes, y será responsable de sufragar los costos incurridos en su reparación, a falta de lo cual se le aplicarán los procedimientos descritos en el inciso a) del Artículo
Cuarto y las sanciones previstas por este Reglamento. Asimismo, deberán todos los condóminos, arrendatarios, ocupantes o poseedores a cualquier título, de abstenerse de todo acto, aun en el interior de su propiedad, que impida o haga menos eficaz la operación o el aprovechamiento de las áreas comunes del Condominio. ARTICULO OCTAVO. Mejoras de los bienes comunes y obras de mantenimiento. De conformidad con el artículo treinta de la Ley, corresponde al Administrador que nombre la Asamblea de Condóminos del Condominio, el cuidado y vigilancia de los bienes y servicios comunes, la atención y la operación de las instalaciones y los servicios generales, así como todos los actos de conservación del Condominio. Asimismo, la Asamblea de Condóminos podrá girar al Administrador las directrices correspondientes para el desempeño de su cargo, y en particular sobre el cuidado de los bienes comunes. Las mejoras en los bienes comunes serán aprobadas en Asamblea de Condóminos de conformidad con el Artículo Catorce de la Ley, de la siguiente manera: a) Las mejoras necesarias serán aprobadas por los votos de los propietarios que representen la mayoría simple del valor del Condominio, y b) Las mejoras útiles por los votos de los propietarios que representen las dos terceras partes del valor del Condominio. Los condóminos, arrendatarios, ocupantes o poseedores, a cualquier título, están obligados a permitir y soportar las molestias ocasionadas por trabajos de mantenimiento de las áreas comunes y privadas, así como para su conservación y reparación. En consecuencia el acceso y el paso de las personas encargadas de vigilar, dirigir y ejecutar dichas obras serán permitidos en todas las áreas del Condominio que se encuentren involucradas a las obras de mantenimiento. El Administrador, por su parte, tomará las medidas pertinentes a efecto de que la ejecución de los trabajos de mantenimiento causen la menor molestia o daño. En caso que un condómino requiera hacer mejoras o modificaciones a las cosas comunes, estas deberán ser aprobadas por la asamblea de condóminos según este mismo apartado. Estas mejoras pasan a ser cosas comunes con todos sus derechos y restricciones y no podrán ser removidas por el condómino que hizo la instalación. CAPITULO CUARTO - ORGANOS DE GOBIERNO Y ADMINISTRACIÓN: ARTICULO NOVENO. De la Asamblea de Condóminos, reuniones, convocatorias y quórum. La Asamblea de Condóminos es el Órgano Supremo del Condominio, y por consiguiente su órgano de gobierno, por virtud de lo cual sus decisiones son vinculantes para todos los condóminos, arrendatarios, ocupantes o poseedores, por cualquier título de fincas filiales o áreas del Condominio. La Asamblea está constituida por todos los condóminos, sea las personas físicas o jurídicas que ostentan título de propiedad sobre las fincas filiales del Condominio. Las reuniones de la Asamblea de Condóminos deberán celebrarse ordinariamente de conformidad con la Ley y este Reglamento al menos una vez al año, entre el primero de enero y último día de febrero; y extraordinariamente cuando así lo convoque el Administrador en ejercicio de sus facultades, de conformidad con el artículo veinticinco de la Ley, o ante la convocatoria de los propietarios que representen una tercera parte del valor total del condominio, o bien, cuando se haya establecido de esta manera en una Asamblea anterior. El Administrador deberá convocarla dentro de los diez días hábiles siguientes a la recepción de la solicitud de los Condóminos, en caso de que proceda. El quórum para considerar la Asamblea como reunida en Primera Convocatoria estará formado por los condóminos que representen un mínimo de dos terceras partes del valor total del Condominio, y por cualquier número de condóminos asistentes para la Segunda Convocatoria, excepto en aquellos casos en que se requiera una mayoría superior por la materia de los temas a tratar. En caso de que no
concurriera nadie a la convocatoria de la Asamblea Ordinaria Anual, el Administrador dejará constancia en el Libro de Actas, transcribirá el Orden del Día y se tendrá por aprobado el Presupuesto de Gastos Comunes. Las convocatorias se efectuarán con al menos quince días hábiles de antelación a la fecha de celebración de la Asamblea, en el caso de las asambleas ordinarias y cinco días hábiles en el caso de las asambleas extraordinarias, en ambos casos, sin tomar en consideración en el cómputo de dicho plazo el día de la notificación y publicación, en caso de que ésta última se realice adicionalmente a opción del Administrador como se indicará, ni el día señalado para dicha reunión. Las convocatorias a Asamblea de Condóminos deberán hacerse de conformidad con el mecanismo de comunicaciones establecido en este Reglamento. A opción del Administrador, se podrá notificar igualmente mediante publicación en al menos un diario de circulación nacional y a opción de la Administración del Condominio, la convocatoria se efectuará mediante ambos mecanismos. Las convocatorias deberán señalar la agenda del día con puntos específicos a resolver, sin que se permita el señalamiento de asuntos varios, el lugar, la fecha, y la hora señaladas para la primera y segunda convocatorias. La inobservancia de cualquiera de los requisitos antes indicados acarreará la nulidad de la Asamblea que se celebre. Las Asambleas del Condominio serán dirigidas por el Administrador, salvo que la asamblea debidamente constituida acuerde otra cosa mediante votación de mayoría simple de los presentes. Asimismo las Asambleas tendrán un Presidente y un Secretario ad-hoc designados por la Asamblea entre los condóminos presentes, y un asesor legal del Condominio. Se podrá prescindir del requisito de convocatoria previa de encontrarse presente el cien por ciento de los condóminos del Condominio. ARTICULO DECIMO. Competencia y votaciones calificadas de la Asamblea de Condóminos. Es competencia de la Asamblea de Condóminos la resolución sobre asuntos de interés común, no comprendidos dentro de las facultades y obligaciones que más adelante se señalan para el Administrador. Sólo podrán votar quienes se encuentren al día en el pago de las cuotas de mantenimiento del Condominio o cualquier otra obligación que haya adquirido con el Condominio. La Asamblea Ordinaria deberá conocer el informe del Administrador y sus cuentas, aprobará el presupuesto de gastos para el año siguiente y determinará la manera de aportar los fondos para cubrir dicho presupuesto, salvo las facultades conferidas en este acto al Administrador. Son de conocimiento exclusivo de la Asamblea de Condóminos, y requieren aprobación unánime de todos los propietarios los siguientes acuerdos y los que indique la Ley: a) Los que modifiquen el destino general del Condominio; b) Variación en las áreas proporcionales de las fincas filiales, con relación al área total del Condominio o al área de los bienes comunes; c) La renuncia al régimen de propiedad en condominio, siempre y cuando las unidades resultantes no contravengan otras leyes; d) Gravar o enajenar el Condominio en su totalidad; e) Modificar la escritura constitutiva o el presente Reglamento; f) Variar el destino de los bienes comunes existentes o disponer en cualquier forma el modo en que puedan aprovecharse, así como la decisión de realizar construcciones en las áreas comunes no contempladas en los planos del Condominio. Cualquier otro acuerdo citado en el artículo veintisiete de La Ley. De la misma manera requerirá aprobación de los votos que representen al menos dos terceras partes del total del valor del Condominio los siguientes acuerdos y los que indique la Ley: a) Variar el destino especial de una finca filial. b) adquirir nuevos bienes comunes , Adquisición de nuevos bienes comunes, o disponer en cualquier forma el modo en que pueden aprovecharse, así como destinar a propiedad común partes o
secciones del Condominio que no lo sean por su naturaleza o que sean indispensables para la existencia, seguridad y conservación del mismo. Igualmente, el establecimiento de áreas comunes de uso restringido para uno o varios de los Condóminos del Condominio, según se han definido en este Reglamento; c) Autorizar el arrendamiento de las cosas comunes; c) Aprobar la reconstrucción parcial o total de las obras que forman parte del Condominio; d) Determinar el monto de los seguros que deberán tomarse para la protección del Condominio, además de aquellos seguros exigidos por la Ley. De conformidad con el artículo veintisiete de la Ley, en todos los casos anteriores, cuando un sólo propietario represente al menos el cincuenta por ciento del valor total del condominio, se requerirá además el cincuenta por ciento de los votos restantes reunidos en Asamblea para tomar los acuerdos dichos. Los demás acuerdos, se tomarán por mayoría simple del valor total del Condominio tales como y sin que sean limitantes a: nombramiento del administrador, así como removerlo o conocer de su renuncia y determinar la remuneración por la prestación de sus servicios, fijación de los montos de multas, y la fijación del monto de la cuota de mantenimiento ordinarias y recargos del Condominio, según se establece más adelante, la aprobación del manual de Procedimientos de Operación del Condominio emitido por el Administrador, la posible ratificación de las cuotas ordinarias adicionales o recargos determinados por el Administrador, así como el definir y autorizar cuotas de mantenimiento ordinarias y extraordinarias. La Asamblea podrá delegar atribuciones siempre y cuando dicho acto no vaya contra la Ley y su Reglamento o el presente Reglamento y podrá nombrar de su seno Comités para el tratamiento de temas específicos del Condominio. Todo cómputo de votos en las Asambleas de Condóminos se hará por metro cuadrado de área privativa, o sea que el voto de cada finca filial valdrá y se sumará de conformidad con su porcentaje de valor de propiedad con relación al valor total del Condominio, que se ha especificado en la descripción de las fincas filiales inscritas del Condominio. ARTICULO DECIMO PRIMERO. Representación en las Asambleas. Los condóminos podrán hacerse representar en las Asambleas mediante un apoderado generalísimo debidamente acreditado mediante certificación de personería con no más de diez días naturales de emitida, o bien mediante poder especial otorgado para estos efectos, que deberá protocolizarse, y el apoderado especial deberá acreditar su poder mediante la presentación del testimonio original de la escritura de protocolización del acuerdo, el cual debe especificar los asuntos que el apoderado especial puede votar, y en qué sentido debe hacerlo, y cuáles asuntos puede discutir sobre la base de una breve descripción de los argumentos. Asimismo, en el caso de que la misma finca filial pertenezca a más de un propietario, o si en ella se hubiesen constituido derechos reales de usufructo o simple posesión, tanto los copropietarios como los titulares de dichos derechos reales y el nudo propietario, deberán estar representados por una sola persona en las Asambleas para producir una única votación por la finca filial, de conformidad con las disposiciones de Ley de a quién corresponda el voto, o por decisión de las partes correspondientes cuando procediere, en cuyo caso se aportará el respectivo poder especial autenticado por un notario público. Estas representaciones, si así se solicitare, se inscribirán en el Registro de Propietarios, teniendo entonces vigencia el poder hasta tanto el propietario decida revocarlo y así lo comuniquen al administrador. ARTICULO DECIMO SEGUNDO. Libros del Condominio. Los acuerdos de Asamblea se consignarán en un Libro de Actas que llevará para tal efecto el Condominio, debidamente legalizado por la Sección de Propiedad en Condominio del Registro
Público, de conformidad con el artículo veintiocho de la Ley. Las Actas serán firmadas por el Presidente y Secretario de la Asamblea, además del Administrador, quien además deberá levantar una lista de los asistentes, la cual formará parte del acta y se conservará en los archivos del Condominio. Asimismo llevará un Libro Contable o de Caja, o los que sean necesarios para el orden, control y reporte de la administración del Condominio, los cuales deberán estar igualmente legalizados por la dependencia indicada. Los libros estarán bajo la custodia y cuidado de la Administración, quien será responsable de los mismos y estará en la ineludible obligación de llevarlos a la Asamblea de Condóminos. Deberá mostrarlos a los condóminos cuando deseen consultarlos. Además de estos dos libros, el Administrador deberá llevar un Libro, archivo o cualquier otro sistema de Registro de Condóminos en el cual se consignará el nombre, apellidos, domicilio y fecha de adquisición de la finca filial de todos ellos, el registro de sus apoderados, lugar de notificaciones, correo electrónico, teléfonos y fax, así como todo cambio que se produzca en esos datos. Es responsabilidad del Administrador mantener actualizada la información de todos los libros. Cualquier propietario que estime lesionado su derecho podrá establecer su reclamo dentro de los tres meses siguientes a la firmeza del acuerdo, y se sustanciará mediante el procedimiento sumario estatuido en el Código Procesal Civil. ARTICULO DECIMO TERCERO. Del Administrador. Nombramiento, honorarios, remoción, renuncia y sustitución. La Administración del Condominio estará a cargo de un Administrador, denominado indistintamente en adelante como el Administrador, quien podrá ser persona física o jurídica, condómino o no, quien tendrá respecto al Condominio y los bienes comunes, facultades de apoderado generalísimo sin límite de suma de conformidad con lo que establece el artículo mil doscientos cincuenta y tres del Código Civil de la República de Costa Rica. Podrá otorgar toda clase de poderes, pero no podrá delegar ni sustituir su poder. De conformidad con lo que establece el artículo cuarenta y uno del Reglamento a la ley reguladora de la propiedad en condominio, el Administrador tendrá poder suficiente para constituir servidumbres sobre áreas comunes del Condominio que se requieran a favor de las instituciones del Estado o de empresas de servicios públicos para la obtención y operación de los servicios públicos básicos a favor de los condóminos, a fin de permitir a dichas instituciones instalar, modificar, ampliar, reparar y mantener dichos servicios e instalaciones, realizar excavaciones y zanjas necesarias para efectuar el mantenimiento, incluyendo sin limitarse a las obras similares que fueran necesarias realizar para mantener el correcto funcionamiento de las instalaciones subterráneas. DURARÁ EN SU CARGO UN PERÍODO DE VEINTICINCO AÑOS contados a partir de este otorgamiento. En el caso de elegirse una persona jurídica, ésta se encargará de designar a la persona física que ejercerá en su nombre y representación las funciones correspondientes. La designación del Administrador se efectuará mediante votación de la mayoría simple del valor total del Condominio, en la Asamblea de Condóminos convocada a tal efecto, entre los candidatos que cualquier condómino, la misma Asamblea o el administrador saliente del cargo, propongan. El Administrador devengará un honorario mensual que le fijará la Asamblea de Condóminos que lo elija, el cual será revisado una vez al año, o cuando la Asamblea lo determine. El Administrador nombrado del Condominio podrá ser removido de su cargo antes del vencimiento del plazo de su nombramiento, por votación de los condóminos que representen la mayoría simple y por las causas que se discutieren y acordaren en la Asamblea convocada al efecto. El Administrador podrá renunciar a su cargo en cualquier momento, con lo cual deberá

CONDOMINIUM REGULATIONS AND ADMNISTRATION
In compliance with articles thirty three and thirty four of THE LAW, the Condominium Regulations and Administration is constituted, regarding “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”. This will regulate the relationships amongst the condominium owners.
CHAPTER ONE – DEFINITIONS: For all effects in these Regulations, the words noted here will be defined as follows: ADMINISTRATOR: individual or legal entity designated to execute the administration of “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”, according to the procedure described in these regulations, and with the faculties conferred in these Regulations. RESIDENTIAL APARTMENT: The Primary or Secondary Subdivisions dedicated to people inhabiting in them. COMMON AREAS OR ELEMENTS: Common areas or elements must be understood as all those zones dedicated to the common use and enjoyment, amongst which the following can be mentioned, without any intention for this to be an exhaustive list: green areas, space dedicated to the transit of pedestrians, walkways, sidewalks, streets, accesses, security posts, , electrical substations, tanks for water recollection, drinking water systems, fire prevention systems, treatment plants, pumping stations, control booths, as well as those designated as such by the Law, the construction blueprints, and the articles of incorporation of “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”. All the common areas must also comply with the additional regulations which might be applicable to them, for example, those relative to distances of walkways in between subdivisions, established by the Instituto Nacional de Seguros (State owned insurance company, and formerly the sole provider of insurance in the country. Translator’s Note), which at the date of these regulations, is of one meter and twenty centimeters. COMMON AREA OF RESTRICTED USE: Will be those common areas which the Condominium Owners Assembly determine by a vote of two thirds of the total value of the “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”, which must be used only by one or a few specific condominium owners, because of their commercial operation necessities inside the the “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”, because of the location of the common area, or because of any other circumstance which according to the Condominium Owners Assembly justifies a restriction of use and enjoyment of the common area to only one or a few condominium owners, whether it be because of a specific request by them to the the Condominium Owners Assembly or because the Assembly determines this. PRIVATE AREA: Each one of the Primary Subdivisions of “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”. PRIMARY CONDOMINIUM: “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”. SECONDARY CONDOMINIUM: That one which will be formed by the encumbrance of the Condominium Property Regime of each Individualized Primary Subdivision of the “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”. Condominium owners or property owners: They are the individuals or legal entities established or not in “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”, which have ownership titles of the subdivisions of this Condominium, and that because of this are entitled to the rights and obligations established by Law and these Regulations to the Condominium Owners. ORDINARY AND EXTRAORDINARY MAINTENANCE FEE: A proportional part of the common expenses that the condominium owners are required to pay, and that will be set according to the proportional value of their private property or subdivision to the total value of “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”. The ordinary fee refers to the ordinary common expenses according to the law, the Condominium Regulations and the budget approved by the Condominium Owners Assembly. And the Extraordinary Maintenance Fee refers to the extraordinary common expenses approved by the Condominium Owners Assembly. DOLLARS: Legal currency of the United States of America. ARTICLES OF INCORPORATION: The Public Articles of incorporation of “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”, which is inscribed in the Public Registry. PARKING SPACES: Are the Primary Subdivisions which are exclusively dedicated to this use or those located within “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions” which are designated as such for the parking of light vehicles, medium or heavy load trucks, and public transportation vehicles. The parking spaces can be freely used by the condominium owners and all individuals authorized by them, such as their lessees, visitors, workers and administrative personnel. However, the use of parking space will be specifically regulated in each Secondary Condominium, and particularly, the use of parking space for the office occupants will be restricted on Saturdays, Sundays and holidays, to favor commercial and touristic activities in “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions”. They may or may not require the payment of maintenance fees or of a proportion of them, as defined by the Regulations or by the Condominium Owners Assembly. PRIVATE PARKING SPACES: Subdivisions used for the private and exclusive parking of a particular individual or company, dedicated to the parking of light vehicles, or specific areas assigned, and which will be regulated by each Secondary Condominium Regulations, which may or may not require the payment of maintenance fees or of a proportion of them, as defined by the Regulations or by the Condominium Owners Assembly. These subdivisions may be utilized for temporary entertainment activities and public performances, with prior approval from The Administration. PRIMARY SUBDIVISION: Each one of the Subdivisions which make up “Avenida Escazu Residential Touristic Horizontal Condominium with Individualized Primary Subdivisions” as a result of its constitution, properly identified by an independent property number registered in the Public Registry, all of which constitute the private areas of the Condominium. These Subdivisions might be used for temporary entertainment activities and public performances, with prior approval from The Administration and as long as they do not have a Secondary Condominium constituted in them. SECONDARY SUBDIVISION: Each one of the properties which make up the Secondary Condominiums, duly identified by an independent property number and registered in the Public Registry, all of which make up the private areas of the specific Secondary Condominium. The Secondary Properties will have the following usage categories: Commercial Premises, Food and Beverage Premises, Cinema Premises, Office Premises, Residential Apartment, Hotel, Private Parking, all defined by these Regulations. The above will comply with the articles of incorporation of the Secondary Condominium, so the Secondary Properties won’t be allowed to be used for another usage than that one which motivated its creation. COMMON EXPENSES: Common expenses will mean those which refer to the administration and maintenance of the “AVENIDA ESCAZU RESIDENTIAL TOURISTIC HORIZONTAL CONDOMINIUM WITH INDIVIDUALIZED PRIMARY PROPERTIES”, established by Law, these Regulations and those determined by the Condominium Owners’ Assembly by unanimous resolution of one hundred percent of them, specifically, but not limited to: i) The common expenses, maintenance expenses for the common properties, modification and repair of the common properties of the Condominium; ii) Payment of premiums of insurance which cover the civil works of the Condominium, insurance against fire, lightning, professional risks, and civil responsibility. The insurance for civil responsibility, for the specific case of damage to vehicles, will only cover damages to vehicles, not car theft, or damage or theft of goods which might be inside the vehicle. The common buildings will be permanently insured against fire and earthquakes for an amount determined by the Condominium Owners’ Assembly, and it will be the Administrator’s responsibility to subscribe to the insurance policies, and make sure it is valid. The Administrator may, at his own discretion, hire other insurances which might be necessary for the adequate safeguard and protection of the properties and personnel which work for the Condominium; iii) The payment of taxes, national fees or fiscal or municipal contributions which apply to the common areas of the Condominium, as well as any other obligatory charge, applicable to the common areas and properties; iv) The expenses required for The administration, maintenance, cleaning services, and security guards, and control of vehicle and people access to the Condominium, as well as the expenses the Administrator might make while performing his duties; v)The compensation defined for the Administrator; vi) The expenses for professional services hired for the Secondary Condominium, such as legal, accounting, audit, land surveying, and any other professional service that it might be necessary to hire in order to cover necessities common to all the Condominium Owners within the Condominium; vii) The payment of the garbage pickup service; viii) Those generated by the maintenance of special services in the common areas of the Secondary Condominium, such as electric lighting, water consumption, and electrical power for the common areas; ix) The cost of renovations, repairs and/or improvements made in the Condominium or its common things, duly authorized by the Condominium Owners Assembly and The Administration, when these are necessary, as well as those that had to be made by order of the competent public authorities. As well as those that are determined by the Condominium Owners Assembly, by recommendation of the Condominium Administration in the fulfillment of his obligations. x) The costs for the proper handling and fulfillment of environmental commitments which the Secondary Condominium must abide by; xi) The expenses dedicated by The Administration for the maintenance of the common parking areas, and xii) The payment of institutional advertising and public events of the Condominium. So accordingly, the expenses required for the specific activity of the Primary or Secondary Properties will not be considered common expenses and must be paid for in their entirety by the interested condominium owner. MINIMUM OPERATION HOURS: The “AVENIDA ESCAZU RESIDENTIAL TOURISTIC HORIZONTAL CONDOMINIUM WITH INDIVIDUALIZED PRIMARY PROPERTIES” will operate under defined minimum working hours defined by type of activity in each one of the Primary Properties, according to the Regulations defined for each Secondary Condominium. In any case, the definition of minimum working hours implies that the owner or lessee of the particular subdivision, can open their business earlier than the specified time, and close later with prior approval by the Administration of each Condominium. SUPPLY SCHEDULE: Is the schedule for loading and unloading of goods, for the establishments which do not personally handle their own supplies. For those establishments where, even when they personally handle their own supplies, they require the use of trucks or large vans that also need part of the public parking space to maneuver, it is the responsibility of the establishment owner to make sure that the vehicle and its maneuvers do not impede normal operation of the Condominium. Supply schedules will be defined by the Secondary Condominium Regulations and in any case by The Administration. HOTEL: The Primary or Secondary Subdivisions dedicated to tourist hotel service with all the related services and accessories. LAW AND REGULATIONS: Condominium Property Regulatory Law, Law Number seven thousand nine hundred thirty-three of November 25, 1999, and its amendments, and the Regulations of the Condominium Property Regulatory Law , Order Number Thirty-Two Thousand Three Hundred Two - H, published on April 19, 2005, and its amendments, or the law and regulations which in the future legally replace the above. COMMERCIAL PREMISES: The Secondary Subdivisions dedicated to commercial establishments in general, different from movies and serving food and drinks, and which include the offices of all kinds of activities. These subdivisions may also be intended for temporary public entertainment and shows, with prior approval from The Administration. FOOD AND DRINK PREMISES: The Secondary Subdivisions dispensing food and beverages to the public, such as, but not limited to restaurants all kinds, bars, cafes, ice cream parlors, candy shops, sale of snacks or snack foods and fast foods. CINEMA PREMISES: The Secondary Subdivisions for film projection, with rooms for the public seating. OFFICE PREMISES: Secondary Subdivisions for the delivery of services in general or professional services to the public, which are included in the commercial premises as an activity. SERVICE PROVIDER: The individual or legal entity that the Administrator of “AVENIDA ESCAZU RESIDENTIAL TOURISTIC HORIZONTAL CONDOMINIUM WITH INDIVIDUALIZED PRIMARY PROPERTIES” will be able to hire to provide services for the common enjoyment which the condominium owners pay through their maintenance fees, such as but not limited to repairs, maintenance, construction, security services and cleaning services. INSTITUTIONAL ADVERTISING: That which is common to the “AVENIDA ESCAZU RESIDENTIAL TOURISTIC HORIZONTAL CONDOMINIUM WITH INDIVIDUALIZED PRIMARY PROPERTIES”, which is covered by the maintenance fee and refers to the Lawivities of the Condominium in general, and not to a particular subdivision. PRIMARY REGULATIONS or REGULATIONS: The Condominium Regulations and Administration of “AVENIDA ESCAZU RESIDENTIAL TOURISTIC HORIZONTAL CONDOMINIUM WITH INDIVIDUALIZED PRIMARY PROPERTIES” that are in force at the time of consultation. The regulations applicable shall be defined as the most recent regulations registered in the Public Registry plus all registered amendments. SECONDARY REGULATION: The particular Secondary Condominium Regulations and Administration in effect at the time of consultation. The regulations applicable shall be defined as the most recent regulations registered in the Public Registry plus all registered amendments. The Secondary Condominium Regulations are subject to compliance with the provisions of the Regulations of the “AVENIDA ESCAZU RESIDENTIAL TOURISTIC HORIZONTAL CONDOMINIUM WITH INDIVIDUALIZED PRIMARY PROPERTIES” Primary Condominium, which is conceptualized to be made up of major general rules to be replicated in the Secondary Condominium Regulations, but may develop, harmonize and contain specific rules applicable to the purpose and uses of the Secondary Condominium, as long as they do not contradict, nullify or make the provisions of the Primary Condominium Regulations ineffective. WORKERS: Individuals in general who provide their personal services to the companies or commercial businesses installed in the “AVENIDA ESCAZU RESIDENTIAL TOURISTIC HORIZONTAL CONDOMINIUM WITH INDIVIDUALIZED PRIMARY PROPERTIES”. PERCENTAGE VALUE OF PRIVATE PROPERTY: The percentage of value set in the Condominium articles of incorporation for each Subdivision in relation to the total value of the Condominium, and which determines: (i) The proportional value of each Subdivision in relation to the total value of the Condominium, (ii) The proportional value of the vote of each owner in the Condominium Owners Assembly; (iii) The percentage in which each Subdivision must contribute to the common expenses and reserve fund. All in accordance with these Regulations; VISITORS: Are the people who visit the “AVENIDA ESCAZU RESIDENTIAL TOURISTIC HORIZONTAL CONDOMINIUM WITH INDIVIDUALIZED PRIMARY PROPERTIES” for any reason, either invited by The Administration or by the condominium owners, lessees, occupants or possessors of any title, or those people who are customers of the commercial businesses installed in “AVENIDA ESCAZU RESIDENTIAL TOURISTIC HORIZONTAL CONDOMINIUM WITH INDIVIDUALIZED PRIMARY PROPERTIES”. CHAPTER TWO - SCOPE AND VALIDITY: ARTICLE ONE .- Compulsory nature: The Condominium Regulations and Administration are compulsory for all condominium owners, lessees, occupants or holders of any title derived from the condominium property, as well as to visitors on what might result applicable. Likewise, it will be of compulsory nature for the successors of such rights or title rights, lessees or sub-lessees, and for any individual or legal entity, that either through private agreement or through court decisions, should acquire property title, possession or utilization rights over any of the Secondary Subdivisions. All property owners who rent, loan or grant the use of any Secondary Subdivision, must write down in each lease or utilization agreement that the co-contractor is also bound by the requirements laid out in the Secondary Regulations and in the Condominium Owners Assembly of “AVENIDA ESCAZU RESIDENTIAL TOURISTIC HORIZONTAL CONDOMINIUM WITH INDIVIDUALIZED PRIMARY PROPERTIES”. ARTICLE TWO. Non-derogability: Any reservation agreement made between the individuals mentioned in the previous article, which in any way alter, amend or repeal the legal regime established by the Law and Regulations is void, and therefore shall have no effect amongst the condominium owners or in relationship to third parties. Claiming ignorance, obsolescence, or contrary practice or custom with regards to the provisions in this Regulations shall not be permitted. ARTICLE THREE. Effectiveness: These Regulations come into effect upon being registered in the Public Registry. Any amendment to these regulations, as well as any issuance of a new text, can solely and exclusively be made by the Condominium Owners Assembly, by unanimous decision of one hundred percent of the Condominium, in accordance with the provisions of article twenty-seven, subsection five of the Law. According to the above, any amendment or drafting of new Regulations must be recorded in public deed, and registered in the Public Registry to be able to establish that it is in force and applicable. CHAPTER THREE - PRIVATE PROPERTY AND COMMON PROPERTY: ARTICLE FOUR. a)Private Property. This Condominium consists of TWELVE individualized Primary Subdivisions designated for commercial, residential, touristic (hotel) and office activities, which constitute the private properties. Nonconforming uses, as established in the Regulatory Plan of the Canton of Escazu and other applicable regulations are purposely not included. Each of the subdivisions has been identified by a number corresponding to the Subdivisions registered in the Public Registry. The condominium owners may use, encumber and transfer their individual property, except for the limitations and prohibitions which the Law and Regulations may impose on them. Each owner has the exclusive control of everything that constitutes and forms an integral part of his Subdivision and that is not a common thing of the condominium, such as: (i) The inner parts and divisions, windows, ceilings, finishes and the inside surface of exterior or dividing walls. The private parking areas include within its private area the wall or walls that serve as boundaries to the parking areas, on its inner surface, whether these may be dividing or structural walls. (ii) Access doors and interior parts of the premises. (iii) Plumbing fixtures, lamps, electrical installations, air conditioning, ventilation, telephone and toilets. Each owner is responsible for the upkeep, maintenance, repair and modification costs of his own Subdivision and maintenance costs of air conditioning, floors, doors, windows, walls, ceilings, painting of doors, walls and ceilings, and any other accessories that are of his exclusive use. He will also pay on his own the taxes, fees or fiscal, municipal or any other type of contribution, that affect their particular business activity or that apply to his Subdivision, as well as have valid municipal licenses and operating permits , in compliance with all provisions of the Public Health Act and its applicable Regulations. If the condominium owner did not pay taxes, fees or fiscal, municipal or other contributions, and this situation would prevent the Municipal Authority or any other to grant a permit, approval or authorization to the Condominium, The Administration may make the payment on behalf of the condominium owner who hasn’t done so, and charge the condominium owner the amount paid on his behalf plus interest. If the condominium owner refused to pay the amount owed, the amount will be included in the bill for the next maintenance fee, forming a single and indivisible sum, so that if the condominium owner refused to pay all or part of that sum, the Administrator may compel the payment by following the same procedure established by law for nonpayment of maintenance fees. Also, every condominium owner is required to repair the damages or deterioration of his Subdivision which might affect other condominium owners or the common areas or things, when asked by the Administrator to do so. If any special investments in common areas were required for the particular line of business of one condominium owner, he shall be responsible for doing it at his own cost, and the improvement will then become part of the common property of the Condominium, always according to the provisions of this Regulation. If the condominium owner fails to do so, the Administrator shall make sure the repair is carried out at Owners’ expense, with the right of collect from the condominium owner the value of the repairs carried out. If the owner refuses to pay for the value of the repairs carried out, the amount will be included in the bill for the next maintenance fee, forming a single and indivisible sum, so that if the owner refuses to pay all or part that amount, the Administrator may compel the payment by following the same procedure established by law for nonpayment of maintenance fees. b) Transfer of the Subdivision: Any condominium owner may transfer any title for premises that belong exclusively to him or set over it real property rights or personal rights without the consent of the other owners. Prior to transferring the ownership, the applicant must notify in writing to the Administrator, who within the next five calendar days shall certify whether or the payment of maintenance fees, debts, penalties and interest applicable are up to date. In case of sale or transfer of a Subdivision or part thereof, the transferor and the acquirer should follow these actions: (i) Notify it in writing to the Administrator and provide a copy of the Deed of Transfer already registered in the Public Registry , to accredit the new condominium owner, because for all purposes, practical, legal and of condominium regulations, the one who is registered in the Book of Owners Register, that the Administrator keeps, shall be deemed as owner of the Subdivision. (ii) In the Public Deed of Transfer, the transferee must expressly acknowledge that he knows and accepts the regulation in its entirety. Also, in the case of a lease contract, the lessee or sublessee, must expressly acknowledge and accept the regulation in its entirety. (iii) The transferor must show the certification issued by the Administrator of being up to date in the payment of Condominium maintenance fees. If it has not been issued for the grant of transfer, the transferor shall cancel everything pending to the condominium, or reach an agreement with the purchaser on the subject, which in any case will be jointly responsible for the existing debts. c) Internal modifications to the Subdivisions: Each owner has the right to modify the interior of their Subdivision, with a prior authorization from the Administration. The owner shall provide the Administration with plans duly signed by an engineer, the Administration shall review and approve such plans within a period not exceeding fifteen days. The Administration will not reject these plans without a good reason. In the case of rejection, the Administration will do so in writing and be given a time frame for correction by the Owner. All work is performed under the responsibility of the respective owner. The owner doing the modification shall be held liable for any damages incurred by reason of the modification work and to ensure their accountability must take an insurance covering damage to third parties before commencing the work. The amount of insurance coverage shall be determined by the Administrator. Each condominium owner, lessee or occupant of the Subdivision is responsible for handling their own construction or legal permits for any renovation, remodeling and maintenance of his Subdivision and shall be responsible for having the applicable insurance policies in force. When internal changes of any kind are made internal to a Subdivision, no materials may be stored in common areas and the transit of workers, employees or suppliers through common areas of the condominium during the construction, renovation or maintenance will be prohibited so authorized in advance and in writing by the respective Administration to the individual concerned. ARTICLE FIVE. (a) Common Properties. Shall be construed as the land where the condominium seats on because of its vertical-horizontal nature and all of the things which are designated for the use or service of all the property owners or owners or lessees, building occupants and others mentioned in article nineteen of the LAW and in particular the civil works of infrastructure, including without limitation to: vehicular and pedestrian accesses, inter streets, open green areas, garden, sidewalks, protection zones, parking lots or non private parking, security guard booths and Condominium security systems, trash disposal, water collection tanks, sewer systems, treatment plants, mechanical installations, electrical and lighting installations, telephone installations, gas installations, elevators and stairways of any type located in common areas, foundations , main walls, roofs, halls, lobbies and access roads, exit and internal displacement, the spaces between the roof and the ceiling or ceiling tile and of all Subdivisions, and in general the areas identified as such in the site design and the condominium constitution deed, the properties the Condominium or The Administration may acquire for the use of all the condominium owners , as well as land development works required by law in accordance with the type of commercial development of the present Condominium, and as defined in article ten of the Law. Other things considered common goods for the property owners of the subdivisions are the dividing walls of adjacent premises and the structural construction of floors and ceilings of the super impose premises. Furthermore and in accordance with Article twenty-seven of the Law common goods shall be those that the Condominium Owners Assembly shall designate as such, even thought by nature they might not be, or those representing the principles of necessity, safety, sanitation, access, beautification and maintenance for the condominium, whose operation is authorized with the approval of the present Regulation. In order to perform all kinds of work in common areas the Administration shall hire companies that comply strictly with these Rules and the provisions of the Condominium, and to comply with the insurance for their services when they are rendered to the Condominium and in accordance with the risks involved with the work done. The policies shall be pre-approved by The Administration and asked for as a requirement for hiring a contractor for the condominium common works. Free common public areas may be used for entertainment and public events, with the prior approval of the Administration. B) Right of Way to institutions: Condominium expressly grants right of way and easements required for common areas in favor of the Administrator and for all government agencies and local governing and regulating basic public utilities such as Instituto Costarricense de Electricidad (ICE), Costa Rican Institute of Aqueducts and Sewers (A y A), Costa Rican Radiographic SA (RACSA), and any other info-communications company or general utilities of the condominium which have been previously approved and contracted by Administration or by the Condominium, to perform the works of installation, modification, extension, repair of the works that are necessary for the operation and maintenance of services and facilities and excavation and trenching necessary for maintenance and any other similar work that was needed to maintain the smooth functioning of the underground facilities. ARTICLE SIX. Relationship between private and common properties. (i) The condominium owners acquire, together with the subdivision, the right to use the common elements as defined in the Law and these Regulations, as well as to those rights and obligations that these regulations recognize and impose, so that each condominium owner holds the right of the Subdivision understood as the private area, and from it the right utilize all that is define as common in the and Secondary Condominium and all that is necessary for their existence and conservation, with the limitations and restrictions that this Regulation establish. (i) No condominium owner might be limited in the rational utilization of common things, nor may he claim to have greater right to those things, because his coefficient of ownership in the private area exceeds that of other condominium owners according to what is establish in the Law. (iii) The Condominium Owners may utilized the common properties and use the services and facilities in a rational way. (iv) The rights of each condominium owner to the common things may not be alienated, encumbered, seized, or transmitted separately from the ownership, because it is inherent in the ownership of the subdivision, and therefore inseparable from it. (v) The pecuniary liability of the condominium owner over the common property is determined by reference to the coefficient of ownership in the private area that subdivision represents in relationship to the total area of the Condominium, and the renunciation to the utilization of the common things, whether express or implied, does not relieve the condominium owner from its obligations regarding the conservation and reconstruction of such property, or payment of maintenance fees, as well as any obligations under the Condominium Property Regime, because the responsibilities of condominium owners regarding the common property are compulsory. (vi) The utilization of the common property may be subject to leased by prior agreement of the Condominium Owners Assembly in a vote that represents at least two thirds of the total value of the Condominium. ARTICLE SEVEN. Utilization of the Common Property. The owners are required to ensure proper use of the common property of the Condominium, and to notify the Administrator of the Condominium of any situation, event or act which endangers the safety and preservation of these properties. Any condominium owner, lessee, occupier or holder, or that individual or legal entity which occupies subdivision, regardless of its title, will be responsible for any damage cost to common things because of hi fault or negligence, or also, will respond for the damages caused by their lessees, employees, servants, or visitors, and is responsible for the costs incurred in repair, and if he fails to do so the procedures described in Section a) of Article Four will be applied as well as the sanctions described in these regulations. Also, all of the condominium owners, lessees, occupants or holders of any title, must refrain from any act, even inside of their own property, which may impede the operation or the usage of the common areas of the Condominium, or make them less effective. ARTICLE EIGHT. Improvements to common property and maintenance work. In accordance with Section Thirty of the Law, the Administrator appointed by the Condominium Owners' Assembly, must care of an safeguard the common properties and services, must take care for the facilities and services and their operation as well as to perform all acts of preservation of the Condominium. Also, the Condominium Owners’ Assembly might give the Administrator guidelines for the performance of his duty, and in particular for the care of the common properties. The Improvements to the common properties will be approved by the Condominium Owners’ Assembly in accordance with Article Fourteen of the Law as follows: a) The necessary improvements will be approved by a vote of the owners representing a simple majority of the value of the Condominium and b) useful improvements for the votes of owners representing two thirds of the value of the Condominium. The condominium owners, lessees, occupiers or possessors, or holders in any title, are required to permit and withstand any inconvenience cost by the maintenance of common and private areas, as well as for their maintenance and repair. Consequently, the access and passage of individuals responsible for monitoring, managing and executing such works are permitted in all areas of the Condominium that are involved in maintenance work. The Administrator, will take appropriate measures so that the execution of maintenance works cause minimal discomfort or damages. In the case that a condominium owner requires to make improvements or modifications to the common properties, these must be approved by the condominium Owners’ assembly in accordance with this section. These improvements will now be common properties with all the rights and restrictions and may not be removed by the condominium owner who did the installation. CHAPTER FOUR – GOVERNING BODIES AND ADMINISTRATION: ARTICLE NINE. The Condominiums Owners’ Assembly meetings notifications and quorum. The Condominium Owners' Assembly is the supreme body of the Condominium, and therefore its governing body, so their decisions are binding to all condominium owners, lessees, occupiers or holders of any title of subdivisions or areas of the Condominium. The Assembly consists of all the condominium owners, whether they are individuals or legal entities who hold title to the Condominium subdivision. The meetings of the Condominium Owners’s Assembly must be be held ordinarily according to the Law and these Regulations at least once a year, between January first and last day of February, and extraordinarily whenever summoned by the Administrator the exercises of its powers, pursuant to section twenty five of the Law, or when summoned by owners who represent one third of the total value of the condominium, or when it has thus established in a previous Assembly. The Administrator must summon within ten business days after receiving the request of the Condominium Owners, if applicable. The quorum to consider the Assembly meeting valid, in First Call shall be formed by the condominium owners that represent at least two thirds of the total value of the Condominium, and for any number of condominium owner attendance for the Second Call, except in those cases where a greater majority is required because of the subject topics. The Administrator must keep a record in the Minute Book will transcribe the Agenda and will deem as approved the Budget for Common Expenses. The notification shall be made at least fifteen office prior to the Assembly meeting day, in the case of the ordinary assemblies and five office days in the case of extraordinary assemblies, in both cases, without taking into consideration the date of the notification and publication, in case that the latter is additionally realized at the discretion of the Administrator as shall be indicated, nor the day of the meeting.
The notification of the Condominium Owners’ Assembly must be made according to the communication mechanism establish in these regulations. At the discretion of the Administrator, the notification might be made through a publication in a national circulation newspaper and at the discretion of the Condominium Administration the notification shall be made through both mechanisms. The notification must point out the agenda for the day with specific points to be resolve, without being permitted to just point out that various matters will be cover, place, dates and time designated for the first and second meetings. The noncompliance with any of the requisites mention above will render the assembly held as null. The Condominium Owners’ Assemblies will be conducted by the Administrator, except if the duly constitute assembly decides otherwise by simple majority vote of those present. Also the Assemblies will have a President and a Secretary ad-hoc appointed by the Assembly from the condominium owners present, and a legal adviser of the Condominium. The requisite of a prior summon may be waived if one hundred percent of the condominium owners of the Condominium are present. ARTICLE TEN. Faculties and qualified vote of the Condominium Owners’ Assembly. It is the faculty of the Condominium Owners’ Assembly to resolve those matters of common interest, which are not included within the faculties and duties that will be pointer out later on for the Administrator. Only those that are up to date in the payment of the maintenance fees or any other obligation that the Condominium has acquire will be allow to vote. The Ordinary Assembly must know the Administrator's report and accounts, will approve the spending budget for the coming year and will determine ways to provide funds to cover the budget, except the powers conferred by this act to the Administrator. The following agreements and those indicated by Law are exclusive matters of the Condominium Owners’ Assembly, and require unanimous approval of all owners: a) those which modify the general purpose of the Condominium; b) A variation in the proportional areas of the subdivisions in relationship to the total area of the condominium or to the area of the common properties; c) the waiver to the condominium property regime, as long as that the resulting units do not conflict with other laws; d) The encumbrance or transfer the Condominium in its entirety e) Modify the articles of incorporation or the present Regulations, f) To change the use of the existing common properties or to dispose in any manner of the way they may be use, as well as the decision to make constructions in the common areas which are not in the original construction plans in the Condominium. Any other agreements referred to in Article twenty-seven of the Law. In the same way, above of at least two thirds of the total value of the condominium will be required for the following agreements and those stated the Law: a) Change the specific uses of the condominium. b) Acquisition of new common property, or to determine in any way of how it might be use, as well as to allocated as common property parts or sections of the Condominium which are not so by nature or which are indispensable for the existence, security and conservation of it. Likewise, the establishment of common areas of restricted use for one or several of the Condominium Owners, as has been defined in these Regulations; c) Authorize the lease of the common property; c) Approve the partial or total reconstruction of the buildings which form part of the Condominium; d) Determine the coverage of the insurance which must be acquire for the protection of the Condominium, besides those insurances required by the Law. According to Article twenty-seven of the Law, in all previous cases, when a single owner represents at least fifty percent of the total value of the condominium, will usually require fifty percent of the remaining votes in the Assembly meeting to make such agreements. The other agreements are made by simple majority of the total value of the condominium such as and without being limiting to: appointing the administrator as well as removal or acknowledgment his resignation and determine the compensation for his services, determining the amounts for the fines, and determining the Condominiums ordinary maintenance fees and surcharge; according to what is set forth below, the approval of the Condominium Operating Procedures Manual issued by the Administrator, the possible confirmation of the additional ordinary fees or surcharges determined by the Administrator as well as defining and authorizing ordinary and extraordinary maintenance fees.
The Assembly may delegate powers provided that this act does not go against the Law and its Regulations or these Regulations and may appoint Committees from among its members to address specific issues of the Condominium. All counting of votes in the Assembly of Condominium Owners shall be per square meter of private area, so the vote of each subdivision will be worth and would add up according to its percentage of property value in relationship to the total value of the Condominium, which has been specified in the description of the registered subdivisions of the Condominium. ARTICLE ELEVEN. Representation in the Assemblies. The condominium owners may be represented in the Assembly by a universal agent duly authorized by a registered proxy with no more than ten calendar days of issuance, or by special power granted to these effects, which must be deed, and the special representative must demonstrate its proxy by presenting the original deed of the agreement, which must specify the matters in which the special representative may vote, and in what sense, and what issues might he discuss on the basis of a brief description of the arguments.
In the case that the same subdivision belongs to more than one owner or if in such subdivision lays usufruct or possessions rights, both the co-owners or the owners of such rights and the bearer of the legal title shall be represented by one person in the Assemblies to produce one vote for the subdivision, according to the provisions in the Law which determines who is entitle to vote or by decision of the correspondent parties when applicable, in which case the respective notary legalized Special Power of Attorney will be presented. This representation, if it might be requested, will be registered in the Registry of Owners, and will be valid until the owner decides to revoke it and communicate it to the Administrator.
ARTICLE TWELVE. Condominium Minute Books. The Assembly agreements will be entered into an Assembly Minute Book that the Condominium will keep to this effect, duly authenticated by the Condominium Property Section of the Public Registry, in accordance with article twenty-eight of the Law. The minutes will be signed by the President and Secretary of the Assembly, as well as by the Administrator, who must also compile a list of attendees, which will be part of the minute, and these will be preserved in the archives of the Condominium. He will also keep an Accounting Book, or those which were necessary for the order, control and reporting of the administration of the Condominium, which must also be certified by the agency mentioned. The books will be under the custody and care of the Administration, which will be responsible for them and be in the imperative obligation of bringing them to the Assembly of Condominium Owners. He must show them to the condominium owners when they request to review them. Besides these two books, the Administrator shall keep a book, record or any other system of Register of Condominium Owners which shall indicate the name, surnames, address and date of purchase of the Subdivision of all of them, the record of their universal agents or proxy holders, address for notifications, e-mail, telephone and fax, as well as any changes that occur in these data. The Administrator is responsible for keeping the information of all the books up to date. Any owner who feels that his rights have been affected may file his complaint within the following three months after the final agreement has been reached he shall justify the complaint in the summary procedure established in the Civil Procedure Code. ARTICLE THIRTEEN. Regarding the Administrator. Appointment, fees, removal, resignation and replacement. The Administration of the Condominium will be headed by an Administrator, hereinafter referred to as the Administrator, who may be an individual or a legal entity, either a Condominium Owner or not, who will be the universal agent (apoderado generalísimo sin límite de suma) according to what is established in the provisions of Article 1253 of the Civil Code of the Republic of Costa Rica. He may grant all types of proxies, but he may not delegate or substitute his power. In accordance with the provisions of article forty-one of the Regulation to the regulating law for condominium property, the Administrator shall have power to establish easements on common areas of the Condominium that would be required by state institutions or public utilities institutions, for the establishment and operation of basic public utilities for condominium owners, to enable these institutions to install, modify, extend, repair and maintain such facilities and services, perform excavations and trenching necessary for maintenance, including not limited to similar works that were needed to take to maintain the proper functioning of the underground facilities. HE WILL BE APPOINTED FOR A PERIOD OF TWENTY-FIVE YEARS from the date he is appointed. In the case of a legal entity being chosen, it will designate the individual who will act on its behalf to perform the related functions. The appointment of the Administrator shall be made by simple majority vote of the total value of the Condominium, in the Condominium Owners' Assembly convened for that purpose, among the candidates proposed by any condominium owner, the Assembly itself or the outgoing administrator. The Administrator shall receive a fixed monthly fee determined by the Condominium Owners’ Assembly that elected him, which will be reviewed once a year, or when the Assembly determines to. The designated Administrator of the Condominium may be removed from his post before the expiration of his appointment, by a vote of the condominium owners that represent a simple majority and because of the causes that would be discussed and agreed upon in the Assembly convened for that purpose. The Administrator may resign at any time, in which case he must convene and inform the Condominium Owners’s Assembly with at least sixty calendar days prior to the date when his resignation will become effective, so that the Condominium Owners’ Assembly may take appropriate action to replace him and to receive and approve a final report of the management of the Administrator during that period. The Condominium Owners Assembly shall appoint a Committee, of which the resigning Administrator may be part, so that within thirty calendar days from the date on which the Administrator communicates his resignation, the Committee finds suitable candidates to perform the administration of the Condominium, and present a recommendation of them in the next Condominium Owners’ Assembly to be convened by the resigning Administrator to that effect. The Assembly for this purpose shall be held during the last five working days within the thirty calendar days given to the Commission for the search for candidates, which shall take into consideration the appropriate notice term, and the appointment of the replacement will be made starting on the date when the resignation of the Administrator is effective, upon the expiration of the sixty days mentioned in this article, or from the date specified by the Assembly, and up to which the resigning Administrator will continue on post performing his normal duties. The period that runs between the appointment of the substitute Administrator and the date when the resignation of the Administrator becomes effective, will be used by both so that the substitute Administrator is informed of all affairs of the Condominium and the current functions of the Administrator, as well as the obligations and rights his post concedes him. Once the substitute Administrator is appointed by the Condominium Owners’ Assembly or a new Administrator is designated by the expiration of the appointment, the outgoing administrator will deliver all the Condominium Books and Accounting and Financial Statements, and all documentation, office equipment and goods that are intended for use of the Administration to the new or substitute Administrator. The new or substitute Administrator shall have the same powers, duties, responsibilities and rights under this Regulation and the Law, concurrent with the acceptance of appointment. The substitution of the Administrator, as well as the appointment of a new one because of the expiration of the appointment term will be registry immediately in the Public Registry on the date when the new appointment begins to be in force.
