Par ordonnance en date du 22 octobre 2012, la SELARL Bauland, Gladel & Martinez a été désignée en qualité de mandataire ad hoc intervenant dans le cadre d’une procédure de conciliation. * * * Le conciliateur a pour mission d’obtenir la conclusion d’un accord entre les dirigeants de l’entreprise et les créanciers de celle-ci sur des délais de paiement ou de remises de dettes afin de mettre fin aux difficultés l’entreprise. En cas d’inexécution des engagements résultant de l’accord de conciliation, le président du tribunal prononce à la demande de l’une des parties, la résolution de l’accord ; il peut aussi prononcer la déchéance des délais de paiement accordés au cours de la conciliation ou en exécution de l’accord. Le bail est consenti pour une durée de trois, six ou neuf ans à compter du 1er octobre 1992. Le bail a été renouvelé une première fois le 1er avril 2003. Par acte en date du XXX, le bail a fait l’objet d’un second renouvellement pour une nouvelle durée de trois, six ou neuf ans à compter du 1er avril 2012. Nous n’avons été informés d’aucun congé notifié par le bailleur ou DECOTEC et d’aucun différend entre bailleur et/ou le locataire. * * * 2.2 Propriété Conformément aux informations mentionnées dans le procès-verbal de l’assemblée générale des associés du 22 juin 1983, un bail à construction a été conclu avec la mairie de Tuffé pour une durée de 18 ans. Aux termes de ce bail, une promesse de vente des biens appartenant à la commune et loués pouvait être levé dans l’année qui suit l’expiration du bail à construction. Le ou les titres de propriété ne nous ont pas été remis. DECOTEC est à la recherche de ce/ces documents. Plusieurs constructions ont été réalisées sur le site de Tuffé. Les permis de construire et les certificats de conformité à la suite des travaux et constructions qui ont été réalisées nous ont été communiqués. Nous ne pouvons en revanche garantir que l’ensemble des constructions répondent sont conformes au droit d’urbanisme. Si une étude approfondie est souhaitée, cette dernière pourra être réalisée par un spécialiste en droit de l’urbanisme. Il conviendra en tout état de cause de prévoir dans la documentation d’Acquisition une garantie que l’ensemble des constructions ont été réalisé conformément aux normes en vigueur. By order dated Thursday, December 26, 2013, SELARL Bauland, Gladel & Martinez has been designated as ad hoc Agent involved in a conciliation procedure. Two new conciliation agreements (the "Agreement of Conciliation n° 2") dated as of January 31, 2014 for DECOTEC and on 12 and 13 March 2014 for HOFIDEC have been concluded. The Conciliation Agreements N° 2 are amendments to the Conciliation Agreements No. 1, with the exception of the provisions of the Conciliation Agreements No. 1 executed or those unmodified by the Conciliation Agreements N° 2. In the event of conflict between the terms of the Conciliation Agreements No. 2 and those of existing funding contracts of the Conciliation Agreements N° 1 or subsequent acts, the stipulations of the Conciliation Agreements No. 2 shall prevail. Main points of DECOTEC Conciliation Agreement n° 2 : - Commitment of Mr .Dominique Chalot to contribute the sum of €1,500,000 to DECOTEC (the "Account Contribution Currently Blocked"). - Change in governance - Redevelopment of Medium-term Credits: o Repayment deductible in capital for a period of 24 months beginning retroactively from 1 January 2014. The lease is granted for a period of three, six or nine years as of 1 October 1992. The lease has been renewed once on April 1, 2003. By act dated of XXX, the lease was the subject of a second renewal for a further period of three, six or nine years starting from 1 April 2012. [Entire Lease requested] 2.1.2 rental of premises of the Showroom A commercial lease contract was concluded on 6 July 2000, between SCI Voltaire-Vaufoyard and DECOTEC relating to the rental of the offices of the Showroom located at sis 3, boulevard Voltaire - 75011 Paris. The lease is granted for a period of three, six or nine years as of July 6, 2000. The lease has been renewed by Act of 10 September 2010 for a new period of three, six or nine years effective July 1, 2010. 2.1.3 lease for use of parking space A commercial lease contract for use of a parking space was concluded on 2 May 2007, between Messrs. Jacques Suzor and Françis Suzor and DECOTEC having for objective the rental of a parking space at 3, boulevard Voltaire - 75011 Paris. The lease is granted for one year, tacitly renewable for the same period. Each of the parties may terminate this agreement at any time observing a period of notice of 3 months. 2.1.4 Short-term commercial lease agreement with the ALROC Company As of December 7, 2015, DECOTEC has consented to the ALROC Company a commercial lease of short duration, derogating from the provisions applicable to commercial leases, so that the latter can store finished and semi-finished products. The lease was entered into from December 15, 2015 until 31 December 2016 without tacit renewal. Each of the parties may terminate this agreement at any time observing a period of notice of 3 months. The lease is granted free of charge. 2.1.5 Lease tenancies to Ms. Mireille Conte From 1 January 2015, Madame Mireille Conte was hired as agent of monitoring and guarding. In return for its functions, DECTOEC has made available, free of charge, company housing of which the company is the owner and which comprises: - a pavilion for lodging in the lower level, a garden, a separate garage. Being an accessory to the employment contract, Ms. Mireille Conte is committed to leave upon the cessation of her duties. Nothing to add on the lease (see section on social right on the contract] 2.1.6 QUID HOFIDEC RESIDENCE * * * All of these leases do not require specific comments on our part. We have been informed and notified by the lessor or DECOTEC of no dispute between lessor or the lessee. * * * 2.2 Property According to the information mentioned in the minutes of the general meeting of shareholders on June 22, 1983, a construction lease was concluded with Tuffé Town Hall for a period of 18 years. Under the terms of this lease, a promise of sale of property belonging to the municipality and rented could be lifted in the year following the expiration of the construction lease. The title or titles have not been delivered to us. DECOTEC is looking for this / these documents. Several construction projects were performed on the site of Tuffé. Building permits and certificates of conformity following the work and construction which have been performed have been communicated to us. We cannot however guarantee that all construction projects comply with the laws of urban planning. If a comprehensive study is required, this latter may be carried out by a specialist in planning law. It shall be appropriate in any case that the documentation of Acquisition guarantees that all construction shall be done in accordance with the standards in force. The SOCOTEC Company has prepared a report dated May 9, 2016 mentioning that wiring can result in the risk of fire and/or explosion [explanation request sent -- what are the corrective actions taken] Under a mortgage deed signed on XXXX, the property was mortgaged in favor of Société Générale as security for repayment of a loan concluded on XXX. Mr. Costet could not validate if the mortgage is still in force, it is necessary to verify this point in light of the state of the mortgages. DECOTEC filed June 23, 2016 an application to get a status of the existing mortgage on the building located in Tuffé. So far we have not received the document. 3. Contracts 3.3 Loan Contracts & Collateral DECOTEC has: Short-term contract: frozen in application of conciliation agreement no. 2. Repayment resumed in January 2016: + quid Conciliation no. 1 - subscribed, for the needs of financing its investments, several medium /long term loans (the “Medium Term Credits”) - Amendment of April 7, 2014 in the loan contract concluded between DECOTEC and Banque Populaire dated June 11, 2007 The loan made pursuant to a notarial act dated June 11, 2007 carries an amount of €95,000 over a period of 120 months at a rate of 4.65% intended to finance the acquisition of a pavilion to use for housing. This endorsement, amending the terms of repayment of the loan, was made pursuant to Conciliation Agreement n° 2. A first amendment dated September 11, 2013 was concluded pursuant to Conciliation Agreement n ° 1. This amendment introduced a franchise in capital of 24 months and providing full redemption of the capital outstanding on December 31, 2017. The amendment modifies the terms of repayment of the loan by introducing a franchise in capital of 24 months. The loan must be repaid from 1 January 2016 to 1 September 2017. The amendment modifies the terms of repayment of the loan following Conciliation Agreement No. 2, by introducing a franchise in capital of 24 months. Repayment shall resume on January 5, 2016 and in any case it has been agreed that the loan would be repaid in full on January 5, 2018, with the settlement of the remaining capital due and interest to this date.
