Source text - English حيث أن شركة (ٍس) وهي شركة مسجلة، وفقاً لنظام الشركات، بموجب السجل التجاري رقم ........ وتاريخ .......... ومصرح لها بالعمل في مجال نشاط سوق المال من قبل هيئة سوق المال، لتقديم خدمات ...... بموجب الترخيص رقم 000 وتاريخ 0000 وحيث أن العميل يرغب في الإستفادة من خدمات الشركة (س) بفتح حساب للأسهم المحلية،وفق تعليمات العميل فقد اتفقت الشركة والعميل على إبرام إتفاقية اتفاقية فتح حساب الأسهم المحلية في يوم --------------------- من شهر -----------سنة ----------------الموافق ليوم --------------من شهر -------------سنة ---------------- فيما بين:
- الأطراف:
(1)- شركة (س)، سجل تجاري رقم ------------، بتأريخ ----------، ترخيص هيئة سوق المال رقم ---------------- بتأريخ ------------ وعنوانها ص ب رقم --------- الرمز البريدي ------------------ . ويشار إليها فيما بعد ب (س).
(2) – السيد / السادة / السيدة / الآنسة ----------------------------- الهوية ---------------تأريخها -------مصدرها (السجل التجاري --------------و العنوان في حالة الشركات أو المؤسسات ) .
في هذا الإتفاقية:
(أ)- تكون للكلمات والعبارات الواردة فيها ذات المعاني الممنوحة لها في أنظمة ولوائح سوق المال، ولوائح تأسيس الشركة.
(ب) – ما لم يقتض السياق معنى آخر:
الحساب: يقصد به حساب الإستثمار لدى (س)، وفقاً لاتفاقية فتح الحساب الإستثماري بين العميل و(س).
العميل : يقصد به الشخص الطبيعي أو الإعتباري الذي يرغب في الدخول في استثمارات عن طريق الإستثمار في الأسهم المحلية.
الأسهم المحلية: يقصد بها الأسهم في سوق المال.
السوق : بقصد بها هيئة سوق المال.
- موضوع الإتفاقية:
(1) تقوم (س) بتقديم خدمات تسهيل البيع والشراء للأسهم المحلية، عبر خدمات الإنترنت وغيرها، لتمكين العملاء من تداول الأسهم ومعرفة أخبار سوق المال، مع الإلتزام بالآتي:
أ- المحافظة التامة على سرية معلومات العميل.
ب- تقديم خدمات الإستثمار في الأسهم بأعلى درجات الإلتزام المهني وتقديم البيانات التي تساعد (العميل) في إجراء التحليل الفني للأسهم وتتبع حركة أسعار تلك الأسهم خلال فترة معينة وتتبع مؤشرات الأسهم ومقارنتها بالمؤشر العام للأسهم ومدى الإقبال على شراء الأسهم وبيعها وذلك فضلاً عن تحليل أصول الشركة التي وقع عليها من حيث حجم الممتلكات والإنتاج والمبيعات والأرباح خلال عدد من السنوات والقيمة السوقية لأسهم الشركة وقوة منافستها والسوق ومجلس الإدارة ونوعية القرارات الصادرة عنه، بغية تمكينه من اتخاذ القرار الملائم بالبيع والشراء وفق تقديره .
- إقرارات الطرفين:
(1) يقر العميل:
أ- بأنه غير ممنوع شرعاً ونظاماً من التعامل مع (س) وأن جميع البيانات المدونة في هذه الاتفاقية صحيحة وأنه قد أطلع على هذه الإتفاقية وتفهم كافة الشروط والأحكام التي وردت بها، و
ب- أنه مسؤول أمام السلطات المختصة عن الأموال التي أودعها في حسابه المفتوح لدى (س) وأنها ناتجة عن أنشطة مشروعه ولا تخالف أو تمس النظام العام, و
ت- أنه ملتزم بتجديد صلاحية مستند إثبات الشخصية فور انتهاء صلاحيته وتقديم صورة ل (س) حتى لا تضطر إلى تجميد كافة الحسابات الخاصة به وعدم السماح له بالسحب منها, و
ث- أنه ملتزم بتحديث بياناته الشخصية مرة واحدة سنوياً أو عندما تطلب منه المجموعة ذلك, و
أنه يحق ل (س) أن تتابع وتراقب جميع الأنشطة والعمليات المتعلقة بحسابه لتحديد العمليات المشبوهة وإبلاغ السلطات الأمنية وإشعار هيئة السوق المالية بذلك.
(2)- تقر (س) بالآتي بأنها تسعى دائماً:
• للحيلولة دون تضارب المصالح بين العميل وبينها هي، وموظفيها وأعضاء مجلس إدارتها ووكلائها أو عملائها الآخرين.
• للمحافظة على سرية معلومات العميل حتى بعد انتهاء العمل بهذه الإتفاقية.
ويؤكد العميل بأنه قرأ الشروط والأحكام السابقة، كما يؤكد على أن البيانات التي دونها صحيحة وسليمة ودقيقة، وإشهاداً على ذلك فقد وقع الطرفان على هذه الإتفاقية، وهما عالمين بمحتواها قاصدين تنفيذ أحكامها:

Whereas the Client wishes to use X services by opening a Local Shares Account based on the Client instructions,
Now, Therefore, X and the Client hereby agree to enter into this Local Shares Account Opening Agreement on the ................... day of ..................., ....................H corresponding to the ................... day of ..................., ...................G, between:
2- The Parties
(1) X, Commercial Register No. ….……….., dated …………., CMA license No. ………….., dated …………... , address P. O. Box …………, Postal Code……….., (hereinafter referred to as "X");
and
(2) Mr./Messrs/Mrs./Ms. ……………………………., ID No. …….………., dated …….…….., issued by (Commercial Registery of …………… and address in case of corporate entities).
3- Definitions
In this Agreement,
(a) the following words and expressions have the meanings assigned to them in the Capital Market laws and regulations and X Memorandum of Association,
(b) unless otherwise required by the context:
Account: X investment account, according to the Investment Account Opening Contract between the Client and X
Client: Any natural or legal person wishing to invest in local shares
Local Shares: Shares traded in the Stock Exchange
Market: the Capital Market Authority (CMA)
4- Object of Agreement
(1) X provides services to facilitate the sale and purchase of local shares, via the Internet and other media, to enable its clients to trade in shares and keep up to date with Market news, while abiding by the following rules:
(a) maintaining total confidentiality of Client information; and
(b) offering the highest standard of professional services in share investments; providing the Client with data to perform a technical analysis of shares, monitor price ticks of these shares during a certain period of time, observe share indices and compare them with the general share index and monitor the rate of demand on the sale and purchase of shares; and analyzing the assets of the company chosen by the Client, i.e. the size of its properties, production, sales and profits during a certain number of years, as well as the Market value of that company shares, its competitiveness in the Market, its board of directors and the quality of its resolutions. All this information would enable the Client to take the appropriate decision to sell or purchase shares, at his/her own discretion.
11- Parties Representations
(1) The Client hereby represents that:
a) he/she is not forbiden, either by Sharia or law, from doing business with X, that all information included in this Agreement is correct, and that he/she has read this Agreement and understood all the terms and conditions thereof;
b) he/she is responsible before competent authorities for the funds he/she deposited in the account opened at X and that they were earned from legal activities that do not contradict or violate the law;
c) he/she shall renew his/her ID upon its expiry and furnish a copy thereof to X, so as not to compel X to freeze all of his/her assets and prevent him/ her from making any withdrawals from his/her account;
d) he/she shall update his/her personal information once a year or upon X request; and
e) X is entitled to monitor all activities and transactions related to his/her account in order to detect any suspicious transactions and report them to security authorities and CMA.
(2) X hereby represents that it will always seek to:
• avoid any conflict of interest between the Client and itself, employees, members of its board of directors, agents and other clients; and
• maintain the confidentiality of its Client information, even after the expiration or this Agreement.
The Client hereby declares that he/she has read the above terms and conditions and that all information he/she has written down are true, correct and accurate.
In witness whereof, both parties hereto signed the Agreement and they are aware of its content and intend to implement its provisions

Source text - Arabic وفي جلسة 11/2/1431هـ، حضر وكيل المدعية السابق حضوره ووكيل المدعى عليها، المثبت في الضبط هويته وصفته، وفيها سألت الدائرة وكيل المدعية عن دعوى موكلته، فقال: "إن موكلتي باعت المدعى عليها 5500 كارت شحن فئة 100 ريال كما باعتها 5500 كارت شحن فئة 50 ريال . وقد استلمت المدعى عليها هذه الكروت ولم تسدد قيمتها. وأطلب إلزامها بسداد هذا المبلغ لموكلتي."
Translation - English In the hearing held on 11/2/1431 ِAH, the plaintiff attorney, who has previously appeared before the Circuit, as well as the defendant attorney, whose ID and capacity are recorded in the minutes, appeared before the Circuit. In that hearing, the Circuit asked the plaintiff attorney to present his client case. He said, “My client has sold the defendant 5500 recharge cards in SR100 denomination in addition to 5500 recharge cards in SR50 denomination. The defendant received these cards; however, he did not pay the required sum. Therefore, I request the Circuit to order the defendant to pay that sum to my client.”
