Dears Sirs,
Reference is made to the Share Exchange Agreement entered into on October 20, 2006, by and between, one side, inter alia, Metalúrgica Barra do Piraí S.A. - MBP, Ronald de Carvalho and Carla Müller Ferreira de Carvalho (the “Sellers”) and, on the other side, Mauser do Brasil Participações Societárias Ltda., company of which Mauser do Brasil Embalagens Industriais S.A. (“Mauser do Brasil”) is the legal successor by reason of a merger, with the intervention of HRC S.A. as guarantor of Sellers’ obligations, regarding the acquisition of MBP's industrial packaging Business (as defined in the above mentioned agreement). Reference is also made to Mauser's notice dated March 11, 2008 regarding labor claims filed by former employees of MBP against Mauser do Brasil, in connection with alleged labour liabilities related to the period when such employees worked for MBP.
Mauser has recently been aware of additional 2 (two) labor claims filed by former employees of MBP against Mauser do Brasil, as described in Schedule A, also related to the period when those employees worked for MBP. Accordingly, as pointed out in Mauser’s previous notice on this matter, all costs and burdens arising therefrom or in connection therewith, including the costs of defence, shall be solely borne by Sellers, as per the Share Exchange Agreement.
Given the foregoing, and in view of Sections 8.2 (b) of the Share Exchange Agreement, Mauser Brasil hereby requests that Sellers, within 5 (five) days from the date hereof, either pay the amount involved in such additional labour claims or assume the burden of the defence appointing attorneys, at its own cost, to represent Mauser do Brasil or undertaking to pay the fees of the attorneys that Mauser do Brasil already indicated in the cases.

Prezados senhores:
Com referência ao Contrato de Intercâmbio de Ações celebrado em 20 de outubro de 2006, por e entre, de um lado, inter alia, Metalúrgica Barra do Piraí S.A. - MBP, Ronald de Carvalho e Carla Müller Ferreira de Carvalho (os “Vendedores”) e, do outro lado, a Mauser Brasil Participações Societárias Ltda., sociedade da qual a Mauser do Brasil Embalagens Industriais S.A. (“Mauser Brasil”) é a sucessora legal por motivo de fusão, com a intervenção da HRC S.A, como garantidora das obrigações da Vendedora, referente à compra dos negócios de embalagens industriais da MBP (conforme definido no contrato supracitado). A referência é feita também ao aviso da Mauser de 11 de março de 2008, referente às reclamações trabalhistas arquivadas pelos antigos funcionários da MBP contra a Mauser Brasil, em relação às supostas responsabilidades trabalhistas relacionadas ao período de quando esses funcionários trabalharam para a MBP.
A Mauser Brasil, recentemente tomou conhecimento de duas (2) reclamações trabalhistas adicionais arquivadas por antigos funcionários da MBP contra a Mauser Brasil, conforme descrito no Anexo A, também relacionado ao período em que esses funcionários trabalhavam pela MBP. Consequentemente, conforme indicado pelas notificações anteriores da Mauser sobre este assunto, todos os custos e encargos decorrentes do mesmo ou com relação ao mesmo, incluindo os custos de Defesa, serão unicamente arcados pelos Vendedores, em conformidade com o Contrato de Intercâmbio de Ações.
Em face ao acima exposto, e em razão das Clausulas 8.2 (b) do Contrato de Intercâmbio de Ações, a Mauser Brasil, solicita pela presente, que os Vendedores, dentro de cinco (5) dias a partir da data do mesmo, efetuem qualquer pagamento do valor envolvido nessas reivindicações trabalhistas adicionais ou assumam os encargos dos advogados de defesa nomeados, às suas próprias custas, para representar a Mauser Brasil ou compromete-se a pagar as taxas dos advogados que a Mauser Brasil já indicou nos casos.

Na condição de advogado procurador do IVC - Instituto Volta ao Campo -, pessoa jurídica de direito privado, situado na cidade de Uberlândia, Minas Gerais, Brasil, sirvo-me da presente para notificá-lo extrajudicialmente, de que se encontra em nosso escritório de advocacia, em fase final, AÇÃO JUDICIAL POR INEXECUÇÃO CONTRATUAL, COMO ADIANTE SE VERÁ, ALÉM DE INDENIZAÇÃO POR PERDAS E DANOS MORAIS em face dessa conceituada instituição, pelos motivos de fato e de direito que a seguir expõe:
1 - O Instituto Volta ao Campo celebrou contrato com a Global Agricultural Resources-GAR em 12.11.2007 com o propósito de coordenar trabalhos junto às cooperativas de produtores rurais do Triângulo Mineiro para incentivar o plantio de 40.000 hectares de pinhão manso, importante matéria prima para a produção de biodiesel;
2 – Nesse sentido, a GAR, subsidiária da Global Natural Resources-GNR, conforme documentos em nosso poder, firmou, com a interveniência do IVC, contratos com 8 (oito) cooperativas de produtores rurais, para o plantio, cada uma, de 5.000 hectares da referida oleaginosa;
3 - À época dos fatos, o acordo consumado gerou enormes expectativas entre os membros do IVC e em toda a comunidade agropecuária, tendo em vista as excepcionais perspectivas que o projeto almejava, alimentadas pela boa-fé e indiscutível credibilidade das partes;
4 - De tão animados com a ideia, muitos profissionais da área pediram demissão de seus empregos para se vincular ao IVC com o intuito de participarem do projeto;
5 - Somente durante a execução da etapa inicial dos trabalhos, o IVC promoveu cerca de 200 (duzentas) reuniões, (vide relatórios mensais) em diversas cidades, com agricultores, políticos e autoridades, para difundir as vantagens e perspectivas do plantio de pinhão manso, principalmente em relação às usinas de biodiesel;
6 - Para que o projeto fosse implementado o contrato inicial assinado entre as partes previa uma duração de 15 (quinze) anos, com a GAR promovendo o repasse mensal de R$ 33.000,00 (trinta e três mil reais) para o IVC, até maio de 2008 e R$ 56.000,00 (cinqüenta e seis mil reais) de junho a setembro de 2008, quando houve a interrupção do projeto por parte da GAR;
7 – De fato, em 22.10.2008, sob a alegação da crise financeira internacional que recentemente eclodira, o contrato foi suspenso pela instituição que o respeitável executivo representa e os repasses atrasados, referentes aos meses de junho, julho,agosto e setembro de 2008, no valor total de R$ 224.000,00 (duzentos e vinte quatro mil reais) não foram mais efetuados, ficando o IVC sem a verba prometida e, consequentemente, amargando sozinho com os lamentáveis e incontáveis prejuízos da interrupção;
8 - Com a suspensão das atividades sem aviso prévio do total a ser recebido, todos os colaboradores do IVC envolvidos com o projeto ficaram sem renda, levando a um transtorno social sem precedentes, tendo em vista que as despesas do Instituto Volta ao Campo continuaram, assim como os gastos pessoais e familiares.
9 - Ainda hoje, os abnegados profissionais que se desdobraram para o sucesso da empreitada prometida suportam dívidas contraídas pelo inesperado desfecho contratual.
10 – Finalmente, após inúmeras cobranças, sem nenhuma satisfação da GAR, inclusive quanto ao futuro do Projeto, a GNR assumiu o débito, que foi consolidado em 126.483,26 USD, dos quais prometeu um sinal de 5.000 USD (já recebidos), ficando, os restantes, 121.483,26 USD para serem pagos em 8 (oito) prestações mensais consecutivas a partir de 31.05.2010 (não recebidos);
11 - Inegavelmente houve, assim, uma segunda frustração com esta remonada instituição, tendo em vista que, de novo, não cumpriu o que promoteu.
DO DIREITO
Como o contrato foi assinado no Brasil, as leis vigentes são as do país onde o negócio foi celebrado, ainda que envolvida uma instituição cuja sede fica no exterior.
O direito brasileiro preconiza o princípio da autonomia da vontade, defendendo que as partes são livres para pactuar o que bem entenderem, respeitados os limites legais. Diz ainda o ordenamento jurídico brasileiro que em todas as negociações há de prevalecer a boa-fé e o equilíbrio, sob pena da parte inadimplente responder pelos prejuízos causados.
Apesar do acordo inicial entre as partes contemplar a possibilidade de suspensão do contrato por motivo de caso fortuito ou força maior, até hoje o IVC não recebeu explicações sobre os reais motivos que levaram a interrupção do projeto, o que viola o pacto firmado.
Ademais, não houve aviso prévio com ao menos 30 dias de antecedência para a suspensão contratual. E essa condição também é defendida pelo ordenamento pátri flagrantemente violado.
Em que pese o fato de a respeitosa instituição dirigida por Vossa Senhoria estar em outra nação, nada impediria a interposição de uma ação judicial para o adimplemento da obrigação contratual avençada, posto que Brasil e Suiça são signatários de tratamentos internacionais constituídos exatamente para viabilizar acordos comerciais entre os dois países, em nome da segurança jurídica imposta pelas relações bilaterais.
Entendemos, no entanto, que se trata de medida por demais energética, tendo em vista que as partes são idôneas e conscientes de suas obrigações, direito e deveres, devendo ser o judiciário apenas ser demandado em caso de flagrante recusa a esse chamado único para uma negociação justa, sólida e eficaz para por fim ao impasse que ora se expõe.
Indiscutível que um eventual processo judicial com esse intuito - receber o montante devido pela GNR, além do referente aos incalculáveis danos morais que o IVC sofreu junto às Cooperativas e seus associados, por nunca ter tido o respaldo necessário para levar até eles o justo motivo da ruptura - colocaria em exposição na mídia um conflito hoje restrito entre as partes, medida que certamente arranharia a imagem das duas instituições, comprometendo negócios futuros em todos os países, haja vista o acesso hoje muito fácil às notícias, em especial as que são publicadas na internet que não estabelece fronteiras.
Entendemos, assim, que ao menos por enquanto, embora questionados de maneira reiterada pelos veículos de comunicação sobre os motivos que levaram à interrupção dos trabalhos, não vislumbramos razões para que os jornalistas tomem conhecimento dos desdobramentos sociais e econômicos provocados com a abrupta ruptura do contrato, protagonizada pela GNR, que ainda mantém um nome respeitável no nosso país.
Isto posto, gostaria de convidar Vossa Senhoria a discutir conosco, o quanto antes, a possibilidade de um acordo capaz de impedir um constrangimento público internacional, tendo em vista que por diversas vezes tentamos, sem sucesso, pôr fim à presente demanda de forma amigável.
O acordo evitará a ação judicial e, consequentemente, despesas com custas judiciais e honorários advocatícios.

Translation - English DEMAND LETTER

I am writing this letter as a last and final attempt to avoid a lawsuit my law office is preparing against you and to settle the matter of CONTRACTUAL DEFAULT, additionally, my client, IVC - Instituto Volta ao Campo, a private foundation, located in the City of Uberlândia, Minas Gerais, Brazil, seeks ACTUAL AND GENERAL COMPENSATORY DAMAGES CLAIMS against you as a result of the following facts and circumstances:
1 - On 11.12.2007, an agreement has been entered by Instituto Volta ao Campo and Global Agricultural Resources-GAR, the agreement provides management of activities with Western Minas Gerais agricultural cooperatives to boost plantation of 40,000 hectares of Jatropha curcas, major component for production of biodiesel feedstock;
2 – Based on the evidence presented to us, agreements with eight (8) agricultural cooperatives for plantation, in each agreement, of 5,000 hectares of the above identified plant-based oil have been entered between GAR, a subsidiary of Global Natural Resources-GNR, and the intermediary IVC;
3 – At the time the agreement was entered into, both IVC and the agricultural community were enthusiastic about the possibilities laid out for that endeavor given the irrefutable integrity and credibility of all parties;
4 – Such enthusiasm led many farm workers to quit their jobs and join the aforementioned endeavor;
5 – In the preliminary stages of the work around (two hundred) 200 meetings (refer to monthly reports) were called in various cities with farmers, politicians and authorities to reveal how profitable and favorable would be joining the Jatropha curcas plantation, with strong emphasis on biodiesel plants;
6 – The term expected in the preliminary agreement between the parties was fifteen (15) years, with GAR, every month until May 2008, handing out thirty-three thousand Brazilian Reais (33,000.00 BRL), and fifty-six thousand Brazilian Reais (56,000.00 BRL) from June to September 2008, when GAR discontinued the work;
7 – The Company’s CEO effectively suspended the contract on 10.22.2008, citing the most recent global financial crisis as a reason, and unpaid allocations for June, July, August and September 2008, in the total amount of two hundred twenty-four thousand Brazilian Reais (224,000.00 BRL) remained not paid, thus, not only IVC did not received the agreed sum but also had to bear insurmountable losses due to work’s suspension;
8 – The uncertainty surrounding settlement of unpaid allocations also caused IVC itself to be in debt with their workers leading Instituto Volta ao Campo to a stressful situation since not only affording their regular expenditures was not possible but also their own personal and family expenses.
9 – To this date, these unpaid workers grind day and night to successfully fulfill their obligations despite the perduring debts as a result of the unexpected contract termination.
10 – GAR left my client uninformed, including on the state of the endeavor, and we only hear back after several attempts, GAR acknowledged 126,483.26 USD as the final outstanding amount, and promised a down payment of 5,000 USD (already received), with remaining amount of 121,483.26 USD to be paid in eight (8) consecutive monthly installments as of 05.31.2010 (not received);
11 – And thus, once again, another frustration, the aforementioned company has failed to deliver on their promises.
QUESTIONS OF LAW
The Brazilian law is the governing law for the agreement since it is the location where business was finally agreed upon, regardless if either party is based abroad.
The Brazilian’s principle of autonomy states that parties can freely enter into any terms they deem convenient, according to the law. And each and every negotiation should be dealt with reasonableness and good faith, and in failing to do so, the Brazilian legal system states that the defaulting party is to be held legally liable.
A likely contract suspension was proposed by their preliminary agreement in the event of Act of God or Force Majeure, however, such suspension goes against their own agreement when IVC has yet to learn the motives that led to the discontinuance of the endeavor.
Additionally, a contract suspension took place without the 30-days’ notice. The Brazilian federal system states this provision must be observed.
Your company being based abroad will not preclude you to have a lawsuit filed against you and have this matter resolved, especially since Brazil and Switzerland are signatories of international treaties set up as a way to enable these countries can safely enter into business agreements, such is legal certainty provided by these types of treaties.
We seek to sort out this matter, especially when you take into account both parties ethical and diligent background with their obligations, rights and duties, therefore, taking legal action would be quite the drastic measure, and will only be commenced if this last fair, substantiated and straightforward plead is rejected.
If legal action were to be commenced on that regard – GAR unpaid allocations, plus the insurmountable moral damages incurred by IVC, their cooperatives and its affiliates, since GAR has not disclosed their true motives that resulted in the default – the general public would become aware of your personal dispute, that would certainly tarnish both companies’ reputations, and putting in jeopardy any future business across the globe, especially how freely news posted on internet circulates.
We have been repeatedly asked by media outlets on the motives that lead to the suspension of activities, and, given GNR’s renowned reputation, there is seemingly no reason to divulge the social and financial distress that went down as a result of the contract termination by GNR, at least for now.
Now therefore, many were the attempts to resolve this matter amicably, to no avail so far, please let us reach a mutual understanding, as soon as possible, to avoid any global public disparagement.
A resolution will not only avoid a lawsuit, but also any legal and attorney fees arising out therefor.

Before I tell you my (shortened-version) story, let me tell you, yes, I
have over than 14 years of experience in translations, +10 as translator – if we
count out the years I was Reviewer – but why so little certifications? Back
then, I couldn’t be bothered to get any certification, I thought mounting up years
of experience with companies left and right would be enough. I have no shame in
acknowledging my mistake, experience outside the hands-on itself it is
important as well. One thing I promise you though, taking a shot at my mostly
self-taught talents will not be a long shot. I do honor deadlines, terminology,
accuracy and always strive to make the translation sound as English as possible.
