İşbu sözleşme XXX , 06900 Polatlı, Ankara adresinde mukim, 894 037 88 08 numaralı vergi numarasın ile kayıtlı ABC şirketi (bundan böyle kısaca ABC olarak anılacaktır) ile …… adresinde mukim, …………… numaralı vergi numarasın ile kayıtlı …………. (bundan böyle kısaca Şirket olarak anılacaktır) arasında yürürlüğe girmek üzere yapılmıştır.
ABC’nın madde 2.3’de belirtilen amaca uygun şekilde yazılı veya sözlü olarak Gizli Bilgilerinden bazılarını Şirkete ifşa etmesi zorunluluğu olacaktır.
İŞBU NEDENLE, ABC ve Şirket (her iki taraf birlikte “Taraflar” ya da tek olarak “Taraf”) aşağıdaki hususlar konusunda anlaşmaya varmışlardır:
1. GİZLİ BİLGİNİN TANIMI:
Taraflar, ABC ve Şirket arasındaki temasların ve müzakerelerin ve bunların içerikleri ile açıklanan her türlü finansal, teknik, operasyonel, ticari, idari ya da genel olarak ABC’nin ticari işi ile ilgili diğer verilerin ve bunlarla sınırlı olmamak kaydıyla, teknik bilgilerin, stratejilerin, endüstriyel ve fikri mülkiyet haklarının, şablonların, müşteri ve tedarikçi bilgilerinin ya da buna benzer diğer bilgilerin gizli olarak (“Gizli Bilgi”) olarak nitelendirileceği hususunu kabul ederler.
Şirket tarafından mantıklı bir kanıtın ortaya konması şartıyla, Gizli Bilgi şu bilgileri kapsamayacaktır (a) açıklanma zamanında ya da bunun akabinde Şirketin herhangi bir hatası veya ihlali olmaksızın aleni hale gelen veya bu tarih itibariyle bu çeşit bilginin genel olarak ulaşılabilir hale gelmesi; (b) Şirketin, ABC’nın bilgiyi açıklamasından önce bu bilgiye doğru bir şekilde sahip olduğunu kanıtlaması durumunda; (c) herhangi bir Gizli Bilgiye bağlı olmaksızın, bilginin Şirket tarafından bağımsız olarak geliştirilmesi; ya da (d) bilginin ABC tarafından üçüncü bir tarafa herhangi bir sınırlama olmaksızın açıklanması durumunda. Yukarıda bahsedilen istisnalar şu durumları kapsamaz: (i) bilgilerin ya da özelliklerin kombinasyonunun sadece bu bilgilerin tekil özelliklerinin ya da unsurlarının kamu malı olması ya da Şirketin mülkiyetinde olması nedeniyle açıklanması; (ii) belirli bir bilginin, kamuya mal olmuş bir bilginin ya da Şirketin mülkiyetindeki daha genel bir bilginin içinde yer alması nedeniyle açıklanması. Her iki durumda da, Şirketin yukarıda belirtilen istisnaları iddia ederken ispat mecburiyeti vardır.

NON DISCLOSURE AGREEMENT
This Agreement is entered into by and between ABC with registered office at XXXX , 06900 Polatli, Ankara, Turkey, with Tax Identification Number xxxxxx (hereinafter, ABC), and Name other Company, with registered office at , with Tax Identification Number (hereinafter, the Company).
WHEREAS, it may be necessary for ABC to disclose to the Company certain of its Confidential Information, as defined below, in written or oral form for the Purpose as stated in section 2.3.
NOW, THEREFORE, ABC and the Company (together the “Parties” or individually the “Party”) hereby agree as follows:
1. DEFINITION OF CONFIDENTIAL INFORMATION. The Parties acknowledge that the very existence and content of contacts and discussions between ABC and the Company, and any and all other information or documentation disclosed related to financial, technical, operational, commercial, managerial or another data of ABC´s business in general, will be considered confidential (“Confidential Information”), including but not limited to, know-how, strategies, industrial and intellectual property rights, templates, customer and supplier information or the like.
Subject to reasonable proof by the Company, Confidential Information shall not include information that (a) is at the time of disclosure, or subsequently becomes, generally available to the public through no fault or breach on the part of the Company, as of the date such information becomes generally available; (b) the Company can demonstrate to have had it rightfully in its possession prior to disclosure by ABC; (c) is independently developed by the Company regardless of any Confidential Information; or (d) is or was disclosed by URSA to a third party on an unrestricted basis. The aforementioned exceptions shall not cover: (i) combination of information or features disclosed for the sole fact that individual features or elements of such information are in the public domain or in possession of the Company; (ii) disclosure of specific information merely because it is embraced in more general information in the public domain or in possession of the Company. In both cases, the Company shall have the burden of proof in asserting any of the exceptions referred to above.
