Source text - English ٌThe extraordinary general assembly of **** Co. that was held in Jeddah yesterday, Tuesday, May 8, 2007 has approved the increase of the company’s capital from SAR 10 million to SAR 600 million through a rights issue that was approved by the Ministry of Commerce as part of a plan to resuscitate the company by restructuring it and bringing in strategic partners.
It is worth noting that **** was founded in 1998 as public joint stock company with approved capital of SAR 100 million and SAR 50 million paid up. The general public subscribed to 55% of it through an IPO and the founders kept the remainder 45%. Soon after the commencement of its operations the company sustained losses that could not be turned around into profits, which forced the company to significantly reduce its operations.
Translation - Arabic وافقت الجمعية غير العادية لشركة *** المنعقدة في جدة يوم أمس الثلاثاء 8/5/2007م على زيادة رأسمال الشركة من 10 مليون ريال إلى 600 مليون ريال وسيتم تمويل هذه الزيادة في رأس المال من خلال إصدار حقوق بعد أن وافقت وزارة التجارة على خطة الشركة لإعادة هيكلتها وإدخال شركاء إستراتيجيين.
الجدير بالذكر أن شركة **** تأسست في 1998م كشركة عامة ذات مسئولية محدودة برأسمال مصرح به 100 مليون ريال المدفوع منه 50 مليون ريال تم اكتتاب الجمهور في 55% منه من خلال طرح أولي عام واحتفظ بالباقي 45% المساهمون المؤسسون. بعد أن بدأت ***** عملياتها واجهت خسائر ولم تتمكن من تحويل عملياتها إلى عمليات مربحة. ونتيجة لتراكم الخسائر اضطرت الشركة إلى تقليص عملياتها بشكل كبير.

Source text - Arabic وعليه، فإن هذه الاتفاقية تشهد أنه تم الاتفاق بين الطرفين على ما يلي:
1. تمثل وثيقة الشروط جزءا متمما لهذه الاتفاقية وجميع التعبيرات المستعملة في هذه الاتفاقية وفي وثيقة الشروط لها نفس المعنى.
2. كلا الطرفين يوافقان على اتخاذ الخطوات اللازمة في الوقت المناسب للتأكد من أن يتم إصدار سندات الدين في أسرع وقت ممكن بموجب التوجهات والشروط الموضوعة في وثيقة الشروط.
3. تخضع هذه الاتفاقية وتفسر بموجب القوانين الاتحادية حسبما تطبق في إمارة دبي.
Translation - English NOW THIS AGREEMENT WITNESSETH AND IT IS AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS :-
1. The Term sheet forms an integral part of this Agreement and the various terms used in this Agreement and in the Term sheet shall have the same meaning.
2. Both parties agree to take all necessary steps in a timely manner to ensure that the debenture notes are issued as soon as possible under the guidelines and terms as setout in the term sheet.
3. This agreement will be governed by and construed in accordance with the UAE Federal Laws as applied in the Emirates of Dubai.
