XXXX hereby reserves, and Reseller hereby grants to XXXX, a purchase money security interest in each product sold under this these terms and conditions and in the proceeds thereof. These security interests will be satisfied by payment in full of Reseller's purchase price. Upon request by XXXX, Reseller shall execute and cause to be filed all instruments or documents necessary to perfect any such security interest. A copy of these Terms and Conditions may be filed with the appropriate authorities at any time after its execution as a financing statement or chattel mortgage to perfect XXXX's security interest.
Translation - Spanish Derecho Real de Garantía de los productos entregados. El Revendedor otorga a XXXX un derecho real de garantía constituido a fin de asegurar el pago de los productos vendidos y los ingresos que surjan de los mismos, conforme a las cláusulas y condiciones del presente. Dicho derecho real de garantía se cancelará mediante el pago total correspondiente al precio de compra de los productos adquiridos por el Revendedor. El mismo, otorgará todos los instrumentos y documentos necesarios para perfeccionar dicho derecho real de garantía. Cuando así se crea conveniente y luego de la correspondiente celebración del presente, se presentará ante las autoridades pertinentes una copia del mismo en concepto de declaración, con el fin de notificar a dichas autoridades acerca de la constitución del derecho anteriormente mencionado, o en concepto de prenda sin desplazamiento, para el perfeccionamiento de tal derecho.
