("ويشار إلية فيما بعد بالطرف الثاني")
( "ويشار للطرف الأول والثاني بالطرفين بكل احترام")
حيث أن
أ) الطرف الأول هو المالك الوحيد لمؤسسه ----------------------
ب) الطرف الأول يحمل الرخصة المهنية رقم --------------تحت الاسم التجاري ------------------------------- الصادرة عن دائرة التنمية الاقتصادية في دبي
ج)الطرف الثاني ابدي رغبته باستئجار ،استغلال، واستخدام الرخصة المهنية
د) وافق الطرف الأول علي إيجار ،استغلال واستخدام رخصته المهنية لمصلحة الطرف الثاني وفقا لما سوف تنص علية بنود وشروط
هذه الاتفاقية
و) اتفق الطرفان للعمل سويا وللدخول في هذه الاتفاقية لغرض تحديد حقوقهما والتزاماتهما
ولذلك اتفق الطرفان وتعاقدا وهما بكامل أهليتهما
القانونية علي ما يلي:
1.المقدمة
101المقدمة في هذه الاتفاقية جزاء لا يتجزأ منها ويقرأ معها وعليها كافة آثارها ومفاعيلها
2.النشاط
102 يمارس الطرف الثاني نشاطه من خلال-----------------–دبي وداخل دولة الإمارات العربية المتحدة وضمن النشاط المحدد في الرخصة المهنية
3.إدارة المؤسسة
103 يدير الطرف الثاني --------------------------- بمفردة وعلي مسئوليته تقع إدارة كاملة وفي كافة الشؤون الإدارية والمالية والفنية والتنفيذية وله حق التعاقد مع الغير باسم المؤسسة بشأن كافة المشاريع الداخلة ضمن أغراض المؤسسة المسجلة في الرخصة المهنية
203كما للطرف الثاني حق تعيين الفنيين والتعاقد معهم باسم المؤسسة وإنهاء عقودهم ،وله حق تمثيل المكتب ،وله إجمالا حق اتخاذ كافة الإجراءات الضرورية لإنجاح أغراض المؤسسة
4.الخسائر والأرباح
104 الطرف الأول غير مسؤول عن أية خسارة قد تترتب علي استخدام الطرف الثاني للرخصة المهنية موضوع الاتفاقية ،وتنحصر المسؤولية بالطرف الثاني وحدة
204 ليس للطرف الأول أن يطالب الطرف الثاني بأية أرباح تحققها المؤسسة نتيجة لاستخدام الطرف الثاني للاسم التجاري عن كافة المشاريع التي تقوم بها المؤسسة -مع الغير ،وكافة الأعمال التي تقوم بها المؤسسة هي من حق الطرف الثاني وحدة
5.التزامات الطرفين
105يلتزم الطرف الأول بتوقيع المعاملات التي تستلزم توقيعه وعلي سبيل المثال لا الحصر ،استمارات تجديد الرخصة المهنية وكافة المعاملات الأخرى التي يتطلب إنجازها توقيعه لكي تبقي الرخصة سارية المفعول
205 يتحمل الطرف الثاني مصاريف تجديد الرخصة المهنية الخاصة بالمؤسسة
6.انتهاء الرخصة المهنية
106 كافة موجودات المؤسسة ومشاريعها والأعمال الموكول تنفيذها ،تؤول إلى الطرف الأول عند انتهاء فترة استخدام الرخصة المهنية
7.الديون والالتزامات
107الطرف الأول غير مسؤول عن أية ديون ،أو التزامات تترتب علي استخدام الطرف الثاني للرخصة المهنية طوال فترة سريان الاتفاقية
8.الأجرة
108 يدفع الطرف الثاني للطرف الأول مبلغ درهم ،وذلك علي -------------------------
9.الموظفين
109ييبقي كافة الموظفين مع الطرف الأول يعملون مع الطرف الثاني وتظل عقودهم سارية المفعول
209الطرف الثاني هو المسؤول وحدة عن أجور وأتعاب الموظفين في المؤسسة ولا يحق للطرف الثاني أن يطالب الطرف الأول بأية مصاريف أو أي جزء منها في حال من الأحوال
309في حالة إنهاء العلاقة بين الطرفين يلتزم الطرف الأول بنقل كفالات الموظفين الذين يعملون لدي المؤسسة لأية جهة أخرى قد يعينها الطرف الأول وذلك وفقا للإجراءات القانونية المتبعة
10 .الملكية والإيجار
1010الطرف الأول هو المالك المنفرد للمؤسسة
2010 الطرف الثاني مالك منفرد لأثاث ومعدات المؤسسة
3010في جميع الأحوال لا يحق للطرف الأول مطالبة الطرف الثاني بأي ممتلكات للمؤسسة ويقر الطرف الأول بموجب هذه الاتفاقية إنها ملكا خاصا للطرف الثاني
4010 في حالة إنهاء العلاقة بين الطرفين يبقي المأجور محل عقد الإيجار من حق الطرف الثاني ويلتزم الطرف الأول بالتنازل عن حق المنفعة في المأجور لأي طرف قد يعينة الطرف الثاني
11.المدة
1011وتبدأ هذه الاتفاقية بالسريان من تاريخ
التوقيع عليها وسوف تظل سارية المفعول لحين العدول عنها من قبل الطرفين
12.إنهاء الاتفاقية
1012في حالة إنهاء الاتفاقية لأي سبب
من الأسباب يحق للطرف الثاني استعادة المبالغ المستحقة أو أي مبالغ متوقع
تحصيلها من عملائه
2012في حالة إنهاء العلاقة بين الطرفين يبقي المأجور محل عقد الإيجار من حق الطرف الثاني ،ويلتزم الطرف الأول بالتنازل عن حق المنفعة في المأجور لأي طرف آخر قد يعينه الطرف الثاني
13.الوكالة
1013 ينظم الطرف الأول لمصلحة الطرف الثاني وكالة مصدقة من كاتب العدل بدبي تخوله القيام بكافة أعماله من دون تعرض.
القانون الذي يحكم الاتفاقية
1014سيحكم هذه الاتفاقية قوانين دولة الإمارات العربية المتحدة وفي حالة وجود أي خلاف بشأن أو بخصوص هذه الاتفاقية سيحال ذلك لمحاكم دبي
15.النسخ
1015 حررت هذه الاتفاقية من نسختين ،بيد كل طرف نسخة منها بعد توقيعها للعمل بموجبها
16.التبليغات
تكون جميع التبليغات فيما بين الطرفين ،بموجب خطابات مسجلة بعلم الوصول
. 17تاريخ النفاذ
1017 يسري مفعول هذه الاتفاقية اعتبارا من التوقيع عليها
18 .التنفيذ
1801 اشهادا لما ذكر قد وقع الطرفين هذه الاتفاقية في اليوم والتاريخ المذكورين أعلاه

Translation - English INVESTMENT OF PROFESSIONAL LICENSE AGREEMENT
This Agreement is made and entered into this day ____ of ______ 2001.
(“The Effective Date”)
Between :
1- Mr.------------------------------, holder of U.A.E. Passport No. --------whose address is at P.O. Box ____ ,________,U.A.E.
“(Hereinafter referred to as the First Party)”
2- Mr. ___________________________,
holder of Passport No. ___________, whose address is at P.O. Box _______ “(Hereinafter referred to as the Second Party)”
“(The First and Second Party collectively referred to as the parties respectively.)”
WHEREAS
A) The First Party is the sole proprietor of--------------------------------------.
B) The First Party is holding the professional license -------- under the trade name --------------------------issued by the Economic Development Department “(EDD)” in Dubai -
C) The Second Party wishes to lease, utilize and exploit the professional license
D) The First Party agreed to lease, utilize and exploit his professional license to the Second Party according to the
terms and conditions of this agreement.
E) The parties agreed to work together and to enter into this agreement for the purpose of determining their rights and obligations.
Now therefore, the parties in their legal capacity have agreed and declared as follows:
1. INTRODUCTION
1.1 The foregoing Introduction shall constitute an integral part of this agreement and shall be read with it and have all its effects and results.
2. ACTIVITY
2.1 The Second party shall exercise its activity through------------------- within United Arab Emirates and the activity specified in the professional license.
3. MANAGEMENT OF THE ESTABLISHMENT
3.1 The Second Party shall manage solely and on its responsibility the --------------------------------with full respect of all administrative, financial, technical and executive affairs and shall have the right to contract with third parties in the name of the garage in respect of all projects falling within he purposes of the professional license.
3.2 The Second Party also has the right to appoint the administrators, technicians and workers, and to contract with them and terminate their contracts in the name of the establishment. He is also entitled to represent the establishment. And generally has the right to take all necessary actions for the execution and success of the purposes of the establishment.
4. LOSSES AND PROFITS
4.1 The First Party is not responsible for any loss resulting from the use of the subject license by the Second Party, and the responsibility shall be restricted to the Second Party alone.
4.2 The First Party shall not claim any profits gained by the establishment from the Second party and all profits realized as a result of the use by the Second Party of the professional name in all projects contracted by the establishment with the third parties, and all business carried out in the name of the establishment shall be the sole right of the Second Party alone.
5. PARTY’S OBLIGATIONS
5.1 The First Party undertakes to sign all transactions which require his signature including without limitation, renewal forms of the Professional Licenses and all other dealings the performance of which opens on his signature, so as to maintain the licenses valid.
5.2 The Second Party shall bear the renewal costs of the license related to the establishment.
6. EXPIRY OF THE PROFESSIONAL LICENSE
6.1 All the assets and projects of the establishment, as well as the works assigned to it, shall belong to the Second Party at the time of the expiry of the use of the professional license period.
7. DEBTS AND LIABILITIES
7.1 The First Party is not responsible for any debts, or liabilities resulting from the use of license by the Second Party, throughout the agreement period.
8. PAYMENT
8.1 The Second Party shall pay

9. employees
9.1 All employees working with the First Party shall continue working with Second Party and their employment contract will still be valid.
9.2 The Second Party is solely responsible for the payments of rents and dues of the employees and shall not claim any expenses or any part thereof, under no circumstances.
9.3 In the event that relation between the parties comes to an end. the second party shall be committed to transfer the sponsorships of all employees working with the establishment to any authority which the second Party may appoint according to the lawful procedures followed.
10. PROPRIETORSHIP AND LEASE
10.1 The First Party is the sole proprietor of the establishment and the lessee of the land related to it.
10.2 The second party is the sole owner of the furniture and equipment of the establishment
10.3 In all cases the Second Party shall not claim from the First Party any properties of the establishment and he acknowledge hereby that it’s the sole property of the second Party
10.4 In the event that relation between the parties comes to an end the leased premises subject of the tenancy contract shall remain with the second party the first party of usufruct to any third party whom the second party shall appoint
11. TERM
11.1 The term of this agreement shall commence on the execution date and shall continue in effect unless terminated
earlier by the mutual agreement of both parties.
12. TERMINATION
12.1 In the event of termination of this agreement for whatsoever reasons the Second Party shall have the right to recover/collect the dues and/or any amount due for the payment, from all parties.
12.2 - In the event that any party of this agreement may wish to terminate it
the party who wish to terminate must inform the other party two months at least prior to the termination of the professional license
13. POWER OF ATTORNEY “POA”
13.1-The First Party shall organize a duly notarized Power of Attorney before Dubai Notary Public for the Second Party authorizing him to carry out all his business without interference.
14. GOVERNING LAW
14.1- This Agreement shall be governed by the law of the United Arab Emirates and any dispute arises out or in connection with this Agreement shall be referred to Dubai Courts.
15. COPIES
15.1 - This Agreement is made of two copies. Each party shall keep one after signature to act upon it
16.notices
All notices between the parties shall be served with registered mail receipt acknowledged
17. EFFECTIVE DATE
17.1 This Agreement shall take effect as from the date of being signed.
18. EXECUTION
18.1 In witness whereof, the parties hereto have caused this agreement the day and year first above written.
