Cenário Desde de meados de 2014 os Grupos Nippon Steel & Sumitomo Metal Corporation (japonês) e Ternium/Techint (ítalo-argentino) travam uma dura batalha na justiça pela disputa societária da gestão da companhia mineira Usiminas. O caso teve início com a demissão, no fim de setembro de 2014, do presidente-executivo da Usiminas, Julián Eguren, e de dois alto executivos indicados pela Ternium. A demissão ocorreu em uma votação que terminou desempatada pelo então presidente do conselho da Usiminas, Paulo Penido (falecido em agosto de 2016), ligado ao grupo Nippon. Rômel Erwin foi indicado como presidente interino e teve que deixar o cargo em maio de 2016, quando foi destituído. Para o seu lugar, foi eleito Sérgio Leite, então vice-presidente comercial da Usiminas, que havia se aproximado da Ternium. Levado à justiça mineira, o caso resultou em outubro de 2016, na volta de Rômel, novamente afastado pelo conselho de administração em 23 de março de 2017 e substituído por Sérgio leite. A eleição de Leite pelo Conselho de Administração foi por maioria e não por consenso, como prevê o acordo de acionistas. Ainda assim, Elias Brito, homem de confiança da Ternium que ocupa a presidência do conselho da Usiminas desde abril chancelou a votação. Rômel foi reconduzido ao cargo por decisão da Justiça, a pedido da Nippon e permaneceu no cargo até o dia 23 de março de 2017, quando por 7 votos a 4 conselheiros da Usiminas decidiram, em assembleia extraordinária, em São Paulo, pela recondução de Sérgio Leite ao cargo, com apoio da Ternium.
O principal objetivo da Nippon agora é conseguir anular a destituição de Rômel Erwin de Souza da presidência da Usiminas e reconduzi-lo ao cargo. Hoje, quem ainda ocupa a presidência é o executivo também de carreira na Usiminas, Sérgio Leite, nome preferido da Ternium.
Além disso, o Grupo japonês confirma a intenção de seguir como acionista controlador da siderúrgica – posição que compartilha com o sócio ítalo-argentino Ternium/Techint.
Há quase 60 anos na Usiminas, o Grupo Japonês acusa seu sócio de forçar a substituição do comando da siderúrgica.

3.2 Os responsáveis da NSSMC deverão manter a 22 Graus informada sobre os desdobramentos e novidades em relação à disputa judicial;
3.3 Contatos da imprensa realizados com a NSSMC, relativos ao caso da disputa judicial devem ser informados e repassados à 22 Graus, para que as devidas ações sejam tomadas.
3.4 É fundamental que os porta-vozes da NSSMC estejam acessíveis e disponíveis para entrevistas ou posicionamentos quando acionados para declarações junto à imprensa. Para essa situação é importante que as perguntas do Q&A estejam definidas e alinhadas entre o grupo e a assessoria.
3.5 É de suma importância que o briefing enviado pela 22 Graus seja respondido para que a agência tenha um conhecimento inicial sobre o posicionamento da empresa e seus pontos principais.

Translation - English 1. CONTEXT - NIPPON
CONTEXT Since middle 2014, the Companies Nippon Steel & Sumitomo Metal Corporation (Japanese) and Ternium/Technit (Italian-Argentinian) fight a legal battle over a corporate dispute to manage the company from Minas Gerais Usiminas.The case started with the dismissal, in the end of September, 2014, of Usiminas’ Chief Executive, Julian Eguren, and two top executives indicated by Ternium. The dismissal happened through a poll that ended with a tie-break done by the current Usiminas’Counsel President at the time, Paulo Penido (passed away in August, 2016), linked to the Group NIppon. Romel Erwin has been indicated as interim President and had to leave the position in May 2016, when was dismissed. For his place, Sergio Leite has been elected, Usiminas Commercial Vice-President at the time, that had approached Ternium. Taken to Minas Gerais Justice, the case has resulted on October 2016, in the return of Romel, again removed by the Administration Counsel on March 23rd., 2017 and replaced by Sergio Leite. Leite’s election by the Administration Counsel was by majority and not by common ground, as per shareholder’s agreement. Still, Elias Brito, Ternium’s right-hand man, s Usiminas Counsel President since April sealed the voting. Romel has been reinstated to the position by justice decision, as per Nippon request and stayed in the position until March 23rd., 2017, when it has been decided by Usiminas Counsel (7 to 4 votes) in an extraordinary meeting, in Sao Paulo, that Sergio Leite returned to the position, with Ternium support.
Nippon’s main goal now is to void Romel Erwin de Souza dismissal of Usiminas Presidency and bring him back to the position. Today, Sergio Leite, who also has built his Executive career in Usiminas, is still Usiminas President and Ternium’s favorite name.
In addition, the japanese Group confirms its intention to follow as the steel mill’s controlling shareholder – position shared with the Italian-Argentinian partner Ternium/Technit.
For almost 60 years in Usiminas, the Japanese Group accuses its partner to force the replacement of the steel mill helm.

INSTRUMENTO PARTICULAR DE
CONTRATO DE PRESTAÇÃO DE SERVIÇOS
Pelo presente instrumento particular e na melhor forma de direito, os abaixo nomeados e qualificados, e ao final assinados, a saber:
a) CONTRATANTE, com sede na capital do Estado de Minas Gerais, ENDEREÇO COMPLETO, inscrita no CNPJ/MF sob o nº ........., doravante designado simplesmente CONTRATANTE;
b) 22 GRAUS COMUNICAÇAO E EVENTOS LTDA – com sede na Capital do Estado de Minas Gerais, na Av. Brasil, 1831, sl. 1501 – CEP 30.140-901, inscrita no CNPJ/MF sob o n. º 17.219.454/0001-50, inscrição municipal 470.918/001-5, neste ato representada pela sócia Denise Botelho, portadora da CI nº M-1.387.696 e CPF/MF nº 549.326.026-34 doravante designada simplesmente CONTRATADA;
Tem entre si justo e contratado o presente Instrumento Particular de Prestação de Serviços, que se regerá pelas cláusulas e condições que, por si e por seus sucessores, mutuamente outorgam e aceitam, prometendo cumprir e respeitar.
CLÁUSULA PRIMEIRA
1.1 A prestação dos serviços será realizada na cidade de Belo Horizonte, na sede da CONTRATADA.
1.2. Constitui objeto deste Contrato a prestação de serviços conforme Proposta Comercial – PC ...... e Escopo de trabalho referente ao arquivo “16-03-proposta CASAMIRADOR assessoria de imprensa”, pela CONTRATADA à CONTRATANTE, doravante denominado SERVIÇOS.
1.3. Ressalvados os casos de força maior, a CONTRATADA será inteiramente responsável pela prestação dos SERVIÇOS, nos limites previstos neste instrumento e sobre regime de melhores esforços, devendo coordenar e conduzir os trabalhos de forma a cumprir com as obrigações decorrentes do presente Contrato e a assegurar que os SERVIÇOS estão sendo prestadas em cumprimento a todas as leis aplicáveis, normas, regulamentos de autoridades governamentais ou regulamentares aos que estejam sujeitas a CONTRATADA e a CONTRATANTE.
1.4. A CONTRATADA, para a prestação de serviços, fica expressamente autorizada a utilizar a marca, nominativas e figurativas, titulada ou que venha a ser titulada pelo CONTRATANTE para os fins do objeto deste contrato.
1.5. Tendo em vista a natureza personalíssima dos serviços ora prestados e com o intuito de proporcionar a devida identidade entre as partes contratantes, será designado um determinado funcionário da CONTRATADA que fará o atendimento da conta.
1.6. A CONTRATADA poderá, conforme seus próprios critérios, definir, substituir, ou alterar os seus profissionais que atendam à CONTRATANTE. A CONTRATADA será previamente comunicada sobre a definição, substituição ou alteração.
CLÁUSULA SEGUNDA – DO PRAZO
2.1. O período de contratação será de .... de agosto de 2016 a .... de fevereiro de 2017.
CLÁUSULA TERCEIRA – DO PREÇO E FORMA DE PAGAMENTO
3.1. Pela prestação dos serviços ora contratados, a CONTRATADA receberá o valor de R$ ...... (.......), a serem pagos de acordo com datas e valores descriminados na PC ...... anexa a este contrato.
3.2. FORMA DE PAGAMENTO:
• O pagamento devido será efetuado através de depósito em conta corrente indicada neste item, independentemente de qualquer necessidade de comunicação.
• A quitação se dará mediante o depósito a ser efetuado no Banco Bradesco Agência n.º 2905-0, C/C n. º 24985-8, a favor da CONTRATADA, cujo comprovante de depósito valerá para todos os efeitos legais, como Recibo de quitação de dívida.
• Nos casos em que serão necessários investimentos com fornecedores, produção de materiais e outras despesas para que os SERVIÇOS sejam realizados, os mesmos deverão ser aprovados previamente pela CONTRATANTE e serão adicionados ao preço ajustado no item 3.1., acima, incluindo os tributos vigentes e taxa de administração cobrada no percentual sobre os valores aprovados pelo CONTRATANTE, acrescidos dos impostos relativos à nota fiscal da CONTRATADA.
• Inadimplência: Desde já, a CONTRATANTE aceita que, caso ocorra, por qualquer motivo atraso no pagamento dos honorários, ou inadimplência de qualquer natureza nos mesmos, a CONTRATADA poderá, a seu critério, emitir Letras de Câmbio ou outro instrumento financeiro contra a CONTRATANTE, limitados aos valores dos honorários atrasados ou não honrados, acrescidos de multa de 10% (dez por cento) sobre o valor inadimplente e mora de 2% (dois por cento) ao mês.
CLÁUSULA TERCEIRA – DO PREÇO E FORMA DE PAGAMENTO

CLÁUSULA QUARTA – DAS OBRIGAÇÕES DA CONTRATADA
4.1. Além das condições e procedimentos fixados nas demais Cláusulas deste Contrato, deverá a CONTRATADA:
a) Prestar esclarecimentos concernentes à natureza e andamento dos SERVIÇOS executados ou em execução quando instada a fazê-lo;
b) Manter sigilo sobre os fatos ou estratégias comerciais que vier a tomar conhecimento, em decorrência da prestação dos SERVIÇOS.
c) A CONTRATADA terá direito de livre escolha e deliberação de todos os serviços objeto deste contrato, relacionados na cláusula primeira acima, cabendo à CONTRATANTE somente aprovar ou não, as escolhas e/ou indicações a serem feitas na forma deste contrato.
d) A divulgação de toda e qualquer informação sobre a CONTRATANTE será realizada somente após a aprovação do conteúdo pela direção da empresa ou por quem esta indicar.
CLÁUSULA QUINTA – DAS OBRIGAÇÕES DA CONTRATANTE
5.1. A CONTRATANTE reconhece que a CONTRATADA não se responsabiliza por qualquer inexatidão de notícias ou informações divulgadas, bem como por aquelas que eventualmente repercutam negativamente à CONTRATANTE durante ou após o período de prestação dos serviços, no entanto, fará todos os esforços para que as informações constantes, aprovadas antecipadamente à divulgação pelo cliente, estejam corretas e reflitam o posicionamento da CONTRATANTE.
5.2. As despesas referentes extras necessárias para a realização dos trabalhos, como viagens, transporte e hospedagem, despesas com ações especiais, fotógrafo e serviços de terceiros deverão ter autorização prévia do CONTRATANTE.
5.3. Todas as despesas decorrentes de transporte e entrega de materiais, traslados (táxi), cópias e impressões, viagens, hospedagem e alimentação para qualquer local para a qual se faça necessário o deslocamento, estão excluídas desse valor. No caso da necessidade de algum dos serviços acima, serão apresentados os valores com antecedência para aprovação do CONTRATANTE antes da prestação do serviço ou deslocamento;
5.4. Os valores de deslocamento para cobertura de eventos e reuniões ou ações extraordinárias deverão ser apresentados e aprovados pelo CONTRATANTE, para posterior reembolso.
CLÁUSULA SEXTA – DA RESCISÃO E DA RESCISÃO SEM JUSTA CAUSA
6.1. O presente Contrato vigerá pelo prazo estipulado neste contrato.
6.2. O presente Contrato poderá ser rescindido, por ambas as partes, em caso de violação de qualquer de suas cláusulas, através de notificação via correspondência impressa enviada à outra parte com antecedência mínima de 30 (trinta) dias.
6.3. Sem prejuízo das demais hipóteses de rescisão aqui descritas, qualquer das partes poderá rescindir antecipadamente o presente instrumento, mediante simples aviso por escrito ou e-mail à outra, se a outra parte deixar de cumprir as suas obrigações nos termos deste instrumento e deixar de remediar essa falta no prazo de até 48 (quarenta e oito) horas contadas a partir do envio de aviso nesse sentido pela parte inocente.
6.4. Caso este instrumento seja rescindido por qualquer das partes nos termos das Cláusulas 6.2 e 6.3 acima, a CONTRATANTE continuará obrigada perante a CONTRATADA por todos os valores devidos nos termos deste contrato a serviços prestados que não tenham sido pagos até a data de rescisão.
6.5. A parte que pretender a rescisão do presente instrumento sem justo motivo deverá notificar a outra parte por escrito com, no mínimo, 30 dias de antecedência. Após esse prazo, estará rescindido o contrato de pleno direito.
CLÁUSULA SÉTIMA – DA CONFIDENCIALIDADE
7.1. As partes obrigam-se a manter a confidencialidade das informações obtidas através do objeto do presente contrato, sejam estas classificadas como “informações confidenciais”.
CLÁUSULA OITAVA – DOS AVISOS E COMUNICAÇÕES
8.1. Todas as notificações, avisos ou comunicações exigidas, permitidas ou decorrentes deste contrato, por qualquer das partes contratantes à outra, deverão ser feitas por meio de carta registrada ou protocolada, requerendo-se a devolução do recibo ou qualquer equivalente, ou por e-mail, telegrama, ou fac-símile, confirmados por escrito e dirigidos para os endereços indicados pelas partes no preâmbulo deste contrato.
CLÁUSULA NONA- INDENIZAÇÃO
9.1. Toda e qualquer reclamação ou contingência decorrente da prestação de serviços da CONTRATADA à CONTRATANTE deverá ser comunicada, impreterivelmente, no prazo de 30 (trinta) dias após sua ocorrência, a fim de que sejam adotadas as medidas para sua correção ou adequação, certo de que o transcurso deste prazo implicará na sua plena aceitação.
CLÁUSULA DÉCIMA - DAS DISPOSIÇÕES GERAIS
10.1. Os termos e disposições deste Contrato prevalecerão sobre quaisquer outros entendimentos ou acordo anteriores entre as partes, expressos ou implícitos, referentes às condições nele estabelecidas.
10.2. Se qualquer disposição deste Instrumento for declarada inválida, as outras disposições permanecerão em pleno vigor e efeito. A nulidade de qualquer disposição não caracteriza ou determina a invalidade deste Contrato.
10.3. O disposto neste Contrato não poderá ser alterado ou emendado pelas partes, a não ser por meio de Aditivos, dos quais conste a concordância expressa da CONTRATANTE e da CONTRATADA.
10.4. As partes estabelecem que as condições ajustadas na Cláusula Sétima (Confidencialidade) serão supervenientes à rescisão ou término deste Contrato ou quaisquer outros Acordos eventualmente celebrados entre a CONTRATANTE e a CONTRATADA, não podendo quaisquer das partes entenderem como eximidas da referida obrigação em face desta prerrogativa.
10.5. A relação existente entre as partes é de mera prestação de serviços, respondendo cada uma delas com suas obrigações perante terceiros, com o Poder Público e com o Fisco, arcando, cada uma das partes, com seus respectivos encargos tributários, sem que qualquer uma delas tenha solidariedade ou responsabilidade pelas obrigações tributárias e fiscais da outra.
10.6. Não há qualquer vínculo empregatício entre os empregados da CONTRATADA e a CONTRATANTE, sendo de responsabilidade exclusiva de cada uma das partes suas respectivas obrigações trabalhistas e previdenciárias.
10.7. É facultada à CONTRATADA a subcontratação de terceiros para a correta prestação dos serviços objeto deste contrato, responsabilizando-se a CONTRATADA pela escolha dos terceiros, pela relação comercial, pela liberação das informações confidenciais por força deste instrumento, pelos valores devidos em razão dos serviços prestados.
CLÁUSULA DECIMA PRIMEIRA – DOS SERVIÇOS, PROJETOS E IDEIAS DESENVOLVIDOS.
11.1. As partes acordam que terminado o prazo do presente contrato, a CONTRATANTE deverá solicitar autorização da CONTRATADA para utilizar textos e materiais produzidos durante a contratação. Se autorizado pela CONTRATADA, o texto deverá ser utilizado no original e com a indicação do crédito da CONTRATADA, desde que haja expressada menção a esta no texto ou trabalho produzido, o que não se aplica de todo modo, a reportagens jornalísticas em geral.
CLÁUSULA DÉCIMA SEGUNDA – DO FORO
12.1. Para dirimir quaisquer dúvidas ou litígios oriundos do presente Contrato, as partes elegem o Foro Central da Comarca da Capital de Belo Horizonte, com exclusão de qualquer outro, por mais privilegiado que seja, ou venha no futuro a ser.
E por estarem assim às partes, justas e contratadas, assinam o presente instrumento em 2 (duas) vias de igual forma e teor para uma mesma finalidade, na presença de 2 (duas) testemunhas abaixo assinadas, que a tudo viram e assistiram na forma da Lei.

PRIVATE INSTRUMENT OF
PROVISION SERVICES CONTRACT
By the present private instrument and in the best form of law, the following nominees and eligible, signed by the end, namely:
a) CONTRACTOR, headquarter in the Capital of Minas Gerais State, FULL ADDRESS, enrolled in CNPJ/MF under the number …….., hereinafter referred to as CONTRACTOR;
b) 22 GRAUS COMUNICAÇÃO E EVENTOS LTDA – headquarters in the Capital of Minas Gerais State, at Av. Brasil, 1831, # 1501 suite – zip code 30140-901, enrolled in CNPJ/MF under the number 17.219.454/0001-50, municipal inscription 470.918/001-5, herein represented by the partner Denise Botelho, ID number 1.387.696 and CPF/MF (Individual Taxpayer registration number) 549.326.026-34 hereinafter referred to as CONTRACTED;
The parties have fair and agreed the present Private Instrument of Provision Services, that will govern by the terms and conditions that, on their on behalf and on behalf of their successors, mutually grant and accept, promising to respect and comply.
FIRST CLAUSE:
1.1 The provision of services is to be carried out in the city of Belo Horizonte, on the CONTRACTED headquarter.
1.2 Constitute subject matter of this agreement the provision of service as per Commercial Proposal – PC….. and scope of work regarding to the file “16-03-proposta CASAMIRADOR assessorial de imprensa”, from the CONTRACTED to the CONTRACTOR, hereinafter referred to as SERVICES.
1.3 Except in case of force majeure, the CONTRACTED will be fully responsible for the provision of SERVICES, in the limits applied in this instrument and on a best effort basis, and should coordinate and lead the work in order to fulfill the obligations arising from the present Instrument and ensure that the SERVICES are being provided in fulfillment of all applicable laws, rules, official governmental regulations or regulatory that are subjected to the CONTRACTED and CONTRACTOR.
1.4 The CONTRACTED, for the provision of service, is expressly authorized to use the mark, word and figurative assigned or that become assigned by the CONTRACTOR with the purpose of this agreement subject matter.
1.5 According to the personal nature of the services now provided and with the intention to offer the identity between the contractors, will be designated a certain employee from the CONTRACTED who will make the account service.
1.6 The CONTRACTED, could, according to their own criteria, define, replace, or change their employees who serve the CONTRACTOR. THE CONTRACTED will be informed in advance about the definition, replacement, or changing.
SECOND CLAUSE – PERIOD
2.1 Contract period will be from August ..th., 2016 to February ..th., 2017.
THIRD CLAUSE – COST AND PAYMENT METHOD
3.1 For the provision of services now hired, the CONTRACTED will receive the amount of BRL….. (……), to be paid according to the dates and amount discriminated in the PC….. attached to this contract.
3.2 PAYMENT METHOD:
• The due payment will be made through bank account deposit indicated in this item, regardless of any communication.
• The discharge will happen through bank account deposit to be made at Bradesco Agency n.º 2905-0, C/C n. º 24985-8, for the benefit of the CONTRACTED, which the deposit receipt will apply for all legal effects, as proof of payment.
• In cases, whereby it will be necessary investments with suppliers, material production and other expenses for the SERVICES to be performed, it must be approved in advance by the CONTRACTOR and will be added to the price set on 3.1 item, above, including taxes and administrative fees charged in the percentage basis on the amount approved by the CONTRACTED.
• Non-payment: Since now, the CONTRACTOR accepts that, in case of payment delayed or non-payment for any reason, the CONTRACTED could, at their discretion, issue bills of exchange or other financial instrument against the CONTRACTOR, limited to the delayed or unpaid fees, with penalty of 10% (ten per cent) on the non-paid amount and interest of 2% (two per cent) per month.
FOURTH CLAUSE – CONTRACTED OBLIGATIONS
4.1. In addition to the conditions and procedures specified in the other clauses of this Contract, shall the CONTRACTED:
a) Provide clarifications pertaining the nature and development of the SERVICES performed or in operation when asked;
b) Maintain secrecy on facts and commercial strategies that becomes aware, as a result of the provision of SERVICES.
c) The CONTRACTED will have the right of free choice and deliberation of all services object of this contract, related on the first clause above, with the CONTRACTOR responsibility to approve or not, the choices and/or indications to be done according to this contract.
d) The disclosure of any information about the CONTRACTOR will be accomplished only after the approval of the content by the Company’s management or by whomever the management designate.
FIFTH CLAUSE – CONTRACTOR OBLIGATIONS
5.1 The CONTRACTOR acknowledges that the CONTRACTED does not take responsibility for any news inaccuracy or disclosure information as well as for those that eventually have negative impacts to the CONTRACTOR during or after provision of services period, however, will make all the efforts for the information contained, approved before the disclosure by the client, are correct and reflect the CONTRACTOR position.
5.2 The extra expenses necessary for the work accomplishment, as trips, transport and accommodations, expenses with special actions, photographer, and third-party service must have authorization in advance by the CONTRACTOR.
5.3 All the expenses arising from transportation and material delivery, transfer (taxi cab), hard copies, trips, accommodation, food to any location that the displacement is necessary, are included in this amount. In case of need of any of the services above, will have the amount presented in advance for approval of the CONTRACTOR before the service is provided or displacement is done;
5.4 The displacement amount for event coverage and meeting or extraordinary actions must be presented and approved by the CONTRACTOR, for further reimbursement.
SIXTH CLAUSE – TERMINATION AND TERMINATION WITHOUT JUST CASE
6.1 The present Contract will be in force on stipulated time on this Instrument.
6.2 The present Contract could be terminated, by both sides, in case of violation of any of its clauses, through notification by hard copy sent to the other party with at least 30 (thirty) days in advance.
6.3 Without prejudice of the remaining termination hypothesis described here, any of the parties could terminate in advance the present instrument, through simple written notice or e-mail to the other, if the other party fails to comply their obligations under this Instrument and ceases to remedy this failure in 48 (forty-eight) hours starting from the notice sent by the innocent party.
6.4 In case of termination of this Instrument for any of the parties according to the clauses 6.2 and 6.3 above, the CONTRACTOR will continue to be forced upon the CONTRACTED by all the proper values according to this contract to provided services that were unpaid until the termination.
6.5 The party requesting the termination of the present instrument without just case must notify the other party, in writing, at least 30 (thirty) days in advance. After this period, the contract will be terminated by fully fledged.
SEVENTH CLAUSE – CONFIDENTIALITY
7.1 The parties undertake to keep the confidentiality of information obtained through the object of the present Contract, that are classified as “confidential information”.
EIGHTH CLAUSE – COMMUNICATIONS AND NOTICES
8.1 All the notifications, notices or demanded communications, allowed or arising from this contract, by any of the contracting parties, must be done by registered or filed letter, requesting receipt devolution or any equivalent, or by e-mail, telegram, or facsimile, confirmed in writing and addressed to the other indicated location by the parties in the preamble of this contract.
NINTH CLAUSE – COMPENSATION
9.1 Any complaint or contingency resulting from the provision of services from the CONTRACTED to the CONTRACTOR must be communicated, unfailingly, after 30 (thirty) days of the occurrence, in order to adopt measurements for correction or suitability, ensuring that after this period there will be full approval.
TENTH CLAUSE – GENERAL PROVISIONS
10.1. The terms and provisions of this Contract will prevail over any previous agreement between the parties, expressed or implied, regarding to the established conditions.
10.2. If any provision from this Instrument is declared invalid, the other provisions will remain in full force and effect. The nullity of any provision does not characterize or determine the invalidity of this Contract.
10.3. The provisions of this agreement cannot be changed or amended by the parties, unless by Contractual Amendments, which contain explicit agreement from CONTRACTED and CONTRACTOR.
10.4 The parties establish that the adjusted conditions on Seventh Clause (Confidentiality) will be subsequent to the termination or completion of this Contractor any other agreements eventually signed between CONTRACTED and CONTRACTOR, and any of the parties could be exempted of their obligation in view of this prerogative.
10.5 The existing relationship between the parties is pure provision of services, answering each of them with their obligations in front of third-parties, with the Public Authority and Treasury Office, affording, each of the parties, with their related tax duties charges, without any solidarity or responsibility by tax obligations of one another.
10.6 There is no employment relationship between the employees of the CONTRACTED and CONTRACTOR, and it is sole responsibility of each of the parties and their related labor and pension obligations.
10.7 It is provided to the CONTRACTED third-parties subcontracting for the correct provision of service object of this contract, making the CONTRACTED responsible for the third-parties choice, commercial relationship, discharging of confidential information under this Instrument, and values due to services provided.
ELEVENTH CLAUSE – SERVICES, PROJECTS AND DEVELOPED IDEAS
11.1 The parties agree that by the end of the present Contract, the CONTRACTOR, must request authorization to the CONTRACTED to use texts and produced materials during the hiring. If authorized by the CONTRACTED, the text must be used in its original version and with the adequate referral of the CONTRACTED, since there is this expressed mention to this in the text or produced work, what does not apply on every way, to general journalistic reports.
TWELFTH CLAUSE – THE FORUM
12.1 To settle any questions or disputes originating from the present Contract, the parties elect the Central Forum of Belo Horizonte District, excluding any other, however privileged they may be, or become in the future.
And the parties fair and contracted, sign 2 (two) copies of the present Instrument, with the same purpose, with 2 (two) witnesses signed below, that monitored everything required by law.
