Translation - Arabic خالف الحكم المطعون فيه القانون واخطأ في تطبيقة وشابه القصور في التسبيب والفساد في الاستدلال والثابت في الأوراق حينما انتهى إلى أن المقصود بالبيانات المالية والميزانيات هي البيانات المالية والميزانيات المدققة للطاعنة وليس الميزانيات والبيانات المالية المدققة للمشروع الذي تقوم بجلبه المطعون ضدها في المنطقة بالرغم من ان لائحة دعوى المطعون ضدها قد بينت أن المقصود بالميزانيات ميزانيات الفندقين ، وبالرغم من ان الحكم الصادر عن محكمة الاستئناف صريح وواضح في هذا الخصوص عندما امر الطاعنة بتقديم الميزانيات المدققة لفندقي شانجريلا وتريدرز ، الامر الذي يوجب نقض الحكم المطعون فيه لهذا السبب.

776.659 ) ريالًا لشركة قصر التطوير العقاري تأسيسًا على أن المدعى عليه حصل على هذا المبلغ من العقد المبرم بينه بصفته مديرًا للشركة وبين شركة عبد الله الضحيان وأولاده العقارية وأنه لم يودع المبلغ في حساب الشركة ، وبإحالة القضية إلى الدائرة التجارية التاسعة بالمحكمة التجارية بالرياض أجرت ما رأته لازمًا لنظرها ، ثم أصدرت حكمها محل التدقيق القاضي بإلزام المدعى عليه علاء الدين بن ع عبد الله بن سعيد ساعد ب، يدفع لشركة قصر التطوير العقاري مبلغًا قدره ( 776.659 ) سبعمائة وستة وسبعون ألفًا وستمائة وتسعة وخمسون ريالًا ، وقد حددت الدائرة يوم 14 / 5 / 1440 هـ موعدًا لتسليم نسخة إعلام الحكم ، ثم قدم وكيل المدعى عليه اعتراضه بتاريخ 13 / 6 / 1440 هـ ، وبالاطلاع على الاعتراض من قبل الدائرة مصدرة الحكم قررت إحالته لمحكمة الاستئناف لعدم وجود ما يوجب العدول عن حكمها ، فأحيلت القضية لمحكمة الاستئناف. وحيث تبين لدائرة الاستئناف انه جرى تقديم الاعتراض خلال المدة المحددة نظامًا فإنه مقبول شكلًا . أما من حيث الموضوع ؛ فإنه لم يظهر لدائرة الاستئناف من خلال الاعتراض على الحكم ملاحظات تحول دون تأييده ولذا فغنها تؤيده محمولًا على أسبابه . لذلك حكمت دائرة الاستئناف التجارية الثانية : بقبول الاعتراض شكلًا ورفضه موضوعًا ، وتأييد حكم الدائرة التجارية التاسعة بالمحكمة التجارية بالرياض المؤرخ في 9 / 4 / وبعد سماع الدعوى والإجابة ودراسة أوراق القضية والمداولة فيها ، أصدرت الدائرة الحكم التالي : ( الوقائع ) تتلخص وقائع هذه الدعوى في أنه تقدم إلى المحكمة التجارية بالرياض حسين بن مبارك الهمامي بوكالته عن دنيا بنت مدحت أنور علي – سجل مدني رقم 1040040543 – بلائحة دعوى اختصم فيها علاء الدين بن عبد الله بن سعيد ساعد – سجل مدني رقم 102626478 – تضمنت أن موكلته أسست مع المدعى عليه شركة قصر التطوير العقاري – سجل تجاري رقم 1010351943 – وقد قام المدعى عليه بصفته مدير الشركة بتاريخ 04 / 11 / 2013 م بالتعاقد مع شركة عبد الله التركي الضحيان وأولاده العقارية – مرفق نسخة من العقد – وقد تضمن العقد في البند الرابع منه أن المدعى عليه سوف يتقاضى سنويًا مبلغًا قدره ( 400, 000 ) ريال ، واستلم المدعى عليه بناء على ذلك العقد مبلغ ( 776,659 ) ريالًا . ولم يودعها في حساب الشركة ، وتطلب موكلته محاسبة المدعى عليه وإلزامه الدائرة فتم نظرها على النحو الوارد في الضبط ، حيث حضر في جلسة 02 / 02 / 1439 هـ المدعي وكالة حسين بن مبارك الهمامي ولم يتبين تبلغ المدعى عليه بالموعد ، فطلبت الدائرة من المدعي وكالة نسخة من السجل التجاري لشركة قصر التطوير العقاري لإبلاغ المدعى عليه على البريد المقيد في السجل التجاري ، فاستعد بذلك. وفي جلسة 23 / 02 / 1439 هـ حضر المدعي وكالة السابق حضوره كما حضر المدعى عليه وكالة متعب بن سعود العجمي ، وسؤال المدعي وكالة عن دعوى موكلته أجاب مما لم يخرج عما ورد في لائحة الدعوى ، ولسؤال المدعى عليه وكالة عن إجابته طلب فسحة من لائحة الدعوى ، فتم تزويده بنسخة منها فطلب أجلًا للرد عليها . وفي جلسة 15 / 03 / 1439 هـ قدم المدعى عليه وكالة مذكرة تضمنت ، أن العقد الذي تستند إليه المدعية في دعواها هو صورة ، والصورة ليست حجة ، وعلى المدعية أن تقدم أصل العقد . وفي جلسة 06 / 04 / 1439 هـ قدم المدعي وكالة مذكرة تضمنت : أنه تم تحويل مستحقات شركة قصر التطوير العقاري بناء المادة ( 3 ) من العقد المذكور في الدعوى إلى حساب الشركة على دفعات حتى تاريخ 19 / 06 / 2016 م – مرفق نسخة من تحويلات شركة الضحيان في حساب الشركة ، والفواتير الصادرة منش ركة قصر التطوير لشركة الضحيان ، أما العمولة المنصوص عليها في المادة ( 4 ) من العقد فقد احتسبها المدعى عليه لنفسه ولم يودعها في حساب الشركة ، /ا أصل العقد فهو لدى المدعى عليه لكون هو مدير الشركة العقد . وفي جلسة 04 / 05 / 1439 هـ حضر المدعى عليه وكالة في حين تخلفت المدعية عن الحضور ، فقررت الدائرة شطب الدعوى وبعد نهاية الجلسة حضر المدعي وكالة وطلب تحديد موعد آخر لنظر الدعوى . فحددت الدائرة موعدًا في 09 / 06 / 1439 هـ وفيه حضر المدعي وكالة ولم يتبين تبلغ المدعى عليه بالموعد ، وطلب المدعي وكالة إبلاغ المدعى عليه على البريد الذي تم إبلاغه عليه سابقًا . وفي جلسة 08 / 07 / 1439 هـ حضر المدعي وكالة السابق حضوره في حين تخلف المدعى عليه عن الحضور رغم إبلاغه عن طريق صندوق البريد المقيد في سجله التجاري للمرة الأولى . وفي جلسة 06 / 08 / 1439 هـ حضر المدعي وكالة في تخلف المدعى عليه عن الحضور رغم إبلاغ المدعى عليه عن طريق نظام ( أبشر ) . وفي جلسة 27 / 08 / 1439 هـ حضر المدعي وكالة في حين تخلف المدعى عليه عن الحضور ، وطلب المدعى وكالة الحكم في الدعوى ن فطلبت منه الدائرة البينة على أن المدعى عليه استلم المبلغ محل المطالبة : بناء على العقد الوارد في الدعوى . وفي جلسة 20 / 10 / 1439 هـ حضر المدعي وكالة محمد بن علي الموسي في حين تخلف المدعى عليه عن الحضور ، وطلب المدعي وكالة أجلًا آخر. وفي جلسة 23 / 11 / 1439 هـ حضر المدعي وكالة محمد بن علي الموسي في حين تخلف المدعى عليه عن الحضور ، وطلب المدعي وكالة آجلا آخر لتقديم بينة . وفي جلسة 12 / 02 / 1440 هـ حضر المدعي وكالة السائق حضوره في حين تخلف ، المدعى عليه عن الحضور ، وطلب المدعي وكالة يمين المدعى عليه على نفي استلامه للمبلغ محل المطالبة من شركة الضحيان بناء على العقد المرفق بالدعوى ، فقررت الدائرة الكتابة للمدعى عليه عن طريق نظام ( أبشر ) لأداء اليمين التي طلبتها المدعية . وفي جلسة 03 / 03 / 1439 هـ حضر المدعي وكالة فهد بن سلمان السليمان في حين تخلف المدعى عليه عن الحضور رغم إبلاغه بواسطة نظام ( أبشر ) بالحضور لأداء اليمين . وفي جلسة 09 / 04 / 1439 هـ حضر المدعي وكالة السابق حضوره كما حضر المدعى عليه وكالة عبد الله بن خالد السليمان ، فسألت الدائرة المدعى عليه وكالة هل وقع موكله العقد الذي أرفقته المدعية بلائحة الدعوى أم لا ؟ فطلب أجلًا للإجابة . وفي جلسة هذا اليوم حضر المدعي وكالة السابق حضوره كما حضر المدعى عليه عبد الله بن فهد البكران ، وذكر وكيل المدعى عليه أنه تم توكيله في هذه الدعوى حديثًا ويطلب الاطلاع على الدعوى للرد عليها في الجلسة القادمة ، فأفهمته الدائرة بوجوب الرد بوجوب الرد في هذه الجلسة وأنه لم يجب فسيعد تآكلًا، فذكر أنه ليس لديه أي معلومات عن الدعوى ويطلب أولًا الاطلاع على الدعوى ليتمكن من الرد عليها ، كما يطلب أيضًا بيان السؤال الذي طلبت الدائرة الإجابة عنه في الجلسة السابقة ، ثم رأت الدائرة الفصل في الدعوى . ( الأسباب ) لما كان الثالث – من عقد شركة قصر التطوير العقاري – أن طرفي الدعوى شريكان في شركة قصر التطوير العقاري ، وبما أن المدعية تطلب إلزام المدعى عليه برد مبلغ ( 776,659 ) ريالًا لشركة قصر التطوير العقاري تأسيسا على أن المدعى عليه حصل على هذا المبلغ من العقد المبرم بينه بصفته مدير للشركة وبين شركة عبد الله الضحيان وأولاده العقارية وأنه لم يودع المبلغ في حساب الشركة ، وبما أن المدعى عليه لم يجب على موضوع الدعوى حيث اكتفى في مذكرته الأولى بالقول بأن العقد الذي تستند إليه المدعية هو صورة وأن الصورة ليست بحجة ، ثم امتنع عن الجواب على سؤال الدائرة هل وقع المدعى عليه العقد الذي أرفقته المدعية بدعواها أم لا ، وحيث أ، الدائرة أنذرت المدعى عليه وكالة أن إن لم يجب فسيعد تآكلًا فأصر على عدم الجواب ، وحيث أ، النكول من طرق الحكم المقررة شرعًا المقررة شرعًا ونظامًا ، فضلًا عن أن ما قدمته المدعية من مستندات – حوالات وفواتير لم ينكرها المدعى عليه – تثبت قيام علاقة بين شركة قصر التطوير العقاري وشركة بعد الله الضحيان وأولاده العقارية ، فإن الدائرة تقضي بإلزام المدعى عليه بأن يدفع لشركة قصر التطوير العقاري المبغل محل المطالبة . ولا يغير من ذلك ما ذكره وكيل المدعى عليه في الجلسة الأخيرة من أنه وُكل حديثًا وأنه يطلب الاطلاع على الدعوى ، إذ أن المدعى عليه قد اطلع على هذه الدعوى منذ أكثر من سنة . كما لا يغير من ذلك ما قد يرد على صفة المدعية في المطالبة بما للشركة من حقوق باعتبارها لا تمثل الشركة ، إذ أن نظام الشركات السعودي لم يمنع الشريك من المسؤولية المحدودة من رفع الدعوى ضد المدير . للمطالبة بما للشركة من حقوق أو تعويضات ، كما أن عددًا من قوانين الشركات – ومنها قانون الشركات الفرنسي – نصت صراحة على حق الشريك في الشركة ذات المسؤولية المحدودة في رفع الدعوى على مدير الشركة بهدف تعويض الشركة عن الاضرار التي أصابتها بسبب الفعل الضار الصادر من المدير . And whereas the Department of Appeal found that the objection has been presented it during the period regularly defined then it is admissible in form. By asking the Defendant's Attorney for his answer he demanded a grace of the statement of the case, so he has been provided with a copy thereof and claimed a term to reply to it. And in the hearing dated 15\03\1439 the Defendant's Attorney submitted a memorandum included that the contract on which the Plaintiff depends in their case is just a copy and the copy is not an evidence so the Plaintiff shall present the original contract. And in the hearing held on the date of 06\04\1439 the Plaintiff's Attorney presented a memorandum contained: that the receivables of the Real Estate Development Company have been transferred, in accordance with the Article No. 3 of the contract stated in the case, to the account of the company on installments till the date of 19\06\2016, a copy of the transfers of Al Dhahyian Company is attached in the account of the company and the invoices issued from the Real Estate Development Company to Al Dhahyian Company. For the omission provided for in the article No. 4 hereof shall be counted on the Defendant for himselfand did not deposit in the account of the company, 1\ the original contract is with the Defendant since he is the manager of the company in contract. So the Department determined a date on 09\06\1439 in which the Plaintiff's Attorney and it is shown that the Defendant is not aware for the date. the Plaintiff's Attorney claimed the Defendant via mail which he has been previously informed. In the hearing dated 06\08\1439 The Plaintiff's Attorney in the failing of the Defendant to attend although the Defendant has been actually informed via Absher System. And in the hearing held on the date of 27\08\1439, the Plaintiff's Attorney attended in the absence of the Defendant, the Plaintiff's Attorney demanded to judge and the case therefore the department asked him for the evidence of that the Defendant received the amount in claim, based on the contract included in the case In the hearing held on the date of 20\10\1439 the Plaintiff's Attorney\ Mohamed Bin Ali Al Mousa attended while the Defendant failed to attend so the Plaintiff's Attorney as soon as possible. In the hearing held on the date of 23\11\1439 Attorney\ Mohamed Bin Ali Al Mousa attended while the Defendant failed to attend so the Plaintiff's Attorney claims another date to present the evidence. In the hearing held on the date of 12\02\1440 Attorney\ Mohamed Bin Ali Al Mousa attended while the Defendant failed to attend so the Plaintiff's Attorney claims the oath of the Defendant to deny his receiving to the amount in claim from Al Dhahyian Company based on the contract attached to the case, so the Department decided to write to the Department via Absher System in order to perform the oath at the request of the Plaintiff. In the hearing held on the date of 03\03\1439 The Plaintiff's Attorney\ Fahd Bin Salman Al Suliman while the Defendant failed to attend although he was notified via Absher System to attend in order to perform the oath. In the hearing dated 09\04\1439 the Plaintiff's attorney who previously attended and the DefndantAbdulah Bin Khalid Sulman attended also. The Departmen Asked the Defendant's Attorney did his principal signed the contract attached by the Plaintiff in the Statement of the case or not? he requested a period for the answer. .In the hearing of that day the Plaintiff's Attorney attended as the Defendant Abdullah Fahd Bin Fahd Al Bakran, the Defendant's Attorney that he has been authorized in this case recently, and demands to read the case in order to reply it in the next session. The departments make him understand in this case. Then note that he has no any information and demanded firstly to view the case in order to be able to reply thereto, as well as demand the statement of the question to which the department claimed its answer in the prior hearings, then the department sees that it is essential to this deposit. ( Reasons ) Since it was from the contract of the Real Estate Palace Company that the parties of the Real Estate case are partners in the company where the Plaintiff claims to compel the Defendant to pay an amount of SR 776,659 to the Real Estate Palace Company based on that the Defendant has already received that amount from the contract executed between him as his capacity of the manager of the company and between the Real Estate Company of Al Dhahyian and His Sons and he did not deposit the amount in the account of the company. Since the Defendant failed to reply to the subject of the case where in his first note he just said that the contract on which the Plaintiff depends on is a copy and the copy did not represent the evidence. Then he refrain him from games or department questions did the Defendant sign the contract attached by the Plaintiff in her case or not? and whereas the department warned the Defendant that if he failed to reply then it shall be considered a default so he insisted on not replying. And whereas a) renunciation is one of the judgment methods legally and regularly decided, furthermore, the documents transfers and invoices , t submitted by the Plaintiff which were not denied by the Defendant shall establish the relationship between the Real Estate Development Palace Company and the Real Estate Company of Al Dhahyian and His Sons, then the Department shall judge to oblige the Defendant to pay to the Real Estate Development Palace Company the amount in claim. This shall not be changed by what the Defendant said in the last hearing that he was recently authorized and he claim to read the case since the Defendant has read this case since more than a year. And this cannot be changed with the capacity of the Plaintiff in claim with the rights of the company considering not represent the company, since system of the Saudi companies did not prevent the partner from the limited liability for filing the case against the manager. in order to claim to the rights and compensations of the company. Also, the number of companies laws, including the law of French Company, expressly provided for the right of the partner in the company of limited liability to file the case against the manager of the company aiming at compensating the company for the damages caused thereto due to the harmful act committed by the manager.
