9 M8ngelanspri.iche
9.1 Die M8ngelansprUche richten sich grundsatzlich nach der VOB/8, jedoch betragt die Verj8hrungsfrist fOr samtliche Leistungen 62

Werden Mangel bereits wahrend der BauausfOhrung festgestellt, kann der HU abweichend von § 4. 7 VOB/B LV.m. §B. 3 VOB/B den Vertrag oder einen abgeschlossenen Teil der vertraglichen Leistung kOndigen oder den Mangel auf Kosten des NU beseiti­ gen, wenn die vom HU gesetzte angemessene Frist zur Mangelbeseitigung fruchtlos abgelaufen is!.
9.2 Der NU verpflichtet sich, fOr seine Leistung einschl8.gige Normen und Vorschriften zum Qualit8tsmanagement (OM) zu beachten.
Der HU ist berechtigt, die Leistungen des NU daraufhin zu OberprUfen und zu dokumentieren.
9.3 Der NU tritt fOr den Fall der Auftragserteilung bereits jetzt sSmtliche sich aus der DurchfUhrung dieses Vertrages gegen seine Subunternehmer und Lieferanten ergebenden Mangel-, Garantie- und SchadensersatzansprUche an den HU ab. Der HU nimmt die Abtretung an. Der HU ermi:ichtigt den NU bis auf Widerruf, die abgetretenen AnsprUche im eigenen Namen und fUr eigene Rechnung ge!tend zu machen. Oer NU hat die Abtretung der AnsprUche an den HU in den Vertragen mit seinen Subunternehmern und Lieferanten vorzusehen und diese zu verpflichten, bei Weitervergabe der vertrag!ichen Leistungen an Subuntemehmer und Ueferanten mit diesen gleichfals eine Abtretung der MangelansprUche an den HU zu vereinbaren. Die M3ngelhaftung des NU bleibt von der Abtretung unberUhrt. !m Faile einer lnanspruchnahme des NU kann dieser jedoch verlangen, dass die abgetretenen AnsprOche gegenOber den Subunternehmem und Lieferanten zurUckabgetreten werden.
10 Haftung gem. Arbeitnehmerentsendegesetz (AEntG) und Sozialgesetzbuch (SGB) IV und VI!: Ktindigung, Scha­
densersatz, Sicherheitsleistung u.a.
10.1 BUroenhaftung:
Nach § 14 AEntG haftet ein Unternehmer, der einen Bauauftrag erteilt (HU), wie ein BUrge fUr die Verpflichtung des Auftrag­ nehmers (NU) zur Zahlung des gesetzlichen Mindestlohnes an seine Arbeitnehmer und zur Zah!ung der Beitrage an die Urlaubs kasse. Die gleiche Haftung trifft den Unternehmer auch fOr etwaige Nachuntemehmer des Auftragnehmers und fOr Verleiher, die vom Auftragnehmer oder einem seiner Nachunternehmer beauftragt worden sind.
Weiterhin haftet ein Unternehmer, der einen Bauauftrag erteilt {HU), nach §§ 28 e Abs.. 3 a SGB IV, 150 Abs. 3 SGB VII wie ein BOrge fUr die Gesamtsozialversicherungsund Unfallversicherungsbeitrage seiner mit Bauleistungen beauftragten Auftragnehmer im Inund Ausland (NU). Die gleiche Haftung trifft den Unternehmer auch fOr Verleiher, die vom Auftragnehmer beauftragt worden sind.
10.'a) W1r weisen darauf hin, dass der Einsatz von scheinselbststandigem Personal untersagt is!, Bei Nichtelnhaltung dieser Forderung hat der Nachunternehmer samtllche Konsequenzen und hieraus resultierende Kosten (z.B. Schadensersatz, Vertragsstrafe etc.)
zu tragen. Als Vertragsstrafe wlrd vereinbart: Versttil?.t der NU schuldhaft gegen das Verbot der Sche•lnselbstst8ndigke•lt, so zahlt
der NU an den HU in jedem Einzelfa!l eine Vertragsstrafe von 0,25% der Netto Auftragssumme. Die Gesamth6he der Vertrags­ strafe betr8gt max. 5% der Abrechnungssumme. Der NU sichert zu, dass weder in seinem eigenen Unternehmen, noch im Wege weiterer Untervergaben scheinselbststandiges Personal beschaftigt wird.

9 Defects
9.1 Defect claims strictly comply with VOB/ B, however the limitation period for all services is set at 62 months, unless otherwise agreed in the minutes of negotiation. Should defects already be detected during construction, the principal contractor may, deviating from Art. 4.7 VOB/B in conjunction with Art. VOB/B terminate the contract or the completed part of the contract, or rectify the defect at the expense of the subcontractor, if the appropriate deadline set by the principal contractor for the rectification of the defect has expired fruitlessly.

9.2 The subcontractor undertakes to observe standards and rules of quality management (QM) relevant to his service. The principal contractor is entitled to review and document the work of the subcontractor in this regard.

9.3 The subcontractor hereby already assigns, in the event of the award of contract, all defect, guarantee and compensation claims against his subcontractors and suppliers, resulting from the execution of this contract to the principal contractor. The principal contractor accepts the assignment. The principal contractor authorizes the subcontractor, subject to revocation, to assert the assigned claims in his own name and for his own account. The subcontractor must account for the assignment of claims to the principal contractor in his contracts with his subcontractors and suppliers and oblige these on transfer of contractual services to subcontractors and suppliers to equally agree to an assignment of defect claims with the principal contractor. Liability for defects of the subcontractor is not affected by the assignment. However, in the event of utilization by the subcontractor, he may demand that the assigned claims against subcontractors and suppliers are reassigned.

10 Liability under Employee Assignment Act (AEntG) and Code of Social Law (SGB) IV and VII: Dismissal, Compensation, Security inter alia

10.1 Liability as guarantor
Under Art. 14 AEntG a company that awards a contract (principal contractor) is liable as guarantor for the obligation of the firm accepting the order (subcontractor) to the payment of the statutory minimum wage and the contribution to the paid-leave fund. The same liability applies to the principal contractor for any subcontractors and service lenders that have been contracted by the subcontractor or one of his subcontractors.
Further, a company that awards a contract (principal contractor) is under Arts. 28 e (3) SGB IV, 150 (3) SGB VII liable as guarantor for the national insurance and accident insurance contributions of the firms accepting his order for construction services domestic and abroad (subcontractor). The same liability applies to the company for service lender contracted by the subcontractor.

10.1 a) We point out that the use of bogus self-employed personnel is prohibited. In the case of non-compliance with this demand, the subcontractor must bear all consequences and resulting costs (compensation, contractual penalty, etc.). As contractual penalty it is agreed: If the subcontractor culpably violates the prohibition of bogus self-employment, the subcontractor pays the principal contractor a contractual penalty of 0.25% of the fixed total order value in each individual case. The maximum contractual penalty is 5% of net order value. The subcontractor pledges that neither in his own company, nor by means of further subcontracting, no bogus self-employed staff will be hired.
