ci-après dénommée le "Débiteur".
Lesquelles parties comparantes ont déclaré et demandé au notaire soussigné d'acter l'acte d'affectation hypothécaire qui suit en garantie du crédit accordé par le Créancier Hypothécaire au Débiteur.
EXPLICATIONS PRÉLIMINAIRES FOURNIES PAR L’DÉBITEUR
1. le Débiteur affirme et garantit qu’il est l’unique propriétaire du navire suivant: « XYZ », construit par [_____], une société constituée suivant le droit [_____], ayant son établissement principal à [_____], valablement inscrit en pleine immatriculation au Premier Bureau des Hypothèques à Luxembourg, conformément aux dispositions des lois du Grand-Duché de Luxembourg, au nom du Débiteur, sous le numéro [_____] (certificat d’immatriculation n° [_____]), indicatif d’appel luxembourgeois, type de navire « bulk carrier », aux mensurations et tonnages approximatifs suivants :

jauge brute : [_____],
jauge nette : [_____] et
puissance : [_____]
(ci-après le "Navire").
Le Débiteur a acquis le Navire en vertu d’un certificat de vente (Bill of Sale) daté du [_____].
2. Le Débiteur affirme et garantit également que le Navire ci-après hypothéqué est quitte et libre de toute dette privilégiée ou hypothécaire, ainsi que de toute inscription ou transcription quelconque, tant de son propre chef que de celui des précédents propriétaires.
3. Le Créancier Hypothécaire et le Débiteur dispensent le notaire soussigné expressément de toute vérification de la régularité et de la validité du titre de propriété mentionné ci-avant, déclarant l’avoir fait par elles-mêmes.
Contrat de Prêt
Suivant un acte de paiement signé le [_____], le Créancier Hypothécaire a consenti au Débiteur un prêt d’un montant principal de vingt et un million de dollars des Etats-Unis d’Amérique ( USD 21.000.000, ) (ci-après désignée l’ "Acte de Paiement").
L’Acte de Paiement dispose entre autres que le prêt a été consenti au Débiteur pour les besoins notamment du financement partiel du prix d'acquisition du Navire.
L’Acte de Paiement rédigé en langue anglaise suivi d’une traduction certifiée conforme en français, après avoir été signé « ne varietur » par toutes les parties comparantes et le notaire instrumentant restera annexé aux présentes pour en faire partie intégrante. En cas de divergence entre la version anglaise et la version française de l’Acte de Paiement, la version anglaise de l’Acte de Paiement prévaudra.
Sauf dérogation expresse et formelle dans le présent acte, toutes les stipulations de l’Acte de Paiement sortiront leurs effets comme si elles étaient intégralement reproduites.
Garantie hypothécaire
A titre de sûreté et de garantie de toutes sommes que le Débiteur doit ou devra au Créancier Hypothécaire en principal, intérêts, frais et accessoires ainsi que toutes autres sommes, et de la bonne exécution de toutes les obligations de l’Acte de Paiement, le Débiteur s'est notamment engagé dans le susdit Acte de Paiement à consentir et constituer irrévocablement une hypothèque maritime première en rang sur le Navire conformément aux dispositions de la loi modifiée du 9 novembre 1990 ayant pour objet la création d’un registre public maritime luxembourgeois.
AFFECTATION HYPOTHECAIRE
A titre de garantie et en exécution des dispositions du susdit Acte de Paiement, les parties ont requis le notaire soussigné d'acter comme suit l'affectation hypothécaire maritime première en rang consentie par le Débiteur:
A titre de sûreté et de garantie de toutes les sommes que le Débiteur doit ou devra au Créancier Hypothécaire en principal, intérêts, frais et accessoires, ainsi que toutes autres sommes, et de la bonne exécution de toutes les obligations auxquelles le Débiteur s’est engagé aux termes du susdit Acte de Paiement et du présent acte d'affectation hypothécaire, le Débiteur consent et constitue irrévocablement une hypothèque maritime première en rang sur le Navire au profit du Créancier Hypothécaire, qui accepte par son représentant susnommé.
Cette hypothèque grève l’ensemble du Navire, y compris toutes les chaudières, moteurs, machines, mâts, installations, bateaux, ancres, câbles, chaînes, cordages, agrès, cabestans, outillages, pompes et installations de pompage, tout le matériel, accessoires, équipement, pièces de rechange et tous les autres outillages et équipements qui appartiennent au Navire - peu importe s’ils appartiennent à ce jour au Navire ou s’ils vont être acquis dans le futur, s’ils se trouvent à bord du Navire ou non - ainsi que toutes les nouvelles acquisitions, améliorations et ajouts réalisés par échange, qui ont été effectuées de façon générale sur le Navire ou sur un élément de celui-ci ou sur un outillage de celui-ci après cette affectation hypothécaire ;
MAIS A LA CONDITION QUE, lorsque le Débiteur ou ses ayants droit ou ses cessionnaires auront entièrement payé ou auront ordonné le payement entier de la dette ainsi garantie au Créancier Hypothécaire, ou lorsque la dette devient payable conformément aux conditions de cette affectation hypothécaire et de l’Acte de Paiement et que les arrangements, garanties et conditions de cette affectation hypothécaire et de l’Acte de Paiement ont été dûment remplis, cette affectation hypothécaire ainsi que les droits ainsi garantis deviendront caducs ; dans le cas contraire, ils resteront pleinement valables et en vigueur et resteront inscrits pendant une durée de dix (10) ans au Premier Bureau des Hypothèques à Luxembourg.
La présente affectation hypothécaire est consentie pour les montants suivants :
1. de la somme en principal de vingt et un million de dollars des Etats-Unis d’Amérique ( USD 21.000.000,-),
soit euros (EUR , ) ;
2. des intérêts de cette somme pendant trois (3) années dont la loi conserve le rang, calculés provisoirement à cinq pourcent (5%) l’an soit la somme de trois millions deux cent soixante-deux mille cinq cents dollars des Etats-Unis d’Amérique ( USD 3.262.500,-) ,-),
soit euros (EUR , ) ;
3. de la somme de ( ,-), à laquelle sont évalués les frais et commissions bancaires convenus, les avances éventuelles de prime d’assurance qui ne seraient pas remboursées au Créancier Hypothécaire, les frais des présentes ainsi que ceux de réalisation et d’exécution de l’hypothèque, les honoraires et frais d’expertise et frais notariés encourus ou non dans le cadre d’une procédure judiciaire, les frais éventuels de renouvellement de l’inscription et ceux de mainlevée, les oppositions, saisies et arrêts, ainsi que tous autres droits et accessoires en général,
4. de la somme de ( ,-), à laquelle sont évaluées les fluctuations de change entre le montant de la créance du Créancier Hypothécaire en vertu de l’Acte de Paiement, libellé en dollars des Etats-Unis d’Amérique, et le montant de l’inscription prise en vertu des présentes, libellée en euros,
soit euros (EUR ,-) ;
Total de l'inscription: ( ,-), soit euros (EUR ,-).
Indemnités d’assurance
En cas de sinistre avant la libération complète du Débiteur, le Créancier Hypothécaire sera subrogé dans tous les droits, recours et actions du Débiteur ou de tout autre assuré en vertu des polices d’assurance suivant lesquelles le Navire est assuré et sera autorisé à toucher l’indemnité revenant au Débiteur ou à tout autre assuré à concurrence de sa créance en principal, intérêts, commissions et frais et autres accessoires.
Force exécutoire et pouvoirs du Créancier Hypothécaire
Lorsque la garantie créée par le présent acte devient exécutoire, le Créancier Hypothécaire sera aussitôt habilité à mettre en vigueur et à exercer, à tout moment et de la manière qu'il estimera opportun, tous les pouvoirs dont il dispose en qualité de créancier hypothécaire du Navire dans la mesure permise par les lois applicables et particulièrement :
A) prendre possession du Navire que ce soit en réalité ou par interprétation et/ou se rendre maître du Navire d'une autre manière où que le Navire se trouve et faire en sorte que le propriétaire ou toute autre personne qui est en possession du Navire remette celui-ci au Créancier Hypothécaire sans délai à sa demande, sans procédure judiciaire et sans que la responsabilité du Créancier Hypothécaire ne puisse être engagée eu égard à toutes pertes ou détériorations subies de ce fait et sans devoir en rendre compte au propriétaire;
B) exiger que toutes les polices, contrats, certificats d'enregistrement et autres documents relatifs aux assurances (en ce compris les détails ainsi que la correspondance concernant des réclamations en suspens) soient immédiatement remis au Créancier Hypothécaire ou à l'ordre de celui-ci;
C) percevoir, récupérer, compromettre et donner valablement décharge de toutes sommes ou réclamations de sommes alors en suspens ou par la suite résultant des assurances ou en relation avec les salaires ou toute demande de dédommagement et permettre que tous courtiers par l'intermédiaire desquels la perception ou le recouvrement est effectué portent en compte le courtage habituellement prévu en la matière;
D) poursuivre ou mettre en œuvre (si nécessaire en utilisant le nom du propriétaire) toutes procédures en relation avec le Navire de la manière que le Créancier Hypothécaire pourra discrétionnairement estimer opportune et donner décharge, composer, faire remise ou transiger en matière de réclamations faites à l'encontre du propriétaire à propos du Navire, ayant donné lieu ou pouvant donner lieu à toute servitude ou privilège sur le Navire ou qui sont ou peuvent être exécutoires au moyen de procédures à l'encontre du Navire;
E) Clause de voie parée:
sans préjudice de toute autre voie légale, vendre ou faire vendre le Navire ou toute part ou quote-part dans celui-ci avec ou sans notification préalable au propriétaire et avec ou sans le bénéfice d'une quelconque charte-partie ou autre contrat pour l'utilisation de celui-ci par vente aux enchères publiques ou contrat sous seing privé en tel endroit et à telles conditions (en ce compris, sans limitation, à des conditions telles que le paiement d'une partie ou de la totalité du prix d'achat soit différé) de la manière que le Créancier Hypothécaire pourra discrétionnairment en décider, y compris reporter cette vente, sans devoir rendre compte de toute perte occasionnée par cette vente ou résultant du report de celle-ci et/ou racheter le Navire lui-même lors de cette vente publique aux enchères et compenser le prix d'achat par tout ou partie de l'endettement garanti. Le Débiteur donne irrévocablement pouvoir spécial au Créancier Hypothécaire pour opérer le transfert de propriété du bien hypothéqué vendu conformément à la présente clause et pour signer et remettre tous écrits nécessaires à cet effet.
Le Créancier Hypothécaire pourra à cet effet signer et remettre à l'acheteur tous documents qui pourraient être requis pour parfaire le transfert du bien hypothéqué vendu.
En cas de vente, le nouveau propriétaire du Navire est tenu de respecter les dispositions des articles 56 et suivants de la loi modifiée du 9 novembre 1990 ayant pour objet la création d’un registre public maritime luxembourgeois.
Si, en cas d’exécution forcée sur base et en vertu de l’Acte de Paiement, du présent acte d'affectation hypothécaire ou en vertu d'autres droits et privilèges du Créancier Hypothécaire, le produit de l'exécution forcée est réalisé en une devise autre que celle stipulée dans l’Acte de Paiement, soit en une devise autre que le dollars des Etats-Unis d’Amérique, le Créancier Hypothécaire aura droit au paiement du montant en cette autre devise qui correspondra à la créance en dollars des Etats-Unis d’Amérique et ce au cours de change du jour où la distribution au Créancier Hypothécaire sera effectuée conformément à l’Acte de Paiement ;
F) gérer, assurer, entretenir, réparer, affréter, utiliser le Navire ou le faire naviguer ou le désarmer de manière telle, à telles conditions et pour telle période que le Créancier Hypothécaire décidera discrétionnairement et, aux fins mentionnées ci-avant, le Créancier Hypothécaire sera habilité à poser tous actes et faire toutes choses qui y sont favorables ou en sont inséparables et, en particulier conclure tels arrangements à propos du Navire et de l'assurance, la gestion, l'entretien, la réparation, la classification, l'affrètement et l'utilisation du Navire, sous tous rapports comme si le Créancier Hypothécaire en était le propriétaire et sans être responsable d'une quelconque perte subie ce faisant; et
G) récupérer à sa demande auprès du propriétaire toutes les dépenses, obligations ou pertes encourues par le Créancier Hypothécaire dans ou à propos de l'exercice du pouvoir dont il est investi aux termes du paragraphe (F) ci-dessus.
Inscription, péremption, renouvellement de l'hypothèque
Le Créancier Hypothécaire est autorisé et habilité à inscrire une hypothèque maritime première en rang sur le bien hypothéqué en garantie et paiement des montants prédésignés conformément aux articles 42 et suivants de la prédite loi modifiée du 9 novembre 1990 ayant pour objet la création d'un registre public maritime luxembourgeois.
Les parties requièrent le notaire soussigné de procéder, en leur nom et pour leur compte, à l'inscription de ladite hypothèque première en rang et d'accomplir toutes les formalités d'enregistrement, d'inscriptions et autres procédures et formalités nécessaires afin d'obtenir une hypothèque première en rang.
Le Créancier Hypothécaire est irrévocablement autorisé et habilité à procéder, le cas échéant, à tous renouvellements d'inscriptions, réinscriptions ou inscriptions nouvelles d'hypothèques maritimes, chaque fois qu'une telle mesure apparaîtra nécessaire ou simplement utile pour garantir le remboursement du crédit en principal, intérêts et frais, y compris sans que cette liste soit exhaustive, pour:
1) renouveler l'inscription hypothécaire au titre du capital endéans les dix (10) années après la première inscription afin d’empêcher sa péremption (qui se produirait à défaut de renouvellement endéans le susdit délai de dix (10) ans);
2) prendre toutes autres inscriptions hypothécaires aux fins d'avoir garantie et sûreté pour tous intérêts futurs qui viendraient à échéance et qui ne pourraient plus ou plus suffisamment être couverts par la première inscription, étant entendu expressément que chacune de ces inscriptions peut être effectuée pour des montants d'intérêts estimés pour trois (3) années; et
3) procéder à des inscriptions pour des montants supplémentaires dès qu'il apparaîtra que les montants estimés au présent acte en euros pourraient ne plus être suffisants, dû à des fluctuations de change.
Le Créancier Hypothécaire reconnaît avoir été averti par le notaire de ce que sous peine de péremption de l'hypothèque, l'inscription hypothécaire à prendre en vertu des présentes devra être renouvelée sur son initiative avant l'expiration d'un délai de dix (10) ans courant à partir de la date de l'inscription initiale à prendre en vertu des présentes.
Mainlevée
Après remboursement intégral du crédit avec intérêts et accessoires pour lesquels la présente sûreté est constituée et après exécution pleine et entière de toutes les obligations du Débiteur aux termes du présent acte et de l’Acte de Paiement, le Créancier Hypothécaire consentira à la décharge du Débiteur et à la mainlevée de la présente hypothèque.
Élection de domicile
Conformément à l’article 47 de la loi modifiée du 9 novembre 1990 ayant pour objet la création d’un registre public maritime luxembourgeois, telle que modifiée, le Créancier Hypothécaire élit domicile auprès de l’étude de [_____], [_____] aux fins de recevoir toute signification ou notification relative à l’inscription de l’hypothèque maritime constituée en vertu des présentes.
Le Débiteur élit domicile auprès de [_____].
Stipulations prépondérantes
En cas de contradiction dans la détermination du paiement et des autres obligations du Débiteur entre les stipulations du présent acte et celles de l’Acte de Paiement, ces dernières prévaudront.
Obligations de l'Débiteur
Le Débiteur ne peut sans l’accord écrit du Créancier Hypothécaire changer le registre d’immatriculation et/ou changer de pavillon du Navire.
Loi applicable
La présente hypothèque et son inscription sont soumises et interprétées selon le droit luxembourgeoise, sans préjudice de la loi applicable à l’Acte de Paiement qui demeure soumis au droit anglais pour son exécution et son interprétation.
Compétence juridictionnelle
Tout litige relatif à la validité, l'interprétation et l'exécution de la présente hypothèque et de son inscription seront soumis à la juridiction exclusive des tribunaux de la Ville de Luxembourg, sans préjudice de la compétence des tribunaux [_____] auxquels le susdit Acte de Paiement est soumis.
Frais
Tous frais généralement quelconques en rapport avec le présent acte et l’Acte de Paiement, y compris toutes taxes, impôts, salaires ou autres frais en rapport avec la passation, la remise, l'enregistrement, l'inscription, le renouvellement et l'exécution de cet acte et de l’Acte de Paiement seront à charge du Débiteur. Le Créancier Hypothécaire ne pourra être tenu d'aucune manière, ni entre parties au présent acte et à l’Acte de Paiement, ni envers toutes autres parties, au paiement des frais quelconques résultant directement ou indirectement du présent acte ou de l’Acte de Paiement, le tout sans préjudice de l'obligation solidaire des parties vis-à-vis du notaire instrumentant au paiement des droits et honoraires des présentes.
Le Débiteur remboursera au Créancier Hypothécaire tous frais encourus par lui pour préserver et régulariser sa sûreté sur le bien hypothéqué et pour toutes autres actions entreprises par lui à cet égard.
Le Débiteur et le Créancier Hypothécaire se réfèrent conformément à l’article 23 de la loi modifiée du 9 novembre 1990 ayant pour objet la création d’un registre public maritime luxembourgeois afin de bénéficier de l’exonération du droit proportionnel d’enregistrement telle que prévue à cet article.

represented for the purposes hereof by ___, attorney, having a professional address in Luxembourg, by virtue of a notarial power of attorney granted on [_____] 2007, which power of attorney shall remain appended hereto after having been signed “ne varietur” by the parties and the notary.
Hereinafter referred to as the “Mortgagee”,
2. BBB S.A.S., a société anonyme simplifiée [simplified public limited company], governed by French law, having its registered office at ___, France and registered in the Trade and Companies Register of [_____] under the number [_____],
represented for the purposes hereof by [_____], by virtue of a certified power of attorney received on [_____] 2007 by Maître [_____], a notary residing in [_____], which power of attorney shall remain appended hereto after having been signed “ne varietur” by the parties and the notary.
Hereinafter referred to as the “Mortgagor”.
Which parties have declared and required the undersigned notary to effect the following mortgage charge as security for the loan granted by the Mortgagee to the Mortgagor.
PRELIMINARY EXPLANATIONS PROVIDED BY THE MORTGAGOR
1. The Mortgagor represents and warrants that it is the sole owner of the following vessel: “XYZ”, built by [_____], a company incorporated under the laws of [_____], having its principal establishment at [_____], duly and fully registered with the Mortgage Registry [Premier Bureau des Hypothèques] in Luxembourg in accordance with the provisions of the laws of the Grand Duchy of Luxembourg in the name of the Mortgagor under the number [_____] (registration certificate No. [_____]), Luxembourgish call sign, of type bulk carrier, having the following approximate measurements and tonnages:

gross tonnage: [_____],
net tonnage: [_____] and
power: [_____]
(hereinafter referred to as the "Vessel").
The Mortgagor acquired the Vessel by virtue of a bill of sale dated [_____].
2. The Mortgagor also represents and warrants that the Vessel mortgaged herein is free from any and all privileged or mortgage debt, as well as from registrations or inscriptions of any kind, whether on its own behalf or that of previous owners.
3. The Mortgagee and the Mortgagor expressly dispense the undersigned notary from the requirement to verify the legality and validity of the abovementioned deed of title and declare that they have performed such verification themselves.
Loan Agreement
Pursuant to a deed of payment executed on [_____], the Mortgagee granted the Mortgagor a loan in the principal amount of twenty one million dollars of the United States of America (USD 21,000,000, ) (hereinafter referred to as the "Deed of Payment").
The Deed of Payment provides, inter alia, that the loan was granted to the Mortgagor for the purposes, in particular, of partially financing the acquisition price of the Vessel.
The Deed of Payment drafted in English followed by a certified translation in French, having been signed “ne varietur” by the parties and the notarising notary, shall remain appended hereto and forms an integral part hereof.
In the event of divergence between the English and French versions of the Deed of Payment, the English version of the Deed of Payment shall prevail.
All stipulations of the Deed of Payment shall produce their effects as if they were fully reproduced, save express formal provision to the contrary herein.
Mortgage Guarantee
To secure and guarantee any and all sums the Mortgagor owes or shall subsequently owe to the Mortgagee by way of principal, interest, charges and incidental expenses as well as any other sums, and of the due performance of all obligations of the Deed of Payment, the Mortgagor notably undertook in the aforesaid Deed of Payment to irrevocably grant and create a first ship mortgage on the Vessel in accordance with the amended Law of 9 November 1990 relative to the creation of a public ship register of Luxembourg.
MORTGAGE CHARGE
By way of guarantee and pursuant to the provisions of the aforesaid Deed of Payment, the parties have required the undersigned notary to effect as follows the first ship mortgage granted by the Mortgagor:
To secure and guarantee any and all sums that the Mortgagor owes or shall owe to the Mortgagee by way of principal, interest, charges and incidental expenses as well as any other sums, and of the due performance of all obligations incumbent on the Mortgagor pursuant to the aforesaid Deed of Payment and these presents, the Mortgagor irrevocably grants and creates a first ship mortgage on the Vessel (the “Mortgage”) in favour of the Mortgagee, which accepts via its representative named above.
This Mortgage encumbers the entire Vessel including all boilers, engines, machinery, masts, spars, boats, anchors, cables, chains, rigging, tackle, capstans, outfit, tools, pumps and pumping equipment, apparel, furniture, fittings, equipment, spare parts and all other appurtenances to the Vessel appertaining or belonging, whether now owned or hereafter acquired, whether on board or not, and also any and all additions, improvements and replacements in general effected subsequently on or to the Vessel, or any part thereof, or appurtenance thereto;
PROVIDED, HOWEVER, if the Mortgagor or its successors or assigns shall pay in full or cause to be paid in full to the Mortgagee the debt hereby secured, as and when the same shall become due and payable in accordance with the terms of this Mortgage and of the Deed of Payment, and shall duly perform the agreements, covenants and conditions herein and in the Deed of Payment, then this Mortgage and the rights hereby granted shall cease and be void, otherwise to remain in full force and effect and to remain registered in the Mortgage Registry in Luxembourg for a term of ten (10) years.
This Mortgage is granted for the following amounts:
1. The principal sum of twenty one million dollars of the United States of America (USD 21,000,000),

Interest on this sum for three (3) years, the privileged nature of which shall be preserved by the law, calculated provisionally at five percent (5%) per annum, that is, the sum of three million two hundred and sixty two thousand five hundred dollars of the United States of America (USD 3,262,500,-) ,-),

Insurance Compensation
In case of an adverse event prior to the complete discharge of the Mortgagor, the Mortgagee shall be subrogated to any and all rights, remedies and actions of the Mortgagor or of any party insured under the insurance policies covering the Vessel and shall be entitled to receive the compensation owing to the Mortgagor or to any other insured party in the amount of its debt in principal, interest, commissions and charges and incidental expenses.
Enforcement and Powers of the Mortgagee
Should the guarantee hereby created become enforceable, the Mortgagee shall have the right to implement and exercise, at any time and as it sees fit, any and all powers vested in it by virtue of its capacity as mortgagee of the Vessel to the extent permitted by the applicable laws and, in particular, to:
A) take possession of the Vessel, whether in actuality or by interpretation and/or otherwise become master of the Vessel wherever the same may be and cause the owner or any other person in possession of the Vessel to surrender same to the Mortgagee forthwith upon the latter’s demand, without legal process and without responsibility on the part of the Mortgagee for any loss or damage incurred by that fact or with regard to the owner;
B) demand that all policies, contracts, certificates of registration and other insurance documents (including details and correspondence concerning outstanding claims) be immediately remitted to the Mortgagee or to the order of the latter;
C) collect, recover, compromise and grant valid discharge of any sums or claimed sums then or subsequently outstanding resulting from the insurance or relating to salaries or any claim for damages and to allow any brokers through whose intermediary such collection or recovery shall be effected to charge the brokerage fee habitually provided for in that regard;
D) pursue or implement procedures (if necessary, using the owner’s name) in relation to the Vessel as the Mortgagee may see fit at its discretion and grant discharge, negotiate, grant discounts or settle in respect of claims against the owner relating to the Vessel that led or could lead to an easement or lien on the Vessel or that are or could be enforceable by means of proceedings against the Vessel;
E) Immediate Execution Clause:
without prejudice to any other legal remedy, sell the Vessel or cause the sale thereof or any portion thereof with or without prior notice to the owner and with or without the benefit of a charter party of any kind or other contract for the use of the Vessel by public or private sale in such place and on such terms (including but not limited to, terms such as the deferral of the payment of a portion or the entirety of the purchase price) and in such manner as the Mortgagee may, in its sole judgment, deem fit and the Mortgagee may postpone such sale, without being responsible for any loss arising from such sale of from the postponement of same and/or repurchase the Vessel itself at such public auction and set off all or a portion of the secured indebtedness against the purchase price. The Mortgagor irrevocably grants special powers to the Mortgagee to effect the transfer of the ownership of the secured property sold in accordance with this clause and to execute and remit all documents necessary for that purpose.
To that effect, the Mortgagee may execute and deliver to the buyer any and all documents that may be required to perfect the transfer of the secured property sold.
In the event of a sale, the new owner of the Vessel shall observe the provisions of articles 56 et seq. of the amended Law of 9 November 1990 relative to the creation of a public ship register of Luxembourg.
If, in the event of enforcement hereof on the basis and by virtue of the Deed of Payment or by virtue of other rights and privileges of the Mortgagee, the proceeds of enforcement should be in a currency other than that stipulated in the Deed of Payment, that is, in a currency other than dollars of the United States of America, the Mortgagee shall be entitled to the payment of the amount in that other currency that shall correspond to the debt in dollars of the United States of America at the exchange rate of the day on which the Mortgagee’s distribution shall be effected in accordance with the Deed of Payment;
F) manage, insure, maintain, repair, charter, operate or lay up the Vessel for such time and upon such terms as the Mortgagee may determine at its sole discretion, and, for the above purposes, the Mortgagee shall be empowered to file any instruments and do whatever might be favourable thereto or inseparable therefrom and, in particular, conclude such arrangements in respect of the Vessel and of the insurance, management, upkeep, repair, classification, chartering and use of the Vessel, as if the Mortgagee was the owner of same without being responsible for losses of any kind incurred in so doing; and
G) recover upon its request from the owner any and all expenses, obligations or losses incurred by the Mortgagee in connection with the exercise of the power vested in it by paragraph (F) hereof.
Mortgage Registration, Expiration and Renewal
The Mortgagee is authorised and empowered to register a first ship mortgage on the mortgaged property in guarantee and in payment of the pre-designated amounts in accordance with articles 42 et seq. of the aforesaid amended Law of 9 November 1990 relative to the creation of a public ship register of Luxembourg.
The parties require the undersigned notary to register the aforesaid first mortgage in their name and on their behalf and to carry out all registration and inscription formalities and all other procedures and formalities necessary to obtain a first ship mortgage.
The Mortgagee is irrevocably authorised and empowered, if need be, for the purposes of effecting renewals of registrations, re-registrations or new registrations of ship mortgages, whenever such shall seem necessary or simply appropriate in order to secure the reimbursement of the principal amount of the loan, interest and other changes, including, but not limited to:
1) renewing the mortgage charge within ten (10) years of the first registration in order to prevent it from lapsing (which shall occur should it not be renewed within the said ten (10) year period);
2) register any and all other mortgage charges in order to guarantee and secure any future interest that might fall due and that might no longer be covered or sufficiently covered by the first mortgage, it being understood that each of these registrations may be effected in respect of estimated interest amounts for three (3) years; and
3) registering charges on additional amounts should the amounts estimated herein in euros no longer seem sufficient due to exchange rate fluctuations.
The Mortgagee acknowledges having been advised by the notary that under penalty of expiration of the Mortgage, the mortgage charge to be registered hereunder must be renewed by the Mortgagee within ten (10) years of the date of the initial registration required hereunder.
Release
Following the reimbursement in full of the loan along with interest and incidentals for which the present security is created and following the full and complete performance of all of the Mortgagor’s obligations hereunder and under the Deed of Payment, the Mortgagee shall discharge the Mortgagor and release this Mortgage.
Address for service
In accordance with article 47 of the amended Law of 9 November 1990 relative to the creation of a public ship register of Luxembourg, as amended, the Mortgagee elects domicile at [_____], [_____] to which address should be sent all notifications concerning the first ship mortgage hereby created.

Paramount Provisions
In the event of a contradiction in the determination of the payment and of the other obligations of the Mortgagor between the provisions of this Mortgage and those of the Deed of Payment, those of the Deed of Payment shall prevail.
Obligations of the Mortgagor
The Mortgagor may not change the ship register and/or change the flag of the Vessel without the written consent of the Mortgagee.
Governing Law
This Mortgage and its registration shall be subject to and interpreted in accordance with the law of Luxembourg, without prejudice to the law applicable to the Deed of Payment, the performance and interpretation of which shall remain subject to English law.
Jurisdiction
Any dispute relating to the validity, interpretation and performance of this Mortgage and of its registration shall be subject to the exclusive jurisdiction of the courts of the City of Luxembourg, without prejudice to the competence of the courts of [_____], to which the said Deed of Payment is subject.
Costs
All costs of whatever kind relating generally to this Mortgage and the Deed of Payment, including taxes, levies, salaries or other expenses relating to the conclusion, remittance, registration, inscription, renewal and performance of this Mortgage and of the Deed of Payment shall be borne by the Mortgagor. The Mortgagee shall not be held liable in any manner, whether between parties to this Mortgage and to the Deed of Payment or towards any other parties, for the payment of expenses of any kind resulting directly or indirectly from this Mortgage or the Deed of Payment, all without prejudice to the parties’ joint and several obligation in respect of the notarising notary to pay the fees and costs hereof.
The Mortgagor shall reimburse the Mortgagee for any costs incurred by the latter in preserving and effecting its security on the mortgaged property and in undertaking any other actions in that regard.
The Mortgagor and the Mortgagee refer in accordance with article 23 of the amended Law of 9 November 1990 relative to the creation of a public ship register of Luxembourg, in order to benefit from the exemption from the proportional registration tax as per that article.
Whereof the present notarial deed is drawn up in Luxembourg, on the year and day first above written.

Vereinbarung über die Verarbeitung
personenbezogener Daten
1. Ausgangssituation
1.1 Der Auftragnehmer verarbeitet im Rahmen seiner Leistungserfüllung unter dem
Vertrages personenbezogene Daten im Auftrag des Auftraggebers gemäß § 11
DSG NRW.
1.2 Neben den Regelungen dieser Anlage gelten soweit anwendbar für die
Verarbeitung der personenbezogenen Daten im Auftrag ergänzend die
datenschutzbezogenen Regelungen des Vertrages.
2. Pflichten des Auftraggebers
2.1 Für die Beurteilung der Zulässigkeit der Verarbeitung personenbezogener Daten
sowie für die Wahrung der Rechte der Betroffenen ist allein der Auftraggeber
verantwortlich.
2.2 Der Auftraggeber hat das Recht, Weisungen über Art, Umfang und Verfahren der
Verarbeitung der personenbezogenen Daten zu erteilen. Das Change-Request-
Verfahren des Rahmenvertrages bleibt hiervon unberührt.
2.3 Der Auftraggeber erteilt alle Aufträge oder Teilaufträge über die Verarbeitung
personenbezogener Daten schriftlich. Mündliche Weisungen des Auftraggebers
sind unverzüglich vom Auftragnehmer schriftlich zu bestätigen. Änderungen des
Verarbeitungsgegenstandes und Verfahrensänderungen bedürfen der Einhaltung der Abstimmungsverfahren, die in dem Vertrag und den darin in Bezug
genommenen Dokumenten aufgeführt sind.
2.4 Weisungsberechtigte Personen des Auftraggebers sind:

2.5 Bei einem Wechsel oder einer längerfristigen Verhinderung des
Weisungsempfängers beim Auftragnehmer hat der Auftragnehmer dem
Auftraggeber unverzüglich schriftlich den Namen des Nachfolgers bzw. des
Vertreters mitzuteilen.
2.6 Der Auftraggeber hat den Auftragnehmer unverzüglich zu informieren, wenn er
Fehler oder Unregelmäßigkeiten bei der Prüfung der Auftragsergebnisse feststellt.
3. Pflichten des Auftragnehmers
3.1 Der Auftragnehmer ist verpflichtet, die personenbezogenen Daten ausschließlich im
Rahmen der getroffenen Vereinbarungen und nach Weisungen des Auftraggebers
zu verarbeiten. Er ist nicht berechtigt, die zur Datenverarbeitung überlassenen
personenbezogenen Daten für andere Zwecke zu verwenden. Kopien oder
Duplikate von personenbezogenen Daten dürfen nicht ohne Wissen des
Auftraggebers erstellt werden.
3.2 Soweit der Auftragnehmer im Rahmen der Verarbeitung personenbezogener Daten
Datenträger verwendet, die vom Auftraggeber stammen bzw. für den Auftraggeber
genutzt werden, hat er diese besonders zu kennzeichnen und unterliegen diese der
laufenden – automatisierten – Verwaltung. Eingang und Ausgang sind zu
dokumentieren.
3.3 Der Auftragnehmer hat im Bereich der Verarbeitung von personenbezogenen Daten
im Auftrag alle vereinbarten Maßnahmen vertragsgemäß zu erbringen. Er sichert
zu, die verarbeiteten personenbezogenen Daten von sonstigen Datenbeständen
strikt zu trennen.
3.4 Der Auftragnehmer hat den Auftraggeber unverzüglich darauf aufmerksam zu
machen, wenn eine vom Auftraggeber nach dieser Anlage 18 erteilte Weisung
seiner Meinung nach gegen datenschutzrechtliche Vorschriften verstößt.
3.5 Der Auftragnehmer erklärt sich damit einverstanden, dass der Auftraggeber
jederzeit berechtigt ist, die Einhaltung der Vorschriften über den Datenschutz und
der vertraglichen Vereinbarungen zu kontrollieren. Der Datenschutzbeauftragte des
Auftraggebers ist zu diesem Zweck berechtigt, jederzeit Kontrollen vorzunehmen,
insbesondere durch die Einholung von Auskünften, die unverzüglich vom
Auftragnehmer zu erteilen sind, und die Einsichtnahme in die gespeicherten
personenbezogenen Daten und die Softwareprogramme.
3.6 Der Auftragnehmer ist verpflichtet, nicht mehr benötigte Unterlagen mit
personenbezogenen Daten und Dateien nach vorheriger schriftlicher Zustimmung
durch den Auftraggeber datenschutzgerecht zu vernichten.
3.7 Nach Abschluss der jeweiligen vertraglichen Leistung hat der Auftragnehmer
sämtliche in seinen Besitz gelangten Unterlagen und erstellten Verarbeitungs- oder
Nutzungsergebnisse, die im Zusammenhang mit personenbezogenen Daten stehen
und für die weitere Leistungserbringung nicht mehr erforderlich sind, dem
Auftraggeber auszuhändigen. Die betroffenen Datenträger des Auftragnehmers sind
danach physisch zu löschen. Test- und Ausschussmaterial im Zusammenhang mit
dem Auftragsverhältnis ist unverzüglich zu vernichten oder dem Auftraggeber
auszuhändigen.
3.8 Im Falle einer gemäß Ziffer 4 des Rahmenvertrages zulässigen Beauftragung von Subunternehmern hat der Auftragnehmer vertraglich sicherzustellen, dass die in
dieser Anlage vereinbarten Regelungen sowie die gesetzlich für eine Auftragsdatenverarbeitung erforderlichen Regelungen auch gegenüber
Subunternehmern zu Gunsten des Auftraggebers gelten. Die Übermittlung von
personenbezogenen Daten an Subunternehmer ist erst dann zulässig, wenn die
vorgenannte vertragliche Regelung zwischen Auftragnehmer und Subunternehmer
abgeschlossen ist.
3.9 Der Auftragnehmer hat die Einhaltung dieser vertraglichen Pflichten durch den
Subunternehmer regelmäßig zu überprüfen.
3.10 Für die Sicherheit der personenbezogenen Daten erhebliche Entscheidungen,
insbesondere bezüglich der Organisation der Datenverarbeitung und der
angewandten Verfahren, sind zwischen dem Auftraggeber und dem Auftragnehmer
gemäß Vertrag und der darin in Bezug genommenen Dokumente zu treffen.
4. Datenschutzbeauftragte(r) des Auftragnehmers
Beim Auftragnehmer ist als Beauftragte(r) für den Datenschutz Herr/Frau

bestellt. Ein Wechsel des/der Datenschutzbeauftragten ist dem Auftraggeber

5 Datengeheimnis
5.1 Der Auftragnehmer hat seine Mitarbeiter und Subunternehmer auf das
Datengeheimnis zu verpflichten. Er verpflichtet sich, die gleichen
Geheimnisschutzregeln zu beachten, wie sie dem Auftraggeber obliegen.
5.2 Der Auftragnehmer hat die Einhaltung der datenschutzrechtlichen Vorschriften durch
Mitarbeiter und Subunternehmer zu überwachen.
5.3 Auskünfte an Dritte oder den Betroffenen darf der Auftragnehmer nur nach vorheriger
schriftlicher Zustimmung durch den Auftraggeber erteilen.
6 Datensicherungsmaßnahmen
6.1 Die auftragsgemäße Bearbeitung personenbezogener Daten durch den
Auftragnehmer erfolgt auf den im IT-Feinkonzept spezifizierten Einrichtungen.
6.2 Das vom Auftragnehmer vorzulegende Datensicherheitskonzept wird als verbindlich
festgelegt. Der Auftragnehmer gewährleistet, die vertraglich vereinbarten und
gesetzlich vorgeschriebenen Datensicherheitsmaßnahmen einzuhalten.
6.3 An der Erstellung des Verfahrensverzeichnisses des Auftraggebers hat der
Auftragnehmer mitzuwirken. Er hat dem Auftraggeber die hierzu erforderlichen
Angaben zuzuleiten.
6.4 Die technischen und organisatorischen Maßnahmen können im Laufe des
Auftragsverhältnisses der technischen und organisatorischen Weiterentwicklung
angepasst werden. Die Regelungen des Vertrages bezüglich des Change-Request-
Verfahrens werden durch diesen Abschnitt 6.4 nicht abgeändert.
6.5 Soweit die beim Auftragnehmer getroffenen Sicherheitsmaßnahmen bezüglich der
personenbezogenen Daten den Anforderungen des Auftraggebers nicht genügen,
hat er den Auftraggeber unverzüglich hiervon zu benachrichtigen. Entsprechendes
gilt für Störungen sowie bei Verdacht auf Datenschutzverletzungen oder
Unregelmäßigkeiten bei der Verarbeitung personenbezogener Daten.
7 Sonstiges
7.1 Soweit der Auftragnehmer dem Auftraggeber zur Sicherung der personenbezogenen
Daten Datenträger übereignet, sind diese Datenträger besonders zu kennzeichnen.
7.2 Sollte das Eigentum des Auftraggebers beim Auftragnehmer durch Maßnahmen
Dritter (etwa durch Pfändung oder Beschlagnahme), durch ein Insolvenz- oder
Vergleichsverfahren oder durch sonstige Ereignisse gefährdet werden, so hat der
Auftragnehmer den Auftraggeber unverzüglich hiervon zu verständigen.
7.3 Die Einrede des Zurückbehaltungsrechts im Sinne des § 273 BGB wird hinsichtlich
der verarbeiteten personenbezogenen Daten und der zugehörigen Datenträger
ausgeschlossen.

Personal Data Processing Agreement
1. Preamble
1.1 Under the Contract, the Agent processes personal data on the Principal’s behalf in accordance with § 11 DSG NRW.
1.2 In addition to the provisions of this Appendix, the data protection provisions of the Contract shall apply to the processing of personal data hereunder to the extent to which they may be applicable.
2. Obligations of the Principal
2.1 The Principal shall be solely responsible for determining whether the processing of personal data is legitimate and for upholding the rights of the persons concerned.
2.2 The Principal shall be entitled to give instructions concerning type, scope and methodology in relation to the processing of personal data. The Change-Request procedure of the framework contract shall not be affected hereby.
2.3 The Principal shall award contracts or partial contracts concerning the processing of personal data in writing. The Agent shall immediately obtain written confirmation of any verbal instructions given by the Principal. Changes to the subject matter being processed and procedural changes shall comply with the consultation procedures that are specified in the Contract and in the documents related thereto.
2.4 The following persons are authorised to issue instructions on the Principal's behalf:

2.5. Should a person authorised to receive instructions on behalf of the Agent be replaced or encounter a long-term impediment to the performance of his duties, the Agent shall immediately inform the Principal of the name of the successor or new representative.
2.6 The Principal shall immediately inform the Agent if he discovers errors or irregularities when examining the contract results.
3. Obligations of the Agent
3.1. The Agent shall use the personal data solely within the framework of the concluded agreements and in accordance with the Principal’s instructions. He may not put the data supplied for processing purposes to any other use. Personal data may not be copied or duplicated without the Principal's knowledge.
3.2 If, when processing personal data hereunder, the Agent uses data media provided by the Principal or used on the Principal’s behalf, he shall carefully label it and subject it to the current automated administration. Input and output shall be documented.
3.3 The Agent shall implement all agreed measures relating to the processing of personal data. He shall ensure the processed personal data is kept strictly separate from other data stocks.
3.4. The Agent shall immediately inform the Principal should he consider any of the Principal’s instructions given in accordance with this Appendix 18 to be in breach of data protection regulations.
3.5 The Agent hereby acknowledges that the Principal may verify compliance with data protection regulations and the contractual stipulations at any time. For that purpose, the Principal's data protection official shall be entitled to carry out inspections at any time, and in particular, by collecting information that the Agent shall promptly supply and by examining stored personal data and software applications.
3.6 The Agent shall destroy personal data records and files that are no longer needed after obtaining the Principal’s prior written consent.
3.7 After the respective contractual service has been performed, the Agent shall surrender to the Principal any and all records obtained and process or usage results in his possession relating to personal data that are no longer necessary for the performance of further services. The corresponding data media of the Agent shall subsequently be physically destroyed. Test material and unused material relating to the contractual relations between Principal and Agent shall be destroyed forthwith or surrendered to the Principal.
3.8 In the event subcontractors are commissioned in accordance with paragraph 4 of the framework contract, the Agent shall contractually ensure that the stipulations of this Appendix, as well as the mandatory stipulations of data processing contracts shall also apply to subcontractors in favour of the Principal. Personal data may only be transferred to the subcontractor after the aforesaid contractual stipulations between Agent and subcontractor have been concluded.
3.9 The Agent shall regularly check that the subcontractor complies with these contractual obligations.
3.10 All significant decisions concerning the security of personal data, particularly those relating to the organisation of the data processing and the methods used shall be mutually agreed between the Principal and the Agent in accordance with the Contract and the documents related thereto.
4. Data protection officer(s) of the Agent

The Principal must be immediately informed in the event a data protection officer is replaced.
5 Data secrecy
5.1 The Agent shall ensure its employees and subcontractors undertake to treat the data as confidential. The Agent undertakes to observe the same secrecy rules as those incumbent on the Principal.
5.2 The Agent shall monitor its employees’ and subcontractors’ compliance with data secrecy provisions.
5.3 The Agent may only disclose information to third parties or relevant parties after obtaining the Principal’s prior written consent.
6 Data security measures
6.1 The personal data shall be processed by the Agent using the equipment specified in the IT-Feinkonzept [detailed concept].
6.2 The data security concept to be provided by the Agent shall be defined with binding effect. The Agent undertakes to comply with all contractual and statutory data security measures.
6.3 The Agent shall assist in compiling the Principal’s directory of procedures. The Agent shall provide the Principal with the information required in that respect.
6.4 Technical and organisational measures may be modified during the course of the contractual relations between Principal and Agent to take account of further technical and organisational developments. The Contract provisions relating to the Change-Request-procedure shall not be affected by this article.
6.5 In the event the security measures to be implemented by the Agent with regard to personal data do not meet the requirements of the Principal, the Agent shall immediately inform the Principal of that fact. The same shall apply in the event of dysfunctions, suspicion of data protection violations or irregularities in the processing of personal data.
7 Miscellaneous
7.1 Should the Agent entrust data media containing personal data to the Principal for safekeeping, such data media shall be specially marked.
7.2 The Agent shall immediately inform the Principal should the Principal’s property in the possession of the Agent be jeopardised by the actions of third parties (such as garnishment or confiscation), through insolvency or similar proceedings or other such events.
7.3 No pleas concerning a right of retention pursuant to § 273 of the German Civil Code may be filed in respect of the processed personal data and corresponding data media.
