Source text - English BACKGROUND STATEMENTS
A. The Manufacturer is engaged in the design, development, manufacture, sale and distribution of the Products;
B. The Distributor is engaged in the distribution and sale of a range of electrical, electronic and physiotherapy / medical devices and instruments in the country of Chile, and wishes to promote, market, and sell Manufacturer’s Products and be appointed by the Manufacturer as the sole and exclusive representative and distributor for the Products in the Territory. Therefore, the Distributor warrants and declares:
i. The Distributor has the required organization, personnel, material resources and skills, as well as, it has the requisite qualification, knowledge and expertise to perform its obligation under this Agreement;
ii. None of his owners, shareholders, directors, and officers have conflict of interest in executing this Agreement; and
iii. Neither Distributor nor any of its principals: (A) has been convicted of fraud or other criminal offense involving moral turpitude or corruption, or relating to unfair or deceptive business practices or unethical conduct, including a criminal offense related to violations of healthcare laws and regulations, (B) has been debarred, suspended or otherwise excluded from participation in any healthcare program, or (C) has paid any civil monetary penalties for violation of healthcare laws and regulations.
C. Based on the foregoing, the Parties have agreed to enter into this distribution agreement under the terms and conditions laid down in this document.
