DIRECTORS' POWERS AND RESPONSIBILITIES
Directors' general authority
3. (1) Subject to the articles, the directors are responsible for the management of the company's business, for which purpose they may exercise all the powers of the company and the company shall carry on business as a general commercial company and have all the powers of a natural person, in accordance with the provisions of the Companies Act 2006.
(2) If the company has only one director, that director shall be the sole legal representative of the company, in accordance with these Articles.
(3) If the company has more than one directors, two directors shall be the legal representatives of the company, in accordance with these Articles. The board of directors may authorize one or more of the directors in respect of a particular business transaction or generally to exercise all the powers of the company on its behalf alone.

If you’ve been diagnosed with osteoarthritis (OA), you’re not alone. This chronic disease affects some 27 million Americans. OA is characterized by the breakdown of cartilage – the part of a joint that cushions the ends of the bones and allows easy movement. As cartilage deteriorates, bones begin to rub against one another. This can cause stiffness and pain that make it difficult for you to use that joint. Osteoarthritis can also damage ligaments, menisci and muscles. Over time OA may create a need for joint replacements.
There are two types of OA – primary and secondary. Primary osteoarthritis is generally associated with aging and the “wear and tear” of life. The older you are, the more likely you are to have some degree of primary osteoarthritis. However, not everyone gets it – not even the very old. That’s because OA is a disease, and not part of the normal aging process. Secondary osteoarthritis, in constrast, tends to develop relatively early in life, typically 10 or more years after a specific cause, such as an injury or obesity.
Osteoarthritis occurs most often in knees, hips and hands. Other joints, particularly the shoulders, can also be affected. OA rarely affects other joints, except as a result of injury or unusual physical stress.
The pain and stiffness of osteoarthritis can make it difficult to do daily activities including your job, play sports or even get around with ease. That’s why it’s important to learn all you can about this disease, how it affects you and how to live with it – a process called self management.
Usually joints affected by osteoarthritis ache or become painful or stiff first thing in the morning, or during or after use. They may also be stiff after periods of inactivitiy. It’s important to remain physically active despite any initial discomfort you might feel. Exercise keeps joints moving, which helps them stay lubricated. It also builds strength in the muscles surrounding the affected joint, so they can support it.

Als u gediagnosticeerd bent met osteoartritis (OA) dan bent u niet alleen. Zo lijden ongeveer 27 miljoen Amerikanen aan deze chronische ziekte. OA ontstaat doordat er kraakbeen verloren gaat – in een gewricht dat twee botten met elkaar verbindt en dat zorgt voor een soepele beweging. Doordat het kraakbeen verslechtert, kunnen botten over elkaar schuren, wat stijfheid en pijn veroorzaakt en waardoor u het gewricht moeilijk kunt bewegen. Osteoartritis kan ook ligamenten, menisci en spieren aantasten. Op lange termijn kan het nodig zijn een kunstgewricht te plaatsen.
Er worden twee vormen van OA onderscheiden – primaire en secundaire artrose. Primaire osteoartritis wordt algemeen veroorzaakt door veroudering en “slijtage” door de jaren heen. Hoe ouder u bent, hoe meer kans u hebt om een vorm van primaire artrose te hebben. Daarentegen krijgt niet iedereen osteoartritis – zelfs niet de alleroudsten, doordat OA een ziekte is, en geen stap in het normale verouderingsproces. Secundaire artrose kan echter vroeg in het leven worden vastgesteld, en ontstaat doorgaans 10 jaar (of meer) na een aan specifieke oorzaak, bijvoorbeeld na een letsel of zwaarlijvigheid.
Artrose komt voornamelijk voor in de gewrichten van de knieën, heupen en handen, maar ook in andere gewrichten, vooral dan in de schouders. Er worden zelden andere gewrichten aangetast, tenzij door een letsel of een ongewone vorm van fysieke stress.
Door de pijn en stijfheid kan het moeilijk zijn om dagdagelijkse taken uit voeren zoals gaan werken, sporten of zich zelfs gemakkelijk te verplaatsen. Daarom is het belangrijk om zoveel mogelijk te weten over deze ziekte, hoe het u beïnvloedt en hoe u ermee kunt leven – een proces dat zelfmanagement wordt genoemd.
Gewrichten die aangetast zijn door artrose resulteren in stijfheid en pijn, vooral ‘s ochtends of tijdens of na het bewegen. Dit kan ook het geval zijn na een periode van inactiviteit. Daarom is het belangrijk om in beweging te blijven, ondanks het ongemak. Beweging zorgt ervoor dat de gewrichten soepel en geolied blijven, en verstevigt de spieren rond de aangedane gewrichten, waardoor de gewrichten beter worden ondersteund.
