I'm afraid I can't give much context as this is a confidential document, however the phrases refer to the Board of Directors and Executive Management of a number of companies following restructuring. The "fiduziarisch besetzt/verantwortlich besetzt" phrases appear in a legend to indicate which of them applies to the Board of Directors, and which to the Executive Management of the companies concerned. Clearly this refers to the nature of the responsibilties held by their members but does anyone have any idea how best to phrase this in English?

The full entry for the first legend item is "fiduziarisch besetzt, auf statutarische Pflichten beschränkt." The document originates in Switzerland.

I have used the word "duty", simply because Wiki suggests it under the subtitle of "Duties" in the reference quoted below.

I was also exploring the idea of translating it as "fiduciary responsibility/directors' responsibility.
Depending on the actual composition of the various boards concerned, you may wish to stretch "directors' duty" as far as "management responsibility".
Still vacillating - but I put it here to stimulate discussion. :)
