German term or phrase: Entlastung des Vorstands
Hi there,
I just can't figure out what I should write for "Entlastung des Vorstands" in US English, although I'm quite familiar with stock corporation matters in general.
"Entlastung des Vorstands" means that the general meeting releases the board members from their liability for past actions undertaken in the preceding financial year and usually takes place at general meetings of shareholders, and all I've found to date sounds odd to me: discharge of the board, exoneration of the board...
Can anyone help?
Thank you in advance!

formal approval of the actions of the managing board
Explanation:
formal approval of the actions of the managing board [board of management]

Under _Entlastung_ , Romain listes this: approval of (an officer’s / a baord’s) activities, acceptance of reports and accounts.
Under _Entlastung des Vorstands_: formal approval of the actions of the managing board [or board of management]

Romain, W. der Rechts- und Wirtschaftssprache ISBN 3 406 35836 5

Among other meanings for _entlasten_, Zahn lists the following specifically for entlasten in the sense of “die Amtsführung billigen” which also seems to fit your context):
to grant discharge, to approve of actions (of the conduct of office).

Thank you so much for your answer. By the way, I do have all of the dictionaries you quoted, but I do not really trust any dictionaries and just wanted to make sure these words are actually used. Thanks again, Sueellen

Explanation:
Check your context and then go with one of these:

discharge of the managing board

acceptance/approval of the managing board's report (depending on your context)

I would not use "exoneration" here; at most meetings of all sorts, they always speak about the "discharge" or "acceptance of the report" of the officer or body in question.

Good Luck
