3. Die Genossenschaft wird auf unbestimmte Zeit gegründet.

9 Auseinandersetzung
1. Für die Auseinandersetzung zwischen dem ausgeschiedenen Mitglied und der Genossenschaft ist der
festgestellte Jahresabschluss der Genossenschaft maßgebend.
2. Dem ausgeschiedenen Mitglied ist das Auseinandersetzungsguthaben binnen 6 Monaten nach dem
Ausscheiden auszuzahlen. Berechtigte Forderungen der Genossenschaft können gegen das
auszuzahlende Guthaben aufgerechnet werden.
3. Auf das sonstige Vermögen und die Rücklagen der Genossenschaft hat das ausscheidende Mitglied
keinen Anspruch.

§21 Schlussbestimmungen
1. Diese Satzung ist durch die Mitglieder in der Generalversammlung vom 13. September 2001
beschlossen worden.
2. Wenn einzelne Bestimmungen dieser Satzung unwirksam sein sollten, so soll die Gültigkeit aller
anderen Bestimmungen dadurch nicht berührt werden. Die ungültigen Bestimmungen sind durch
gesetzlich zulässige Bestimmungen zu ersetzen. Die Generalversammlung hat diese Bestimmungen in
ihrer nächsten Sitzung durch solche zu ersetzen, die dem wirtschaftlichen Interesse der
Genossenschaft und ihrer Mitglieder am besten entsprechen.

Auseinandersetzungsguthaben = credit balance in case of partition

Auseinandersetzung sounds quite confrontational but is merely the division of net assets within an organisation (in case a shareholder, partner, etc, withdraws from the organisation). I believe that partition is most commonly used.
