The context is a court case to decide whether they had respected the primacy of interest of the bearers of shares in one of the funds making up the OPCVM (the XXX shares mentioned above) or whether they just favoured the clients of the OPCVM.

agree  rkillings: OK, but gentler than necessary. 'Underlying' can mean lying beneath in plain sight, whereas 'latent' (etymologically and in usage) means hidden, unrevealed.
