16.4. This Agreement contains all the terms agreed between the Parties regarding its subject matter and supersedes any prior agreement, understanding or arrangement between the Parties, whether oral or in writing, provided that nothing in this Clause 16.4 shall operate to limit or exclude either party's liability for fraud.

16.5. The Manager shall not off-set its ***credits in anyway arising towards the Company,*** even if due and payable, with its debts arising from the Agreement or otherwise towards the Company itself.

16.6. Nothing in this Agreement, expressed or implied, is intended to confer any rights, remedies, obligations or liabilities under or by reason of this Agreement upon any person or entity other than the Parties.

agree  Pablo Julián Davis: Buena solución, Emiliano. Como obviamente te diste cuenta, el texto fuente contiene un error, 'anyway' debería ser 'any way'. Lo único que yo cambiaría es el 'su', corresponde explicitar al igual que el texto fuente: "...a favor de la Compañía". ¡Saludos!
