Such fee will be paid only when the Segregated Account A exceeds its previous maximum Net Asset Value in a particular Series of Shares, or what is known as its "high water mark".

If the Net Asset Value of Segregated Account A for a particular Series subsequently increases in the following Year Valuation Period to Hie previous high water mark (but no higher), no performance fee is payable.

The Fund on behalf of Segregated Account A will only assess and pay a performance fee to the Investment Manager on increases in Net Asset Value of Segregated Account A for a particular Series over the high water mark.
